Miller, Assistant City Manager Lisa Connor, Project Manager C. d Subject: Change Signatories of Former Redevelopment Agency Bank Accounts o c as Recommendation in Adopt a Resolution of the Mayor and City Council of the City of San Bernardino, Cn California, acting as the Successor Agency of the Redevelopment Agency of the City of San Bernardino, designating signatories of Successor Agency bank accounts and W superseding any previous resolutions. -- 0 Background In 1958, the Redevelopment Agency of the City of San Bernardino was organized pursuant to § 33000 et seq. of the California Health and Safety Code ("HSC'), and was responsible for the administration of redevelopment activities within the City. The governing board of the Agency was the Community Development Commission, which was composed of eight members that included the Mayor and the seven members of the City Council. Cn w On February 16, 2010, the Community Development Commission adopted a Resolution designating the Mayor as the Chairperson of the Commission as the primary signatory and the Mayor Pro Tem as the alternate signatory on all Agency checks and wire a transfers. The co-signer on Agency checks and wire transfers was the Executive Director and the alternate to the Executive Director was the Deputy Director. Thereafter, pursuant to HSC § 34172 (a)(1), the Redevelopment Agency was dissolved on February 1, 2012. Consistent with the provisions of the HSC, on January 9, 2012 the Mayor and Common Council of the City of San Bernardino elected to serve in the capacity of the Successor Agency to the Redevelopment Agency of the City of San Bernardino ("Successor Agency") and designated the City Manager to serve as the Executive Director. Packet Pg. 76 S.E.a Discussion The former Redevelopment Agency and its subsidiary non-profit agencies currently have several open accounts with various banking institutions. The accounts were opened to carry out the activities of the former Agency (RDA), San Bernardino Economic Development Corporation (SBEDC), Affordable Housing Solutions (AHS), and Carousel Mail LLC. However, the signatories on the accounts are not current as the individuals have since resigned or are no longer in their appointed positions. Successor Agency staff contacted the institutions above. Information will only be provided to the signatories of the respective accounts, and the banking institutions requested formal action by the governing board changing the signatories to reflect the current City structure and removing all others from the accounts is necessary. With this action by the Mayor and City Council, the bank will prepare the necessary documentation including new signature cards and present it to staff so that signatures Packet Pg. 77 5.E.a can be obtained. The authorized signers on the accounts will be the City Manager, Assistant City Manager, and the Finance Director. Fiscal Impact There is no fiscal impact to the City. The bank accounts will be closed and all funds will be transferred to the appropriate City bank accounts to facilitate the redevelopment dissolution activities. All funds have been reported in the appropriate financial statements, so there are no new funds to report. Conclusion That the Mayor and Common Council acting as the Successor Agency to the Redevelopment adopt the attached Resolution.
