(#4288) Current Business Registration Certificate: Not Applicable Financial Impact: The City's Housing Division administers the affordable housing programs and projects provided through AHS. The City's Housing Division will also administer the affordable housing programs and projects provided through the Successor Housing Agency. Therefore, the two-step change of ownership process with respect to the LMIHF Real Property Assets (i.e., AHS to Successor Agency and then Successor Agency to Successor Housing Agency, which is the City [to be considered at a subsequent meeting]), will not affect the ultimate outcome related to the reuse of the LMIHF Real Property Assets. In that regard, any program income received from the LMIHF Real Property Assets will revolve to the benefit of future affordable housing endeavors offered under the auspices of the City. In addition, the City will have an opportunity to acquire the Successor Agency Real Property Assets, if it so desires. Motion: Adopt the Resolution. Synopsis of Previous Council Action: None. Background: Pursuant to Health and Safety Code ("HSC") § 34172 (a)(1), the Redevelopment Agency of the City of San Bernardino was dissolved on February 1, 2012. Consistent with the provisions of the HSC, on January 9, 2012 the Mayor and Common Council of the City of San Bernardino elected to serve in the capacity of the Successor Agency to the Redevelopment Agency of the City of San Bernardino ("Successor Agency"). Consistent with the provisions of the HSC, the Mayor and Common Council of the City of San Bernardino previously elected to serve in the capacity of the Successor Housing Agency to the Redevelopment Agency of the City of San Bernardino (the "Successor Housing Agency"). The Oversight Board for the Successor Agency ("Oversight Board") has been established pursuant to HSC § 34179 to assist in the wind-down of the Updated: 2/10/2016 by Georgeann "Gigi" Hanna A I Packet Pg. 173 4288 dissolved redevelopment agency. The former Redevelopment Agency of the City of San Bernardino (the "Former RDA") established a series of operating practices, funding allocation procedures, and general oversight requirements for Affordable Housing Solutions of San Bernardino, Inc., a non- profit 501(c)(3) corporation ("AHS"), which constituted the basis of that certain 2009 Neighborhood Stabilization Program Sub-Recipient Agreement, dated September 21, 2009, and that certain 2011 Housing Capitalization Funding Agreement Sub-Recipient Agreement Relating to the $375,000,000 Principal Amount Low- and Moderate-Income Housing Fund Projects, dated March 3, 2011 (individually known as the "2009 AHS Agreement" and the "2011 AHS Agreement" respectively, and collectively as the "AHS Agreements") between the former redevelopment and AHS. On July 27, 2011, the California Superior Count entered a Default Judgment that validated the 2011 AHS Agreement, which had the effect of validating the actions taken by the Former RDA, inclusive of the following finding; "The restructuring of the manner in which the Agency conducts its governmental functions as set out in the Resolutions, and all matters related thereto, are valid, legal and binding acts of the Agency in accordance with their terms and were and are in conformity with applicable provisions of all laws and enactments at any time in force or controlling upon such proceedings whether imposed by law, constitution, statute or ordinance, and whether federal, state or local, and are legal, valid and binding obligations under the Constitution and laws of the State of California as of the date of their enactment." For the purpose of implementing the AHS Agreements, AHS periodically received funding allocations from the former RDA from both federal and low- and moderate- income housing fund (the "LMIHF") sources to finance the affordable housing activities authorized by the AHS Agreements. In addition to financial assistance and pursuant to the 2011 AHS Agreement, during March and April of 2011, the Former RDA authorized the transfer of certain real property assets of the Former RDA to AHS and consistent with the 2011 AHS Agreement, AHS used LMIHF money to purchase additional LMIHF real property assets. Pursuant to HSC § 34176 (a) (1), the Successor Housing Agency elected to retain the LMIHF assets and functions previously performed by the Former RDA, inclusive of all rights, powers, duties, obligations and housing assets related thereto, with certain exceptions. HSC § 34176 (a) (2), requires the Successor Housing Agency to submit a Housing Asset Transfer form (the "HAT") to the California Department of Finance (the "DOF") that lists all of the housing assets, as more specifically defined in HSC § 34176 (e), to be retained by the Successor Housing Agency. Per the 2011 AHS Agreement, only a portion of the Former RDA's LMIHF real property assets were transferred to AHS and the balance of the assets defined in HSC § 34176 (e), were retained by the Former RDA. On August 1, 2012, the Successor Housing Agency submitted its initial HAT to DOF for its review and conducted periodic telephone and e-mail communications with DOF staff with respect to the HAT, inclusive of providing requested back-up documentation. Updated: 2/10/2016 by Georgeann "Gigi" Hanna A I Packet Pg. 174 4288 Subsequent to DOF's reviews, DOF issued its determination letters dated August 31, 2012 and March 21, 2014 with respect to the initial HAT (the "DOF HAT Letters"). As a follow-up to the DOF HAT Letters, the Successor Agency prepared an amended HAT (the "Amended HAT") that includes the LMIHF Real Property Assets, as hereinafter defined, for submission to DOF. The Amended HAT lists 57 parcels of real property that are currently owned by AHS that are assets of the LMIHF, as more particularly described as site Nos. 1 through 57 within Exhibit "A" to the attached resolution (the "LMIHF Real Property Assets"). There are nine (9) additional parcels of real property that are currently owned by AHS that are assets of Successor Agency, as more particularly described as site Nos. 58 through 66 within Exhibit "A" to the attached resolution (the "Successor Agency Real Property Assets"). Consistent with HSC § 34176 (e), the LMIHF Real Property Assets and the Successor Agency Real Property Assets must be recovered by the Successor Agency for later transfer (i.e., the LMIHF Real Property Assets will go to the Successor Housing Agency and the Successor Agency Real Property Assets will be sold) in accordance with the procedures prescribed therefor by the HSC, which includes a review by the Oversight Board and DOF. On February 9, 2016, the Board of Directors of AHS authorized the transfer to the Successor Agency of those LMIHF Real Property Assets and Successor Agency Real Property Assets owned by AHS that were either received from the Former RDA or acquired with LMIHF money on behalf of the Former RDA, as more particularly described within Exhibit "A" to the attached resolution. Consistent with the foregoing, approving the attached resolution will authorize the acceptance of those LMIHF Real Property Assets and Successor Agency Real Property Assets owned by AHS that were either received from the Former RDA or acquired with LMIHF money on behalf of the Former RDA, as more particularly described within Exhibit "A" to the attached resolution. The form of quitclaim deed to cause the transfer of the affected real property assets is included within Exhibit "B" to the attached resolution; which also includes a form of the certificate of acceptance. The attached Resolution has been reviewed with respect to applicability of the California Environmental Quality Act (the "CEQA"), the State CEQA Guidelines (California Code of Regulations, Title 14, §§ 15000 et seq., hereafter the "Guidelines"), and the City's environmental guidelines. The approval of the attached Resolution does not constitute a "project" for purposes of CEQA, as that term is defined by Guidelines § 15378, because this Resolution is an organizational or administrative activity that will not result in a direct or indirect physical change in the environment, per § 15378(b)(5) of the Guidelines. FISCAL IMPACT: The City's Housing Division administers the affordable housing programs and projects provided through AHS. The City's Housing Division will also administer the affordable housing programs and projects provided through the Successor Housing Agency.
