Synopsis of Previous Council Action:
June 17, 2013 - the Successor Agency entered into an Agreement for Auditing
Services for Fiscal Year 2011-2012 for an amount not-to exceed Fifty Four Thousand
Dollars ($54,000) and authorized a purchase order to the Consultant.
April 7, 2014 - the Successor Agency approved Amendment No. 1 of the Consultant
Services Agreement for an increase not-to-exceed a total amount of One Hundred Fifty-
six Thousand Four Hundred Forty Dollars ($156,440)for additional Audit Consultant
Services.
The parties now desire to amend the agreement and add an additional Twenty-five
Thousand One Hundred Twenty-seven Dollars and five Cents ($25,127.05). The total
amount not-to-exceed is One Hundred Eighty-one Thousand Five Hundred Sixty-seven
and five cents $181,567.05. This payment will be for the completion of the Due
Diligence Review required for the Successor Agency.
Background:
The amendment to the existing contract reflects the completion work of the Due
Diligence Review. This will finalize and complete this project. A contract amendment
is required in the amount of$25,127.05, for a total contract amount not to exceed
$181,567.05. This will be the final payment for this completed project and staff does not
anticipate further charges related to this. If further fees are necessary, the auditor will
be discuss with the City staff before they are incurred.

THIS AMENDMENT NO. 2 is made and entered into as of November 17, 2014 by and between the CITY a
OF SAN BERNARDDNO ACTING AS THE SUCCESSOR AGENCY TO THE REDEVELOPMENT AGENCY
OF SAN BERNARIDNO, (hereinafter referred to as Successor Agency), and ROGERS,ANDERSON,
MALODY&SCOTT("CONSULTANT"). In consideration of the mutual covenants and conditions set forth
herein, the parties agree as follows:

1. This Amendment is made with respect to the following facts and purposes:
a. On June 17, 2013, the Successor Agency entered into an Agreement for Auditing Services for E
Fiscal Year 2011-2012 for an amount not-to exceed Fifty Four Thousand ($54,000)and authorized
a purchase order to the Consultant. E
b. On April 7, 2014, the Successor Agency approved Amendment No. 1 of the Consultant Services a
Agreement for a not-to-exceed total of One Hundred Fifty-six Thousand Four Hundred Forty N

c. The parties now desire to amend the agreement and add an additional Twenty-five Thousand One .�

2. Section 5. Compensation of the Agreement is hereby amended to increase the amount that the a
Successor Agency agrees to pay the Consultant a not-to-exceed amount of One Hundred Eighty-one L
Thousand Five Hundred Sixty-seven Dollars and five cents ($181,567.05). City shall pay Consultant for
services rendered pursuant to this Agreement at the time and in the manner set forth herein.
Amendment No. 2 shall not exceed Twenty-Five Thousand One Hundred Twenty-seven Dollars and ca
