STAFF REPORT
In June of 1984, the Agency acquired title to 5.1 acres of land on the southwest
corner of Rialto Avenue and Lena Road as a part of the transaction with the
County Schools for their new administrative offices.
Staff has received an offer from Novack-Shane, a general partnerehip, to
purchase the Lena Road piece at its appraised value of $450,000 cash. The offer
is contingent upon the offeror being the euccessful bidder in constructing and
leasing a public health clinical eervices facility for the County of San
Bernardino (see attached letter). Bids will not be awarded until March 9, 1987.
Since this contingency transforms the offer to purchase into something close to
an option to purchase, etaff recommends that item 3) on page 2 of Novak's letter
be negotiated to provide that $2,000 per month be retained by the Agency until a
3D-day escrow is opened and that the offer (option) expire on March 17, 1987.
The offerors feel they are saving the Agency a commission on the traneaction
which would pay for the option price and are requesting that the Agency not
charge for the option.

SUMMARY OF FINANCIAL ASPECTS OF A PROPOSED SALE OF
REDEVELOPMENT AGENCY OWNED REAL PROPERTY
IN TIlE CITY OF SAN BERNARDINO
TO NOVACK-SHANE, A PARTNERSHIP
It is propoeed that the Redevelopment Agency of San Bernardino ("Agency") will
sell to Novack-Shane ("Offerors") that certain parcel of land identified as APN
279-261-15 and located on the southwest corner of Lena Road and Ria1to Avenue as
shown on the map sttached as Exhibit "B".
Offerors wish to purchase said property from the Agency for the development of a
medical clinic for the County of San Bernardino. Since the property to be eo1d
was acquired through the use of tax increment monies, the following Financial
Summary is hereby submitted in accordance with Section 33433 of the California
Health and Safety Code.
1. The cost to the Agency (see Exhibit A) ie 5450,000. This acquisition was
part of a land exchange that included in-lieu payments and a Disposition
and Joint Development Agreement on other property with San Bernardino Board
of Education.
2.
The estimated value of the interest to be conveyed, determined at the
highest uees permitted under the General Plan of the City of San Bernardino
ie 5450,000.
3. The purchase price is 5450,000.

OF THAT CERTAIN PARCEL OF PROPERTY INDENTIFIED AS APN 279-261-06
LOCATED ON RIALTO AVENUE AT ITS INTERSECTION WITH LENA ROAD, BY
COMMUNITY DEVELOPMENT COMMISSION OF THE CITY OF SAN BERNARDINO TO
NOVACK-SHANE, A PARTNERSHIP.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. Recitals.
A. The Community Development Commission of the City of San
Bernardino ("Commission") proposes to sell to Novack-Shane, a
partnership ("Developer"), that certain parcel of property
identified as APN 279-261-06 located on Rialto Avenue at its
intersection with Lena Road, which parcel is legally described in
Exhibit "A" attached hereto and incorporated herein by reference,
for the sum of $450,000 which will be paid by the Developer in
cash.
B. Notice of the time and place of hearing has been given
as required by law.
C. The Commission has made available for public inspection
and copying a summary of financial aspects of the proposed sale.
D. The summary of financial aspects represents that the
fair market value of the interest to be conveyed by Commission,
determined at the highest use permitted for such property, is
$450,000.
E. All hearings have been held as required by Health and
Safety Code Section 33433.
SECTION 2. Determination. Based upon the representations
of Co~mission, it is found and declared that the consideration
for the real property describe above, in accordance with

covenants and conditions governing the sale, is not less than the

4 SECTION 3. Approval. The Mayor and Common Council of the

Development Commission of the City of San Bernardino are hereby
authorized and directed to execute, for and on behalf of the
Redevelopment Agency of the City of San Bernardino, an option in
favor of Novack-Shane, a partnership, to purchase Agency-owned
land known as APN 279-261-06, for the price of $450,000. The
option shall be in form approved by Agency Counsel, and shall not
extend beyond the time specified in the offer from Novack-Shane.
The legal description of the property proposed for sale is set
forth in Exhibit ftAft annexed hereto and incorporated herein by
reference.

NDVACK-SHANE, A California General Partnership submits
the following offer to purchase' the particular parcel of real
property from the San Bernardino Redevelopment Agency described
aB 5.1 A.C. located at the southwest corner of Rialto Avenue
and Lena Road, in the City and County of San Bernardino, State
of California:
Purchase price: $450,000 (appraisal value, May, 19B5),
payable in a lump sum less the deposit of $45,000 which is delivered
herewith, subject to the following terms and conditions:
1) The above proposed buyer is the successful bidder to
construct and lease to the County of San Bernardino, a new public
health clinical services facility at the above mentioned property
site.
2) In that. event, the balance of the purchase price
($405,000) shall be paid through escrow to the San Bernardino
Redevelopment Agency, upon the execution of the lease by the County
of San Bernardino and the proposed buyer and the issuance of a
building permit by the City of San Bernardino.
The escrow instructions shall provide, in addition to the
usual terms and conditions, as follows:
1) $405,000 shall be paid forthwith.
2) Title shall be transferred to the proposed buyer
free and clear of liens, assements, or easements.
3) A title policy will be issued to the proposed
buyer accordingly.

3) In the event, the proposed buyer is not the successful
bidder and/or a lease is not executed as provided herein, the San
Bernardino City Redevelopment Agency and proposed buyer shall not
have any further obligation pursuant to this offer and the San
Bernardino City Redevelopment Agency shall return the $45,000 deposit
to the proposed buyer within ten (10) days after receiving written
notice from the proposed buyer'that it was not the successful bidder.
4) Pending the acceptance or rejection of the proposed
bid by the proposed buyer to the County of San Bernardino the said
proposed buyer shall have the right to enter upon the said subject
parcel of real property for the purposes ~f soil testing, surveying
and the drawing elevation maps and any other reasonable and necessary
plans, which shall be at the proposed buyers discretion and at its
sole expense.
