RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING AND
DIRECTING EXECUTION OF A FIRST AMENDMENT TO MEMORANDUM OF
UNDERSTANDING WITH MEDICAL HEALTHWAYS, INC., RELATING TO A ONE-
YEAR EXTENSION OF THE TERM OF THE NUTRITION FOR SENIORS PROGRAM.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. The Mayor is hereby authorized and directed to
execute for and on behalf of the City of San Bernardino a First
Amendment to Memorandum of Understanding with MEDICAL HEALTHWAYS,
INC., relating to a one-year extension of the term of the
Nutrition for Seniors Program, which First Amendment is attached
hereto as Exhibit "An and incorporated herein by reference as
though fully set forth at length.
I HEREBY CERTIFY that the foregoing resolution was duly
adopted by the Mayor and Common Council of the City of San

FIRST AMENDMENT TO MEMORANDUM OF UNDERSTANDING
(Nutrition for Seniors Program)
THIS FIRST AMENDMENT TO MEMORANDUM OF UNDERSTANDING is made
and entered into this
day of
, 1986,
by and between the CITY OF SAN BERNARDINO, a municipal
corporation, hereinafter referred to as "City", and MEDICAL
HEALTHWAYS, INC., hereinafter referred to as "Company".
1. Recitals.
a. City and Company entered into a Memorandum of
Understanding, hereinafter referred to as "MOU", effective March
1,1985, relating to a Nutrition for Seniors Program.
b. The parties now desire to amend the MOU to provide
for a one-year extension of its term.
2. ~. The term of the MOU is extended for an additional
period of one year commencing March 1, 1986, and terminating
March 1, 1987.
3. Other Provisions. All other terms, conditions and
provisions of the MOU shall remain the same and be in full force
and effect.
IN WITNESS WHEREOF, the parties hereto have executed this
First Amendment to the Memorandum of Understanding on the day and
year first written above.
