2 RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF A LETTER OF UNDERSTANDING WITH THE LAW FIRM OF
3 NIELSEN, HODGSON, PARRINELLO & MUELLER FOR1THE PURPOSE OF
ENGAGING SAID FIRM TO REPRESENT THE CITY OF SAN BERNARDINO IN
OBTAINING FROM THE GOVERNOR'S OFFICE OF PLANNING AND RESEARCH AN
EXTENSION OF TIME FOR AMENDMENT OF THE CITY OF SAN BERNARDINO'S
5 GENERAL PLAN PURSUANT TO GOVERNMENT CODE SEC. 65361.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:

hereby authorized and directed to execute on behalf of said City,
9
a letter of understanding with the law firm of Nielsen, Hodgson,
10
parrinello & Mueller for the purpose of engaging said firm to
11

SECTION 1.
The Mayor of the City of San Bernardino is
represent the City of San Bernardino in obtaining from the
Governor's Office of Planning and Research an extension of time
for amendment of the City of San Bernardino's General Plan
14
Pursuant to Government Code Sec. 65361, a copy of which is
15
attached hereto, marked Exhibit nAn and incorporated herein by
16
17
reference as fUlly as though set forth at length.
I HEREBY CERTIFY that the foregoing resolution was duly

Re: Engagement for Services
Dear Mr. Penman:
This letter will confirm our understanding regarding
this Firm's representation in connection with the city of San
Bernardino obtaining from the Governor's office of Planning and
Research an extent ion of time for amendment of its general plan
pursuant to Government Code S6536l. Our participation shall be
confined to communicating with OPR and rendering advise to you
which, in our own judgment, will obtain the extention you seek.
We understand and agree that we possess no authority concerning
the ultimate decisions made by the city relative to the language
accompanying the extention.
As discussed, I will be the attorney primarily respon-
sible for your legal work although other Firm personnel may
assist me, as we deem appropriate. Before proceeding with legal
work, we require a non-refundable retainer of $10,000.00 which
shall be credited against services to be rendered. My billable
rate is $200.00 per hour for legal work. Also assisting will be
James C. Gross. His billable rate is $150.00 per hour.
If the foregoing terms along with our attached Billing
Policy Statement are acceptable to you, please sign the enclosed
copy of this letter where indicated below and return it (with the
payment set forth on the attached statement for legal services).
Should you have any questions at any time, please do
not hesitate to contact me. We are looking forward to working
with you and to rendering the services which you require in a
manner which will be of the greatest assistance to you.

outlines the scope of our practice, which includes services
beyond the scope of the representation which this letter con-
firms.
