STAFF REPORT
Background
The UDAG application for the Base Line and Muscott shopping center has been placed
on the Funding List to be reconsidered in January, 1987. One area that must be
evidenced is the Agency's willingness to gain control of the site.
Eight (8) ownerships will be effected. On September 8, 1986 the Commission
authorized Staff to negotiate for the acquisition of these sites.
Since September 8, 1986, letters have been sent to each party holding possible
interest in and to subject properties. requesting appointments to initiate
negotiations. To date, negotiations have ensued with five of the eight property
owners, each of whom were given a copy of the Appraisal, dated August 29, 1986 by
C. M. Benefiel, Real Estate Appraiser. And, a proposal was made to each owner to
purchase their respective properties for the appraised value.

Seller Obligations: Sell respective property to Agency at appraised value.
Agency Obligations: Purchase each parcel from owners of interest at the appraised
value, cash terms.
Escrow Considerations - Direction Sought
On October 9, 1986, Staff introduced this matter to the Redevelopment Committee,
resulting in the recommendation that Staff offer to purchase each property
contingent upon the aBBemblage of all eight interest comprising this site.
Recommendation was also made that each Offer be accompanied with a $10,000
deposit, to be forfeited in the event escrow could not close, due to this
contingency. Redevelopment Committee's concerns were based on 1) a desire to
assure acquisition of all, not some. of the properties, and 2) property owners
forming together to provide mutual cooperation in the sale to Agency.
Although Staff understands the concerns of the Committee, our recent meetings with
the individual owners indicate the introduction of such a contingency would be a
detriment to the success of our final negotiations.
Responding to Resolution 4921, Staff proposed to each owner a recommended Offer to
Purchase based on the following terms and conditions:
1) Purchase price equal to the appraised value,
2) Cash terms,
3) Short escrow periods, if necessary,

We have learned that the majority of the property owners have taken a defensive
position in the subject negotiations, due primarily to excessive delays in the
past caused by unsuccessful negotiations between themselves and previous
prospective buyers. It is for this reason, coupled with tax consequences, that
the owners appear to be quite firm in their desire for the terms Staff has already
proposed. To alter our conditions. at this point would undoubtedly damage the
rapport established thus far. Extended escrow terms may hold tax consequences for
some, if not all of the owners.
Motions "B" and "C" both have merit. However, it is the feeling of Staff that "B"
would be detrimental to the initial objective of successfully negotiating a sale
of the subject properties and thus, urge approval of motion "C".

11 _ of 78,649 square feet of property, more or less, and appraised by
12 a qualified appraiser at a value of $l55,800, after deduction of
13 $1,500 cost of demolition, are hereby determined to be of a value
c:> 14 of $155,800, and the appraisal is hereby approved.
15 SECTION 2. The Redevelopment Agency_of the City of San
16 Bernardino is hereby authorized to acquire those two parcels of
17 land as described above, from their record owners, Valerie Butler
18 and Mark Pullee, at a price of $155,800, by negotiated
19 acquisition. The exact legal description of the property is set
20 forth in a photocopy of that particular grant deed recorded as
21 Document No. 83-301593, San Bernardino County Records, a copy of
22 which is annexed hereto as Exhibit "A" and incorporated herein by
23 reference. The Executive Director is hereby authorized to take
24 such steps as are necessary and customary to complete the
25 purchase of such property on behalf of the Redevelopment Agency
26 of the City of San Bernardino.
