Description: Restoration of San Bernardino Santa Fe Depot & Professional Contract Services Finance: Council Notes: Agenda Item NO.1.S.--- (p J I f J OJ " CITY OF SAN BERNARDINO - REQUEST FOR COUNCIL ACTION Staff Report SUBJECT: Authorization to amend the existing agreement with Transtech to provide professional planning services for the City's Historic Depot Renovation Project and other projects as assigned. BACKGROUND: Since January 29, 2001, City has engaged the services of William Woolard as a planning consultant to provide oversight and coordination with respect to the historic Santa Fe Depot restoration project. In addition, Mr. Woolard has assisted in the Development Department's streamlining efforts, general plan update, consultant selection process, and Housing Element review. Because of time limitations under the PERS retirement system, Mr. Woolard can no longer work (for the balance of the calendar year) under a direct contract with any PERS member agency. In order to continue to receive the services to keep the depot project and the other projects on track and moving forward, it is desirable to enter an agreement with a consulting firm for the continuation of such services. Approximately forty percent of Mr. Woolard's time has been spent on depot related activities. As the depot project moves into actual construction and tenant leasing and coordination, the percentage of time devoted to the depot project is expected to increase to seventy-five percent. Amending the Transtech agreement to include this coordination function would permit future time spent on depot related activities to be charged to the depot project. Non-depot related activities would be charged to a general fund account. This amended agreement provides for the continuation of the same services as were provided by Mr. Woolard. Attachment "A" outlines the Scope of Services. Compensation for these services will be fifty-six dollars ($56.00) per hour not to exceed a total of $62,720. In order to continue to provide the current hourly rate of $55.00 per hour to Mr. Woolard, an additional $1.00 per hours will be charged to the City to cover Transtech's increased insurance premium. FINANCIAL IMPACT: As noted above the time spend on depot related activities (est. 75 %) will be charged to Account No. 123-558-5504-7178 (Restoration of the San Bernardino Santa Fe Depot). All costs associated with the Depot rehabilitation are reimbursable through the federal transportation funds awarded, excepting the local match requirements. Costs for other planning activities (est. 25%) will be charged to Account No. 001-190-5502 (Professional Contract Services). RECOMMENDATION: Adopt Resolution. 1 2 3 4 5 6 7 8 9 10 11 RESOLUTION NO. RESOLUTION OF THE CITY OF SAN BERNARDINO APPROVING AN AMENDMENT TO THE SERVICES AGREEMENT WITH TRANSTECH ENGINEERS, INC. FOR PROFESSIONAL PLANNING SERVICES FOR THE RENOVATION OF THE CITY'S HISTORIC DEPOT PROJECT AND OTHER PLANNING PROJECTS. BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. That the Mayor is authorized to execute the Amended Agreement with Transtech Engineers, Inc. for providing Professional Planning Services for the renovation of the Santa Fe Depot and other planning projects. A contract is entered into with said firm for the actual costs incurred, not to exceed $62,720.00, but such agreement shall be effective only upon 12 being fully executed by both parties. The Mayor is hereby authorized and directed to execute 13 14 15 take effect or become operative until fully signed and executed by the parties and no party shall 16 17 18 19 20 said agreement on behalf ofthe City. SECTION 2. This agreement and any amendment or modifications thereto shall not be obligated hereunder until the time of such full execution. No oral agreements, amendments, modifications or waivers are intended or authorized and shall not be implied from any act or course of conduct of any party. SECTION 3. PENMAN, City Attomey By: III - 2- EXHIBIT A AMENDED AGREEMENT FOR PROFESSIONAL SERVICES This AMENDED AGREEMENT is made and entered into this of 2001, by and between the CITY OF SAN BERNARDINO, California, a municipal corporation, hereinafter referred to as the "CITY" and Transtech Engineers, Inc., hereinafter referred to as "CONSULTANT". WITNE SSE TH WHEREAS, City desires to obtain professional Planning Services for project oversight and coordination in conjunction with the renovation and retrofit of the San Bernardino Santa Fe Depot, and for other planning projects; and WHEREAS, Consultant is qualified to provide said professional services; and WHEREAS, San Bernardino City Council has elected to engage the services of Consultant upon the terms and conditions as hereinafter set forth; and NOW, THEREFORE, it is mutually agreed, as follows: 1. SCOPE OF SERVICES Consultant shall provide professional planning services consisting of project coordination and oversight for the renovation of the historic Santa Fe Depot project and such other planning projects as may be assigned by the Director of Development Services. 2. TERM OF AMENDED AGREEMENT This Amended Agreement is supplemental to the agreement entered into by the City and the Consultant, and approved by Resolution No. 2001-116. Except as herein specifically enumerated, all of the conditions, requirements and obligations of the original agreement are incorporated herein as if set forth in their entirety. This Amended Agreement shall terminate effective January 1,2002. 3. COMPENSATION The Consultant shall be compensated at the rate of fifty-six dollars ($56.00) per hour, not to exceed a total of sixty-two thousand seven hundred and twenty dollars ($62,720.00) for all work and services performed under this contract and upon receipt of itemized invoices, submitted in triplicate to the contract manager. The invoice amount will be based on the actual work performed by task. Consultant will submit an invoice to the City every four (4) weeks. 1 4. SUPERVISION AND ACCEPTANCE OF SERVICES The Director of Development Services of City, or his designee, shall have the right of general supervision over all work performed by Consultant and shall be City's agent with respect to obtaining Consultant's compliance hereunder. No payment for any services rendered under this Amended Agreement shall be made without prior approval of the Director of Development Services or his designee. 5. TERMINATION OF AMENDED AGREEMENT This Amended Agreement may be terminated by either party upon thirty (30) days' written notice by either party. 6. VALIDITY Should any provision herein be found or deemed to be invalid, this Amended Agreement shall be construed as not containing such provision, and all other provisions which are otherwise lawful shall remain in full force and affect, and to this end the provisions of this Amended agreement are declared to be severable. 2 " ",".
