CITY OF SAN BERNARDINO - REOUEST FOR COUNCIL ACTION Staff Report Subiect: Resolution approving Amendment No. I to Agreement with Architect Milford Wayne Donaldson, FAIA, Inc., for preparing final plans, specifications, and estimate for renovation and retrofit of the San Bernardino Santa Fe Depot. Backl!round: On November 20, 2000, the Mayor and Common Council adopted Resolution No. 2000-327 approving a Professional Services Agreement with Milford Wayne Donaldson, FAIA, Inc., in an amount not to exceed $1,064,840, for preparation of final plans, specifications and estimate for renovation and retrofit of the San Bernardino Santa Fe Depot. The Architect began work about December 11, 2000, and monthly progress meetings between the Architect, SANBAG, Metrolink, Caltrans, Amtrak and City staff have been held since that date to discuss issues and resolve problems. At a meeting on April 23, 2001, design revisions were requested by SANBAG and Metrolink. These revisions will require the following changes to the Architect's scope of services (See Exhibit "B"): I. Significant changes to the second floor shear wall layout, mechanical, plumbing, and electrical designs are required to accommodate SANBAG's space planning layouts. 2. The west end of the first floor will have to be redesigned to accommodate the Metrolink offices and changes in the location of the banquet room. 3. SANBAG requested electrical, data and audio visual capabilities be added in the banquet room to support their board meetings. 4. The Historic Property Survey Report (HPSR) and Findings of Effect (FOE) will have to be revised to reflect the revised layouts and the revisions coordinated with Caltrans District 8. The compensation to the Architect for these design changes is $33,350.00 fixed fee. In addition, the Architect, on May 15, 2001, requested the following tests in order to be able to properly complete the design: Task I: Coring, drilling ad sampling a total of seven borings up to 10 feet deep at selected locations to evaluate soil expansiveness, corrosion potential and toe provide Geotechnical recommendations for pavement sections. Preparation of supplemental Geotehnical report including results from previous investigation and provide design level Geotechnical recommendations. The cost of this testing is $4,150.00. See Exhibit "C". Task 2: One core test at brick arch (north side of depot) and four cores at second concrete beam. The cost of this testing is $600.00. See Exhibit "C". Task 3: Prepare a plaster sample to consist of finish coat of interior plaster on a wall section approximately 20 feet long and 9 feet taiL "Plaster Weld" will be applied to the existing base surface and apply n approximately 1/8" thick Diamond Interior Plaster finish coat in a smooth wall application. The cost of this sample is $1,000.00. See Exhibit "D". Paragraph 5.B. of the Agreement requires that: "Any adjustment of the total cost of services will only be permitted when the Architect establishes and City has agreed in writing that there has been, or is to be, a significant change in: 1. Scope, complexity, or character of the services to be performed; 2. Conditions under which the work is required to be performed; and 3. Duration of work if the change from the time period specified in the Agreement for Completion of the work warrants such adjustment." Staff has reviewed the Architect's request and agrees that this work will result in a change in the scope of services from that proposed in the Agreement and will result in increased cost to the Architect. The Architect has proposed a total compensation of $39,100.00, and has provided a breakdown (see exhibit "B") of costs to justify the fee. Staff has reviewed the breakdown and believes it is fair and reasonable for the additional work required by Amendment No. I to the Agreement. Financial Imnact: The City will pay the cost of this Amendment No. I at a fixed fee of $39,100.00. This amount is within the contingency amount authorized by the Mayor and Common Council with the Agreement approval on November 20, 2000. The cost of the original Agreement as well as the cost of Amendment No.1 will be reimbursed by Caltrans from the $2,625,000 in federal transportation funds (TEA 21) authorized, less the local match requirement. SANBAG has already funded $243,662 of the local match for this phase. The remaining unused TEA 21 monies and other grants will be used during the construction phase. Recommendation: Adopt Resolution. RESOLUTION OF THE CITY OF SAN BERNARDINO APPROVING AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT WITH ARCIDTECT MILFORD WAYNE DONALDSON, FAIA, INC. FOR PREPARING FINAL PLANS, SPECIFICATIONS, AND ESTIMATE FOR RENOVATION AND RETROFIT OF THE SAN BERNARDINO SANTA FE DEPOT. BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. The attached Proposals dated May 8, 2001, May 14, 2001, and May 2, 2001, and marked Exhibit "B", "C", and "0", respectively, submitted by ARCHITECT MILFORD WAYNE DONALDSON, FAIA, INC. to perform extra work for a fixed fee of $39,100.00, under terms of a Professional Services Agreement with said Architect authorized by Resolution No. 2000-327, is hereby approved. Such approval shall be effective only upon Amendment No. 1 being fully executed by both parties. The Mayor is hereby authorized and directed to execute said Amendment No.1 on behalf of the City. A copy of Amendment No. 1 is attached as Exhibit "A" and incorporated herein by reference as fully as though set forth at length. SECTION 2. This Amendment shall not take effect until the Amendment is fully signed and executed by the parties, and no party shall be obligated hereunder until the time of such full execution. No oral Contracts, amendments, modifications or waivers are intended or authorized and shall not be implied from any act or course of conduct of any party. SECTION 3. WITNESSETH WHEREAS, San Bernardino City Council, on November 20, 2000, adopted Resolution No. 2000-327 approving an Agreement for Professional Services with Architect for preparation of plans, specification, and estimate for renovation and retrofit of the San Bernardino Santa Fe Depot; and WHEREAS, subsequent to Agreement approval, revisions were requested by SANBAG and Metrolink to their respective tenant areas and the banquet/conference room space; and WHEREAS, certain tests must be conducted to provide sufficient information for the Architect to create a proper design; and ",- WHEREAS, Architect has requested an amendment to the Agreement to \.... cover the cost of additional services required to complete these revisions; and WHEREAS, paragraph 5.B. of Agreement allows adjustment to the total cost of services when the Architect and City agree in writing that there has been, or will be, a significant change in the scope, complexity or character of the services to be performed; and WHEREAS, City agrees that the requested revisions are not within the scope of services covered in Agreement; and WHEREAS, the proposed additional services to be performed by Architect are described in a letters from Architect dated May 8,2001, May 14, 2001, and May 2, 2001, identified as Exhibits "B", "C", and "0", respectively, attached hereto and made a part hereof. EXHIBIT "B" Reimbursable Costs Reimbursable Expenses described below shall occur, as necessary, and be billed by the Architect on an itemized statement specifying the type of service and/or the material provided, copies of receipts, if applicable, the position of the person providing the service, the person's hourly rate, the time spent and the cost incurred to provide the service. Funding for the reimbursable expenses is provided to pay the Architect for the various duties described below that do not lend themselves to precise estimation on a lump sum basis, and for that reason is not included in the Basic Services. Reimbursable Expenses, however, are essential to aid the Architect in the performance of the Basic Services and Additional Services, when authorized. Reimbursable Expenses are estimated to be 5250 and shall be limited to the following: Printing and reproduction as required by the Consultant . This skim coat will" fill small cracks and uneven surfaces and help mask patch areas. The paint cross-section microscopy analysis identified the original finish as a dull yellow Iimewash which has subsequently been covered by several layers of modern paints. One of our concerns is that there may be problems with these previous finishes not remaining firmly adhered once the new plaster skim coat is applied. On previous projects, we have found it helpful to create mock-up to test the adherence. The mock-up area also become an example of the acceptable level of finish for the contractors when they are bidding the project. The mock-up is left in place throughout construction to further serve as an example of the acceptable standard of quality. Should the mock-up show there is a problem with adherence, we will need to include additional preparation requirements in the bid documents (such as removing all previous layers of paint). The attached proposal from Mark Sauer Construction is for creating a plaster skim coat mock-up on a section of existing wall that we will identifY.
