COlll1)lex At the Housing Committee meeting of August 11, 1992, the Committee reconsidered Agency financial assistance to the Ramona Senior Housing Complex. After extensive discussion, the Committee took action designating a working group comprised of Councilman Hernandez, John Dukes, Ray Coronado, Ramona Chairman of the Board, Timothy Sabo, Special Counsel to the Agency, Mike Valles, citizen-at-large, a representative from the Mayor's office and staff to develop a solution to the outstanding issues and bring same back to the Housing Committee in two (2) weeks. Because there is some question as to the time-frame for the permanent loan commitment, a meeting of the working group was convened on August 13, 1992. At the meeting, the Agency Special Counsel advanced the following proposed amendments to the Ramona Owner Participation Agreement which met with the approval of a majority of the working group members. The proposed amendments are as follows: The participating owner shall purchase the property from a third party owner for $320,000 with proceeds from the first draw under the construction loan. Such land draw proceeds shall be deposited in the appropriate title company escrow account to be established for completing such transfer of title for the property to the participating owner. Simultaneously, with the transfer of title for the property to the participating owner, this agreement shall be recorded against the property on a first lien priority position. The participating owner hereby agrees to obtain from any available source of funds of either the participating owner or any other third party such moneys as may be necessary to complete the construction of the project, fulfill the financial obligations of the participating owner pursuant to this agreement, repay the principal portion of the construction loan, plus interest as required under this Agreement and to pay all required fees and demonstrate the necessary equity requirements to obtain the permanent loan on the project. Based upon the foregoing, I recommend adoption of the form motion. As noted in the subject aaenda item, a working aroup was desianated by the Housina Committee to resolve all outstanding issues relating to the proposed Owner Participation Agreement between the Agency and Ramona Senior Housing, Inc. Two subsequent meetings occurred between the Mayor, Councilman Hernandez and staff. As a result of these meetings, Councilman Hernandez has been able to broker an aareement between the Mayor' s office and Agency staff and Ramona, the specifics of which are detailed below. - The motion submitted by Councilman Hernandez (Motion "A" of Agenda RS-l) should be supplemented by the items agreed upon in the above referenced meetings as follows: That motion "A" of aaenda item 28-1 be approved and motions "B" and "C" of aaenda item RS-l be tabled. Further, that motion "A" be adopted subject to the establishment of s Management Oversight Committee relating to all aspects of project management, the execution of an Owner Participation Agreement incorporating the subject changes and the recording of a deed of trust in fsvor of the Redevelopment Agency. Staff is further directed to bring back to the Commission for approval on September 8, 1992, the Owner Participation Aareement between the Redevelopment Agency and Ramona Senior HOUSing, Inc., incorporating all such changes as described herein. Penman, City Attorney FROM: Henry Empe~o Jr., Deputy City Attorney August 14, 1992 DATE: RE: Casa Ramona, Inc., Conditional Use Permit No. 90-76 and Parcel Map No. 13725 Al Boughey, Director of Planning and Building Services, has requested that we advise him as to whether the above-referenced CUP No. 90-76 has expired. After reviewing documents from the Planning Department's file, the Plan Check log and other documents, and the applicable City ordinances, I feel that sufficient ambiguity exists whereby a court would likely find that CUP No. 90-76 has not expired. On June 4, 1991, Casa Ramona, Inc. received Planning Commission approval of Parcel Map No. 13725 which subdivided 4.85 acres into two lots: a 3.03 acre site occupied by Casa Ramona, Inc., a non-profit community service organization, and a 1.82 acre lot for a proposed senior housing project. Conditional Use Permit No. 90-76, processed concurrently with the parcel map, was an application to construct a 44 unit senior citizen apartment complex on the 1.82 acre lot. Attached as Exhibit 1 to this memo is a copy of Page 16, Attachment F to the Planning Department Staff Report. On this document, Standard Requirements No. 1 states: "Conditional Use Permit No. 90-76 shall be in effect for a period of 12 months from the date of approval by the Planning Commission and/or Planning Department. However, if the final map has not been filed with the County Recorder's Office at the end of the 12 month time period, the approval shall expire. Additional time may be approved by the Planning Commission upon written request of the applicant if made 30 days prior to the 12 month time period. Penman, City Attorney Re: Casa Ramona, Inc., Conditional Use Permit No. 90-76 and Parcel Map No. 13725 August 14, 1992 Page 2 standard Requirements into a single document, the above-stated Standard Requirements No. 1 was written in error. This paragraph mistakenly tied the time period for the expiration of the CUP to the filing of the final map. If this CUP application had stood alone, the past practice of the Department was to require the applicant to "commence construction" of the project within the 12 month time period or else the CUP approval would expire. The Department has informed me that they have in the past conditioned previous projects which have combined a CUP and a Tentative or Parcel Map with a two year effective time period so that it would coincide with the term given the Tentative or Parcel Map. More importantly, this ambiguity is exacerbated by the fact that the City's ordinances at then Chapter 19.78, Conditional Use Permits, which applied to the approval of this CUP a that time, did not restrict the initial term of a CUP to any specific time period. Then Section 19.78.025(B) only limited CUP extensions of time to a one year term. The City's ordinances at that time did not require that CUP 90-76 comply with only an initial 12 month effective time period (unlike Development Code Section 19.36.070 which today requires that new CUP applications must commence construction within one year from the date of approval or the CUP shall become null and void). Most importantly, the Department's Plan Check Log Sheet and other documents (attached as Exhibit 2) show that the applicant has submitted plans for plan check for CUP No. 90-26 three times and that the Department has already given the applicant notice that the City Planning Department approved the Plans for the senior housing project as of June 30, 1992, over one year past the date the CUP was granted. The CC 'R's shall include liability insurance and methods of maintaining the open space, recreation areas, parking areas, private roads, and exterior of all buildings. The CC' R's shall also include a statement that no radio frequency antenna shall be included within the complex except for central antenna systems. ... b. No lot or dwelling unit in the development shall be sold unless a corporation, association, property owner's group, or similar entity has been formed with the right to assess all properties individually owned or jointly owned which have any rights or interest in the use of the common areas and common facilities in the development, such assessment power to be sufficient to meet the expenses of such entity, and with authority to control, and the duty to maintain, all of said mutually available features of the development. Such entity shall operate under recorded CC , R's which shall include compulsory membership of all owners of lots and/or dwelling units and flexibility of assessments to meet changing costs of maintenance, repairs, and services. Recorded CC' R's shall permit enforcement by the City of provisions required by the City as conditions to approval. The developer shall submit evidence of compliance with this requirement to, and receive approval of, the Commission prior to making any such sale. This condition shall not apply to land dedicated to the City for public purposes.
