Pursuant to the request of Councilman Jack Riley, staff met with the
Baseline and Vicinity Merchants (BVM) organization to discuss security
needs for the organization. The concerns and comments of BVM members
highlight the members' struggle to combat criminal activities in a high
profile area and the need for help. BVM is comprised of retail and
commercial enterprises generally located one block North and South of
Baseline from Waterman to "H" Streets within the Uptown Redevelopment
Project Area. Nineteen of its members have agreed to participate in a
joint funded security program. The organization has requested
financial assistance from the Economic Development Agency - Development
Department to underwrite the cost of security which will amount to ten
(10) dollars per day for twenty-four (24) hours coverage, and the
program will only be available to businesses electing to utilize night
coverage. The annualized total cost will be $190 per day for 365 days
for a total of $69,350 per year.
Because the request is similar to that of the Hospitality Lane
Merchants which was approved previously, it is appropriate that the
terms and conditions be similar. Consequently, the agreement would
require a matching contribution from BVM to equal the Agency's lIaximum
contribution of $34,675. The contributions of the Agency and BVM will
provide security services for a one year period of time.
On July 23, 1992, the Redevelopment Committee considered this matter
and recommended to the Community Development Commission approval of the
Agency contribution to the Baseline and Vicinity Merchants at a level
not to exceed $34,675.
Staff recommends adoption of the form 1I0tion.

The business owners/lIlB1'lagers of the Baseline Merchants & V1c1n1ty are ~ to
find ways to resolve the <:rim! issues we face, as we try to do business each day.
Our area has been designated a high crime area, is a very high profile area, with
IILIch negative publicity. Issues of prostitution, counterfeiting, robberies,
harrassment, PBnhandli.ng, and Vllerancy are an every day, many tines a dayoccurance
for us.

We have been meeting with the police since, DeCllllber" Major Holca!b attended our
meeting in J~, and we have had redevelop:Dent and ecormic develO{lllmt personnel
incl~ police, and also representatives fran the HoSPitality and the North side
merchants associati(l1. Recently an BIployees SI.lpervisoi- fran the "Sun" I18t with
the coordinators to see if we could assist them, with the ptcblems that they are
having.

Wedo not have a safe place for our cusl:alers, our BIployees nor our f8ll1l1es to do
business in. Many of our fellCM businesses have closed down and left the city, ~
less revenue for our city with which to operate.
With aU the above cooperation, we have not been able to make but a 8IIlall dent in
the problems on our street. We are determi11ed to not let the c:r1mina1 element, take
catplete control. SaDe of us have hired a ~ security patrol, to go fran
business to business. We are ~ for this. It is ea~ away at our business
profits, and believe 118, it wou!n't be loog and there will1ie no profit.
1h1s is why we would like to ask you, the city, the COUIlc1l., the: mayor to give us
sane assistance, and help pay for this service.
Our patrol and alert business persons, have been able to aid in the apprehension of
counterfeiters, roberry suspects, and assualts. If we clean up our area, the whole
city will benefit.

this additional expense, which we feel will have a positive effect.
The Security service we are using will charge $lO~OO for 24 hour. ~ IlIId

We carefully looked at the North side and hospitality Lane' s plans and talked to a
IUJi>er of security caqlanies. We feel ~ Security is our mst effective
criue deterrent and mst affordable.. Thej also work well with our police clepartnent.

6 THE CITY OF SAN BERNARDINO, a public agency corporate and politic
7 referred to herein as "Agency" and herein as THE BASELINE AND VICINITY
8 MERCHANTS or herein as "Association".

10 WHEREAS, Association desires security services in excess of those
II currently provided by the City of San Bernardino, and
12 WHEREAS, additional security will increase visitors to the City,
13 and enhance business thereby increasing sales tax and other City revenues,

ROW, THEREFORE, the parties hereto agree as follows:

17 currently provided by the City of San Bernardino. During the term of
18 this Agreement, Agency shall retain the right to terminate this Agreement
19 by notifying the Association with a thirty (30) day written notice of

3. Agency reimbursement shall not exceed $2,887.08 per month, and
a maximum of $34,645.00 over the term of this Agreement.
4. This Agreement shall expire and be of no further force and
effect after August 31, 1993. However invoices may still be submitted
and payments made for Security Services performed up to and including
August 31 1993. All such invoices must be submitted on or before
December 31, 1993.
5. Association, and each of its members individually, agrees to
defend, indemnify, save and hold Agency, and the City of San Bernardino,
their officers, agents and employees harmless from any claims or suits
that may be brought by Third persons on account of personal injury,
death, or damage to property, or a property or business or personal
interest, arising from any negligent act or omission by Association or
its contractor or agent including Security Services, while performing the
services contemplated by this Agreement. During the term of this
Agreement, Association shall maintain in effect and shall require any
Security Service to maintain in effect policies of comprehensive general
and automobile liability insurance, statutory Workers' Compensation
coverage and public liability and property damage insurance with a
combined single limit of at least $1,000,000.00, and shall file copies of
such policy(ies) with the Agency prior to any reimbursement under this
Agreement.
6. For all intents and purposes the parties are and shall be
considered as independent contractors and this Agreement does not create
the status of partnership, joint venture, employment or any other
relationship except that of independent contractors.

by personal service.

For all actions pursuant to this Agreement Association agrees
not to discriminate against any person due to race, color, creed,
religion, sex, national heritage, or physical handicap and agrees to
include such requirement in any agreement with a Security Service.
