Re: Employment Letter
Honorable Mayor and Members of the Common Council:
This proposal is submitted for your consideration concerning
legal services related to foreclosure proceedings and other matters
pertaining to delinquent payments of assessments concerning Assessment
District No. 5861 in the City of San Bernardino, California (the
"City"). As set forth hereinafter, the law firm of Sabo & Deitsch, A
Professional Corporation (the "Firm") proposes to provide legal services
to the City concerning the foregoing matter includina-, but not limited
to, the commencement of collection efforts and any and all necessary
litigation and foreclosure proceedings in order ,to cause the payment to
the City of delinquent assessments, or to enforce other security,
applicable to Assessment Dietrict No. 5861. In the event that it is
necessary to commence litigation for this purpose, the Firm proposes to
take any and all reasonable and necessary actions in order to cause the
completion of such litigation, and any appeals therefrom, for the
foregoing purposes. The Firm proposes to provide ongoing advice and to
render periOdic reports to the Mayor and Common Council, as requested,
concerning the foregoing matters.
The legal services provided hereunder will include, but not be
limited to, the preparation and dispatch of correspondence to delinquent
property owners, the preparation and filing of pleadings and other legal
documents related to any and all litigation which may be filed concerning
these matters, the completion of any and all discovery and motions
applicable to such litigation, and attendance at any and all court
appearances applicable thereto. The Firm proposes to consult with
members of the City Staff and with the City Attorney concerning all of
the foregoing matters on a regular basis.

For the foregoina legal services, the Firm proposes that the
City pay to the Firm an hourly fee for attorneys equal to $125 for
principal attorneys, $100 for associate attorneys, and $60 for law clerks
and paralegal assistants. In addition, the Firm proposes that the City
pay to the Firm out-of-pocket expenses for euch items as travel,
10na-distance telephone calls, messenger services, express delivery
services, te1ecopyina, photocopyina, word-processina charges, secretarial
and clerical staff overtime and other similar items, plus a twenty-five
percent (25%) administrative cost surcharge applicable to such
out-of-pocket expenses, all as are directly related to the legal services
rendered to the City by the Firm hereunder.
If the proposal and terms set forth herein are satisfactory to
the City, please indicate acceptance by the City thereof by means of the
execution of this correspondence below. It is understood and agreed that
the execution of this correspondence by the City shall be deemed to
constitute the approval of this proposal and the employment of the Firm
to render the services described herein pursuant to the terms hereof.
Thereafter, please return an executed copy of this correspondence to the
Firm for our records.
