STAFF REPORT
Proposed Action:
Authorize the purchase of 24 new police vehicles.
Background:
We are again facing the pressure of manufacturer's build-out dates
on new police vehicles. The City has not heard from the State as
yet asking for interest in vehicles for this year. The Purchasing
Agent investigated and learned Ford Motor Company won the State Bid
again this year over Chevrolet, General Motors Corp. The Ford base
price was $12,909.00 and Chevrolet was $13,309.00. The city then
has to add dollars to that price to receive vehicles equipped the
way the City wants them equipped plus a 2% service fee to the
State. Our price this year is $11,203.87 in the open market.
We have been able to beat the States prices the last four (4)
years. The State's bid has not turned out to be a very viable way
for this City to purchase the police vehicles.
On the last purchase the Purchasing Agent solicited and joined with
the County and a school district to be able to enjoy 100 vehicle
unit pricing. This year Ford Motor Company will connect us to 100
unit pricing again. .
Wilnex Ford, now called Quality Ford, has provided the police
vehicles the last three (3) years and have done an outstanding job.
This year in trying to keep costs controlled and still acquire the
equipment needed the Purchasing Agent exercised section 3.04.010 B-
2 of the Municipal Code " . . . purchasing from a vendor or
manufacturer establishing a price willing to sell to the City..."
(City of Pomona, resolution jJ (see letter) and the negotiation
purchases- section 3.04.070 1-4 of the Municipal Code).
It is requested Council approve 24 police vehicles equipped as
desired by the Police Department, covered by an extended service
plan and maintenance wear plan, and purchased through a lease
purchase transaction with Ford Motor Company at 6.35 percent
interest for three (3) years payment in arrears with Quality Ford.
See attached letters covering details.
The cost of a police vehicle is $11,203,87 each, base price.
Equipped per the Police Department's - requirement the cost is
$13,868.18. Tax at 7.75% is $1,074.78 for a sub total of
$14,942.96. After including an Extended Service Plan and a Wear and
Maintenance Plan for three years/100, 000 miles for $3295 brings the
total per vehicle to $18,237.96 each.
The cost for twenty-four (24) police vehicles is $437,711.04.

$437,711. 04. The cost of financing is $49,906.74 with a total

AMENDMENT
The certain Equipment lease-Purchase Agreement by and between Ford
O. it Company ("Lessor") and ("Lessee"), dated
_ ' 19_ (the "Lease") is. hereby amended as follows:
o
A. Lessee has not issued, and reasonably anticipates that it and
its subordinate entities will not issue, tax-exempt
obligations (including this Agreement) in the amount of more
than $10,000,000 during the current calendar year; hereby
designates this Agreement as a "qualified tax-exempt
obligation" within the meaning of Section 265(b)(3) of the
Internal Revenue Code of 1986, as amended, ("Code"); and.
agrees that it and its subordinate entities will not designate
more than $10,000,000 of their obligations as "qualified tax-
exempt obligations" during the current calendar year.
B. The parties assume and intend that this Agreement will qualify
as a "qualified tax-exempt obligation" within the meaning of
Section 265(b)(3)(B) of the Code. In the event that Lessor,
its assignees or sub-assignees either (i) receive notice from
the I nterna 1 Revenue Servi ce; or (i i) reasonably determi nes,
based on an opinion of independent tax counsel selected by
lessor and approved by lessee, which approval Lessee shall not
unreasonably withhold; that the otherwise applicable exception
set forth in Section 265(b)(3) of the Code is not available,
then Lessee shall pay lessor, its assignees or sub-assignees,
as the case may be, within thir-ty (30) days after receiving
notice from Lessor of such determination, the amount which,
with respect to rental payments previously paid, will restore
the after-tax yield on the transaction evidenced by this
Agreement to that which would have 'been had such exception
been available, and pay as additional rent on succeeding rent
payment due dates such amo~t as will maintain such after-tax
yield.
Except as amended hereby, the Lease shall otherwise remain
unchanged and in full force and effect.

RESOLUTION OF THE CITY OF SAN BERNARDINO AWARDING A FINANCING
CONTRACT TO FORD MOTOR CREDIT COMPANY FOR THE FINANCING OF TWENTY-
FOUR (24) POLICE VEHICLES, TO BE UTILIZED BY THE POLICE
DEPARTMENT.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF
SAN BERNARDINO A FOLLOWS:
SECTION 1.
That Ford Motor Credit Company
is the lowest
police vehicles, at 6.35% interest for the total amount of
$487,617.75; pursuant to this determination, the Purchasing Agent
is hereby authorized and directed to proceed with obtaining a
Lease Purchase Contract for said financing of twenty-four (24)
police vehicles to said lowest and best responsible bidder; the
Mayor is hereby authorized to execute a Lease Purchase Contract
for said purchase upon approval of said contract by the City
Attorney; said contract shall be attached hereto and incorporated
herein as Exhibit A.
SECTION
2.
The authorization to execute the above
18 referenced Financing contract is rescinded if the parties to the
19 agreement fail to execute it within ninety (90) days of the
20 passage of this resolution.
