public agency, ("Department"), and The Arroyo Group (TAG),
("Consultant") :

The purpose of this Agreement is to allow the Department to
procure the services of an experienced professional firm to
prepare a Specific Plan and Implementation Program for the
planning Area identified in Attachment 1.

The Department hereby retains Consultant in the capacity of
Consultant for provision of the services described in
Attachment 2. Consultant hereby accepts such responsibility as
described herein.

This Agreement shall commence as of the day and year first
above shown and shall remain in full force and effect for a
period of eighteen (18) months unless sooner terminated as
provided herein. The Executive Director of the Development
Department or designee is authorized to extend this Agreement
for up to to (2) months and approve line item adjustments to
the Agreement's program budget as long as either of such
amendments are upon the same terms and conditions specified
herein.

Upon the request of the Department's Executive Director or his
or her designee, Consultant shall complete the work program
described in Attachment 2. Consultant commits the principal
personnel listed below to the project for its duration:

It has been determined that the individual named in this
Agreement is necessary for the successful performance of this
Agreement. No diversion or replacement of this individual shall
be made by Consultant without written consent of the
Department, provided that the Department may ratify, in
writing, within ten (10) days of diversion or replacement and
such ratification shall constitute the consent of the
Department required by this clause. If the Department fails to
respond to Consultant within ten (10) days of notification by
Consultant, said personnel diversion or replacement shall be
deemed approved.

Department shall be responsible for those activities described
in Attachment 3.

No news release, including photographs, public announcements or
confirmation of same, of any part of the suspect matter of this
Agreement or any phase of any program hereunder shall be made
without prior written approval of the Executive Director or
designee.

Consultant shall keep confidential all reports, information and
data received, prepared or assembled pursuant to performance
hereunder and that the Department designates as confidential.
Such information shall not be made available to any person,
firm, corporation or entity without the prior written consent
of the Department.

Consultant shall be entitled to compensation of $283,000,
Attachment 4.1 - Budget Overview, for provision of services
identified in Attachment 2. Payment for Components 1 and 2
shall be made in accordance with Attachment 4.2 - Payment
Schedule. Payment for Components 3 and 4 shall be made on a
time and materials basis in accordance with attachment 4.3
22. Said compensation shall be considered full and complete
reimbursement for all of Consultant's costs associated with the
services provided hereunder. Additional services, authorized
in advance in writing by the Executive Director or designee,
shall be paid as described in Attachment 4.1 subject to the
restrictions of such authorizations.

Consultant shall be paid in accordance with the Department's
standard accounts payable system. Invoices shall be approved by
the Executive Director or designee prior to payment.
10. Ril'lh~ ~a A.udi~
The Department or any of its duly authorized representatives
shall have access to any books, documents, papers and records
of consultant and/or its subcontractors which are pertinent to
the specific program hereunder for the purpose of making an
audit, an examination, excerpts and transcription. All books,
records and supporting detail shall be retained for a period of
five (5) years after the expiration of the term of this
Agreement, or any extension thereof, or for any longer period
of time as required by law.

Consultant agrees that in the event the program established
hereunder is subjected to audit exceptions by appropriate audit
agencies, and where such audit exceptions were directly related
to consultant's negligence or lack of performance, consultant
shall be responsible for complying with such exceptions and
reimbursing the Department the full expense of any liability
resulting from such audit exceptions.

The Department shall provide consultant with all plans,
publications, reports, statistics, records or other data or
information pertinent to the services to be provided hereunder
which are reasonably available to the Department. Consultant
shall seek and use every means available to obtain, verify, and
utilize data or information on an independent basis.

Consultant shall perform the services as contained herein as an
independent contractor and shall not be considered an employee
of the Department or under the Department supervision or
control. This Agreement is by and between Consultant and
Department, and is not intended, and shall not be construed, to
create the relationship of agent, servant, employee,
partnership, joint venture, or association, between the
Department and Consultant.

Consultant represents, warrants and agrees that it does not
presently have, nor will it acquire during the term of this
Agreement, any interest direct or indirect, by contract,
employment or otherwise, or as a partner, joint venturer or
shareholder (other than as a shareholder holding a one percent

(1\) or less interest in publicly traded companies) or
affiliate with any business or business entity that has entered
into any contract, subcontract or arrangement with the
Department. Upon execution of this Agreement and during its
term, as appropriate, Consultant shall upon written request,
disclose in writing to the Department any other contractual or
employment arrangement from which it receives compensation.
Consultant agrees not to accept any employment during the term
of this Agreement by any other person, business or corporation
which employment will or may likely develop a conflict of
interest between the Department's interests and the interests
of third parties.

The services as contained herein are to be rendered by
Consultant whose name is as appears first above written and
said Consultant shall not assign nor transfer any interest in
this Agreement without the prior written consent of the
Department.

Consultant agrees to indemnify, defend (upon request by the
Department) and save harmless the Department, its agents,
officers and employees from and against any and all liability,
expense, including defense costs and legal fees, and claims for
damages of any nature whatsoever, including, but not limited
to, bodily injury, death, personal injury or property damage
arising from or connected with Consultant's operations, or its
services hereunder, including any workers' compensation suit,
liability or expense, arising from or connected with the
services performed by or on behalf of Consultant by any person
pursuant to this Agreement.

Without limiting Consultant's indemnification of the
Department, Consultant shall provide and maintain at its own
expense during the term of this Agreement the following
program(s) of insurance covering its operation hereunder. Such
insurance shall be provided by insurer(s) satisfactory to
Agency and evidence of such programs satisfactory to the
Department shall be delivered to the Executive Director or
designee within ten (10) days of the effective date of this
Agreement.

General Liabili~y~ A program including, but not limited
to, comprehensive general liability including automobile
coverage with a combined single limit of not less than
$500,000 per occurrence. Such insurance shall be primary to
and not contributing with any other insurance maintained by
the Department, and shall name the Department as an
additional insured.

limited to, workers' compensation insurance, where
necessary, with statutory limits. Failure on the part of
Consultant to procure or maintain required insurance shall
constitute a material breach of this Agreement upon which
the Department may immediately terminate this Agreement.

The parties agree to be bound by applicable federal, state and
local laws, regulations and directives as they pertain to the
performance of this Agreement.

In the fulfillment of the program established under this
Agreement, either as to employment, upgrading demotion,
transfer, recruitment or recruitment advertising, layoff
termination, rates of payor other terms of compensation,
selection for training, including apprenticeship or
participation in the program or the receiving of any benefits
under the program, Consultant agrees not to discriminate nor to
allow any subcontractor to discriminate on the basis of race,
color, creed, religion, natural origin, ancestry, sex, marital
status or physical handicap.

In the event that any provision herein contained is held to be
invalid, void or illegal by any court of competent
jurisdiction, the same shall be deemed severable from the
remainder of this Agreement and shall in no way affect, impair
or invalidate any other provision contained herein. If any such
provision shall be 'deemed invalid due to its scope or breadth,
such provision shall be deemed valid to the extent of the scope
or breadth permitted by law.

No provision of this Agreement is to be interpreted for or
against either party because that party or that party's legal
representative drafted such provision, but this Agreement is to
be construed as if it were drafted by both parties hereto.

This Agreement supersedes any and all other agreements, either
oral or in writing, between the parties hereto with respect to
the retention of Consultant by the Department and contains all
the covenants and agreements between the parties with respect
to such retention.

No breach of any provision hereof can be waived unless in
writing. Waiver of anyone breach of any provision shall not be
deemed to be a waiver of any other breach of the same or any
other provision hereof. .

The ongoing assessment and monitoring of this Agreement is the
responsibility of the Department's Executive Director or
designee. The Department retains the right to review work in
progress and suggest changes where appropriate and in the
Department's best interest provided Department and Consultant
are in agreement that such changes can be performed within the
budget available. The Department shall have the right to review
and approve data base, instruments and tools used in conducting
studies or making projections.

Revisions may be made to the project scope and specific
activities where it is deemed beneficial to the project by the
Department provided that Department and Consultant are in
agreement that such changes can be performed ~ithin the budget
available. Such revisions shall be made in writing at least
five (5) days in advance of implementation of revisions.

This Agreement may be terminated by either party by giving
written notice at least ten (10) days prior to the effective
termination date in the written notice.

FOR MT. VERNON CORRIDOR PLANNING AND
IMPLEMENTATION SERVICES
OVERVIEW
o
The purpose of the Scope of Services is to define a Plan and Implementation Program
for the Mi. Vemon corridor for the Planning Area defined in Attachment 1 attached
hereto.
The Planning and Implementation Program has four components whose functions may
be summarized as follows:
1. Specific Plan
The function of the SpecifIC Plan is to define appropriate Land Uses and
Development Standards for the Planning area.
2. Environmentallmpacl Report
The function of the Environmental Impact Report is to explain the potential
impacts of the Specific Plan in accordance with guidelines of the Califomia
Environmental Quality Act and City of San Bernardino procedures.
3. Developer Consultations
The functions of Developer Consultations is to both attract and respond to
developer interest in the Planning Area.
4. Community Involvement and Coordination Meetings
The function of the meetings is to adequately involve all appropriate segments
of the community and to coordinate with City Staff and consuRants so that the
plan reflects community values while meeting City technical requirements and
economic requirements of the marketplace.

OVERVIEW
The Scope of Services has four major components as illustrated in the OVERVIEW
figure on the following page.
Component 1 is a Specific Plan intended to create a vision of kind of special
place which the Mr. VemonCorridor can become. The SpecifIC Plan will become a
part of the City's Development Code defining land uses and development standards
which are specially tailored to the planning area.
Component 2 is an Environmental Impact Report designed to provide decision -
makers and the community with information about the potential impacts of the project,
mitigation measures, a1tematives considered and other items required by the
California Environmental Quality Act and the City's environmental guidelines.
Component 3 is Developer Consultations designed to both respond to and
attract developer interest in the Planning Area.
Component 4 is Community Involvement and Coordination Meetings. This
component includes conducting an extensive program of community participation in
developing the SpecifIC pian including inputs from the Citizens Advisory Committee,
Planning commission, City CounclVCommlssion and the publlc-at-Iarge. Coordination
Meetings with Department staff and other consultants to the Department are also
programmed.

COMPONENT 1: SPECIFIC PLAN
OVERVIEW
o
The purpose of Component 1 Scope of the Services Is to provide to the City of San
Bernardino Community Development Commission with a Mount Vernon Corridor
Specific Plan and Implementation Program for the corridor area between 4th
and 10th Streets as illustrated in Attachment I.
The Specific Plan Scope of Services has a series of major components covering the
various steps required to create the Specific Plan. These steps are illustrated in the
Work Program foldout following Page 17.
The Work Program is anticipated to take approximately twelve months, including
Public Hearings, and may be summarized as follows:
TASK 1. PROJECT MANAGEMENT
Task 1 includes refinement of the Project Schedule as represented in the Work
Program and ongoing Project Management.
TASK 2. ISSUES, CONSTRAINTS AND OPPORTUNITIES
Task 2 involves defining the Issues, Constraints and Opportunities to be dealt with in
o the Specific Plan. These items will also focus the data collection and analysis task.
TASK 3. DATA COLLECTION AND ANALYSIS
Task 3 includes the collection of information required as background to analyze
Issues, Constraints and Opportunities and to prepare detailed plan elements. Portions
of this information will also be incorporated into the Draft EIR.
TASK 4. GOALS AND OBJECTIVES
Task 4 involves the definition of Goals and Objectives to guide the creation of
Alternatives, Plan Selection and Plan Refinement. The Goals and Objectives are an
important foundation of the Specific Plan and community input will be sought in
defining them.

TASK 5. ALTERNQVES

Task 5 involves definition and recommendation of Alternatives which illustrate different
approaches to addressing the Issues and responding to the Goals and Objectives.
TASK 6. PLAN SELECTION AND REFINEMENT
Task 6 includes the Selection and Refinement of the Plan to be detailed in Task 7.
TASK 7. DRAFT SPECIFIC PLAN
Task 7 involves preparation of a Draft Specific Plan which meets the requirements of
California law and incorporates appropriate aspects of the preceding tasks.
TASK 8. FINAL SPECIFIC PLAN
Task 8 includes work necessary to prepare the final Specific Plan document as
adopted by the City Planning Commission and the City Council. The final document
will incorporate changes to the Draft Specific Plan resuiting from any final
modifICations made during the Public Hearings.

This task involves the ongoing management of the project and coordination with City

TAG will meet with City Staff to refine the Work Program as appropriate and to refine

TAG will review the progress of the work to ensure maintenance of the project
schedule and budget, compliance with contract provisions for work products, and
coordination with City Staff.

TASK 3. DATA COLLECTION AND ANALYSIS
o ObJective:
The object of this task is to create a database for planning and implementation and to
obtain an understanding of the quantitative and qualitative factors to be addressed in
creating the Specific Plan.
Data collection will be focused on acquiring information useful in defining Alternatives,
selecting a plan and preparing the Specific Plan and associated Environmental Impact
Report.

3.1 ECONOMIC AND FINANCIAL FACTORS
3.1.1 Market Evaluation
The Natelson Company (TNC), under separate contract with the Department, will
prepare a Market Evaluation defining potential. viable uses for Mount Vernon Corridor
SpecifIC Plan. TNC's work will provide analysis and recommendations including:
o identifICation of appropriate trade areas
o Determination of relevant economic measures for each trade area (population,
income, grow/h. taxable sales, etc.)
o Competitive review and evaluation
o Overall demand estimates for 20 years by S-year periods
o Preliminary capture estimates for planning purposes.
The TNC analysis will provide guidance to S&A and TAG, in the evaluation of site-
specific and area-wide use planning altematives.
Based on the Market Evaluation. TAG, in consultation with S&A, the Steering
Committee and City Staff will recommend appropriate uses within the Planning Area
which may include uses such as:
o arterial retail
o shopping center retail
o commercial office
o business park
o hoteVentertalnment

o

o
o multi-family residential
o other appropriate uses.
3.1.2 Key Sites - Land Use Evaluation
TAG will coordinate with 8&A and City Staff In formulating land use concepts and
determining appropriate development schedules. In this work, 8&A will draw upon
TNC's forgoing Market Evaluation. TAG anticipates that significant attention will be
directed to several key sites. In this regard, TAG will work with 8&A In identifying
appropriate development sites for more detailed consideration. 8uch development
sites can Involve new development, rehabilitation, or a combination of both. In this
site-specific evaluation, TAG and 8&A will coordinate development of computer
spreadsheet models, which permit identification of appropriate development factors
such as densities, parking requirements, floor heights, structured parking requirements
(if appropriate), etc.
3.1.3 Financial Estimates
TAG will coordinate with 8&A In the preparation a customized financial model which
will be used during the course of the assignment to prepare financial projections under
a variety of alternative scenarios. These projections will cover:
o Proposed land use for the total area and sub-areas thereof
o Resultant building development programs
o Developer financial returns to the extent identifiable for site-specific projects
o CitylRedevelopment Area financial returns.
8&A and/or an Implementation consultant, under a separate contract with the
Department, will conduct research Into appropriate funding sources. Property tax
increment and sales tax projections will provide one potential source of revenue. TAG
and 8&A will work with City staff in Identifying certain special funding grants. Also, It is
anticipated that funding for major Infrastructure construction could Involve Mella-Roos
community facility district bonding, 1913-15 assessment district financing and
developer front monies subject to subsequent tax pass-throughs.
3.2 BASE MAPS
3.2.1 Project Area Base Maps
Based on available City maps, TAG will prepare computer generated Planning Area
base maps which can be outputted at a variety of appropriate scales. These maps will
be used for mapping of data and as a base for plans.
3.2.2 Regional Base Map
TAG will prepare a simplified, regional base map to facilitate mapping of area-wide
factors which will be considered.

3.3 PHYSICAL FACTORS

3.3.1 Lend Use
TAG will make a video survey of all parcels in the Planning Area, making audio
observations of land use and other environmental factors related to access,
development standards, streetscapes, etc.
TAG will prepare an existing land use map with patterns that can be reproduced in
either report or presentation size.
Land Uses will be categorized based on discussions with City Staff regarding the most
appropriate classification system.
Computer spread sheets will be prepared which define land use and/or building areas
from assessor's data and/or calculations made by TAG. These Land Use
spreadsheets will be used in comparing a1tematlves to existing conditions and can
accommodate a variety of projections relevant to planning and analysis.
o
TAG will also prepare a computerized map and spreadsheets which will illustrate and
quantify the existing zoning and quantify the various areas In a spreadsheet.
TAG will also prepare a computer generated map and spreadsheet summarizing land
uses and development programs for all proposed projects known to City Staff.
3.3.2 Urban Deslgn/Streetscapes
TAG will document existing and potential Entry Points, Development Nodes, Districts,
Edges and other Urban Design factors as appropriate. Particular attention will be
given to potentials for significant upgrading of the images of key streetscapes, open
spaces and walkways.
3.3.3 Key Property Ownership
TAG will prepare maps of relevant, existing property ownerships based on assessor's
data as complied by City Staff. Property Ownership data will provide important
information regarding potential land assemblies, numbers of persons to communicate
with regarding plan notifications, etc.
3.3.4 Traffic. Existing Patterns and Deficiencies
TAG will evaluate existing traffic patterns and note any current deficiencies or
problems. This evaluation will be developed in conjuction with City Staff and/or traffIC
engineering consultant, under separate contract with the Department. Special
attention will be given to major intersections and to special site circumstances.

Potential problems, such as turning movements, stacking and signalization will be
identified based on data available from the field observations and projected traffic
o flows created by the land use alternatives noted below.
3.3.5 BuildIng CondItIons
TAG will document the structural and visual condition of relevant buildings as part of its
video survey.

3.3.6 Development Standards - CIty
TAG will evaluate the Development Standards contained in the City Development
Code. This evaluation will consider the extent to which currently existing or proposed
Development Standards are adequate to achieve the quality of development desired
by the City of San Bernardino.
3.3.7 Public Lands and Rlght-o'-Ways UtilizatIon
Because of the importance of public areas to the visual character of the area and the
open space potentials, special research will be done of the use, requirements and
restrictions related to public lands and right-of-ways.
3.2.8 Other
Other factors may be identified by the City or TAG which should be addressed through
additional research. If so these factors can be addressed.

TASK 4. GOALS AND OBJECTIVES
o ObJective:
The objective of this task is to define the goals and objectives for the Mount Vernon
Corridor Specific Plan.

4.1 Initial Goals and ObJective.
TAG will conduct workshops with the Project Area Committee, Steering Committee,
and others as appropriate, to develop Initial Goals and Objectives for the Specific
Plan. TAG views establishment of clear, goals and objectives as an Important
foundation of the planning process. Care will be taken to establish goals and
objectives which will be inspirational to planning, design and Implementation, yet are
realistic.

4.2 Refined Goals and Objectives
TAG will review the Initial Goals and Objectives Memorandum with the Project Area
Committee, Steering Committee, and others as appropriate. This review will consider
the reasonableness of the Initial Goals and Objectives In terms of both Task 3's Data
Collection and Analysis and the Alternatives being developed In Task 5. This will help
to refine Goals and Objectives which are both inspirational and realistic.
The Refined Goals and Objectives will be incorporated into the Draft Specific Plan.

TASK 5. ALTERNATIVES
o
ObJective:
The objective of this task is to define alternatives in three contexts:
(1) the extent 10 which various alternatives achieve defined goals and objectives
(2) the extent to which planned flexibility. Le. alternative uses for key subareas. is
appropriate and should be accommodated in the Specific Plan.
(3) the extent to which the alternatives make varying assumptions about capture
and absorption rates for uses identified in the Market Evaluation.

5.1 Land Use and Circulation
The Land Use and Circulation Alternatives will address land use and required
circulation enhancements.
Three Alternatives will be prepared with different assumptions about land use patterns,
development intensity, and levels of public expenditures.
Spreadsheets, developed in coordination with S&A, will quantify basic planning data
for each alternative on an easily comparable basis Including factors such as:
o land use areas
o potential building areas based on coverage factors or floor area ratios
o property value Increase and tax increment potential
o sales tax and other city revenues potential.
5.2 Urban Design/Open Space
TAG will prepare Urban Design Alternatives to complement the Land Use Altematives.
The Urban Design Alternatives will address:
o Streetscapes
o Open Spaces
o Pathways. pedestrian and bicycle
o Districts/Subareas
o Entry Points
o Other appropriate factors.

TASK 6. PLAN SELECTION AND REFINEMENT
o Objective
This tasks involves the final evaluation of alternatives for their performance in relation
to the goals and objectives, and selection of one or combination of these alternatives
for detailing in the Specific Plan

6.1 Plan Selection and Refinement
TAG will conduct meetings with the Project Area Committee, Steering Committee and
others, as appropriate, related to the selection of an alternative or combination of
alternatives, for further refinement and development in the recommended Specific
Plan.
6.2 Plan illustration

TAG will prepare an Illustrative Site Plan and Perspectives illustrating the
environmental qualities of the recommended Specific Plan.
Perspectives drawn in relationship to existing views will define approaches to
Streetscape Appearance and a Corridor Design Theme or Themes. The perspectives
will Illustrate approaches to:
o landscape and hardscape
o public and private signage
o lighting
o building setbacks, project entries,
o building appearance including setbacks, architectural potentials etc.

TASK 1. RESPONSE TO INQUIRIES/PROPOSALS
TAG will assist the Department in responding to developer inquiries/proposals which
may occur prior to completion of of the Specific Plan. S&A will prepare Memoranda
evaluating proposals in terms of their compatibility with the Market Evaluation
prepared by TNC and preliminary Specific Plan concepts developed as the process
moves ahead.

A balance will be maintained between responding to and encouraging the developers
early in the process while not foreclosing possibilities for projects which will be defined
as the Specific Plan process moves ahead.
TASK 2. ONGOING COORDINATION WITH OWNER PARTICIPANTS
TAG will also assist the Department in responding to requests from any prospective
Owner Participants.
TASK 3. MARKETING PLAN
TAG, In cooperation with City Staff and S&A and other consultants if available under a
separate contract with the Department, will prepare a Memorandum describing
appropriate means to market the Specific Plan opportunities to Owner Participants
and/or developers.
TASK 4. DEVELOPER RECRUITMENT
A prime objective of the planning process is to involve the private sector in
implementation as soon as possible. TAG and S&A will assist City Staff In the process
of soliciting developer interest. To facilitate this, TAG will prepare Marketing Materials
during and/or subsequent to preparation of the Specific Plan to define development
o potentials for developers.

In the Work Program figure, a series of Meeting Points are defined. Each of the
Meeting Points allows the possibility for a series of meetings on the same day for
efficiency and interaction potentials. TAG will meet with City Staff at all Meeting Points.
In addition, any Meeting Point can be structured to provide for discussion with the City
Planning Commission and the City Council. Property Owners and the Publlc-at-Iarge
may also attend any Meeting Point. A number of Meeting Points will include inputs
from the Project Area Committee and the Steering Committee. Meetings will also be
held with a Technical Advisory Committee composed of City Staff. The final Meeting
Points will be Planning Commission and City Council Public Hearings.
The Workshop term is used to indicate the potential for more active meetings which
can include brainstorming, field trips, sketching, etc.

DATA AND SERVICES TO BE FURNISHED BY CITY/DEPARTMENT STAFF

The CitylDepartment Staff shall make available to TAG all existing maps, photos and
reports related to the Scope of Services defined in Attachment 2. This includes data
which is now available or may become available during this program.
Services
The CitylDepartment Staff shall:
1. Furnish up-to-date reproducible aerial photographs of the project
area at 1".100' as a composite aerial map.
2. Furnish assessor's parcel maps for the Planning Area, and adjacent parcels as
appropriate. showing property lines and existing or proposed street rights-of-way.
3. Distribute materials required for the Meeting PolntsIWorl<shops and other
required reviews.

4. Assemble assessor's property ownership data for the Project Area and
appropriate adjacent areas.
5. Coordinate Meeting POintslWorl<shops and Hearings including:
a. Distribution of notices, draft stucfl8s, etc.
b. Phone call reminders as required.
c. Publication of any required notices.
6. Arrange for appropriate meeting rooms and provide needed logistical items such
as name tags, meeting location signs, etc.
7. Arrange for adequate display space in meeting places used for Meeting
PointsIWorkshops.

8. Maintain minutes or other appropriate records of meetings as required by
the CitylDepartment.
9. Technically review the various study product developed by TAG.
10. Make available existing Studies and Reports including, but not limited to, the
General Plan, Zoning Ordinance, Environmental Impact Reports. Market Studies,
Utility Studies, Design Guidelines and other relevant studies or reports.
11. Provide TAG with the City/Department's Environmental Requirements and
Environmental Review Checklist. Handle all required mailings and deliveries
associated with distribution of the Draft Specific PlanlElR.
