The City of San Bernardino has the only SCP Program in this region; consequently, other governmental agencies seek assistance through our program tg provide com- panions for their areas. The East Valley Regional Council on Aging is one such organization which has requested services of companions for which they totally reimburse the City. There is no additional cost to the City for recruiting and assigning the companion to serve the Senior Home and Health Care clients. Recommend adoption of the Resolution. JUSTIFICATION FOR PLACEMENT.ON THE SUPPLEMENTAL AGENDA This document establishes an agreement for providing services which began on July I, 1988. The documents required review by City Attorney, Council and Risk Management Offices in both City and County. This processing has delayed completion until now. Therefore, in order to have the document ready for the new fiscal year it is requested that the Resolution and Agreement be placed on the Supplemental Agenda for July 3, 1989. The Older Americans Act of 1965, as Amended, provides for assistance to state and local agencies to develop social supportive services to meet the needs of older persons. The California Department of Aging has allotted funds to the Office on Aging for the purpose of administering a certain portion of said funds pursuant to said act 1 and for the purpose of planning service programs and activities for older persons. WHEREAS, the RCA desires to use Office on Aging monies to fund, and the Contractor desires to operate and execute a Regional Program, this contract is executed to reduce to writing, the specific terms and conditions covering the funding, execution and operation of the program provided by this contract. THEREFORE, in consideration of the covenants contained herein, the RCA and service provider, mutual promises and the Contractor agree as follows: 1. DEFINITIONS: CDA PM means "Title III Program Manual for Area Agencies on Aging." This manual is based on Federal regulations for Title III published March 31, 1980 (CFR, Chapter 8, Subchapter C, Par. 1321). Pertinent parts of 45 CFR, Sub-title A, Part 74, published June 3, 1980, have also been used. 2. WORK TO BE PERFORMED: The Contractor shall, in a ~,. 0 1 2 ) 4 S 6 7 8 9 10 11 12 13 14 lS 16 17 18 19 20 21 22 23 24 2S 26 27 28 29 30 31 32 33 34 3S 36 o o o satisfactory manner as determined by the OoA, conduc:t, administer and provide Regional services for the elderly as defined in the attached WORK PROGRAM (Exhibit A) and PROGRAM BUDGET (Exhibit B). The aforementioned and all other exhibits are, by this reference, made a part of this contract as if fully set forth herein. 3. PERFORMANCE STANDARDS AND REMEDIES:. If for any reason the Contractor's service falls below 5% or exceeds 25% of the contracted level during any calendar quarter, the Contractor will submit to the RCA within 30 calendar days an analysis of the problem and the actions being taken to correct the problem. If the problem persists, the RCA, and the Contractor will jointly prepare a written corrective plan with time lines for completion. If the Contractor fails to carry out the corrective action in the required time frame, sanctions will be invoked as descr~bed in the OoA Sanction Policy. Continued lack of corrective action will be cause for termination of contract. If, after all appropriate actions have been taken, the service level still falls below 5% or exceeds 25% of the contracted level, the RCA may renegotiate the contracted level of service and the budget, as appropriate. 4. TERM: The term of this agreement will begin on 1ST day of JULY ,19~, and terminate on the 30TH day of JUNE ,19~, subject, however, to early termination as herein provided. 5. COMPENSATION/SCHEDULE OF PAYMENTS: The maximum amount of funds awarded under this contract shall be $ 3,000.00 ,and shall be subject to receipt of funds from the California Department of Aging. Contractor shall provide assurance that all funds received by the Contractor from the OoA shall be accounted for separately in the Contractor's accounting system and segregated from all other funds under the Contractor I s control. Any funds received by the Contractor from im:l.'m'x.,'" o o o 0\ I I 1 DoA which have not been obligated prior to the termination 2 of this agreement shall be returned to DoA immediately 3 thereafter. 4 The initial advance payment to the Contractor shall 5 be $ 750.00 after which payments shall be ba'sed upon 6 the units of service delivered during the previous quarter 7 and cash balance on hand and shall not exceed 8 $ 750.00 per quarter unless approved in writing 9 by the RCA and the OoA Director. Contractor must be 10 bonded in order to receive an advance. 11 The initial payment to the Contractor shall be made 12 within one quarter of the commencement of service and 13 thereafter payment for each quarter's services will 14 be made no later than the 30th day of the following 15 month subject to the availability of funds at the OoA. 16 6. MATCHING SHARE: The Contractor wi 11 contribute a cash 17 match of $ ~ and/or an inkind match of 18 $ 333.00 for a total match of ten (10) percent 19 of all expended DoA and matching funds. Allowable match 20 shall be in accordance with CDA Program Manual, Part 21 I, Section 200, Non-Federal resources. 22 7. FISCAL RESPONSIBILITY: The Contractor agrees to strictly 23 adhere to the approved budget, listed in Exhibit B. 24 Contractor will ensure that all expenditures are supported 25 by properly executed payroll, time records, invoices, 26 contracts, vouchers, orders, and any other accounting 27 documents pertaining in whole or in part to this contract. 28 Such documents shall be clearly identified and readily 29 accessible to OoA staff, as may be required. 30 8. AUDIT: Within 90 days after the termination of this 31 contract, Contractor shall perform an audit and submit 32 information as required in the OoA Final Program Report. 33 Requirements of the Final Program Report will be in 34 accordance with instructions found in the OoA Contractor's 3S Manual. INSURANCE: The Contractor agrees to indemnify, defend and hold harmless the Department, the County and their authorized agents, officers, volunteers and employees against any and all claims arising from Contractor's negligent acts or omissions and for any costs or expenses incurred by the Department, County or Contractor on account of any claim therefore. In order to accomplish the indemnification herein provided for, the Contractor shall secure and maintain throughout the term of the contract the following types of insurance with limits as shown: a) Workers' Compensation A program of workers' compensation Insurance or a State-approved Self Insurance Program in an amount and form to meet all 4pp1icab1e requirements of the Labor Code of the .State of California, including Employer's Liability with $250,000 limits, covering all persons providing services on behalf of the Contractor and all risks to such persons under this Agreement. The Contractor shall require the carriers of this coverage to waive all rights of subrogation against the RCA, the Department and the County, their officers, volunteers, employees, contractors and subcontractors. b) Comprehensive General and Automobile Liability Insurance This coverage to include contractual coverage and automobile liability coverage for owned, hired, and non-owned vehicles. The policy shall have combined single limits for bodily injury and property damage of not less than one million dollars ($1,000.000). c) Contractor shall furnish certificates of insurance certified copies of all policies and endorsements to the Department evidencing the insurance coverage o 1 , 2 I: ) 4 5 6 7 8 9 10 11 12 13 I I 14 I: ,. 15 " I 16 . 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 33 34 35 36 10. o o 0\ above required prior to the commencement of performance of services hereunder, which certificates shall provide that such insurance shall not be terminated or expire without thirty (30) days written notice to the Department, and shall maintain such insurance from the time Contractor commences performance of services hereunder until the completion of such services. d) All policies, with respect to the insurance coverage above required, except for the Workers I Compensation insurance coverage and professional liability coverage, if applicable, shall obtain additional endorsements naming the Department and the County, their employees, agents, volunteers and officers as additional named insured with respect to' liabilities arising out of the performance of services hereunder. All policies required above are to be primary and non-contributing with any insurance or self-insurance programs carried or administered by the County. e) Blanket Fidelity Bond Prior to entering upon performance of this contract, the Contractor may submi t to the County proof of a blanket fidelity bond in an amount equal to one month of the contract payroll of the contract period, covering all officials, employees an agents handling or having access to funds recei ved or disbursed by the Contractor under this contract, or who are authorized to sign, or countersign checks. Said bond shall constitute primary protection for the RCA, the County, and the Office on Aging, and their officers, agents, and employees. The bond policy shall provide at least thirty (30) days prior written notice to the County of cancellation or material change. Said bond is required in order to receive an advance. REPORTS: Contractor, at such times and in su'ch forms as the RCA and OoA may require, shall furnish RCA and OoA statements, records, reports, data and information as RCA and OoA may request pertaining to Contractor performance of services hereunder and other matters covered by this agreement. 12. INSPECTIONS: Contractor shall make available to RCA, OoA, State or Federal officials, its records and data with respect to all matters covered by this agreement for inspection and audit. Said inspection and audit may be made at any time during normal business hours after reasonable notice (CDA PM, Part G, Section 93.21 N 8). 13. MONITORING AND ASSESSMENT: Contractor shall permit RCA, OoA, State or Federal officials to monitor, assess or evaluate Contractor's performance under this agreement. Said monitoring, assessment or evaluation shall include, but not be limited to, project site visits and interviews with Contractor's employees and agents providing the service under this agreement and recipients thereof. Contractor will ensure cooperation and shall attend all meetings mandated by the RCA and OoA. 14. PROPERTY MANAGEMENT SYSTEM: All equipment, materials, supplies or property of any kind purchased with OoA funds provided herein shall be in accordance with CDA PM, Part G, Section 93.19, and if no fully expended or consumed prior to termination of this contract shall be the property of the RCA, unless otherwise directed by the OoA Director. The Contractor shall be held liable for all losses of or damage to non-expendable equipment or material resulting from negligence or improper implementation of safeguards. The disposal, loss and/or o 1 2 3 4 5 6 1 8 9 10 11 12 13 14 15 16 11 18 19 20 21 22 23 24 25 26 21 28 29 30 31 32 33 34 35 36 o o o destruction of property or equipment shall be fully documented by the Contractor with copies thereof provided to the 0011 wi th the monthly report for the month in which occurred. Loss by vandalism or theft must be immediately reported to the police. The OoA. Director shall be notified of the loss wi thin seventy-two (72) hours of discovery of the loss. Equipment that is worn beyond economical repair may be turned in to the OoA for accountability purposes. Replacement of the item shall require OoA authorization. Any equipment purchased will be subject to review over the life of the equipment, and if not used, under-used or misused, may be claimed by the OoA for redistribution to other OoA projects. 15. AMENDMENTS TO THE CONTRACT: This Agreement constitutes the entire agreement between the Contractor and the OoA with respect to the subject matter of this agreement. There are no other or further written or oral understandings or agreements wi th respect to this agreement. No variation or modification of this agreement and no waivers of its provisions shall be valid unless in writing and signed by the parties. 16. CONDITIONS FOR TERMINATION: a) The RCA and the County may terminate this agreement and be relieved of the payment of any consideration to Contractor should Contractor fail to perform the covenants herein contained at the time and in the manner herein provided. In the event of such termination, the RCA and the County may proceed with the work in any manner deemed proper by the County. The cost to the RCA and the County shall be deducted from any sum due the Contractor under this agreement, and the balance, if any, shall be paid the Contractor upon demand. b) Without the prior written consent of the County, this agreement is not assignable by Contractor either in whole or in part. ,,,," o 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 I 16 17 18 19 20 21 17. 22 23 24 25 18. 26 27 28 29 30 19. 31 32 33 34 35 36 20. ..,. o o 0\ I \ c) The consideration to be paid to Contractor, as provided herein, shall be in full payment for all Contractor's services and expenses incurred in the performance hereof. d) If the grant or other funding under which this contract is made is terminated, the RCA and the OoA shall have cause to immediately terminate this contract. Notice of the termination shall be in writing to the Contractor. e) Reclamation and Closure: In the event of termination, all funds, property, finished or unfinished documents, data, supplies, and reports obtained or prepared by the Contractor under this contract shall, at the option of the OoA become OoA property. f) The Contractor shall be entitled compensation for satisfactory performance or allowable expenses neces.arily incurred under this contract. g) RCA,OoA and County may terminate this contract upon sixty (60) days written notice to the other party. TRAINING AND MANPOWER DEVELOPMENT: The Contractor agrees to participate in appropriate staff training and development provided by the RCA, OoA, the California Department of Aging and the Administration on Aging. CONFIDENTIALITY: The Contractor will take steps to ensure that no information about, or obtained from an individual, and in the possession of the Contractor, will be discussed in a form identifiable with the individual, without the individual's informed consent. PUBLICATIONS: Any books, reports, pamphlets, papers, or articles based on acti vi ties funded by this contract must be approved by OoA prior to publication and must contain an acknowledgment of funding by the San Bernardino County Office on Aging, and the Regional Council on Aging. COPYRIGHTS: If the contract results in a book or other -- o o o o 1 copyrightable materials, the author is free to copyright 2 the work, but the RCA and the OoA reserve a royalty-free, ) non-exclusi ve and irrevocable license to reproduce, 4 publish, or otherwise use, and to authorize others to 5 use, all copyrighted material and all material which 6 can be copyrighted resulting from the contract (CDA 7 PM, Part G, Section 93.19). 8 21. CONTRACTOR INDEPENDENCE: The Contractor and the agents 9 and employees of the Contractor in the performance of 10 this agreement shall act in an independent capacity 11 and not as officers, or employees or agents of the State 12 of California, County of San Bernardino, the OoA or 13 the RCA. 14 22. UNAUTHORIZED ACTIVITIES: All activities not expressly 15 authorized by this agreement in Exhibit A shall be 16 prohibited without the express written permission of 17 the RCA a~d the OoA Director or his authorized agent. 18 23. BINDING CONTRACT: In the event any portion of the 19 contract is found to be invalid, the remaining portions 20 shall continue to constitute a valid and binding contract. 21 24. PLANNING EFFORT: The Contractor agrees to cooperate 22 with the RCA and the OoA in their efforts toward 23 developing a comprehensive and coordinated system of 24 services for the elderly by participating in joint 25 planning efforts and other activities mutually agreed 26 upon to meet this goal (CDA PM, Part H, Section 107.5). 27 25. CONTRIBUTION FOR SOCIAL SERVICES: The Contractor will 28 provide older persons rece1 v1ng such services the 29 opportunity to contribute to all or part of the social 30 services provided. Each indi vidual recipient will 31 determine what he is able to contribute toward the cost 32 of the social service. No older person will be denied 33 a social service because of his failure to contribute. 34 No fee shall be required of the recipient. (California Department of Aging, Program Manual, Part H., Section III.l) . 26. GREATEST ECONOMIC OR SOCIAL NEED: The Contractor understands that one of its responsibilities under this contract is to insure that "preference will be given to providing services to older individuals with the greatest economic or social needs (Older Americans Act of 1965 as Amended, Amendments of 1984, Public Law 98-459, 306 (5) (a) ).n "The term 'greatest economic need' means the need resulting from an income level at or below the poverty threshold established by the Bureau of the Census, and the term' greatest social need' means the need caused by non-economic factors which include physical and mental disabilities, language barriers, and cultural or social isolation including that caused by racia~ or ethnic status which restricts an individual's ability to perform normal daily tasks or which threatens his or her capacity to live independently. (Older Americans Act of 1965 as AJIlended, Amendments of 1984, Public Law 98-459, 306 (6). Minimum program goals relating to minorities is determined for the census tracts served by this contract by computing the percentage of minority individuals sixty years of age and older within the total population sixty years of aqe and older. 27. RELIGIOUS ACTIVITY PROHIBITED: There shall be no religious worship, instruction, or proselytization as part of, or in connection with, the performance of this contract. Contractor agrees to fully comply with the laws and programs (including regulations issued pursuant thereto) which are listed following this paragraph. Such compliance is required to the extent that such laws, programs and their regulation are, by their own terms, applicable to this contract. Contractor warrants that he will make himself thoroughly familiar with the applicable provisions of said laws, programs ~- . - ----~ o o o 0\ 1 and regulations prior to commencing performance of the 2 contract. Copies of said laws, programs, and regulations 3 are available upon request from the San Bernardino County 4 Contract Compliance Officer, 686 East Mill Street, San 5 Bernardino, California 92415-0640. To the extent applicable 6 the provisions of said laws, programs and regulations are 7 deemed to be a part of this contract as if fully set forth 8 herein. 9 1. L. 93-112, amended. 17 4. Californra Fair Employment Practice Act, Labor Code 18 Section 1.410 et. seq. 19 5. Civil Rights Act of 1964, as amended (42 USCA 2000a 20 to 2000h-6) and Executive Order No. 11246, September 21 24, 1965, as amended by Executive Order 11375 and as 22 supplemented in Department of Labor regulations (41 23 CFR, Part 60). 24 6. provisions against lobbying are as follows: The following 25 statutory provision (part of Sec. 407 of Pub. L. 95-480, 26 92 Stat. 1589) has applied to all Health and Human 27 Services (HHS) appropriations beginning with those for 28 Fiscal Year 1979 and is likely to continue to apply 29 to any future appropriations. 30 "No part of any appropriation contained in this Act 31 shall be used to pay the salary or expenses of any grant 32 or contract or contract recipient or agent acting for 33 such recipient to engage in any activity designed to 34 influence legislation or appropriation pending before 35 the Congress." 36 This means that the costs of attempting to influence _'''"'c,' o o o ",~~ o 1 legislation pending before Congress may not be charged 2 either as direct or indirect costs to any HHS grant 3 awarded from funds subject to the provision. Attempting 4 to influence legislation is commonly called lobbying. 5 This notice concerns only the charging of certain costs 6 to Older Americans Act grants including the matching 7 share. Nothing in this notice is intended in any way 8 to inhibitor discourage any party from exercising its 9 lawful rights to attempt to influence legislation pending 10 before Congress as long as the costs are not charged 11 to the grant. 12 This agreement constitutes the entire agreement between 13 I the Contractor and the OoA with respect to the subject HI! matter of this agreement. Program Description: A. In order to assist frail older individuals who have physical or mental disabilities to perform normal daily tasks and live independently, the City of San Bernardino Senior Companion Program will expend funds to provide In-Home services, and service coordination with other community agencies to provide counseling training for caregivers and support services in care management. B. Special attention will be given to provision of services which will prevent premature institutionalization. II. Program Objectives: A. Program: In-Home Services for Frail Older Individuals (19 ) 1. A total of 4 individuals are to be served, of which at least one (7%)* shall be a minority. 2. Service: Visiting (31) a. Units of service required: 120 hours III. Definitions: A. In-Home Services for Frail Older Individuals 1. In accordance with established eligibility criteria, and Section 74709 and 74745, California Administrative Code Article 5, to assist frail older individuals who have physical or mental disabilities that restrict the ability of an individual to perform normal daily tasks or which threatens the capacity of an individual to live independently, including those with Alzheimer's Disease or a related disorder wi th neurological or organic brain dysfunctions. There are three in the reporting are: units of time that are included of an hour units of service. These a. Preparation Time: The time necessary to prepare for the delivery of a service. Examples include time spent developing materials for a nutrition education class, time spent researching a leqal case to advocate for a senior and time spent setting up for a health screening service. b. Service Time: The time expended on the actual provision of a service. c. Travel Time: The Time spent traveling to the location where a service is delivered. 2. When reporting a unit of service measured in hours do not multiply the hours of direct service by the number of employees/volunteers. The counting of hours to be reported for a given activity should be for the time involved in the specific preparation of a structured, organized, scheduled activity and" the number of hours that the activity took place. *The Minority requirement is determined for the census tracts served by this Contract by computing the percentage of minority individuals sixty (60) years of age and older within the total population sixty (60) years of age and older. - F~'" . If any personal property is so provided, this assurance shall obligate the Recipient of Award for the period during which the federal financial assistance is extended to it by the Area Agency on Aging. 'l'BIS ASSURANCE is given in consideration of and for the purpose of obtaining all federal grants, loans, contracts, property, discounts or other federal financial assistance extended after the date hereof to the Recipient of Award by the Area Agency on Aging, including installment payments after such data on account of applications for federal financial assistance which were approved before such date. The Recipient of Award recognizes and agrees that such federal financial assistance will be extended in reliance on the representations and agreements made in this assurance. This assurance is binding on the Recipient of Award, its successors, transferrees and assignees, and the person or persons whose signature appear below are authorized to sign this assurance on behalf of the Recipient of Award.
