Background Early in 2003, the Police Department created a simple internal "Intranet" website to allow personnel to access department software applications that are web-based. Web-based applications save the Police Department money by reducing the number of"per-seat" software licenses that must be purchased for automation tools. In 2006, the City of San Bernardino purchased website management software and services from Pixelpushers, Incorporated, of Newport Beach, California for a public City website. The City website includes a large public Police Department website (www.SBPDonline.org). The services and software package from Pixelpushers, Inc. enables the entire Police Department website to be managed by one IT Department staff member. The Police Department's internal "Intranet" website has never been updated. Technical staff does not have the time to devote to improvements that would assist Police Department personnel be more efficient. Pixelpushers, Incorporated's Content Resource Management (CRM) software proposed as a sole source purchase will, because of its compatibility with our existing technology, provide the Police Department with several useful "Intranet" reference tools and other day-to-day informational items that officers, detectives, and support staff have to often search for. The upgraded Police Department "Intranet" site will improve access to existing web-based Police Department software applications, regional and State of California web-based law enforcement software applications, departmental resources (Standard Operating Procedures and the Field Training Manual) and will provide access to new features such as departmental information pages (briefing announcements and beat/district announcements). The Police Department will also purchase a smaller "Intranet" website package to allow officers selected access to information and web-based applications on Mobile Data Computer (MDC) devices already installed in black-and-white patrol sedans. This project will also provide the software and services resources for the City to publish a City "Intranet" site that will allow City departments to share information and data internally via this easy to manage web-based communications platform. The City "Intranet" qualifies as a grant based purchase because police personnel will have direct access to it. The COPS Office grant management team has approved the citywide "Intranet" purchase because information sharing and collaboration between City departments is a key component of a successful Community Orientated Policing and Problem Orientated Policing model. The Police Department's goal of efficiently deploying personnel and responding to crime trends and patterns requires police officers and support personnel have direct access to a variety of law enforcement specific web-based software applications and a large variety of informational items. This software suite fits directly into Chief Michael A. Billdt's Problem Oriented Policing model for district crime reduction and is essential to provide faster access to data. To reduce costs and streamline installation, the Police Department is using an existing computer server to host the Police Department's portion of the new Pixelpushers "Intranet" platform. Hosting of the citywide portion of the platform will be done on an existing server at the City Hall Information Technology Department. Financial Impact $29,040.00 from the 2005 COPS Technology Grant ($29,040.00 from Account #123-788-5502) will be utilized for this purchase. There is no match requirement or impact to the General Fund. That the City Manager is authorized to execute on behalf of the City an 8 agreement between the City of San Bernardino and Pixelpushers, Inc., a copy of which is attached 9 hereto, marked Exhibit "A" and incorporated herein by reference as fully as though set forth at 10 length. 11 SECTION 2. The authorization to execute this agreement is rescinded if this agreement 12 is not fully executed within 60 days of the passage of this Resolution. 13 SECTION 3. That the Purchasing Manager is directed to issue a Purchase Order to 14 Pixelpushers, Inc. In an amount not to exceed $29,040.00. The Purchase Order shall reference 15 this Resolution No. and shall read City and Police Department Intranet services, total not 16 to exceed $29,040.00 17 SECTION 4. SCOPE OF SERVICES. 10 For the remuneration stipulated, San Bernardino hereby engages the services of VENDOR 11 to provide those products and services as set forth in Exhibit"A" ,attached hereto and incorporated 12 herein by this reference. 13 2. COMPENSATION AND EXPENSES. 14 a. For the services delineated above, the CITY, upon presentation of an invoice, shall 15 pay the VENDOR the amount not to exceed $29,040.00. 16 b. TERM; SEVERABILITY. 18 The services set forth in Exhibit"A" shall be completed,to the satisfaction of the CITY,no 19 later than June 15, 2008. 20 This Agreement may be terminated at any time by thirty(30) days written notice by either 21 party. 22 4. INDEMNITY. 23 CITY agrees to indemnify and hold harmless VENDOR, its officers, agents and volunteers 24 from any and all claims, actions,or losses,damages and/or liability resulting from CITY's negligent 25 acts or omissions arising from the CITY's performance of its obligations under the Agreement. 26 VENDOR agrees to indemnify and hold harmless the CITY, its officers, agents, and 27 volunteers from any and all claims, actions, or losses, damages and/or liability resulting from 28 VENDOR's negligent acts or omissions arising from the VENDOR's performance of its obligations F:1SIMM0NS\Vendor Service AgmtsTixelpushers Inc.3.12.08.nc.wpd 1 Exhibit "A" 1 under the Agreement. 2 In the event the CITY and/or the VENDOR is found to be comparatively at fault for any 3 claim, action, loss, or damage which results from their respective obligations under the Agreement, 4 the CITY and/or VENDOR shall indemnify the other to the extent of its comparative fault. 5 5. INSURANCE. 6 While not restricting or limiting the forgoing, during the term of this Agreement,VENDOR 7 shall maintain in effect policies of comprehensive public,general and automobile liability insurance, 8 in the amount of$1,000,000.00 combined single limit,and statutory worker's compensation coverage 9 in accordance with the laws of the State of California. VENDOR shall maintain professional 10 malpractice insurance for professional negligence,including errors,omissions,or other professional 11 acts in the amount of$100,000.00. VENDOR shall file Certificate(s) of Insurance with the CITY's 12 Risk Manager prior to undertaking any work under this Agreement. CITY shall be set forth as an 13 additional named insured in each Certificate of Insurance provided hereunder. The Certificate(s) 14 of Insurance furnished to the CITY shall require the insurer to notify CITY of any change or 15 termination in the policy. 16 6. NON-DISCRIMINATION. 17 In the performance of this Agreement and in the hiring and recruitment of employees, 18 VENDOR shall not engage in, nor permit its officers, employees or agents to engage in, 19 discrimination in the employment of persons because of their race, religion, color, national origin, 20 ancestry,age,mental or physical disability,medical condition,martial status,sexual gender or sexual 21 orientation, or any other status protected by law, except as permitted pursuant to Section 12940 of 22 the California Government Code. 23 24 7. INDEPENDENT CONTRACTOR. 25 VENDOR shall perform work tasks provided by this Agreement, but for all intents and 26 purposes VENDOR shall be an independent contractor and not an agent or employee of the CITY. 27 VENDOR shall secure, at its expense, and be responsible for any and all payment of Income Tax, 28 Social Security,State Disability Insurance Compensation,Unemployment Compensation,and other FASIMMONSWendor Service AgmtsTixelpushers Inc.3.12.08.nc."d 2 Exhiou - A 1 payroll deductions for VENDOR and its officers, agents, and employees, and all business licenses, 2 if any are required, in connection with the services to be performed hereunder. 3 8. BUSINESS REGISTRATION CERTIFICATE AND OTHER REQUIREMENTS. 4 VENDOR warrants that it possesses or shall obtain, and maintain a business registration 5 certificate pursuant to Chapter 5 of the Municipal Code, and any other licenses, permits, 6 qualifications, insurance and approval of whatever nature that are legally required of VENDOR to 7 practice its business or profession. 8 9. ATTORNEYS' FEES 18 In the event that litigation is brought by any party in connection with this Agreement, the 19 prevailing party shall be entitled to recover from the opposing party all costs and expenses,including 20 reasonable attorneys' fees, incurred by the prevailing party in the exercise of any of its rights or 21 remedies hereunder or the enforcement of any of the terms, conditions or provisions hereof. The 22 costs, salary and expenses of the City Attorney and members of his office in enforcing this 23 Agreement on behalf of the CITY shall be considered as "attorneys' fees" for the purposes of this 24 paragraph. 25 11. ASSIGNMENT. 26 VENDOR shall not voluntarily or by operation of law assign, transfer, sublet or encumber 27 all or any part of the VENDOR's interest in this Agreement without CITY's prior written consent. 28 Any attempted assignment, transfer, subletting or encumbrance shall be void and shall constitute a FASIMMONSWendor Service Agmts\Pi xelp ushers 1nc.3.12.08.nc.wpd 3 Exhibit "A" 1 breach of this Agreement and cause for the termination of this Agreement. Regardless of CITY'S 2 consent, no subletting or assignment shall release VENDOR of VENDOR's obligation to perform 3 all other obligations to be performed by VENDOR hereunder for the term of this Agreement. 4 12. VENUE. 5 The parties hereto agree that all actions or proceedings arising in connection with this 6 Agreement shall be tried and litigated either in the State courts located in the County of San 7 Bernardino, State of California or the U.S. District Court for the Central District of California, 8 Riverside Division. The aforementioned choice of venue is intended by the parties to be the 9 mandatory and not permissive in nature. 10 13. GOVERNING LAW. 11 This Agreement shall be governed by the laws of the State of California. 12 14. SUCCESSORS AND ASSIGNS. 13 This Agreement shall be binding on and inure to the benefit of the parties to this Agreement C, 14 and their respective heirs, representatives, successors, and assigns. 15 15. HEADINGS. 16 The subject headings of the sections of this Agreement are included for the purposes of 17 convenience only and shall not affect the construction or the interpretation of any of its provisions. 18 16. ENTIRE AGREEMENT; MODIFICATION. 19 This Agreement constitutes the entire agreement and the understanding between the parties, 20 and supercedes any prior agreements and understandings relating to the subject manner of this 21 Agreement. The new site will be managed using the Civica CMS system. Feature Description Estimated Cost Implementation of Public Safety / Police Intranet Site $15,540* Brand and deploy Civica CMS based Intranet framework for internal City Police Department staff. The Intranet home page and navigation system that will become the primary Web interface for the Police Dept's staff. Once the Client has chosen a design, the new style will be implemented into the intranet framework. The design elements will also be supplied in Adobe Photoshop Layer PSD file formats for City Staff to modify in the future. Optional Services / Deployments Secondary Deployment for City Staff Building on the primary installation, a secondary license is made available for $5,000 use by the City Staff. This deployment would feature all the same options and modules as the primary Intranet deployment. This would also allow for the City staff to have a completely independent site for staff. Secondary Deployment for Police MOBILE systems $5,000 Building on the primary installation for the Police Department, an additional license will be made available for use by the Police MOBILE systems. This deployment would feature all the same options and modules as the primary Intranet deployment but would be optimized for a MOBILE environment NOTE: Any changes or additions to the project scope may change the timeframe for deployment and the overall price for this proposal's implementation. The Civica Standard Intranet framework is the layout specially designed for local government intranets. Below are a few examples of the standard layout structure. The colors, design and overall look can be changed. Additional Support Services Any integration and secondary development beyond the standard installation will be bill on an hourly basis. SCOPE OF SERVICES. 10 For the remuneration stipulated, San Bernardino hereby engages the services of VENDOR I 1 to provide those products and services as set forth in Exhibit"A" ,attached hereto and incorporated 12 herein by this reference. 13 2. COMPENSATION AND EXPENSES. 14 a. For the services delineated above, the CITY, upon presentation of an invoice, shall 15 pay the VENDOR the amount not to exceed $29,040.00. 16 b. No other expenditures made by VENDOR shall be reimbursed by CITY, 17 3. TERM; SEVERABILITY. 18 The services set-forth in Exhibit"A" shall be completed, to the satisfaction of the CITY,no 19 later than June 15, 2008. 20 This Agreement may be terminated at any time by thirty(30) days written notice by either 21 party. 22 4. INDEMNITY. 23 CITY agrees to indemnify and hold harmless VENDOR, its officers, agents and volunteers 24 from any and all claims,actions,or losses,damages and/or liability resulting from CITY's negligent 25 acts or omissions arising from the CITY's performance of its obligations under the Agreement. 26 VENDOR agrees to indemnify and hold harmless the CITY, its officers, agents, and 27 Ivolunteers from any and all claims, actions, or losses, damages and/or liability resulting from 28 VENDOR's negligent acts or omissions arising from the VENDOR's performance of its obligations FASIMMONS\Vendor Service Agmts\Pixelpushers Inc.3.12.08.nc.wpd 1 I under the Agreement. 2 In the event the CITY and/or the VENDOR is found to be comparatively at fault for any 3 claim, action, loss,or damage which results from their respective obligations under the Agreement, 4 the CITY and/or VENDOR shall indemnify the other to the extent of its comparative fault. 5 5. INSURANCE. 6 While not restricting or limiting the forgoing,during the term of this Agreement,VENDOR 7 shall maintain in effect policies of comprehensive public,general and automobile liability insurance, 8 in the amount of$1,000,000.00 combined single limit,and statutory worker's compensation coverage 9 in accordance with the laws of the State of California. VENDOR shall maintain professional 10 malpractice insurance for professional negligence,including errors,omissions,or other professional 11 acts in the amount of$100,000.00. VENDOR shall file Certificate(s) of Insurance with the CITY's 12 Risk Manager prior to undertaking any work under this Agreement. CITY shall be set forth as an 13 additional named insured in each Certificate of Insurance provided hereunder. The Certificate(s) 14 of Insurance furnished to the CITY shall require the insurer to notify CITY of any change or 15 termination in the policy. 16 6. NON-DISCRIMINATION. 17 In the performance of this Agreement and in the hiring and recruitment of employees, 18 VENDOR shall not engage in, nor permit its officers, employees or agents to engage in, 19 discrimination in the employment of persons because of their race, religion, color, national origin, 20 ancestry,age,mental orphysical disability,medical condition,martial status,sexual gender or sexual 21 orientation, or any other status protected by law, except as permitted pursuant to Section 12940 of 22 the California Government Code. 23 24 7. INDEPENDENT CONTRACTOR. 25 VENDOR shall perform work tasks provided by this Agreement, but for all intents and 26 purposes VENDOR shall be an independent contractor and not an agent or employee of the CITY. 27 VENDOR shall secure, at its expense, and be responsible for any and all payment of Income Tax, 28 Social Security,State Disability Insurance Compensation,Unemployment Compensation,and other FASIMMONS\Vendor Service Agmts Pixelpushers Inc.3.I2.08.nc.wpd 2 I payroll deductions for VENDOR and its officers, agents, and employees, and all business licenses, 2 if any are required, in connection with the services to be performed hereunder. 3 8. BUSINESS REGISTRATION CERTIFICATE AND OTHER REQUIREMENTS. 4 VENDOR warrants that it possesses or shall obtain, and maintain a business registration 5 certificate pursuant to Chapter 5 of the Municipal Code, and any other licenses, permits, 6 qualifications, insurance and approval of whatever nature that are legally required of VENDOR to 7 practice its business or profession. 8 9. NOTICES. ATTORNEYS' FEES 18 In the event that litigation is brought by any party in connection with this Agreement, the 19 prevailing party shall be entitled to recover from the opposing party all costs and expenses,including 20 reasonable attorneys' fees, incurred by the prevailing party in the exercise of any of its rights or 21 remedies hereunder or the enforcement of any of the terms, conditions or provisions hereof. The 22 costs, salary and expenses of the City Attorney and members of his office in enforcing this 23 Agreement on behalf of the CITY shall be considered as "attorneys' fees" for the purposes of this 24 paragraph. 25 11. ASSIGNMENT. 26 VENDOR shall not voluntarily or by operation of law assign, transfer, sublet or encumber 27 all or any part of the VENDOR's interest in this Agreement without CITY's prior written consent. 28 Any attempted assignment, transfer, subletting or encumbrance shall be void and shall constitute a FASIMMONSWendor Service AgmtsTixelpushers 1nc.3.12.08.nc.wpd 3 r I breach of this Agreement and cause for the termination of this Agreement. Regardless of CITY'S 2 consent, no subletting or assignment shall release VENDOR of VENDOR's obligation to perform 3 all other obligations to be performed by VENDOR hereunder for the term of this Agreement. 4 12. VENUE. 5 The parties hereto agree that all actions or proceedings arising in connection with this 6 Agreement shall be tried and litigated either in the State courts located in the County of San 7 Bernardino, State of California or the U.S. District Court for the Central District of California, 8 Riverside Division. The aforementioned choice of venue is intended by the parties to be the 9 mandatory and not permissive in nature. 10 13. GOVERNING LAW. I 1 This Agreement shall be governed by the laws of the State of California. 12 14. SUCCESSORS AND ASSIGNS. 13 This Agreement shall be binding on and inure to the benefit of the parties to this Agreement 14 and their respective heirs, representatives, successors, and assigns. 15 15. HEADINGS. 16 The subject headings of the sections of this Agreement are included for the purposes of 17 convenience only and shall not affect the construction or the interpretation of any of its provisions. 18 16. ENTIRE AGREEMENT; MODIFICATION. 19 This Agreement constitutes the entire agreement and the understanding between the parties, 20 and supercedes any prior agreements and understandings relating to the subject manner of this 21 Agreement. The Intranet home page and navigation system that will become the primary Web interface for the Police Dept's staff. Once the Client has chosen a design, the new style will be implemented into the intranet framework. The design elements will also be supplied in Adobe PhotoShop Layer PSD file formats for City Staff to modify in the future. Optional Services / Deployments Secondary Deployment for City Staff Building on the primary installation, a secondary license is made available for $5,000 use by the City Staff. This deployment would feature all the same options and modules as the primary Intranet deployment. This would also allow for the City staff to have a completely independent site for staff. Secondary Deployment for Police MOBILE systems $5,000 Building on the primary installation for the Police Department, an additional license will be made available for use by the Police MOBILE systems. This deployment would feature all the same options and modules as the primary Intranet deployment but would be optimized for a MOBILE environment NOTE: Any changes or additions to the project scope may change the timeframe for deployment and the overall price for this proposal's implementation. Customization and addition changes to the site and deployed system will be billed at the rates stated in the Terms and Conditions page. The Civica Standard Intranet framework is the layout specially designed for local government intranets. Below are a few examples of the standard layout structure.
