The action taken also directed the City Attorney to prepare en appropriate agreement. The City Clerk indicated to staff, after the Mayor and Common Council had adopted the form motion approving the funding, that a resolution formalizing the action taken would be necessary. As a result, Agency Covasel and Development Department Staff have reached an acceptable agreement with Provisional Accelerated Learning (PAL) Center and is presenting, for adoption, the attached Resolution approving the attached agreement. Based upon the foregoing, staff recommends adoption of the attached resolution. RE J. All books 10 and records of PAL Center, relative to this AGREEMEPT, are to be kept open for Il inspection at any time during the business day by the CITY, its officers or 12 agents, and by ax~y repre- eeatative of the CITY authorized to audit this 13 Program. 14 (c) PAL Centez's financial management system shall provide for accurate, current and complete disclosure of the financial results of each 15 1G project sponsored by this Agreement. It is the responsibility of PAL Center 17 to adequately safeguard all assets of the project and PAL Center shall ensure i8 that they are used solely for authorized purposes. 19 6. PAL Center's officers, employees or ageata shall neither 10 solicit nor accept gratuities, favors, or anything of monetary valne from 11 contractors or potential contractors. To the extent permissible by state law, 12 rules and regulations, the standards adopted by PAL Center shall provide for 13 penalties, sanctions or other disciplinary actions to be applied for 14 violations of such atendarda by either the PAL Center's officers, employees or f l5 ageata, or by contractors or their agents. PAL Center shall provide a copy of 16 the code or standards adopted to the CITY forthwith. All procurement 1? transactions, without regard to dollar value, shall be conducted in a manner 18 so as to provide maximum open and free competition. The YAL Center shall be 19 alert to organizational conflicts of interest or aoa-competitive practices 20 among contractors which may restrict or eliminate competition or otherwise 21 restrain trade. ~, 8. Prevailina wane IIeaniremmt. ~ Any construction contracts awarded by PAL Center using funds $ provided under this Agreement in excess of 62,000.00 shall include a provision 9 for compliance with the Davis-Bacon AcC (40 USC 276(a) to 276(a)(7)) and as 10 supplemented by Department of Labor &egulationa (29 CFR). Under this Act, 11 contractors shall be required to pay wages to laborers and mechanics at a rate 12 not leas than the minim~mu wages specified in a wage determination made by the 13 Secretary of Labor. In addition, contractors shall be required to pay wages 14 not less often than once a week. PAL Center shall place a copy of the current prevailing wage determination issued by the Department of Labor in each 15 1G solicitation and the award of a contract shall be conditioned upon the 1? acceptance of the wage determination. PAL Center shall report all auapected 18 or reported violations to CITY. l9 10. ADOroval by City of a~ Chariea: IIae of Protraw income. 20 (a) CITY hereby requires PAL Center to notify the CITY is writing 2l of its intent to charge a fee for nay service, the proviaioa of which is ~ assisted pursuant to this Agreement. CITY requires PAL Center to obtain the ~ prior written approval of CITY for anq charges or fees to be charged by PAL 24 Center for each services, and of nay rules sad regulations governing the 25 provision of services, hereunder. 26 (b) Program income represents gross income received by the PAL 27 Center directly generated from the use of funds provided hereunder. As to such income, it shall be first applied to eligible program 4 activities, before requests for reimbursement and, in the use, shall be 5 aub,)ect to all applicable provisions of this Agreement. Income sot so applied 6 shall be remitted to CITY. PAL Center shall remit all unspent program income ~ to the CITY within thirty (30) days after the end of the program year (June 8 30, 1992). 9 11. Temoorarv withhoidint. ' 10 The Ezecutive Director of the Development Department of the City of 11 San Bernardino is authorized to temporarily withhold the payment of funds to 12 PAL Center when the Ezecutive Director determines that any violation of this 13 Agreement has occurred. Funds shall be withheld until the violation is 14 corrected to the satisfaction of the Executive Director. PAL Center shall {y~ 15 have the right to appeal the decision of the Executive Director to the 1G Community Development Commission. The sole grounds for such appeal shall be li that no violation of the Agreement has occurred. PAL Center shall file such 18 appeal within fifteen (15) days after such first withholding. The Community 19 Development Commission shall set a date for the heaziag of such appeal which 20 is within thirty (30) days following the date of filing. 21 12. Records Retmtioa ~ Financial records, supporting documents, statistical records, and 23 all other records pertaining to the use of the funds provided unfler this 24 Agreement shall be retained by PAL Center fos a period of three (3) years, at 25 a minimwa, and is the event of litigation, claim or audit, the records shall 26 be retained until all litigation, claims and audit findings involving the 27 records, have been fully resolved. Terminwe~on for Ganes. 10 (a) CITY reserves the right to terminate this Agreement and all I1 grants and future payments under this Agreement, is whole os in past, at any 12 time before the date of completion of this Agseement whenever CITY determines 13 that the YAL Center has materially failed to complq with the terms and 14 conditions of this Agreement. In the event the CITY seeks to terminate this ! ~ Agreement for cause, CITY shall promptly notify the PAL Center in writing of 15 the proposed termination snd the reasons therefor together with the proposed 16 1~ effectlve date. PAL Centar shall be given as opportunity to appear before the 18 Community Development Comotieaion at the time at which the Community 19 Development Commission is to consider such recommended termination, and shall 20 be given a reasonable opportunity to show cause why, 1f say exists, the 21 Agreement should sot be terminated for esuse. Upon determination Dy the ~ Community Development Commission that the Agreement should be terminated for ~ cause, notice thereof, including reason(s) for the determination, shall 24 promptly be mailed to the PAL Center, together with information as to the effective date of the termination. Such notice may be given orally at that 26 hearing. ' C~ 0 1 (b) In the event of any termination whether for cause or for 2 convenience, PAL Center shall forthwith provide to the CITY any and all 3 docwoentation needed by the DEPARTMENT to establish s full record of all 4 monies received by YAL Center and to document the uses of same. 5 15. Termination for Convenience. 6 DEPARTMHNT or PAL Center may terminate this Agreement in whole or ~ in part provided both parties agree that the continuation of the program would $ not produce beneficial results Commensurate with further expenditure of 9 funds. In such event, the parties shall agree upon the termination - 10 conditions, including the effective date and, in the case of partial 11 termiaatioaa, the portion to be eerminsted. The YAL Center shall not incur 12 new obligations for the terminated portion after the effective date and shall 13 cancel as maaq outstanding obligations as possible. DEPA&1TffiIIT shall allow - 14 PAL Center full credit for the Department's share of the son-cancellable obli ationa 15 g properly incurred by the PAL Center prior to termination. 1G 16. Reversion of Assets. 17 PAL Center agrees that upon expiration of this Agreement, the PAL 18 Center shall transfer to the DEPARTMENT any and sll CMO funds not used at the 19 time of expiration sad say sccovnts receivable attributable to the use of CMO 20 funds. PAL Center agrees that anq real property under its control, which was 21 acquired or improved, is whole or in part, with CMO funds in excess of 5500.00 ~ shall be used either, (i) until five (5) years after expiration of the ~ Agreement or such period of time as determined appropriate by the City, 24 Department, or; (11) is disposed of in a manner which results in the ~ Department being reimbursed in the amount of the current fair market value of 26 the property leas any portion thereof attributable to expenditure of, or 27 improvement to, the property by PAL Center. Hold Harsless. 2 PAL Center agrees to indemnify, save and hold harmless the 3 Community Development Commission of the City of San Bernardino, the Economic 9 Development Agency and the Developmmt Departmmt and their employees and 5 agmts from all liabilities and charges, expenses (including counsel fees), 6 suits or losses, however occurring, or damages, arising or growing out of the ~ vas of or receipt of funds paid under this Agreement. Payments under this 8 Agreement are made with the understanding that the City and the DEPA&TMENT are 9 not involved in the performance of services or other activities of the PAL 10 Center. PAL Center and its employees and agents are independent contractors 11 and not employees or agents of City and the DEPAETMD;NT. 12 la. Ammdmmt. 13 Thia Agreemmt may be amended or modified only by written agreement 14 signed by both parties, and failure on the part of either party to mforce any 15 provision of this Agreement shall not be construed ae a waiver of the right to 1G compel enforcemmt of any provision or provisions. 17 19.
