BACKGROUND
On January 24,2002, the Community Development Commission authorized Agency Staff to prepare
plan amendments to reinstate eminent domain in the Central City North, Central City South, Central
City East, Meadowbrook and Uptown Redevelopment Project Areas.
Subsequently, on June 3, 2002, the Community Development Commission approved and authorized
execution of a Professional Services Agreement (the "Contract") by and between the Agency and
Rosenow Spevacek Group, Inc. ("RSG") to provide plan amendment consultant services associated
with amending the Central City North and Uptown Redevelopment Project Areas. RSG's scope of
work entailed, but was not limited to the following: scoping meetings and data collection,
maintaining and preparing plan adoption schedules, conducting field surveys, blight and social
demographics, parcel analyses, preparing necessary resolutions, reports, documents, assisting the
Staff in forming a Project Area Committee (PAC), attending and planning community meetings,
when necessary, preparing taxing agency notices, preparing required meeting and public hearing
notices, and responding to any concerns or issues related to the Plan Amendment process and related
documents. The amount of the Contract was $57,486.
CURRENT ISSUE
Due to Ms. Park's unexpected departure from the Agency, and in light of the fact that Management
has not been able to recruit and hire qualified redevelopment project management staff, it has become
necessary to heavily rely on RSG to take the lead on numerous activities involving the plan
amendment that was not planned for in the original scope of work. These additional duties will
include, but are not limited to, physically surveying the areas; collecting the data from the various
sources to document the physical and social blight; spearheading the PAC formation process; in
particular, several flyers and notices have been sent out recruiting PAC members in accordance with
the PAC procedures adopted by the Community Development Commission. There have been two
scheduled PAC election meetings for the Uptown Redevelopment Project Area and at neither of these
meeting dates has there been adequate interest from the Community. This lack of response has
prompted additional unexpected assigrunents and notices, and has also impacted and extended the
plan adoption schedule. Moreover, the lack of response has prompted Staff and special legal counsel
to look to alternative forms of community participation in the Uptown Redevelopment Project Area, a
subject of discussion on today's Community Development Commission meeting agenda.
Accordingly, Staff proposes to extend the RSG Contract to include the additional tasks and

Not applicable.
FISCAL IMPACT
The additional costs for the amendment to the RSG Contract will not exceed $34,000. This amount
will be paid from the respective project area fund.

WHEREAS, the Agency and Rosenow Spevacek Group, Inc. ("the "Consultant"') entered into
that certain Professional Services Agreement dated June 3. 2002 (the "Agreement") for the purpose of
amending the redevelopment plans for the Uptov,n and Central City North Redevelopment Project
11 Areas; and
12 WHEREAS, it is necessary to modifY the Agreement to include additional assigrunents and
13 duties not contemplated in the original Agreement ("Amendment No. I "); and
14 WHEREAS, Amendment No.1 to the Agreement has been presented to this Commission for

approval.

NOW, THEREFORE, THE COMMUNITY DEVELOPMENT COMMISSION OF
CITY OF SAN BERNARDINO DOES HEREBY RESOLVE, DETERMINE AND ORDER, A
FOLLOWS:

Section 1. The Commission hereby approves Amendment No, 1 to the Agreement attache
hereto and incorporated herein by reference.
Section 2. The Executive Director of the Agency is hereby authorized to execute Amendmen

AMENDMENT NO.1
TO THE
AGREEMENT FOR PROFESSIONAL SERVICES
PLAN AMENDMENT CONSULTANT SERVICES
CENTRAL CITY NORTHlUPTOWN REDEVELOPMENT PROJECT AREAS
THIS AMENDMENT NO. I to the Agreement dated June 3, 2002, is made and entered into this
day of , 2002 ("Amendment No. I"), by and between the
Redevelopment Agency of the City of San Bernardino, a public agency, ("Agency"). and
Rosenow Spevacek Group, Inc., ("Consultant").
RECITALS
WHEREAS, on June 3, 2002, the Agency and Consultant entered into and executed an
Agreement for Professional Services ("Agreement") related to redevelopment plan amendments
to the Central City North and Uptown Redevelopment Project Areas (the "Project"); and
WHEREAS, Section 23 of the Agreement provides that the Executive Director or his/her
Designee shall monitor and assess the progress of the Consultant, including, but not limited to
recommending changes and additions to the Consultant Services as prescribed in the Agreement;
and
WHEREAS, the Executive Director has determined that it is necessary and appropriate
to amend the Agreement to expand the Services provided by the Consultant in order to
effectively complete the Plan Amendment process in a timely manner.
NOW, THEREFORE, THE AGENCY AND CONSULTANT HEREBY AGREE AS
FOLLOWS:
TERMS AND CONDITIONS
Section 2, Mission, of the Agreement is modified to read as follows:
"Agency hereby retains Consultant in the capacity as consultant for the provision of
services as described in Attachment I to the Agreement ("Consultant Responsibilities - Scope of
Services"); and including Attachment II, hereto, (the "Amended Scope of Services for Central
City North and Uptown Redevelopment Project Areas"). Consultant hereby accepts such
responsibility as described herein."

Section 3, Terms, of the Agreement is modified to read as follows:
"The Agreement shall commence as of June 3, 2002, and shall remain in full force and
effect for a period of eighteen months, unless terminated sooner as provided in the Agreement.
Section 24. In the event of termination, Consultant shall stop all work immediately and shall be
entitled to Compensation for Services rendered to the date of termination."
Section 8, Compensation, of the Agreement is modified to read as follows:
"During the Term of the Agreement and Amendment No. I, Agency shall pay consultant
on a monthly basis. Said compensation shall be considered full and complete reimbursement for
all Consultant's costs associated with the services provided under the Agreement (Attachment I)
and, specifically as provided for in Attachment II to this Amendment No. I. The maximum
compensation for services, including all Consultant's costs, under the terms of the Agreement
and Amendment No. I, shall not exceed Ninety-One Thousand Four Hundred Ei\!htv-Six and
00/100 Dollars ($91,486).
Consultant shall be paid in accordance with Agency's standard accounts payable system.
Invoices shall be approved by the Executive Director or his/her Designee. Agency retains the
right to challenge all or any part of the invoice not consistent with the Agreement and
Amendment No. I herein.
Section 22, Waiver, is modified as follows:
Section 22. Waiver and Amendment;
The Agreement and Amendment No. I may be amended or modified only by written
agreement signed by both parties, and failure on the part of either party to enforce any provision
of the Agreement and Amendment No. I shall not be construed as a waiver of such provision or
provisions, nor act to release any surery from its obligation under the Agreement and
Amendment No. I. The Executive Director shall have the authoriry to modify the Agreement
and Amendment No. I, provided such modifications do not materially or substantially change
the original intent or obligations of either party to this Agreement, and do not increase the
Agency's Compensation to Consultant.

At the Mayor and Common Council meeting of October 7, 2002, the City of San Bernardino
adopted Resolution CDC/2002-31 - Resolution authorizing and approving the Executive
Director to execute the Amendment No. 1 to the Rosenow Spevacek Group, Inc. (RSG)
Consultant Services Agreement, in the amount of not to exceed $34,000, relative to plan
amendments for Central City North and Uptown Redevelopment Project Areas.
Once the above-referenced agreement has been executed, please forward the original agreement
