BACKGROUND The San Bernardino City Library operates four libraries within the City, and Facilities Management provides security guard services at Feldheym Central Library and Villasenor Branch Library. The guard service is to be present at Feldheym Library six days per week, and at Villasenor Library five days per week At the August 20,2007 meeting of the Mayor and Common Council, Resolution # 2007- 358 was approved, authorizing the execution of a contract and issuance of an Annual Purchase Order to Securitas Security Services, USA, Inc. (Securitas) for security guard services at City Libraries. Up until and after that council meeting, Facilities Management was working with Securitas on language regarding the Insurance Clause in the agreement. Securitas was not willing to agree to the City's insurance clause as written, and after three months of negotiations, all parties are now in agreement with Addendum No. One to the contract, attached. The addendum states their insurance coverage will only cover liability assumed by Securitas in the agreement. The amendment will have no impact or implications upon the current agreement except to spell out in detail who and what is covered by the Vendor's insurance. Staff recommends that the Common Council authorize the City Manager to execute Amendment No. One to the Agreement with Securitas Security Services, USA, Inc., dated August 20, 2007, for security guard services at City Libraries. FINANCIAL IMPACT The cost for security services is included in the Facilities Management general fund budget for FY 07/08, account number 001-325-5507. There is no change to the contract cost as approved on August 20, 2007. RECOMMENDATION Adopt Resolution 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF SAN BERNARDINO AUTHORIZING THE CITY MANAGER TO EXECUTE AMENDMENT NO. ONE TO THE AGREEMENT WITH SECURITAS SECURTY SERVICES USA, INC., DATED AUGUST 20, 2007, FOR SECURITY GUARD SERVICES AT CITY LIBRARIES. BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. The Mayor and Common Council of the City of San Bernardino hereby authorize the City Manager to execute Amendment No. One to the Agreement with Securitas Security Services USA, Inc., dated August 20, 2007, for security guard services at City Libraries, which is attached hereto as Exhibit A and incorporated herein. SECTION 2. This resolution is rescinded if the parties to the contract fail to execute it within sixty (60) days of the passage of this resolution. ONE TO AGREEMENT FOR SERVICES WITH SECURlTAS SECURITY SERVICES USA, INC. This Amendment No. One to Agreement for Services is made and entered into this day of January 2008, by and between the City of San Bernardino, a Municipal Corporation, hereinafter referred to as the "City" and Securitas Security Services USA, Inc., hereinafter referred to as "Vendor". WHEREAS, City and Vendor entered into an Agreement for Services on August 20, 2007, for security guard services for the City's Libraries (hereinafter referred to as the "Agreement"); and WHEREAS, City and Vendor wish to amend said Agreement; NOW, THEREFORE, the Parties mutually agree as follows: 1. Section 17, LIABlLITY/lNSURANCE, of the Agreement is hereby amended to add the following: "Said insurance policies sha1l provide insurance coverage only for liability assumed by Vendor pursuant to the Agreement." 2. All other terms and conditions of the Agreement remain the same. IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed on the date written above by their duly authorized officers.
