CITY OF SAN BERNARDINO - REQUEST FOR COUNCIL ACTION Staff Report SUBJECT: Resolution of the City of San Bernardino authorizing upgrades to the Police and Fire Department's Public Safety Automation System and the addition of a new Automatic Vehicle Locator module for the Police Department. BACKGROUND: CAD/RMS/ A VL Uoirrade The police and fire department's Computer-Aided Dispatch (CAD) and the police department's Records Management System (RMS) software were upgraded in August 1997. The systems were considered "leading edge" technology at that time but need to be upgraded for the following technology and operational reasons. . The DEC UNIX operating system (version 4.0D) is three major revisions behind the current release and no longer supported by the vendor. . The Oracle commercial relational database (version 7.3.3) is two full revisions behind the current release and is no longer supported by the vendor. . A major system failure could cause an extended period of downtime that would endanger public safety because technical support from the vendors is no longer available. . Both CAD and RMS were customized to meet police operational needs. Upgrades to these systems have become cost prohibitive due to this customization. . The current CAD and RMS servers are no longer in production or serviced by the vendor. Our software vendor, Tiburon Inc, of Fremont, Califomia, has offered a one-time $530,000 discount if we upgrade to their "base" version of CAD and Police RMS software concurrent with them installing the same system at the San Bernardino County Sheriff's Department. This upgrade will provide the following. . "Base" CAD includes over 50 efficiency enhancements that will speed up processing calls for service, and reduce confusion and potential dispatcher errors, thus reducing the City's liability. . Replace the CAD and RMS "Alpha" servers with industry standard "Intel" based servers that use Windows-2000 operating systems. Install the most current version of Oracle as our database engine. . A new Automatic Vehicle Locator (A VL) subsystem will pin-point the location of on-duty police vehicles for dispatchers and police watch commanders. Field police supervisors will be able to locate patrol vehicles from their mobile data computers (MDC). Vehicle movement will be recorded and retained as a permanent record. Police officers will be able to obtain directions to calls for service displayed on maps on their MDCs. A future enhancement to this module will allow the CAD to select the closest unit for dispatch to emergency events. This enhancement will be provided to us at no cost when it is released. . Tiburon, Inc. will provide future upgrades to their base CAD/RMS software at no additional cost to the City. The upgrade is exempt from the competitive bid process because it is an existing proprietary system. There are no other vendors who can provide software, enhancements or maintenance to this software platform. The servers are recommended by Tiburon and are warranted to be compatible with Tiburon's software, the Windows operating system, and Oracle's database engine. The A VL module is provided by Tiburon Incozporated. No other vendor can provide an add-on module without violating our software licensing agreement with Tiburon. The cost for this portion of the project is $761,429.00 Tiburon warranties their CAD, RMS, and A VL products to work with certain specific servers. These servers are made by Stratus Computer Corporation. Stratus Computer Corporation is providing the computers to us at their contracted government sales rate (commonly referred to as GSA pricing) on a direct purchase. As such, this is a selected source purchase per San Bernardino City Municipal Code 3.04.010 (B)(3). The cost for these servers is $115,582.32 The system also requests two secondary services for A VL system and three maintenance workstations. The maintenance stations will be used by the IS staff to update real time dispatch and mapping files. These secondary servers and workstations are being purchased from Dell Direct using the Western States Contract Alliance (WSCA) bid pricing that is offered to state and local governments. As such, this is a selected source purchase. The cost for these servers and workstations is $18,611.16 FINANCIAL IMPACT: The CAD/RMS/ A VL upgrade will cost $895,622.48. BE IT RESOLVED: SECTION 1. That Tiburon is a sole source vendor for software maintenance of the City's Public Safety Computer-Aided-Dispatch System (CAD), Police Records Management System (PRMS) and Mobile Data System. SECTION 2. That the Mayor and Common Council authorize the Purchasing Manager to issue a purchase order for $ 761,429.00 to Tiburon, Incorporated, as a sole source vendor to upgrade these systems and add an Automatic Vehicle Locator (A VL) module. SECTION 3. The Purchase Order shall reference the number of this resolution and shall incorporate the terms and conditions of the Contract, which is on file in the City Clerk's Office. The Purchase Order shall read, "Tiburon CADtilRMStil A VL Upgrade. Not to exceed $761,429.00." SECTION 4. That the Mayor and Common Council authorize the Purchasing Manager to issue purchase orders not to exceed $115,582.32 to Stratus Computer Corporation, as a selected source vendor, to provide the primary servers for the CAD and RMS update. SECTION 5. The Purchase Order shall reference the number of this resolution and shall incorporate the terms and conditions of the Quote, which is on file in the City Clerk's Office. The Purchase Order shall read, "Stratus CAD Server as described in Quote # CITYOFSB32200NEW A Y. Stratus RMS Server as described in Quote #CITYOFSB5240. Penman, City Attorney o,er- 7,~ III c c c FIRST AMENDMENT TO AGREEMENT FOR EXTENDED SERVICE This First Amendment (hereinafter the "Amendment") is entered into this 12th day of June, 2002 (the "Effective Date") by and between the City of San Bernardino having its primary place of business at 300 North D Street, San Bernardino, California (hereinafter "Client"), and Tiburon, Inc., a Virginia corporation having its primary place of business at 39350 Civic Center Drive, Suite 100, Fremont, California 94538 (hereinafter "Tiburon"). WHEREAS, the parties entered into the Agreement for Extended Service dated July I, 1995 (hereinafter the "Agreement") for Tiburon to provide application software maintenance on the City's Police Records Management System (PRMS), and WHEREAS, Client contracted with Tiburon to implement Tiburon's Computer Aided Dispatch (CAD) and Correction Management System (CMS) under a separate agreement and under the Agreement Tiburon provides software support to Client for PRMS, CAD, and CMS, and WHEREAS, Client desires to purchase Tiburon's Field Automated System (FAS) and upgrade its PRMS, CAD and CMS application software and Tiburon is qualified to provide the technical service and materials required by Client, THEREFORE, in consideration of the mutual covenants contained herein, the Client and Tiburon agree to amend the Agreement as follows: 1. Section I - Period of Performance is hereby deleted and replaced with the following: The term under which Tiburon shall be obligated to perform software support under this Agreement shall commence July I, 1995, and shall continue through June 30, 2003, or until this Agreement has otherwise been terminated as provided for herein. The term under which Tiburon shall be obligated to provide the System Upgrade as set forth in Exhibit D shall commence upon the Effective Date herein above and shall continue through December 31, 2003. 2. Section 2 - Statement of Work second paragraph to (h) is deleted and replaced with the following: (i) Corrections for reported problems or defects due substantially to Client's errors or Client's changes to the system environment, or relating to Client- modified portions of the Program or to portions of the Program affected by Client-provided software, or diagnosis of problems reported erroneously shall be performed by Tiburon in a timely manner and will be charged at the Technical Service Rate, plus applicable travel and per diem expense as described in Exhibit B. Section 2 - Statement of Work add the following: G) Tiburon shall conduct the System Upgrade in accordance with, and exclusively subject to the terms and conditions set forth in Exhibit D. 4. Definitions Capitalized terms used herein and in any attachment hereto shall have the definitions set forth on Attachment 1 attached hereto and incorporated herein by this reference, unless otherwise defined herein. 2. Scope of Work Tiburon shall provide all design, development, installation, consulting, system integration, project management, training and technical services set forth in the Statement of Work attached hereto as Attachment 2 and incorporated herein by this reference (the .Statement of Work") in connection with the delivery and implementation of the system upgrade. 3. Term 3.1. The schedule for the implementation of the Upgrade shall initially be govemed by the Initial Project Schedule which is attached hereto as Attachment 5 and incorporated herein by this reference. 3.2. Unless earlier terminated as provided for in Section 12 hereof, this Exhibit 0 will remain in effect from the Effective Date until all tasks set forth in the Statement of Work have been fully completed and all amounts payable hereunder have bean paid in full. 4. Contract Price The Client shall pay to Tiburon the total amount of SEVEN HUNDRED SIXTY ONE THOUSAND FOUR HUNDRED TWENTY NINE DOLLARS AND ZERO CENTS ($761,429) (the .Contract Price") in consideration for the delivery and implementation of the Upgrade in accordance with the Statement of Work. The Client hereby represents and warrants that it hes duly appropriated or otherwise set aside funds in an amount at least equal to the Contract Price to satisfy its payment obligations hereunder. 5. Payments 5.1. The Client shall make payments to Tiburon in accordance with Attachment 4 - Payment Schedule which is attached hereto and incorporated by this reference. 5.2. The amount to be paid by the Client for such deliverable goods shall be based on the specified price assigned thereto in Attachment 3 - Pricing Summary and incorporated herein by this reference. 5.3. Tiburon shall prepare and submit invoices for payment by the Client. System Upgrade Implementation PROPRIETARY AND CONFIDENTIAL Subject to Section 11 hereof with respect to any invoiced amounts disputed by the Client, all payments shall be made within thirty (30) days from the date of invoice by electronic funds transfer to Tiburon's account specified in writing, or by check made payable to "Tiburon, Inc." and delivered to 39350 Civic Center Drive, Suite 100, Fremont, Califomia 94538, or by such other means as may be mutually acceptable to the parties. 5.4. The prices set forth herein do not include any federal, state or local excise, or lease taxes now in force or which may be enacted in the future other than California sales tax, all such amounts being the sole and independent responsibility of the Client for direct payment to the appropriate taxing authority. The prices are inclusive of any gross income or similar taxes and any amount of withholding taxes, Social Security, insurance, and unemployment insurance with respect to Tiburon employees. 5.5. Subject to Section 11 hereof with respect to any invoiced amounts disputed by the Client, failure to pay any amount owing hereunder when such amount is due shall constitute a material default under this Exhibit D and could result in the termination of this Exhibit D. 6. Client Responsibilities The Client agrees to provide those services and facilities necessary for the completion of this project which are set forth as the Client's obligations or responsibilities (the "Client Responsibilities") in the Statement of Work. Tlburon shall not be responsible for any delays in the project schedule directly and primarily caused by the Client's failure to perform the Client Responsibilities. The Client's failure to perform the Client Responsibilities shall constitute a material default under Exhibit D. The Client shall respond within ten (10) business days to any written request submitted by Tiburon for information, clarification or approval of any designs, specifICations, documents, or proposed change orders or amendments. The Client's failure to respond within this 1ll-day response period shall constitute a material default under this Exhibit D. 7. Project Manager and Client Representative 7.1. Tiburon shall designate, in a written notice delivered in accordance with Section 32 hereof, a single individual to act es the project menager (the "Project Manager"). The Project Manager shall ensure TIburon's compliance with, and shall coordinate appropriate schedules in connection with, Tiburon's obligations hereunder. Tiburon may change the individual designated hereunder by providing the Client with edvance written notice delivered in accordance with Section 32 hereof designating the new individual authorized to act as the Project Manager. 7.2. The Client shall designate, in a written notice delivered in accordance with Section 32 hereof, a single individual to act as the Clienfs authorized representative for purposes of this Exhibn D (the "Client Representative"). SUch individual (a) must be authorized to act on the Client's behalf with respect to all matters relating to this Exhibn D; (b) shell ensure the Cllenfs compliance with its responslbilnles under this Exhibn D; and (c) shall coordinate appropriate schedules in connection with Tiburon's services under this Exhibn D. The Client may change the individual designated hereunder by providing Tlburon with advance written notice delivered in eccordance with Section 32 hereof designating the new individual authorized to act as the Client Representative. 8. Changes The scope and schedule of services and materials provided under this Exhibit D. may be changed from time to time by a written change order (a "Change Order") mutually agreed upon and signed by duly authorized representatives of each of the parties. When a change causes a modification to the Contract Price or the amount of time needed to complete such change, the payment schedule and shall be amended, as necessery. Except as specifically provided herein, Tiburon shall at all times retain all tilie and interest in and to each of the Tiburon Applications and all Derivative Works, Maintenance Modifications, Upgrades and Documentation with respect thereto and all Tiburon confidential information. 9.2. Upon the Client's acceptance of any Tiburon Application (on an application-by-application basis) in accordance with the Statement of Work and the Client's payment of all amounts due hereunder with respect thereto, Tiburon will grant to the Client a limited right to use the Tiburon Application, in Object Code only, pursuant to, and subject to the terms of, a software license Agreement substantially in the form attached hereto as Attachment 6 (the "Software License Agreemenr). The Client shall have no right to use any Tiburon Application until such Tiburon Application has been accepted in accordance with the Statement of Work, all amounts due hereunder with respect to such Tiburon Application have been paid in full and Tiburon and the Client have duly executed the Software License Agreement. 9.3. Tiburon may provide to the Client certain third-party software applications in the quantities requested by the Client pursuant to this Exhibit D (the "Third-Party Software"). The right to use any such Third-Party Software may be granted to the Client under the Software License Agreement or pursuant to a separate software license agreement with the developer of such Third-Party Software. The Client shall have no right to use such Third-Party Software until the Client has executed the Software License Agreement or a separate software license agreement with the developer of such Third-Party Software, as appliceble, and until the Client has paid for all license or sublicense fees in connection therewith. Tiburon will integrate such Third-Party Software into the Upgrade and such Third-Party Software will constitute a deliverable for purposes of this Exhibit D. If for any reason it is determined that insufficient licenses or sublicenses for such Third-Party Software have been purchased, or that for any reason more licenses or sublicenses are required for Upgrade operation, the Client shall be responsible for any additional costs associated with obtaining such additional licenses and the costs and fees associated with integration of such additional Third-Party Software into the Upgrade. The Client shall have no right to the Source Code with respect to any Third-Party Software. 10. Confidential Information 10.1. All Client confidential information shall be held in strict confidence by Tlburon, and Tiburon shall not, without the Client's prior written consent, (a) disclose such information to any person or entity other than to Tiburon's employees or consultants legally bound to abide by the terms hereof and having a need to know such information in connection with Tiburon's performance of its obligations hereunder, or (b) use such information other than in connection with the performance of its obligations hereunder. 10.2. All Tiburon confidential information shall be held in strict confidence by the Client, and the Client shall not, without Tiburon's prior written consent, (a) disclose such information to any person or entity other than to the Client's employees or consultants legally bound to abide by the terms hereof and having a need to know such information In connection with the Client's performance of its obligations hereunder, or (b) use such information other than in connection with the performance of its obligations hereunder. 10.3. Notwithstanding Section 10.1 or Section 10.2 hereof, neither Client confidential information nor Tiburon confidential information shall include information which the recipient can demonstrate by competent written proof (a) is now, or hereafter becomes, through no ect or failure to act on the part of the recipient, generally known or available or otherwise part of the public domain; (b) is rightfully known by the recipient without restriction on use prior to its first receipt of such information from the disclosing party as evidenced by its records; (c) is hereafter fumished to the recipient by a third party authorized to furnish the information to the recipient, as a matter of right and without restriction on disclosure; or (d) is the subject of a written permission by the disclosing party to disclose. 10.4. Notwithstanding Section 10.1 or Section 10.2 hereof, disclosure of Client confidential information or Tiburon confidential information shall not be precluded if: Page 3 of 12 August 23, 2002 C 2002 TIburon, Inc. System Upgrade Implementation PROPRIETARY AND CONFIDENTIAL la) such disclosure is in response to a valid order of a court or other governmental body of the United States or any political subdivision thereof; provided, however, that the recipient of such confidential information shall first have given notice to the other party and shall have made a reasonable effort to obtain a protective order requiring that the information to be disclosed be used only for the purposes for which the order was issued; Ib) such disclosure is necessary to establish rights or enforce obligations under this Exhibit D, but only to the extent that any such disclosure is necessary for such purpose; Ie) the recipient of such confidential information received the prior written consent to such disclosure from the disclosing party, but only to the extent permitted in such consent; or Id) such disclosure is in response to a request for information under the Freedom of Information Act or the California Public Records Act (Gov't Code Sec. 6250 et seq.), but only to the extent that such disclosure is required under such acts. 10.5. The obligations hereunder with respect to each item of Client confidential information and Tiburon confidential information shall survive the termination of this Exhibit D. 11. Informal Dispute Resolution 11.1. The parties to this Exhibit D shall exercise their best efforts to negotiate and settle promptly any dispute that may arise with respect to this Exhibit D in accordance with the provisions set forth in this Section 11.1. la) If either party (the "Disputing Party") disputes any provision of this Exhibit D, or the interpretation thereof, or any conduct by the other party under this Exhibit D, that party shall bring the matter to the attention of the other party at the earliest possible time in order to resolve such dispute. Ib) If such dispute is not resolved by the employees responsible for the subject matter of the dispute within ten (10) business days, the Disputing Party shall deliver to the first level of representatives below a written statement (a "Dispute NotJce") describing the dispute in detail, including any time commitment and any fees or other costs involved. Ie) Receipt by the first level of representatives of a Dispute Notice shall commence a time period within which the respective representatives must exercise their best effort to resolve the dispute. If the respective representatives cannot resolve the dispute within the given time period, the dispute shall be escalated to the next higher level of representatives in the sequence as set forth below. Id) If the parties are unable to resolve the dispute in accordance with the escalation procedures set forth below, the parties may assert their rights under this Exhibit D. Notwithstanding the fact that the parties may be attempting to resolve a dispute in accordance with the informal dispute resolution procedures set forth in Saction 11.1 hereof, the parties agree to continue without delay all their respective responsibilities under this Exhibit 0 that are not affacted by the dispute. 11.3. Notwithstanding the foregoing, either party may, before or during the exercise of the informal dispute resolution procedures set forth in Saction 11.1, apply to a court having jurisdiction for a temporary restraining order or preliminary injunction where such relief is necessary to protact its interests pending completion of such informal dispute resolution procedures. 12. Termination 12.1. Termination for Default. Subjact to completion of the dispute resolution procedures set forth in Section 11.1 hereof, in the event that either party hereto materially defaults in the performance of any of its obligations hereunder, the other party may, at its option, terminate this Exhibn 0 by providing the defaulting party thirty (30) days' prior written notice of termination delivered in accordance with Section 32 hereof, which notice shall identify and describe with specificity the basis for such termination. If, prior to the expiration of such notice period, the defaulting party cures such default to the satisfaction of the non-defaulting party (as evidenced by written notice delivered by the non-defaulting party in accordance with Saction 32 hereof), termination shall not take place. 12.2. Termination Without Cause. The Client may terminate this ExhiM 0 without cause by providing Tiburon at least thirty (30) days' prior written notice of termination delivered in accordance with Saction 32 hereof. 12.3. Consequences of Termination. Upon termination of this Exhibit 0 for whatever reason: (a) Tiburon shall be under no further obligation to provide services hereunder; (b) Tiburon shall retum to the Client all Client confidential information in Tiburon's possession and shall certify in a written document signed by an officer of Tiburon that all such information has been retumed; (c) the Client shall retum to Tiburon all Tiburon confidential information in the Client's possession (including, without IimMtion, all devices, records, data, notes, reports, proposals, lists, correspondence, specifications, drawings, blueprints, sketches, materials, equipment or other documents or property relating to such Tiburon confidential information and all copias of any of the foregoing (in whatever medium recorded)) and all Third Party Products in its possession not yet accepted and not yet paid for in full together with all copies of documentation and other material related thereto, and shall certify in a written document signed by the Client Representative identified in Saction 7.2 hereof that all such information and material has been retumed; (d) the Client shall cause undisputed payments to be made to Tiburon within thirty (30) days of receipt of invoice for all outstanding invoices submitted to the Client prior to the effective date of the termination and for all costs and expenses incurred prior to the effactive date of the termination to the extent not invoiced prior to the effective date of the termination, based upon Tiburon's then- current labor rates; (e) in the event of termination by the Client for convenience under Saction 12.2 hereof, the Client shall cause payments to be made to Tiburon within thirty (30) days of receipt of invoice for all cancellation, restocking or residual fees resulting from the cancellation or return of Third Party Products ordered from or shipped by the vendor thereof prior to the Tiburon's receipt of notice of the termination. (f) in the event of termination by the Client for convenience under Section 12.2 hereof, any license fees paid prior to the effective date of the termination shall be forfeited by the Client. Tiburon agrees to protect, defend, indemnify, and save the Client, its agents, officials, elected officials, employees, or any firm, company, organization, or individual to whom the Client may be contracted harmless from and against any and all claims, demands, actions, and causes of action (the "Indemnified Matters"), which may arise on account of illness, disease, loss of property, services, wages, death or personal injuries resulting from Tiburon's negligence or willful misconduct in the performance of the services hereunder; provided, however, that IN NO EVENT SHALL TIBURON BE LIABLE FOR ANY LOSS OR DAMAGES RESULTING FROM THE OPERATION, DELAY OR FAILURE OF SOFTWARE OR EQUIPMENT PROVIDED BY TIBURON OR FOR THE ACCURACY OR COMPLETENESS OF DATA, AND UNDER NO CIRCUMSTANCES SHALL TIBURON BE LIABLE FOR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES. Tiburon agrees to further indemnify the Client for all reasonable expenses and attomey's fees incurred by the Client in connection with the Indemnified Matters. The costs , salary and expenses of the City Attorney and members of his office in enforcing this contract on behalf of the City shall be considered as "attomey's fees" for the purpose of this paragraph. 13.2 Indemnification for Infringement (a) Subject to the limitations in this Exhibit 0, Tiburon agrees to protect, defend, indemnify and save the Client, its agent, officials, employees, or any firm, company, organization or individual to whom the Client may be contracted harmless from and against any and all loss, liabilities, judgments, awards and costs (including without limitation, reasonable legal fees and expenses) finally awarded in favor of a third party or in settlement against the Client in any claim, action suit or proceeding (a "Claim") alleging that any Tiburon Application provided hereunder and used as contemplated herain infringes any United States patents issued es of the Effective Date or any copyrights, trademarks, trade secrets or other proprietary rights of any other party. (b) Tiburon will have no obligation under this Section 13.2 for any Claim that results from: (i) Any modification, alteration or change to any Tiburon Application by the Client or by any third party at the Clienfs request; (ii) Tiburon's use of standards or protocols adopted or approved by an industry- recognized organization; (Iii) use of any Tiburon Application in a manner not expressly permitted under this Exhibij 0; (iv) use of any Tiburon Application in combination with other products not provided by Tiburon when such combination is not exprassly permitted under this Exhibij 0; (v) the unlicensed or unauthorized use of distribution of any Tiburon Application by the Client; (vi) use of a superseded or altered release of any Tiburon Application If such infringement would have been avoided by the use of a current unaltered release of the Tiburon Applications that Tiburon provides to the Client; (vii) any combination of any of the foregoing. (e) In the event that the use of any Tiburon Application as delivered by Tiburon hereunder is, or in Tiburon's sole discretion may reasonably expected to be, subject to a Claim covered by this Section13.2, then Tiburon may, at ijs sole option any expense: Page 6 of 12 August 23, 2002 C 2002 Tlburon, Inc. System Upgrade Implementation PROPRIETARY AND CONFIDENTIAL (i) Procure for the Client the right to continue using such Tiburon Application as set forth in this Exhibit D; (ii) Replace or modify such Tiburon Application to make its use non-infringing while being capable of performing the same functions without substantial degradation of performance. If Tiburon determines, in its sole discretion, that neither altemative (i) or (II) above is reasonably available, then the Client will retum such Tiburon Application to Tiburon on Tiburon's written request any Tiburon will reimburse the Client for all amounts paid for such Tiburon Application. (d) THIS SECTION 13.2 CONTAINS THE CLIENT'S SOLE AND EXCLUSIVE REMEDY WITH RESPECT TO CLlAMS OF INFRINGEMENT OF PROPPRIETARY RIGHTS OF ANY KIND. 13.3. Notice and Assistance. Tiburon will only be liable for providing indemnification under Section 13.1 and Section 13.2 hereof if the Client (i) notifies Tiburon in writing of any Claim within thirty (30) days of becoming aware of such Claim, (ii) permits Tiburon to have primary control to defend, compromise or settle such Claim, and (iii) provides all reasonably available information, assistance and authority at Tiburon's reasonable expense. The Client can participate in, but not control, the defense or settlement of any such Claim at its own expense. If Tiburon fails to assume the defense of any such Claim within thirty (30) days after receipt of notice of such Claim, the Client will (upon delivery of written notice to Tiburon to such effect) have the right to undertake, at Tiburon's cost and expense, the defense, compromise, or settlement of such Claim; provided, however, that such Claim shall not be compromised or settled without the prior written consent of Tiburon, which consent shall not be unreasonably withheld, conditioned or delayed. In the event that the Client assumes the defense of any such Claim, the Client will keep Tiburon timely informed of the progress of any such defense and any related compromise or settlement. 14. Insurance 14.1. Tiburon shall procure and maintain in effect during the term of this Exhibit D the following insurance coverages with an insurance company or companies authorized to do business In the State of California and approved by the Client with a Best rating of no less than A:VII: (a) Workers' Compensation and Employers Liability insurance in accordance with the laws of the State of Califomia with liability limits of One Million Dollars ($1,000,000.00) per accident. (b) Comprehensive General Liability and Broad Form Comprehensive General Liability or Commercial General Liability including bodily injury, personal injury, and property damage in the amount of a combined single limit of One Million Dollars ($1,000,000), each occurrence, and Two Million Dollars ($2,000,000) in aggregate limit. (c) Comprehensive Auto Liability including bodily injury, personal injury and property damage in the amount of a combined single limit of One Million Dollars ($1,000,000.00). Coverage must include all automobiles utilized by Tiburon in connection with its performance of the services hereunder. 14.2. Thirty (30) days prior written notice will be given to the Client in the event of any material change in or cancellation of the policy. 14.3. Tiburon shall give prompt written notice to the Client of all known losses, damages, or injuries to any person or to property of the Client or third persons that may be in any way related to the services being provided hereunder or for which a claim might be made against the Client. Tiburon shall promptiy report to the Client all such claims that Tiburon has noticed, whether related to matters insured or uninsured. System Upgrade Implementation PROPRIETARY AND CONFIDENTIAL Client may be charged with an obligation to make any payment or reimbursement shall be made by Tiburon without the prior written approval of the Client. 15. Shipping and Risk of Loss All sales and deliveries are F.O.B. Destination at which time risk of loss shall pass to the Client. Tiburon shall retain risk of loss for equipment, goods and materials delivered to Tiburon's possession at its development facilities for purposes of Upgrade development and integration until such equipment, goods and materials have been delivered to the Client's facilities. Deliveries to the Client shall be addressed to the address set forth in Section 32 hereof unless the Client designates a different address in a wrillen notice delivered in accordance with Section 32 hereof. Tiburon reserves the right to make deliveries to the Client in installments, and this Exhibit 0 shall be severable as to such installments. 16. Equipment Compatibility 16.1. The Tiburon Applications will not fail to perform in accordance with the performance standards set forth in the Statement of Work. Tiburon shall not be responsible for the performance of the Tiburon Applications in combination with any other products, elements, or components not supplied by Tiburon except to the extent that Tiburon has provided the interface between such equipment and non- Tiburon products, elements or components pursuant to this Exhibit D. 16.2. THE CLIENT SHALL BE RESPONSIBLE FOR ANY EQUIPMENT NOT PROVIDED DIRECTLY BYTIBURON UNDER THIS EXHIBIT 0, INCLUDING WITHOUT LIMITATION THE CONDITION, OPERATION, AND PERFORMANCE IN THE SYSTEM OF SUCH EQUIPMENT, AND FOR THE INSTALLATION OF SUCH EQUIPMENT AND ASSOCIATED SOFTWARE, INTEGRATION INTO ANY APPLICABLE COMMUNICATIONS NETWORK, COMPATIBILITY WITH TIBURON SOFTWARE, PERFORMANCE AND DATA CAPACITIES, TIBURON PERSONNEL COSTS AND RELATED EXPENSES DUE TO TIME LOST DUE TO PROBLEMS WITH CLIENT-PROVIDED SOFTWARE OR EQUIPMENT, AND ANY IMPACT ON TIBURON SOFTWARE OR EQUIPMENT WHICH IMPACTS OVERALL SYSTEM OPERATION OR PERFORMANCE. TIBURON WILL UNDERTAKE THE AFOREMENTIONED RESPONSIBILITIES FOR CLIENT-PROVIDED EQUIPMENT ONLY UPON THE PAYMENT OF ADDITIONAL INTEGRATION FEES EXPRESSLY AND SPECIFICALLY DESIGNATED FOR SUCH PURPOSE IN THIS EXHIBIT 0 OR BY A CHANGE ORDER HERETO. 17. Limited Warranty 17.1. Tiburon owns the Tiburon Applications and has the right to license the Tiburon Applications and to resell or sublicense the Third Party Software. THE FOREGOING WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, WRITTEN OR ORAL, STATUTORY, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY OR WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. Tiburon makes no warranty with respect to any Third-Party Products. Warranty coverage for Third-Party Products shall be provided in accordance with the original manufacturers' warranty provisions. 17.2. Upon acceptance of each Tiburon Application (on an application-by-application basis) in accordance with the Statament of Work, the Client shall enter into Tiburon's then-current standard support agreement (the "Master Support Agreemenr), or an amendment thereto, pursuant to which Tiburon will, upon payment of the applicable annual support fee, provide extended support for such Tiburon Application. The Master Support Agreement shall be in substantially the form of the agreement attached hereto as Attachment 7. 18. Limitation of Liability TIBURON'S LIABILITY FOR ANY CLAIM, WHETHER IN TORT, CONTRACT OR OTHERWISE, SHALL BE LIMITED TO ONE HUNDRED THOUSAND DOLLARS ($100,000). IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY DAMAGES RESULTING FROM LOSS OF PROFIT OR BUSINESS, OR FOR ANY SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHETHER ARISING IN AN ACTION OF CONTRACT, TORT OR OTHER LEGAL THEORY AND REGARDLESS OF WHETHER SUCH PARTY KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. THE LAWS IN SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, AND THE ABOVE LIMITATION OR EXCLUSION SHALL BE CONSTRUED SO AS TO GIVE IT THE MAXIMUM PRACTICAL EFFECT WITHOUT VIOLATING SUCH LAWS. IF A COURT OF COMPETENT JURISDICTION DETERMINES THAT RELEVANT LAWS IN FORCE MAY IMPLY WARRANTIES AND LIABILITIES WHICH CANNOT BE EXCLUDED OR LIMITED OR WHICH CAN ONLY PARTLY BE EXCLUDED OR LIMITED, THEN THE LIMITS ON TIBURON'S LIABILITY SET OUT IN THIS EXHIBIT D SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. 19. Non-Discrimination Tiburon agrees that in perfonning its tasks under this Exhibit D, it shall not discriminata against any worker, employee, or applicant, or any member of the public, because of age, race, sex, creed, color, religion, or national origin, nor otherwise commit an unfair employment praclica in violation of any state or federal law. 20. Conflict of Intere.t Tiburon warrants that, to the best of its knowledge and belief, no person except bona fide employees, agents, consultants or representatives of Tiburon or any of its subcontractors has been employed or retained to solicit or secure this Exhibit D. 21. Independent Contractor Statu. The Client and Tiburon are independent contractors under this Exhibit D, and nothing herein shall be construed to creata a partnership, joint venture, or agency relationship between the parties hereto. Neither party shall have any authority to antar into agreements of any kind on behalf of the other and shall have no power or authority to bind or obligate the other in any manner to any third party. The employees or agents of one party shall not be deemed or construed to be the employees or agents of the other party for any purpose whatsoever. Each party hereto represents that it is acting on its own behalf and is not acting as an agent for or on behalf of any third party. 22. Assignment Neither party hereto may assign its rights or obligations under this Exhibit D without the prior written consent of the other party, which consent shall not be unreasonably withhald; provided, however, that Tiburon may assign this Exhibit D to its successor in connaclion with a sale of its businass without obtaining consent of any party. Subject to the foregoing, each and every covenant, tenn, provision and agreement contained in this Exhibit D shall be binding upon and inure to the benefit of the parties' permitted successors, executors, representatives, administrators and assigns. 23. Third Party Beneflclarle. This Exhibit D is entared into for the sole benefit of the Client and Tiburon and, where permitted above, their permitted successors, executors, representatives, edminlstrators and assigns. Nothing in this Exhibit D shall be construed as giving any benefrts, rights, remedies or claims to any other person, finn, corporation or other entity, including, without limitation, the general public or any member thereof, or to authorize anyone not a party to this Exhibit D to maintain a suit for personal injuries, property damage, or any other relief in law or equity in connaction with this Exhibit D. Governing Law All questions conceming the validity, operation, interpretation, construction and enforcement of any terms, covenents or conditions of this Exhibit 0 shall in all respects be governed by and determined in accordance with the laws of the State of California without giving effect to the choice of law principles thereof. The United Nations Convention on the Intemational Sale of Goods shall not apply to any transactions contemplated by this Exhibit D. 25. Venue All legal proceedings brought in connection with this Exhibit 0 may only be brought in a state or federal court loceted in the State of Califomia. Each party hereby agrees to submit to the personal jurisdiction of those courts for any lawsuits filed there against such party arising under or in connection with this Exhibit D. 26. Advice of Counsel Each party hereto has been afforded the opportunity to consult with counsel of its choice before entering into this Exhibit D. 27. Amendment No amendment or other modiflClltion of this Exhibit 0 shall be valid unless pursuant to a written instrument referencing this Exhibit 0 signed by duly authorized representatives of each of the parties hereto. 28. Waiver In order to be effective, any waiver of any right, benefit or power hereunder must be in writing and signed by an authorized representative of the party egainst whom enforcement of such waiver would be sought, it being intended that the conduct or failure to act of either party shall imply no waiver. Neither party shall by mere lapse of time without giving notice or taking other ection hereunder be deemed to have waived any breach by the other party of any of the provisions of this Exhibit D. No waiver of any right, benefit or power hereunder on a specific occesion shall be appliceble to any facts or circumstances other than the facts and circumstances specifically addressed by such waiver or to any future events, even if such future events involve facts and circumstances substantially similar to those specifically addressed by such waiver. No waiver of any right, benefit or power hereunder shall constitute, or be deemed to constitute, a waiver of any other right, benefit or power hereunder. Unless otherwise specifically set forth herein, neither party shall be required to give notice to the other party, or to any other third party, to enforce strict adherence to all terms of this Exhibit D. 29. Force Majeure Neither party will be liable for any failure or delay in the performance of its obligations under this Exhibit 0 (and the failure or delay will not be deemed a default of this Exhibit 0 or grounds for termination) if both of the following conditions are satisfied: (1) the failure or delay could not have been prevented by reasonable precautions, and cannot reasonably be circumvented by the non-performing party through the use of alternate sources, work-around plans, or other means; and (2) the failure or delay is caused, directly or indirectiy, by reason of fire or other casualty or accident; strikes or labor disputes; inability to procure raw materials, equipment, power or supplies; war, terrorism or other violence; any law, order, proclamation, regulation, ordinance, demand, or requirement of any govemmental agency or intergovemmental body other than a party hereto; or any other act or condition beyond the reasonable control of the non-performing party. Upon the occurrence of an event which satisfieS both of the above conditions (a "Force Majeure Evenr), the non- performing party will be excused from any further performance of those obligations under this Exhibit 0 affected by the Force Majeure Event for as long as (a) the Force Majeure Event continues; and (b) the non- performing party continues to use commercially reasonable efforts to recommence performance whenever and to whatever extent possible without delay. Severability If any provision of this ExhibR 0 shall for any reason be held to be invalid, illegal, unenforceable, or in conflict with any law of a fedaral, state, or local govemment having jurisdiction over this Exhibit 0, such provision shall be construed so as to make it enforceable to the greatast extent permitted, such provision shall remain in effect to the greatest extent permitted and the remaining provisions of this Exhibit 0 shall remain in full force and effect. 31. Entire Agreement This Exhibit 0 sets forth the final, complete and exclusive agreement and understanding between Tiburon and the Client relating to the subject matter hereof and supersedes all quotes, proposals understandings, representations, conditions, warranties, covenants, and all other communications between the parties (oral or written) relating to the subject matter hereof. Tiburon shall not be bound by any terms or conditions contained in any purchase order or other form provided by the Client in connection with this Exhibit 0 and any such terms and conditions shall have no force or effect. No affirmation, representation or warranty relating to the subject matter hereof by any employee, agent or other representative of Tiburon shall bind Tiburon or be enforceable by the Client unless specifically set forth in this Exhibit O. 32. Notices All notices, requests, demands, or other communications required or permitted to be given hereunder must be in writing and must be addressed to the parties at their respective addresses set forth below and shall be deemed to have been duly given when (a) delivered in person; (b) sent by facsimile transmission indicating receipt at the facsimile number where sent; (c) one (1) business day after being deposited with a reputable ovemight air courier service; or (d) three (3) business days after being deposited with the United States Postal Service, for delivery by certified or registered mail, postage pre-paid and retum receipt requested. All notices and other communicetions regarding default or termination of this Exhibit 0 shall be delivered by hand or sent by certified mail, postaga pre-paid and retum receipt requested. System Upgrade Implementation PROPRIETARY AND CONFIDENTIAL Attachment 1 To Tlburon System Upgrade Implementation DEFINITIONS This Attachment is attached to, incorporated into, and forms a part of Exhibit 0 the System Upgrade Implementation, dated June 7, 2002, between Tiburon and the Client (herein referred to as the "Exhibit 0"). Capitalized terms used in Exhibit 0 or any attachment thereto shall have the definitions set forth herein unless otherwise defined in Exhibit O. In the event of conflict between the terms and conditions set forth herein and those set forth in Exhibit 0, the terms and conditions set forth in Exhibit 0 shall prevail. 1. "As-Bullt Specifications" shall mean, with respect to any of the Tiburon Applications, the specifications for such Tiburon Application delivered to the Client upon the Client's acceptance of such Tiburon Application in accordance with the Statement of Work. 2. "Client" is defined in the preamble to the Agreement. 3. "Client Representative" is defined in Section 7.2 of Exhibit O. 4. "Contract Price" is defined in Section 4 of Exhibit O. 5. "Derivative Works" shall mean, with respect to any Tiburon Application, any translation, abridgement, revision, modification, or other form in which such Tiburon Application may be recast, transformed, modified, adapted or approved after the Client's acceptance of the Tiburon Application in accordance with the Statement of Work. 6. "Dispute Notice" is defined in Section 11.1 of Exhibit O. 7. "Disputing Party" is defined in Section 11.1 of Exhibit O. 8. "Documentation" shall mean, with respect to any Tiburon Application, those printed instructions, manuals, and diagrams pertaining to and furnished with such Tiburon Application. 9. "Effective Date" is defined in the First Amendment to the Agreement. 10. "ElTOr" shall mean, with respect to any Tiburon Application, a defect in the Source Code for such Tiburon Application that prevents such Tiburon Application from functioning in substantial conformity with the As-Built SpecifICations pertaining thereto. 11. "Force Majeure Event" is defined in Section 29 of Exhibit O. 12. "Indemnified Matters" is defined in Section 13 of Exhibit O. 13. "Maintenance Modifications" shall mean, with respect to any Tiburon Application, a computer software change to correct an Error in, and integrated into, such Tiburon Application, but that does not alter the functionality of such Tiburon Application and that is provided to the Client after the Client's acceptance of such Tlburon Application in accordance with the Statement of Work under the Master Support Agreement relating to such Tiburon Application. 14. "Object Code" shall mean computer programs assembled or compiled from Source Code in magnetic or electronic binary form on software media, which are readable and usable by machines, but not generally readable by humans without reverse-assembly, reverse-compiling, or reverse-engineering. 15. "Software License Agreement" shall mean any software license agreement between Tiburon and the Client delivered in accordance with Section 9.2 of Exhibit 0 pursuant to which Tiburon grants a limned license to use any of the Tiburon Applicetions in accordance with the terms and conditions thereof, as the same may be amended or otherwise modified from time to time. 17. "Source Code" shall mean computer programs written in higher-level programming languages, sometimes accompanied by English language comments. Source Code is intelligible to trained programmers and may be translated to Object Code for oparation on computer equipment through the process of compiling. 18. "Statement of Work" is defined in Section 2 of Exhibit o. 19. "Master Support Agreement" shall mean any support agreement between Tiburon and the Client delivered in accordance with Section 17.2 of the Exhibit 0 pursuant to which Tiburon provides warranty and extended support for any of the Tiburon Applications in accordance with the terms and conditions thereof, as the same may be amended or otherwise modified from time to time. 20. "System" shall mean the Client's computer automated system consisting of the Tiburon Applications to be delivered and installed by Tiburon under Exhibit 0, including without limitation servers and other computer and network hardware and equipment, oparating systems, any database or other third party software products, any PC or other workstation equipment having access to any of the Tiburon Applications, any communications interfaces and any wiring, cabling and connections. 21. "Third-Party Products" shall mean all software and hardware components delivered by Tiburon under this Exhibit 0 for integration into the System other than the Tiburon Applications. 22. ''Third-Party Software" is defined in Section 9.3 of Exhibit O. 23. ''Tlburon'' is defined in the preamble to the Agreement. 24. ''Tlburon Application" shall mean each software application developed by Tiburon and delivered to the Client under this Exhibn 0 and in accordance with the As-Built SpeciflClltionS relating thereto, including all Maintenance Modifications thereto, all Derivative Works thereof, and all related Documentation. 25. "Upgrade" shall mean, with respeclto any Tiburon Application, a computer program modiflClltion or addition, other than a Maintenance Modification, that alters the funclionalRy of, or adds new functions to, such Tiburon Application and that is integrated with such Tiburon Application after the Client's acceptance of the Tiburon Application in accordance with the Statement of Work, or that is related to such Tiburon Application but offered separately by Tiburon after the Client's acceptance of the Tiburon Application in accordance with the Statement of Work. The system will be composed and delivered using the following software components: A. Computer Assisted Dispatch (CADrn) for dispatch operations for Police and Fire 1. 911 Mapping 2. CAD Activity reporting System (CARS) 3. Geofile Conversion Toolkit (GCT) B. Field Automation System 1. Mobile Data System (MDS) 2. Automated Report System (ARS) C. Records Management System (RMSrn) for law enforcement records processing D. Corrections Management System (CMSlTi) for jail records processing The tasks listed within rnay not always start and complete in a sequential manner, but may overlap other tasks, according to the Project Plan or by request of the Tiburon Project Manager and with City approval, to address current scheduling issues and constraints. The completion and acceptance of any task is not contingent upon the completion of a previously defined task unless specifically identified in the completion criteria. The detailed project plan will be developed and mutually agreed during Task 1. It is expected that the project will be implemented in three phases of which will be defined and mutually agreed during Task 1. This Statement of Work is contingent upon Tiburon and the City fulfilling their respective responsibilities as defined In the Contract Agreement and within this document. Task Description: The project will be initiated with a Project Initiation Session including all key City and Tiburon project participants. The Project Initiation Session will be completed within sixty (60) calendar days following contract execution and receipt of valid notification of contract acceptance and notice-ta-proceed from the City, The objectives of this first meeting are: To introduce all project participants; Review roles of key participants; Establish a clear chain of communication and authority; Review overall project scope and objectives; Review overall project schedule; Review Business Practice Review process; Review resource and scheduling requirements for the Business Practice Review meetings. Responsibilities: Tiburon shall: a. Designate a Project Manager who will direct Tiburon's efforts and serve as the primary point of contact for the City. The responsibilities of the Tiburon Project Manager include, at applicable times during the project: Maintain project communications with City's Project Manager. Manage the efforts of Tiburon staff and coordinate Tiburon activities with the City's project team members. Develop and deliver a detailed Project Plan defining the detailed tasks and a schedule of Tiburon responsibilities. Measure and evaluate progress against the Project Plan. Resolve deviations from the Project Plan that are within Tiburon's control. Monitor the project to ensure that support resources are available as scheduled. Coordinate and oversee the installation of all licensed Tiburon application software. Conduct status meetings with the City's Project Manager on a monthly basis, or more frequently as may otherwise be reasonably required to discuss project status. Provide timely responses in writing to issues related to project progress raised in writing by the City's Project Manager. Prepare and submit, no later than the fifth business day of each month, a status report that identifies the activities of the previous month, as well as activities planned for the current month. Identify the efforts required of the City staff to meet the City's task requirements and milestones in the Statement of Work and Project Plan. Assist Tiburon in developing a detailed Project Plan defining the detailed tasks and a schedule of Tiburon and City responsibilities. Review the Project Plan with Tiburon's Project Manager. Assign one or more training officers who will work with Tiburon staff as needed for the duration of the project. e. Provide up to five (5) dial-up telephone lines and modems, with modular connections, convenient to the server equipment for the purpose of remote hardware and software support. These must be circuits capable of supporting V.32 BIS connections and may not connect through a PBX or other premise telephone system. The City will be responsible for providing the five modems during the implementation project. Completion Criteria: This task is considered complete when the Project Initiation Session has been held and a schedule for Business Practice Review meetings has been determined. Page 3 of 66 Version 3.4 Task 2 : Attachment 2 Statement of Work To Exhibit D To the Agreement for extended service CADnI Business Practice Review Objective: Review and document CADITi system tailoring requirements. Also review 911 Mapping, AVL and Fire Alerting integration requirements Task Description: Review meetings will be held for each Tiburon CADITi subsystem to be delivered within this Statement of Work, to identify all requirements for tailoring and the implementation of external interfaces. All review meetings will be supplemented with additional reviews, where required, to define all required internal and external system Interfaces. All modules identified will be demonstrated to aid in the analysis of the systems' functionality. Using Tiburon's baseline CADITi Baseline Specification and Interface Control documents, as well as the documentation from 911 Mapping, Tiburon will work with the appropriate City staff to identify and document all tailoring requirements for each Tiburon system and for each interface to be installed. This information will be summarized in a Change List document to be mutually agreed upon by Tiburon and the City. Standard system tailoring includes the renaming of agency-specific data elements, as well as defining site-specific parameters. It does not include modifications to the application software, database layouts, report output column headers or formatting, or interfaces to intemal or external databases or systems. All system changes that result In such modification are considered system customization, and, if not included as specifIC project deliverables, will be on a change-order basis at additional cost and may impact the project schedule. Responsibilities: Tiburon shall: a. Provide up to four (4) consecutive workdays of on-site support to review, with City personnel, Tiburon's CADITi, and associated subsystems, identify those items to be tailored and provide a categorized list, if any, of potential customization items. Should this tesk require additional time on site, Tiburon will provide the necessary steffing to ensure succ:essful completion of this task. If potential delays are the result of City issues, Tiburon may request relief on additional staff efforts. b. Conduct detailed system demonstrations to aid in the Business Practica Review process. c. Review the appropriate Baseline Specification documents with the appropriate City personnel and document any changes and/or corrections that are mutually agreed upon in a Change List document. d. Provide, on request, any existing information, record layouts and documents necessary to establish interfacas with allloc:al and remote systems and facilities. e. Analyze, with City personnel, the Interface Control Documents included as Attachment C of the contract. f. Provide data forms for the City to complete for any data that Tiburon will be entering. g. Identify all CADITi interfaces, listed under Task 7 CADITi System Interfaces, to be implemented according to the Interface Control Document (Attachment C) in the contract documents, addressing all interface specifications and issues to be addressed and documented, including any applicable information to be added to the Change List document. h. Procure equipment and deliver to Tiburon staging location. CompleUon Criteria: This task is considered complete upon receipt of the City's written approval of the Change List document(s), except for any pending items agreed to by both parties and so identified by the City in writing. Additionally, the City and Tiburon must reach agreement on the hardware configuration required to support the system outlined in this task. Task 3 : Develop CAonl Project Plan ObjecUve: Establish the CADfTi and associated subsystems final Project Plan Task DescrlpUon: The objective of this task is to finalize the CADfTi and associated subsystems Project Plan based upon the requirements identified and the associated project objectives, plans, schedules, approvals. priorities and inter-dependencies among tasks. The resulting document defines the specific project tasks to be completed. documents the CADfTi and associated subsystems final Project Plan and schedule for each major subsystem. Hardware and software warranty periods will be identified in the contract. Tiburon shall: a. Review with City personnel the identified implementation tasks. priorities. inter-dependencies and other requirements needed to establish the final CADfTi and associated subsystems Project Plan. b. Prepare the CADfTi and associated subsystems final Project Plan document and deliver to the City. c. Review the Project Plan with City personnel and make changes and/or corrections that are mutually agreed upon. The City shall: a. Analyze with Tiburon project personnel the identified requirements and make such implementation decisions as may be reasonably required to finalize the Project Plan. Review the CADITi and associated subsystems final Project Plan and identify in writing any specific deficiencies found. CompleUon Criteria: This task is considered complete when the City notifies Tiburon in writing of acceptance of the Final Project Plan. The City shall not unreasonably delay such notification. Task 4 : Order CADnI Hardware Objective: Order, ship, install principal CADITi hardware and software components and system software, at the designated Tiburon staging site. The City is responsible for procuring all hardware, system software and related equipment. Task Description: The City will order, purchase, ship and install the necessary CADITi hardware configuration at the designated Tiburon staging site. Responsibilities: Tiburon shall: a. Work with the City in verifying the CAD hardware configuration prior to ordering. b. Provide a staging site adequate for the installation, operation and maintenance of the necessary computer and workstation equipment to stage the system. The City shall: a. Work with Tiburon in verifying the CAD hardware configuration prior to ordering. b. Order and ship to Tiburon's staging center representative server and workstation equipment needed to support initial operating software installation, tailoring and demonstration of the software products. Completion Criteria: This task is considered complete when the CAD hardware system and associated components have been installed by the City and successfully tested by Tlburon. The City is welcome to visit the Tiburon staging center to validate the installation of the baseline software and the operation of the hardware. The City is responsible for travel costs associated with this visit. Task 5 : CADnI System and Subsystem Tailoring Objective: Execute CADITi system tailoring as specified in the Change List document. Task Description: All CADITi software tailoring is the responsibility of Tiburon, with the initial phases being performed in Tiburon's Development Center, based upon the Change List Document. Tailor and unit test the application software. which has been designated for off-site installation and modification in accordanca with the Change List document. The City shall: a. Respond to these requests in a timely manner to avoid impacting overall project schedule. Completion Criteria: This task is considered complete when Tiburon cartifies and the City verifies that the necassary software systems are installed and unit tested in the Tiburon Development Center. Task 6 : CADnI On-8lte Hardware and Software Installation Objective: Install and test the CAD/Ti hardware and software components at the City site. Task Description: All applicable CAD/Ti software will be loaded on the City's server equipment. Responsibilities: Tiburon shall: a. Install and test the requisite software b. Build the CAD/Ti file structure. c. Install CAD/Ti Iicansed software within this configuration. d. Test the initial operation of the baseline CAD/Ti systems. The City shall: a. Ship hardware from staging site and install at the City. b. Provide all requisite hardware and a site adequate for the installation, operation and maintenance of all computer and workstation equipment. c. Provide. install and integrate any City provided hardware, including communication lines, modems. hubs, routers, cabling and other components necassary for system operation and maintenanca. d. Assume responsibility for any modifications to any fumiture as required for workstation operation and maintenanca. e. Install and verify operation of the City-provided network. Provide TCP/IP communications support for any existing networks, workstations and printers that are to have access to the CADITi applications. g. Provide Tiburon personnel access to facilities and system components seven days per week and 24 hours per day, subject to The City's approval. Completion Criteria: This task is considered complete when the CADITi hardware and application modules have been installed, and successfully tested. Task 7 : CADlTI System Interfaces Objective: Develop, install and test all CADITi System Interfaces. Task Description: Once the equipment and tailored software have been installed on the City premises, all remaining local and remote interfaces as specified in the list of deliverables in the contractual documents will be developed, installed and tested. Responsibilities: Tiburon shall: a. Develop, install, tailor and unit test all software required for the following interfaces resulting in their operating in accordance with the appropriate Baseline Specification, Change List and Interface Control documents: o E9-1-1 Plant (Vesta at 1 site) o 911 Mapping o Fire Alerting InterfacelTone Encode (Motorola MOBeAD) o Master time interface (WWVB) o RNC o MDSlMDT CAD functional subsystem o AVL o CDPD o Alpha paging o CLETS via San Bernardino County Message Switch (TCPIIP) o Tiburon dial-in access b. Provide a sample set of ten (10) Reformatter forms, logic tables, and outbound transaction data streams to be used as a reference in the development of the City Reformatter transactions. Provide and install all communications lines and equipment. d. Provide all required liaison support with the agencies and vendors required to support the interfaces. e. Provide San Bemardino County message switch access, routers and associated equipment. f. Provide all required liaison support with the agencies and vendors, required to support the San Bernardino County message switch connection. g. Ensure that the necessary technical support is made available for installation, testing and demonstration of the interfaces. h. Assume responsibility for building additional Reformatter forms beyond the ten provided by Tiburon. Completion Criteria: This task is considered complete when Tiburon certifies and the City verifies each interface is installed and unit tested. The operation or availability of the external system or third-party software is not necessary for task completion. Task 8 : Geographic File Building and Loading Perform tasks needed to assist City in the initial and on-going conversion and loading of CAD and the selected map engine and associated map database, based upon the CITY- provided Arclnfo database. This is a critical task. As such, Tiburon will work closely with City to ensure completion at least (1) month prior to the scheduling of any file maintenance training. Task completion will be confirmed by City's signature on the task sign-off letter prepared by Tiburon. Task Description: Objective: Tiburon will configure the City provided Geographic Conversion Tool (GCT) workstation for the purpose of converting City's existing ESRI data from Arclnfo format to Tiburon's Geofile Format (TGF), to be used by all applicable Tiburon systems identified in this Statement of Work. Tiburon will implement the Geographic Conversion Process (GCP) to support the loading of data in TGF format onto Tiburon licensed software system files. Following the initial data conversion, City will be responsible for on-going conversions using this same product and process. Provide Clity with documentation describing the Tiburon Geographic File (TGF) format process and file definition. The document is tided Geofile Construction Document. b. Obtain from City standard Arclnfo shape files representing the geographic areas to be supported by the systems proposed. c. Obtain from City all polygon layers required for mapping display. The maximum number of separate layers will be determined during the BPR. d. Generate the GCT server system and load the Arclnfo file onto the conversion database in TGFfTi format, making it available for final processing via the GCP. e. Provide City with information regarding the types of data errors that will be identified during the GCT and GCP operations that require correction in the CITY provided database. f. Convert the Arclnfo polygon data to generate the associated polygon layers on the 911 Mapping display. g. Provide the software needed to allow batch loading of Tiburon licensed systems. h. Provide City with listings of any geographic file data errors or warnings produced by the GCT or GCP processes to be used for correction of client-provided information. i. Provide the CADfTi software necessary for City to enter and maintain the associated geographic area and response district files, defined patterns and district search lists as CAD databases. j. Provide training on the GCT program as specified in the training table. k. Provide and install the GCT Workstation. CITY shall: a. Take responsibility for the data utilized in initial file creation and responsibility for ongoing file correction and maintenance. b. Provide a geographic file coordinator to act as the point of contact regarding geographic data, conversion and loading issues. c. Provide a geographic database as a standard Arclnfo shape file, in a format readable by ESRI's MapObjects tools, for import into the GCT system either via network connection, by compatible tape drive or CD-ROM media. d. Provide this geographic database with all required Tiburon Geographic File (TGF)fTi fields present as separate fl8lds, except those fields that are to be created by the GCT and GCP. e. Review the Tiburon-provided definition of geographic data file error types that may result in exceptions as part of the GCT and GCP process. f. Provide all applicable Arclnfo polygon, poly-line (streets), and point files required to define the complete CAD and 911 Mapping engine database, as described in the Geofile Construction Document. Be solely responsible for the content and accuracy of the geographic file and all related data. j. Provide support for ongoing file conversion and raload on a scheduled basis. Completion Criteria: This task is considered complete when Tiburon has loaded a baseline Arclnfo geographic file on the Tiburon provided GCT sarver and performed the initial conversion of this information into the standard Tiburon Geographic File (TGF) format. and has successfully demonstrated the operation of the GCP to load the appropriate data necessary for CAD. Damonstration of tha mutually agreed operations, using the initial geographic information. is sufficient for task completion; data errors in the client-provided database will not prevent task completion. unless the errors prevent the geo load from operating (missing mandatory fields. or unique 10 values which are not unique. for example). Task completion will be confirmed by City's signature on the task sign-off letter prepared by Tiburon. Task 9 : Gen8l'll1 File Building Objective: Establish test and production files. Task Description: The Tiburon project team will be responsible for building a set of testltraining files and for defining all production data files. The Tiburon project team will than train and assist the City staff in the entry of agency-specific information such as code tables. unit idantification. reporting area definition. unit recommendation criteria. etc. Responsibilities: Tiburon shall: a. Build a sat of test/training files and define all production data files. b. Provide standard training sassions. as listed under Task 15. CADfTi Technical/User Training and Documentation. for City personnel on the antry of agency-specifIC data. The City shall: a. Develop and enter all agency-specific input data, which is to be entered manually. b. Complete the Tiburon provided forms for any data to be entered by Tiburon. if any. c. Be responsible for the accuracy of the data provided by the City. Task 10: CADlTI SUbsystem Instal/atlon Objective: Install, configure and demonstrate remaining CADfTi subsystems. Task Description: After CADfTi has been successfully installed and is being prepared for the functional test phase, all remaining CADfTi subsystems will be installed. Depending upon the final Project Plan, one or more of these systems may be installed at an earlier date. These systems include. according to the contract deliverables: lJ CARS - CAD Activity Reporting System lJ 911 Mapping Responsibilities: Tiburon shall: a. Provide the software and services to install Tiburon and third-party licensed software. b. Configure the systems as applicable. according to the, as built, System Specificetion. c. Interface to the system network, according to the network configuration. d. Test the operation of data transfer functions. e. Test the operation of the subsystem. The City shall: a. Provide the required computer and network equipment. b. Work with Tiburon to verify the operation of the applicable systems. Completion Criteria: This task is considered complete when all remaining CADfTi subsystems have been demonstrated to operate in accordance with the System Specification, with minor deficiencies documented for subsequent correction following this task. Task 11 : Deliver CADlTI System Specification Documents Objective: Document and deliver CADfTi final System Specification documents. Task Description: The information gathered and documented in Task 2, CADfTi Business Practice Review, and during subsequent points in the project. will be used to update the appropriate Baseline Specification documents. Prepare final System Specification documents as described above for each Tiburon system to be installed. b. Prepare finallnterfaca Control documents as described above for each interfaca installed. The City shall: a. Review the System Specification documents submitted by Tiburon and identify, in writing, any specific deficiencies found. Completion Criteria: This task is considered complete when the City notifies Tiburon in writing of the receipt and acceptance of the CADfTi System Specification documents. The City shall not unreasonably delay such notification. CADfTi Task 12: CADfTI Functional Testing Objective: Perform functional tests of all CADfTi systems. Task Description: Following unit testing of each individual system component, Tiburon will demonstrate the applicable functions and features for all installed systems. The Final System Specification documents will serve as the guidelines for these demonstrations. The City staff will perform functional testing of the individual components of all systems and subsystems with assistance of Tiburon personnel. Responsibilities: Tiburon shall: a. Utilize the final, updated version of the System Specification documents for purposes of functional testing. b. Certify all applicable software and systems as ready for functional testing. c. Demonstrate the tailored functions of the installed systems, using the System Specification documents as a test guideline. d. Provide system operational assistance to the City staff in the entering of test data. e. Review any discrepancies in functionality identified by the City. f. Software or documentation shall be modified prior to cut-over, as needed, to correct the discrepancies as identified. If the discrepancy exists with the software, then the modification shall be made to the software and also to the documentation. g. Verify that the CADfTi system has satisfactorily completed the Functional Testing tasks. Test and verify each function identified in the System Specification documents as to its operation as documented. c. Document each discrepancy between system functionality and the System Specification documents. d. Work with Tiburon to identify the type of correction needed to ensure that each system conforms to the System Specification documents. Completion Criteria: This task is considered complete when Tiburon certifies and the City verifies all major system and subsystem functions have been demonstrated to operate in accordance with the System Specification documents. Task 13 : Final CADnI Equipment Installation Objective: Install all remaining cables, modems, hubs, routers, printers, workstations and other equipment required for production operation. Task Description: Prior to the System Integration Test, described in the following task, all remaining computer, communications and related components will be installed. The City will be responsible for the installation of all equipment not provided by Tiburon as a contract deliverable. Responsibilities: Tiburon shall: a. Provide the City with software configuration diskettes and installation instructions for any remaining workstations to be loaded with Tiburon licensed software. The City shall: a. Provide, configure and install all remaining CADITi equipment. b. Install all remaining network, cabling and associated equipment.. c. Complete any required console and related modifications. d. Provide and install any remaining network cables and verify both network and PC operation. e. Perform any site modifications to allow successful equipment installation f. Provide and install all necessary UPS equipment. g. Install and verify the operation of all City-installed workstation system software. Tiburon will demonstrate all internal and external interfaces to ensure that the combined systems operate together as defined in the CADfTi System Specification document. City staff will conduct the integration tasting of the overall public safety system. Responsibilities: Tiburon shall: a. Certify the interfaces as ready for integration testing. b. Demonstrata all intar-systam communications between installed Tiburon systems and between Tiburon and non-Tiburon systems, according to the CADfTi System Specification documents. c. Assist the City in testing each interface. d. Review any discrepancies that are identified by the City. e. Provide software or documentation modifications as needed to correct the discrepancies. If the discrepancy exists with the software. Tiburon shall repair the software. If the discrepancy is with a third party product. Tiburon shall provide documentation to allow correction by a third party. f. Verify that the CADfTI system has satisfactorily completed the Systems Integration Testing tasks. The City shall: a. Conduct testing and verify all inter-system communications between installed Tiburon systems and between Tiburon and non- Tiburon systems to ensure conformance with the approved System Specification documents. b. Document each discrepancy between system functionality and the System Spacjfication documents. c. Work with Tiburon to identify the type of correction needed to ensure that each system conforms to the System Specification documents. A set of user and technical documents. will be provided for all installed systems. Certain training classes listed within this section may take place prior to the general training task or conjunction with the installation and integration of specific subsystems (e.g.. geographic systems. mobile computing systems. reporting systems). Responsibilities: Tiburon shall: a. Provide a training plan outlining course objectives, course content and other information that is pertinent to the CAD functionality covered in the training table. b. Provide CADITi training for the City Technical and Training staff members for all Tiburon licensed software installed, and on a mutually agreed to schedule. Training will be provided on all standard shifts. not to exceed eight consecutive hours per 24-hour period. c. Provide one (1) complete set of printed training materials. including lesson plans for the courses in the form of reproducible black & white masters and machine-readable documents in Microsoft Word 97 or higher format, besed upon Tiburon's documentation standard at the time of delivery. Provide one workstation per trainee and one workstation for the trainer. g. Provide students with basic Windows literacy. h. Pay for travel and per diem expenses for City staff electing to attend any off-site training classes offered by Tiburon and selected by the City. Task 16 : CADlTI Performance Test ObJective: Demonstrate CADfTi system performance. Task Description: This task will require Tiburon to demonstrate CADfTi performance and reliability levels according to Attachment A of this SOW. Some or all of these tests may take place prior to production cutover with the City's approval. Responsibilities: Tiburon shall: a. Define and provide the measurement process to record the results of the performance tests. b. Assist the City in performing the test process. c. Make any software modifications required in the event that CADfTi does not meet the performance criteria. The City shall: a. Provide the site and facilities necessary for the performance of the test script. b. Work with Tiburon to develop the final script of transactions to be tested. c. Provide City staff to enter data and CADfTi transactions during the test period. d. Perform the performance test script with the assistance of Tiburon. e. Ensure that the results of the performance test are within the proposed limits. f. Work with Tiburon to conduct System Performance Tests. Completion Criteria: CADfTi will be demonstrated to meet Minimum Performance Criteria. Approximately one month prior to the start of the performance demonstration, City staff and Tiburon will agree on a test script that conforms to the numbers and types of transactions to be tested on the CADfTi system. Task Description: Once functional and integration testing is complete and Minimum Performance Criteria has been met, Tiburon will certify CADfTi for operational status and then assist the City in placing CADfTi into production status with on-site staff until complete, but not to exceed 8 hours of on-site staff time. Responsibilities: Tiburon shall: a. Notify the City when the CADfTi system is certified and ready for production operation. b. Assist the City steff in placing CADfTi into a production status. c. Monitor the initial operation of CADfTi and answer any operational questions by the City. d. Assist the City staff in utilizing the system and the computer operations staff in supporting the system. The City shall: a. Place the software into production within ten (10) business days following certification and begin operational use in consultation with Tiburon and in accordance with the detailed Project Schedule developed in Task 3. b. Perform necessary data-base backups on a scheduled basis based upon Tiburon's written recommendations, and store these beckups in a secure location. Compietlon Criteria: This task is considered complete when each system is certified by Tiburon to be ready for productive use, and accepted in writing by the City, and production operation has begun. Task 18 : CADlTI System Reliability TesUng Objective: Verify the level of reliability of CADfTi in a production environment. Task Description: This task will verify that the CADfTi system demonstrates reliable operation in a production environment prior to accepting the system and moving it into maintenance. Responsibilities: Tiburon shall: a. Verify that CADfTi has successfully completed the CADfTi Functional, Integration and Performance Testing tasks. b. Provide system corrections needed to restore full system operation in the event of a failure. The City shall: a. Utilize the CADITi system in a production environment. b. Monitor the operation of CADITi. c. Log all occurrences of system failures. d. Contact Tiburon personnel in a timely manner in the event of system problems or failures. e. Begin system monitoring in support of the maintenance period. Completion Criteria: This task is considered complete when Tiburon certifies and the City verifies the successful completion of reliability testing es stated in Attachment A of the SOW. Upon the successful completion of performance and reliability testing, the system will be considered accepted and it will move into maintenance. Task 19 Mobile Data System (MDS) Softwarelnstallat/on ObJective: Install and test the Mobile Data System software on the City-provided Mobile Data Computer (MDC) network. Develop, install and tast the CADITi interlace to, and in support of, the MDC network. Develop install and test the Mobile Software modificetion in support of Vehicle Locate functionality. Install a pilot set of MDC software and demonstrate operation in the City's environment. Conduct tasting of the CADITi dispatch functions and mobile mapping functionality as applicable. (Mobile ARS functionality is provided w~hin RMSITi related tasks). Provide the City with software and training to allow the installation of all remaining MDC software. Task Description: Tiburon will load the MDC software on a maximum of five (5) MDC units, for testing and demonstration purposes. It is assumed that these units will be integrated within the same wireless environment as will be used in live operation of the system. Interface testing will include the demonstration of mobile dispatch messages, status changes, inquiries to local CADITi files and the display of the associated response messages. Data download of CADITi information to the ARS application is part of the RMSITi activities. The wireless MDS environment will communicate with CADITi through an RNC interface. Responsibilities: Tiburon shall: a. Install Tiburon software on up to five (5) MDC units and provide training, as defined in Task 15 CADITi Technical/User Training and Documentation, to City personnel for the purpose of the City installing Tiburon software on the remaining units. Installation and training shall not exceed one day. b. Develop, install and test the CADITi interface software to communicate with the network of MDC computers in the RNC environment. Develop, install and test the Mobile Software modification to provide Vehicle Location functionality. d. Demonstrate the primary operation of this pilot set of mobile units for the purpose of receiving dispatch messages, entering status changes, displaying data from CADITi data files, and if available at the time of this test, inquiries into remote databases. The City shall: a. Provide the installation site and related support for the installation of the base station and antenna equipment, if necessary. b. Equip up to five (5) pilot vehicles with mobile radios, antennas and MDCs, providing any necessary vehicle modification to accept this equipment. c. Provide all required mobile hardware, including radio, MDC, modem and cabling. d. Confirm successful integration between the mobile unit and the existing wireless network. e. Be responsible for the installation and integration of MDC mounting in vehicles. f. Provide the staff necessary to tast the pilot mobile configuration with CADITi. g. Following successful pilot testing of this network, take responsibility for the installation of radio, antenna and MDC equipment and software in all remaining City vehicles. h. Install and configure the Tiburon-provided MDS software on all remaining MDC's, whether fixed or mobile. i. Train mobile users. Completion Criteria: This is considered complete when the ability to receive digital dispatch information, enter status changes and access CADITi data files and Mobile Maps as applicable can be demonstrated on the complete set of up to five (5) pilot vehicles. The installation, tast and demonstration of the entire mobile computer network are not required for task completion. Task 20 MDS Operational Certification and Production Cutover Objective: Certify MDS and cutover production status. Task Description: Once functional and integration testing is complete, Tiburon will certify each system for operational status and then assist the City in placlng each system into production status with on-site support until complete, but not to exceed 8 hours of on-site support. Responsibilities: Tiburon shall: a. Notify the City when the MDS system is certified and ready for production operation. Page 22 of 66 Version 3.4 Attachment 2 Statement of Work To Exhibit D To the Agreement for extended service Task 21 : RMSlTI Business Practice Review Objective: Review and define RMSfTi system requirements. Task Description: On-site meetings at a City facility will be held for each Tiburon RMSfTi subsystem to be delivered within this Statement of Work. for the purpose of system functionality validation, identification of tailoring requirements, and the implementation of extemal interfaces. All review meetings will be supplemented with additional reviews, where required. to define all intemal and external system interfaces. All modules identified will be demonstrated to aid in the analysis of the systems' functionality. Using Tiburon's RMSfTi (Baseline) Specification, and the Interface Control Document (ICD), included as Attachment C to this SOW, Tiburon will work with the appropriate City staff to identify and document all tailoring requirements for eech Tiburon system and for each interface to be installed. This information will be summarized in a Change List document to be mutually agreed upon by Tiburon and the City. Standard system tailoring includes the renaming of agency-specific data elements as well as defining site-specific parameters. It does not include modificetions to the application software. database layouts. report output formatting. or interfaces to internal or external databases or systems. All system changes that result in such modification are considered system customization, and, if not included as specific project deliverables. will be on a change-order basis at additional cost, to be implemented after project completion and acceptance. Output reports that would normally contain an agency description in the title will reflect the appropriate agency's name. Responsibilities: Tiburon shall: a. Provide up to three (3) consecutive workdays of on-site support to review. with City personnel. Tiburon's RMS/Ti. and associated subsystems. identify those items to be tailored and provide a categorized list. if any. of potential customization items to be addressed during the post implementation phase. Should this task require additional time on site, Tiburon will provide the necessary staffing to ensure successful completion of this task. If potential delays are the result of City issues, Tiburon will be entitled to relief on additional staff efforts. b. Conduct detailed system demonstrations to aid in the Business Practice Review process. c. Review the appropriate Baseline Specification documents and Interface Control documents with the appropriate City personnel and document any changes and/or corrections that are mutually agreed upon in a Change List document. d. Provide. on request. currently existing information. record layouts and documents necessary to establish interfaces with all local and remote systems and facilities. e. Analyze. with City personnel, the Interface Control Document, included as Attachment C regarding those interfaces directly related to the RMS application. f. Review all RMS/Ti interfaces, listed in Attachment C, to be implemented according to the Interface Control Document. Review interface specifications and issues to be addressed and documented. including any applicable information to be added to the Change List document. j. Review and validate. with the City, all hardware configurations before the City orders equipment. Provide, upon request, currenUy existing information, data, records, documents and make such design decisions as may be reasonably required to document changes necessary for the Tiburon systems. b. Provide detailed specifications and definitions for all interfaces listed under Task 28 to non- Tiburon systems. c. Ensure that appropriate City personnel are present and actively participating in scheduled Business Practice Review meetings. d. Review the appropriate Baseline Specification documents and Change List documents submitted by Tiburon and identify in writing any specific deficiencies found. e. Procure equipment and deliver to Tiburon staging location. Completion Criteria: This task is considered complete upon receipt of the City's written approval of the Change List document(s), except for any pending items agreed to by both parties and so identified by the City in writing. Additionally, the City and Tiburon shall agree on the hardware configuration required to support the system ouUined in this task. Task 22 : Develop RMS/TI Project Plan Objective: Establish the RMSlTi and associated subsystems Project Plan Task Description: The objective of this task is to finalize the Project Plan for RMSlTi activities based upon the requirements identified and the associated project objectives, plans, schedules, approvals, priorities and inter- dependencies among tasks. The resulting document defines the specific project tasks to be completed, documents the final Project Plan and schedule for each major RMSlTi subsystem. Tiburon shall: a. Review with City personnel the identified implementation tasks, priorities, inter-dependencies and other requirements needed to establish the RMSlTi and associated subsystems Project Plan. b. Prepare the RMSlTi and associated subsystems Project Plan document and deliver to the City. c. Review the Project Plan with City personnel and make changes and/or corrections that are mutually agreed upon. The City shall: a. Analyze with Tiburon project personnel the identified requirements and make such implementation decisions as may be reasonably required to finalize the RMSlTi and associated subsystems Project Plan. Review the RMSrn and associated subsystems Project Plan and identify in writing any specific deficiencies found. The City shall not unreasonably delay such notification. Task 23 : Order RMSlTI Hardware and Stage RMSlTI Hardware and Software by Tlburon Objective: Orderlship/instalVtest principal RMSrn hardware and software components and system software, at the designated Tiburon staging site. The City is responsible for procuring all equipment. Task Description: Following the completion of the Project Plan developed in Task 22, the City will install the complete RMSlTi hardware configuration at the designated Tiburon staging site. Responsibilities: Tiburon shall: a. Work with the City in verifying the RMSlTi hardware configuration prior to ordering. b. Provide a staging site adequate for the installation, operation and maintenance of the necessary computer and workstation equipment to stage the system. The City shall: a. Work with Tiburon in verifying the RMSlTi hardware configuration prior to ordering. b. Order and ship to Tiburon's staging center rapresentative server and workstation equipment needed to supporl initial operating software installation, tailoring and demonstration of the software products. Completion Criteria: This task is considered complete when the RMSlTi hardware system and associated components have been installed by the City and successfully tested by Tiburon. The City is welcome to visit the Tiburon staging center to validate the installation of the baseline software and the operation of the hardware. The City is responsible for travel costs associated with this visit. Task 24 : RMSlTI System and Subsystem Tailoring Objective: Provide RMSrn system tailoring as specified in the City-approved Change List document. Task Description: All RMSrn software tailoring is the responsibility of Tiburon, with the Initial phases being performed in Tiburon's Development Center, based upon the Change List Document. Tailor the application software in accordanca with the Change List Document. The City shall: a. Be available, via telephone or at the City site during normal City business hours, to address and answer questions that arise during system tailoring. b. Respond to these requests in a timely manner to avoid impacting the overall Project Schedule developed in Task 22. Completion Criteria: This task is considered complete when Tiburon certifies and C~y verifies that the necessary software systems have been tailored, are installed and unit tested and approved. Task 25 : RMSlTI On.Site Hardware and Software Installation ObJective: Install and test the RMSfTi hardware and software components at the City site. Task Description: All applicable RMSlTi application hardware and software will be installed and loaded at the City site. Responsibilities: Tiburon shall: a. Install and test the requisite software. b. Build the RMSlTi file structure. c. Install RMSlTi licensed software within this configuration. d. Test the initial operation of the RMSlTi system. The City shall: a. Ship equipment from staging location and install at City site. b. Provide all requisite hardware and a site adequate for the instellation, operation and maintenance of all computer and workstation equipment. c. Provide, instell and integrate any City-provided hardware, including communication lines, modems, hubs, routers, cabling and other components necessary for system operation and maintenance. d. Assume responsibility for any modifications to any furniture as required for workstation operation and maintenance. Provide Tiburon personnel access to facilities and system components seven days per week and 24 hours per day, subject to the City's approval. Completion Criteria: This task is considered complete when the RMSlTi hardware and application modules have been installed and successfully tested. Task 26 : RMSlTllnltJal Data File Conversion Objective: Perform initial data file conversion and testing. Task Description: This task provides for the conversion of City data files, to be defined during the RMSlTi Business Practice Review, Tesk 21 and initial loading of the associated RMS/Ti files. File conversion takes place at two key points in the project: (1) this task, where the initial conversion process is developed and tested, and (2) immediately prior to production cutover, where the then-current City data files are converted for use by RMS/Ti. Tiburon and the City acknowledge that data conversion is limited to the data that can be mapped to the RMSlTi database. Responsibilities: Tiburon shall: a. Working with the City, create field mapping definitions and transfer data formats, that specify which existing data fields are to be converted to which RMSlTi data fields, and which data fields are not to be converted. b. Prepare the required conversion software to accept the files provided by the City and to create the necessary RMS/Ti data files. c. Accept the sample data to be converted, and perform the data conversion process to load the test files on RMS/Ti. d. Review the conversion process and the resulting files with the City and, in case of problems, identify whether the problem needs to be corrected by Tiburon or by the City, or both. e. Deliver converted data to the City for review. The City shall: a. Review the conversion process and the resulting files with Tiburon and, in case of problems caused by the City, provide an updated set of files for conversion and re-testing. Completion Crlt.ria: This task is considered complete after Tiburon has notified the City in writing of the successful conversion, validation and review of the representative set of data from each file, and the City notifies Tiburon in writing of acceptance of the review and validation. The City shall not unreasonably delay such notification. Actual data conversion of the complete production sat of existing City files will take place as part of Task 34. Task 27 : Automated R.portlng Syst.m (ARS) Installation Objectlv.: Implement Tiburon's ARS client software on a pilot set (5) of client workstations to demonstrate the operation of the ARS in the City mobile environment. Provide City with software and training to allow the installation of all remaining ARS software on remaining workstations by City staff. D.scrlption: Tiburon will install a pilot set of ARS Activity Reporting software on City-provided mobile workstations and demonstrate ARS functionality. The City is then responsible for the installation of the applicable ARS software on the remaining workstations. Wireless downloading of ARS data will be fully dependent upon the ability of the existing wireless infrastructure to accommodate this functionality. R.sponslblllti.s: Tiburon shall: a. Install with the City's assistance, the ARS Field Reporting PC software that contains the appropriate tailoring as identified in Task 21, on up to five (5) mobile computer workstations. b. Provide the City with software training, and an installation guide, necessary for the installation of ARS on all remaining workstations as listed in Task 33, RMSITi Technical/User Training and Documentation The City shall: a. Provide the staff necessary to test the pilot ARS configuration. b. Install and configure the Tlburon-provlded ARS software on all remaining workstations. Design, develop, install, tailor and unit test all software required for the interfaces listed above, resulting in their operating in accordance with the appropriate Baseline Specificetion, Change List and/or Interface Control documents. The City shall: a. Provide, on request, currenUy existing information, record layouts and documents necessary to establish intarfaces with alllacel and remote systems end facilities. b. Task 34 : RMS/TI Final Data Conversion Objective: Perform final data file conversion and testing Task Description: This task provides for the conversion of the specified City data files to provide for the final loading of the associated RMSlTi files. Responsibilities: Tiburon Shall: a. Accept the complete set of data files to be converted, and execute the conversion programs developed, tested and verified in Task 26. b. Compare converted data with legacy date to verify the accuracy of the data conversion process. c. Review the conversion process and the resulting files with the City and, in case of problems, identify whether the problem needs to be corrected by Tiburon or by the City, or both. Review the conversion process and the resulting files with Tiburon and, in case of problems caused by the City, provide an updated set of files for conversion and re-testing. c. Provide Tiburon with the complete set of data files to be converted, as applicable. d. Address errors in corrected data, should problems arise during the final conversion process due to errors, omissions or changes to the data provided by the City. Completion Criteria: This task is considered complete when Tiburon certifies and the City verifies the successful conversion of the final set of data. Task 35 : RMS/TI Operetlonal Certification and System Cutover ObJective: Certify RMSlTi and cutover production status. Task Description: Once functional and integration testing is complete, Tiburon will certify RMSlTi for operational status, execute all applicable file conversion procedures and then assist the City in placing the system in production status with on-site staff for up to five days, not to exceed 8 hours per day. The City may wish to delay the actual cutover of specific subsystems until other subsystems have been in use and are being used satisfactorily. If delays in cutover of any RMS modules are requested by the City, Tiburon is not required to be on-site as each module is put into service. Responsibilities: Tiburon shall: a. Certify in writing to the City when each system is ready for production operation. b. Assist the City staff in placing each system into a production status, either on-site or via remote support. c. Monitor the initial operation of RMSlTi, technically and functionally for up to five (5) calendar days following initial cutover and answer any operational questions by the City. If specific modules are delayed for cutover, Tiburon will support those modules on-line in the mode of warranty support. d. Assist the training staff in utilizing the system and the computer operations staff in supporting the system. Place the software into production and begin operational use in consultation with Tiburon and in accordance with the Project Schedule developed in Task 21. b. Completion Criteria: This task is considered complete when Tiburon certifies and the City verities each system is certified by Tiburon to be ready for productive use. The subsystems do not have to be placed into production operation for this task to be complete. Task 36 : RMSlTI Performance and Re//ablllty Test Objective: Demonstrate RMS system performance and reliability. Task Description: This task will require RMSlTi to demonstrate performance and reliability levels according to the customer approved. as built, system speciflC8tion. The testing parameters for this task are described in Attachment B of the SOW. Some or all of these tests may take place prior to production cutover with the City's approval. Tiburon shall: a. Defme and provide the measurement process to record the results of the performance tests. b. Assist the City in performing the test process. The City shall: a. Work with Tiburon to develop the final script of transactions to be tested. , b. Provide City staff to enter data and RMS transactions during the test period. c. Perform the performance test script with the assistance of Tiburon. d. Ensure that the results of the performance test are within the specified limits. e. Task Description: On-site meetings at a City facility will be held for each Tiburon CMSm subsystem to be delivered within this Statement of Work, for the purpose of system functionality validation, identification of tailoring requirements, and the implementation of extemal interfaces. All review meetings will be supplemented with additional reviews, where required, to define all intemal and extemal system interfaces. All modules identified will be demonstrated to aid in the analysis of the systems' functionality. Using Tiburon's CMSfTi (Baseline) Specification, and the Interface Control Document (I CD), included as Attachment C to this SOW, Tiburon will work with the appropriate City staff to identify and document all tailoring requirements for each Tiburon system and for each interface to be installed. This information will be summarized in a Change List document to be mutually agreed upon by Tiburon and the City. Standard system tailoring includes the renaming of agency-specific data elements as well as defining site-specifIC parameters. It does not include modifICations to the application software, database layouts, report output fonnalting, or interfaces to internal or external databases or systems. All system changes that result in such modification are considered system customization, and, if not included as specific project deliverables, will be on a change-order basis at additional cost, to be implemented after project completion and acceptance. Output reports that would normally contain an agency description in the title will reflect the appropriate agency's name. Responsibilities: Tiburon shall: a. Provide up to two (2) consecutive workdays of on-site support to review, with City parsonnel, Tiburon's CMSfTi, and associated subsystems, identify those items to be tailored and provide a categorized list, if any, of potential customization items to be addressed during the post implementation phase. Should this task require additional time on site, Tiburon will provide the necessary staffing to ensure successful completion of this task. If potential delays are the result of City issuas, Tiburon will be entitled to relief on edditional staff efforts. b. Conduct detailed system demonstrations to aid in the Business Practice Review process. c. Review the appropriate Baseline Specification documents and Interface Control documents with the appropriate City personnel and document any changes and/or corrections that are mutually agreed upon in a Change List document. d. Provide, on request, currently existing information, record layouts and documents necessary to establish interfaces with all local and remote systems and facilities. e. Analyze, with City personnel, the Interface Control Document, included as Attachment C regarding those interfaces directly related to the CMS application. f. Review all CMSITi interfaces, listed in Attachment C, to be implemented according to the Interface Control Document. Review interface specifICations and issues to be addressed and documented, including any applicable information to be added to the Change List document. g. Review and validate, with the City, all hardware configurations before the City orders equipment. Completion Criteria: This tesk is considered complete upon receipt of the City's written approval of the Change List document(s), except for any pending items agreed to by both parties and so identified by the City in writing. Additionally, the City and Tiburon shall agree on the hardware configuration required to support the system outlined in this task. Task 38 : Develop CMS/TI Project Plan Objective: Establish the CMSITi and associated subsystems Project Plan Task Description: The objective of this task is to finalize the Project Plan for CMSlTi activities based upon the requirements identified and the associated project objectives, plans, schedules, approvals, priorities and inter- dependencies among tasks. The resulting document defines the specific project tasks to be completed, documents the final Project Plan and schedule for each major CMSlTi subsystem. Tiburon shall: a. Review with City personnel the identified implementation tasks, priorities, inter-dependencies and other requirements needed to establish the CMSlTi and associated subsystems Project Plan. b. Prepare the CMSlTi and associated subsystems Project Plan document and deliver to the City. c. Review the Project Plan with City personnel and make changes and/or corrections that are mutually agreed upon. The City shall: a. Analyze with Tiburon project personnel the identified requirements and make such implementation decisions as may be reasonably required to finalize the CMSlTi and associated subsystems Project Plan. b. Review the CMSlTi and associated subsystems Project Plan and identify in writing any specific defICiencies found. Be available, via telephone or at the City site during nonnal City business hours, to address and answer questions that arise during system tailoring. b. Completion Criteria: This task is considered complete when Tiburon certifies and City verifies that the necessary software systems have been tailored, are installed and unit tested and approved. Task 40 : CMSlTllnlUal Data File Conversion Objective: Perfonn initial data file conversion and testing. Task Description: This task provides for the conversion of City data files, to be defined during the CMSlTi Business Practice Review, Task 37 and initial loading of the associated CMSlTi files. File conversion takes place at two key points in the projact: (1) this task, where the initial conversion process is developed and tested, and (2) immediately prior to production cutover, where the then-current City data files are converted for use by CMSlTi. Tiburon and the City acknowledge that data conversion is limited to the data that can be mapped to the CMSlTi database. Responsibilities: Tiburon shall: a. Provide Tiburon with a representative sample of the data to be converted, on mutually agreeable transmission media (e.g., diskette). d. The number and duration of training classes to be provided are as follows. eMS User Training 40 hours 10 1 The City shall: a. Designate and assign personnel to receive training, in groups, not to exceed the class size listed in the table above. b. Provide suitable classroom facilities ~h computer workstation equipment for each staff member participating in the training session. c. Provide sufficient copies of the documentation supplied by Tlburon to support all students in the training classes. d. Ensure that appropriate City Training personnel are available to actively participate in the scheduled training programs. e. Be responsible for ongoing training for CADfTi end users after the completion of Tiburon's training program (new hires, refresher courses etc.) f. Provide any desired video taping equipment and services for the purpose of taping training classes for the purpose of future training of City staff. g. Provide students with basic Windows literacy. h. Provide one workstation per trainee and one workstation for the trainer. i. Pay for travel and per diem expenses for City staff electing to attend any off-site training classes offered by Tiburon and selected by the City. Completion Criteria: This task is considered complete when the scheduled tachnical and user training on each Installed system has been completed. Page 44 of 66 Version 3.4 Task 46 : Attachment 2 Statement of Work To Exhibit D To the Agreement for extended service CMS/T'I Final Data Conversion Objective: Perform final data file conversion and testing Task Description: This task provides for the conversion of the specified City data files to provide for the final loading of the associated CMSlTi files. Responsibilities: Tiburon Shall: a. Accept the complete set of data files to be converted, and execute the conversion programs developed, tested and verified In Task 40. b. Compare converted data with legacy data to verify the accuracy of the data conversion process. c. Review the conversion process and the resulting files with the City and, in case of problems, identify whether the problem needs to be corrected by Tiburon or by the City, or both. d. Deliver converted data to the City for review. e. Notify the City of any problems associated with the data conversion, with a plan for correction, whether due to problems with the Tiburon conversion process or with the City-provided data. The City shall: a. Purge unnecessary records to ensure that the ASCII files provided Tiburon only contain data the City intends Tiburon to convert prior to the data conversion process. b. Review the conversion process and the resulting files with Tiburon and, in case of problems caused by the City, provide an updated set of files for conversion and re-testing. c. Provide Tiburon with the complete set of data files to be converted, as applicable. d. Address errors in corrected data, should problems arise during the final conversion process due to errors, omissions or changes to the data provided by the City. Completion Criteria: This task is considered complete when Tiburon certifies and the City verifl8s the successful conversion of the final set of data. Task 47 : CMS/T'i Operational Certfflcatlon and System Cutover Objective: Certify CMSlTi and cutover production status. Task Description: Once functional and integration testing is complete, Tiburon will certify CMSfTi for operational status, execute all applicable file conversion procedures and then assist the City in placing the system in production status with on-site staff for up to five days, not to exceed 8 hours per day. The City may wish to delay the actual cutover of SpecifIC subsystems until other subsystems have been in use and are being Page 45 of 66 Version 3.4 Attachment 2 Statement of Work To exhibit D To the Agreement for extended service used satisfactorily. If delays in cutover of any CMS modules are requested by the City, Tiburon is not required to be on-site as each module is put into service. Responsibilities: Tiburon shall: a. Certify in writing to the City when each system is ready for production operation. b. Assist the City staff in placing each system into a production status, either on-site or via remote support. c. Monitor the initial operation of CMSlTi, technically and functionally for up to five (5) calendar days following initial cutover and answer any operational questions by the City. If specific modules are delayed for cutover, Tiburon will support those modules on-line in the mode of warranty support. d. Assist the training staff in utilizing the system and the computer operations staff in supporting the system. The City shall: a. Place the software into production and begin operational use in consultation with Tiburon and in accordance with the Project Schedule developed in Task 38. b. Perform nacessary database backups on a scheduled basis based upon Tiburon's written recommendations, and for store these backups in a secure location. Completion Criteria: This tesk is considered complete when Tiburon certifies and the City verifies each system is certified by Tiburon to be ready for productive use. The subsystems do not have to be placed into production operation for this task to ba complete. Task 48 : CMSlTI Performance and Reliability Test ObJective: Demonstrate CMS system performance and reliability. Task Description: This task will require CMSlTi to demonstrate performance and reliability levels according to the customer approved, as built, system specification. The testing parameters for this task are described in Attachment B of the SOW. Some or all of these tests may take place prior to production cutover with the City's approval. Tiburon shall: a. Define and provide the measurement process to record the results of the performance tests. b. Assist the City in performing the test process. The City shall: a. Work with Tiburon to develop the final script of transactions to be tested. b. Provide City staff to enter data and CMS transactions during the test period. Task Description: On-site meetings at a City facility will be held for the purpose of system functionality validation, identification of tailoring requirements, and review of integration of AVL and Mapping with CAD. Responsibilities: Tiburon shall: a. Provide up to two (2) consecutive workdays of on-site support to review, with City personnel, Tiburon's A VL and Mapping systems, identify those items to be tailored and provide a categorized list, if any, of potential customization items to be addressed during the post implementation phase. Should this tesk require additional time on site, Tiburon will provide the necessary staffing to ensure successful completion of this task. If potential delays are the result of City issues, Tiburon will be entitled to relief on additional staff efforts. This Task may take place as part of the CADITi Business Practice Review at Tiburon's discretion. b. Conduct detailed system demonstrations to aid in the Business Practice Review process. c. Review and validate, with the City, all hardware configurations before the City orders AVL equipment. The City shall: a. Provide, upon request, currently existing information, data, records, documents and make such design decisions as may be reasonably required to document changes necessary for the Tiburon systems. b. Ensure that appropriate City personnel are present and actively participating in scheduled Business Practice Review meetings. c. Review the appropriate Baseline Specification documents and Change List documents submitted by Tiburon and identify in writing any specific deficiencies found. Completion Criteria: This task is considered complete upon receipt of the City's written approval of the Change List document(s), except for any pending items agreed to by both parties and so identified by the City in writing. Additionally, the City and Tiburon shall agree on the hardware configuration required to support the system outlined in this task. City staff will conduct the integration testing of the A VUMapping system. Responsibilities: Tiburon shall: a. CertifY the AVUMapping as ready for integration testing. b. Demonstrate all AVUMapping inter-system communications between CADiTi and workstations. in accordance with the System SpecifICation documents. c. Assist the City in testing AVUMapping. d. Review any discrepancies identified by the City. e. Provide software or documentation modifications as needed to correct the discrepancies. The City shall: a. Tiburon will certify AVUMapping for operational status and then assist the City in placing the system in production status with on-site staff for one day, not to exceed 8 hours. Responsibilities: Tiburon shall: a. Certify in writing to the City when AVUMapping is ready for production operation. b. Assist the City staff in placing each system into a production status, either on-site or via remote support. The City shall: a. Place the software into production and begin operational use in consultation with Tiburon. Completion Criteria: This task is considered complete when Tiburon certifies and the City verifies AVUMapping is certified by Tiburon to be ready for productive use. The subsystems do not have to be placed into production operation for this tesk to be complete. The City will procure all hardware, system software, network equipment and third party software necessary to support the system. Tiburon will provide a recommended system configuration. . The City will provide a Project Manager designated by the City who will be the primary representative and contact with Tiburon. The Project Manager shall have authority to approve or disapprove design issues, change orders. payment authorizations. . The City will assign one or more training officers, designated at project initiation, who will work with Tiburon staff as needed for the duration of the project. . Facilities will be made available for the installation of the central computer servers, communication lines and modems, terminals, workstations, personal computers and printers plus any related peripheral components at all sites where equipment is to be installed. These facilities will be mede available at least two (2) weeks prior to the scheduled installation dates to allow for timely installation and adequate testing prior to acceptance. . Tiburon shall have access to server and network equipment and work areas on a 24x7 basis, with pre-authorization for off hours. . Electrical power, all receptacles and adequate air conditioning will be provided by the City for the operation of the computer equipment, all workstations and all peripheral components. Outiets will be within 6' of equipment mounting locations, unless modifl8d by the site plan. . The City is providing the E-911 equipment and any other City-provided computer interfaces with connection point at a location convenient to the server equipment. . The E-911 equipment provided by the City will support a digital CAD interface via the Plant Vesta system. . The City is responsible for any equipment, software or modifications to the E-911 interface to accept synchronized time input data. . The City is responsible for providing all modems, DSUlCSUs, network equipment, communication lines and all other equipment not explicitly listed as a Tiburon deliverable that is necessary for complete system operation. . The City must provide TCP/IP network communications for the CAD LAN, made available and convenient to the server equipment provided by Tiburon. Performance testing assumes a minimum of 100 Mblsec network communication speed from the switch to the CMS server. . All printers that are to have access from Tiburon applications must be network-addressable printers, supported by HP JetDirect or equivalent interface equipment. . The dial-up telephone lines identified within the applicable tasks will be available with modular connections convenient to the server equipment for the purpose of remote hardware and software support. These must be circuits capable of supporting V.32 BIS connections and may not connect through a PBX or other premise telephone system. The City will provide personnel to support system operation, including error diagnosis and system recover or restert as reasonably requested by Tiburon, for time periods equivalent to the hours of intended system use. · The City will allow remote Tiburon access for dial-in access to all development and system "roof' accounts on all servers running Tiburon licensed software. · The City will provide and install any required racks, modems, lines and other equipment not explicitly included as deliverables in the contract this Agreement. · The City is responsible for any console modifications required to allow mounting or placement of display terminals and time displays. All workstations are assumed to be free-standing; any built- in configuration is the responsibility of the City. · The City will provide all data pathways, including any necessary site modifications, coring, floor cutting and related work necessary for network and workstation installation. · The City will install all remote terminals, workstations, printers and modems not provided by Tiburon as contract deliverables, as well as software installation and configuration. . Coordination with other City agencies, other governmental agencies and the City's vendors and common carriers will be the responsibility of the City. · All necessary certifications, approvals and other related issues will be completed by the City at least 30 calendar days prior to the scheduled interface development tasks to allow sufficient time for Tiburon staff to install and test all required interfaces to external networks and systems. · City will provide sufficient personnel both to enter data and to ensure data entered is acceptable per system required standards. . Any applicable data file conversion will apply to files provided by the City, with no additional data correction or normalization (the verification process outlined in Tasks 28 and 36 will still apply), and all files for conversion will be provided at least 60 calendar days prior to the scheduled tasks to allow adequate time for conversion and testing. . The geographic file will be created and maintained by the City, including the addition of all missing data and correction of all erroneous information, and the City will be responsible for the entry and maintenance of all applicable geographic file reporting areas and other "polygon" information. . All issues regarding file capacities, performance, reliability, serviceability, response times or functionality are based upon the information provided by the City and Tiburon's understanding of the provided information. . Page 53 of 66 Version 3.4 Attachment 2 Statement of Work To Exhibit D To the Agreement for extended service SOW ATTACHMENT A CADfri RELIABILITY AND PERFORMANCE TEST PROCEDURE CADfri PERFORMANCE TEST This test will take place for a period of approximately 20 minutes, with operators entering the equivalent of 50 new call transactions at an evenly distributed rate to simulate the typical load of 150 incidents per hour. This loading and performance test is intended to verify the capacity of CADfri to support both the current and future expanded incident loads, additional workstations, MDT operation (if installed) and so forth . Working with the City staff, Tiburon will define a script that can be entered by a set of operators at a transaction rate equivalent to the above loading level. Response times are measured extemally, supplemented by transaction response times logged at the workstations if required. SpecifIC measurements will be taken in cases where it is suspected that the response times are not within the standards below. At the City's option, any or all of the system response time criteria can be accepted without formal testing procedures. During this performance test, transaction response times will meet or exceed the following levels of performance at least 90% of the time for workstations operating on the locel network. Transaction time is measured from the time the transaction is executed to the time the first character appears on the screen. Also, the response times listed assume single incident entry and single unit status changes; multiple unit commands will meet the time listed for the first unit, plus 40% per additional unit. CADfTi RELIABILITY TEST PROCEDURE CADfTi will demonstrate critical system availability levels, during the test period, of 99% or better for a 30- day reliability test and system certifICation period, commencing at the completion of system cutover to production operation. At the end of this test period, if system availability has not met or exceeded this required level, the certifICation process will continue until this level of reliability has been demonstrated for at least 30 consecutive calendar days, including any applicable days in the original period. The CADfTi system will be considered "down" if there is a "major" failure of any CADfTi redundant computer hardware or software component. A "major" failure is one which prevents event entry, dispatch or status monitoring functions to operate at a level which allows operation to continue. Functional problems that do not prevent event entry, dispatch or status monitoring functions to operate at a level which allows operation to continue, will be considered "minor" and are not considered downtime. Downtime will begin at the time that the designated Tiburon contact person has been notified of the failure. The system shall not be considered down during any manual or automated fail-over process, or if it is operationalln a backup mode or via replacement with spares, pending the receipt of replacement components and repair of the failed component. Failures in individual communication lines, terminals, workstations, PCs, non-Tiburon PC licensed software, modems, data communications or problems that involve non-redundant or fault-tolerant hardware or remote workstation or terminal sites do not constitute downtime. They will be repaired as expediently as possible, and operations will then continue. CADfTi reliability testlng will not be delayed or interrupted if there are failures in systems that are not the responsibility of Tiburon (communication lines, extemal databases, etc.). Also, the reliability test and system certification will not be delayed if any user-provided peripheral components encounter a failure or have not been mede aveilable for implementation and testing according to the project schedule. Scheduled system unavailability for purposes of software update, performance tuning, file backups and other processes typicel in a production environment will not be permitted during this verification period. Page 55 of 66 Version 3.4 Attachment 2 Statement of Work To Exhibit D To the Agreement for extended service In the event that the system is considered to be "down" during this test pariod, one of the following will occur, at the City's discretion: · System operation will be suspended, the problem is considered "major," and immediately diagnosad and corrected. After instellation of the corrected system, the test period will resume, logging the time since Tiburon was notified of the failure as downtime, or · System operation will continue, the problem will be logged and then corrected, tested and demonstrated during or following the reliability test period. In this case, the problem is documented as a "minot" system problem, the system not removed from on-line operation, and the system is not considered down. No software, related system changes or enhancements shall be made to any system undergoing system certification unless they are directly related to addressing a "major" failure. Any client-requested change or enhancement will be made after the system is accepted. The system certifICation process may be temporarily suspended for software corrections. In this event, the test period will resume when the system is again operational, without logging downtime. During the above test period, Tiburon will develop a list of "minor" system problems as described above. This list will be completed and delivered to the City within five business days following the completion of the system certification phase. These items, plus any others which may be found as the system moves into full productive operation, will be addressed and corrected in a timely manner as part of the warranty period. The resolution of "minor" system problems will not delay the completion of the reliability test and system ecceptence. Any further system problem or inconsistency with the functional requirements will be addressed under the provisions of the warranty. Full productive use or production operation means event entry, dispatch or stetus monitoring functions of live (i.e. real) incidents. When Tiburon hes completed the reliability test period the individual systems will be accepted and made available for continuing productive use indicating final system ecceptance. Any problems or areas of non-compliance identified following this system certification period, including those related to any subsystems that have not yet been placed in productive operation, will not prevent system certifICation and will be eddressed as part of the standard software warranty. In this event, the test period will resume when the system is again operational, without logging downtime. During the above test period, Tiburon will develop a list of "minor" system problems as described above. This list will be completed and delivered to the City within five business days following the completion of the system cartification phase. These items, plus any others which may be found as the system moves into full productive operation, will be addressed and corrected in a timely manner during this period of operation or as part of the warranty period. The resolution of "minor" system problems will not delay the completion of the reliability test and system accaptanca. Any further system problem or inconsistency with the functional requirements will be addressed under the provisions of the warranty. Full productive operation or production operation means that the City is using the system to enter live (i.e. real) incident reports. When Tiburon has completed the reliability test period the individual systems will be accapted and made available for continuing productive use indicating final system accaptence.
