STAFF REPORT
Subject:
Resolution authorizing execution of a reimbursement agreement with Opus West Construction
for traffic signal, interconnection, and bus stop improvements related to the Northpointe
project, located on the northwest corner of Hospitality Lane and Tippecanoe A venue.
Background:
Opus West Construction Corporation is the developer of the Northpointe project, which is a
prominent office and retail center located west of Tippecanoe A venue, north of Hospitality
Lane and south of Brier Drive. The project consists of a five-story office building that will be
the new headquarters of Wells Fargo. The project also includes a mix of retail and restaurants
situated along Hospitality Lane and Tippecanoe Avenue. The project environmental impact
report identified various improvements required to mitigate anticipated traffic impacts,
including the installation of a traffic signal at Carnegie Drive East and Hospitality Lane. The
Hospitality Lane/Carnegie Drive traffic signal was identified as being needed for "opening day
conditions" and that the developer is responsible for 68.2 % percent of the cost" based upon the
traffic generated by the project. Opus West Construction Corporation has constructed the new
traffic signal with the understanding that the City will reimburse them for costs that are beyond
the project's fair share.
In addition, City staff identified the need to extend hard-wired interconnect from the new
Hospitality Lane/Carnegie Drive traffic signal to the existing traffic signal located on
Hospitality Lane at the project driveway (opposite Costco's driveway). This interconnection
extends the existing coordination from Tippecanoe A venue and allows it to be integrated into
the valley-wide traffic signal coordination project that is currently underway by SANBAG.
The interconnection was not required for project mitigation, but Opus West Construction
Corporation included it with the new traffic signal construction to minimize traffic disruption
and inconvenience to the public with the understanding that the City will reimburse them for
the cost.
Shortly after the project was approved by the City, Omnitrans requested that a bus stop be
located on Tippecanoe Avenue, south of Brier Drive. Based on the traffic volumes and speeds
of Tippecanoe Avenue, a turn-out is needed to improve traffic safety when buses stops. Since
the developer was already required to widen Tippecanoe A venue to construct a deceleration
lane for southbound traffic entering the site driveway on Tippecanoe Avenue, Opus West
Construction Corporation agreed to incorporate the bus stop turnout into the street
improvements along Tippecanoe A venue with the understanding that the City will reimburse
them for all but the first $50,000 of costs associated with the bus turnout construction. This
was done in an effort to improve traffic safety, minimize traffic disruption, and reduce
congestion.

Opus West Construction has completed the specified improvements, including the new traffic
signal, the interconnect, and the bus stop turnout. The work has been inspected and accepted
by the Development Services Department.
Financial Impact:
The Hospitality Lane/Carnegie Drive traffic signal and interconnect is included in the City's FY
2006-07 Capital Improvement Program. The cost for reimbursement of the traffic signal and
interconnect will be funded by CIP Project No. TC06-04, and the bus stop will be funded by CIP
Project No. SS08-25; both of which are included in the FY 2007-08 CIP, using revenue from
Development Impact Fees, developer contributions from other projects, and the Public
Improvement Fund.
Pursuant to the Air Quality Control Agreement (Resolution 2001-227), the City agreed to use the
Public Improvement Funds at its discretion for the sole purpose of implementing traffic
coordination efforts intended to reduce smog congestion in the community .
The total cost of the new traffic signal at Hospitality Lane/Carnegie Drive is $225,000, of which
the City will reimburse Opus West Construction $71,600 from Account No. 250-370-5504-7659.
The total cost of the traffic signal interconnection is $42,200, all of which the City will reimburse
Opus West Construction from Account No. 246-366-5504-7659. The total cost of the bus stop
improvements is $127,000, of which the City will reimburse Opus West Construction $77,000
from Account No. 135369-5504-7746. The total amount of reimbursement to Opus West
Construction will be $190,800.
Recommendation:

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. The City Manager is hereby authorized and directed to execute a
Reimbursement Agreement with Opus West Construction Corporation for traffic signal,
interconnect, and bus stop improvements at Hospitality Lane, Carnegie Drive and Tippecanoe
A venue. A copy of the Reimbursement Agreement is attached as Attachment "I" and
incorporated herein by reference.
SECTION 2. This Agreement and any amendment or modifications thereto shall not
take effect or become operative until fully signed and executed by the parties and no party
shall be obligated hereunder until the time of such full execution. No oral agreements,
amendments, modifications or waivers are intended or authorized and shall not be implied
from any act or course of conduct of any party.
SECTION 3. This resolution is rescinded if the parties to the contract fail to execute
it within one-hundred twenty (120) days of passage of the resolution.

REIMBURSEMENT AGREEMENT BETWEEN THE CITY OF SAN BERNARDINO
AND OPUS WEST CONSTRUCTION CORPORATION FOR TRAFFIC SIGNAL,
INTERCONNECTION AND BUS STOP IMPROVEMENTS
This Agreement regarding the installation of Traffic Signal, Interconnection and
Bus Stop Improvements ("Agreement") is made and entered into on
, 2007, by and between the City of San Bernardino, a municipal
Corporation ("City") and Opus West Construction Corporation, a Minnesota corporation
("OWCC"). The City and OWCC are sometimes referred to herein as "Party" or
"Parties."
RECITALS
A. The City has approved a multi-story office building and retail center known
as "Northpointe" located on the north edge of Hospitality Lane and along the west edge
of Tippecanoe Avenue, subject to standard requirements and conditions of approval for
Tentative Tract Map 17174 and Conditional Use Permit No. 05-36. Pursuant to the
conditions of approval, the owners of the Northpointe development have engaged
OWCC to design and construct a new traffic signal at Hospitality Lane and Carnegie
Drive (East) ("Carnegie Signal") with a hard-wire interconnection ("Interconnection")
to the existing traffic signal located at the intersection of Hospitality Lane and Westerly
Drive ("Northpointe Signal").
B. Additionally, at the request of the City, the owners of the Northpointe
development have engaged OWCC to construct certain improvements for a bus stop to
be located on the southbound side of Tippecanoe Avenue between the northern and
southern boundaries of the Northpointe development ("Bus Stop"). The Bus Stop,
Carnegie Signal, and Interconnection projects have all been completed by OWCC, and
the work has been inspected and accepted by the Development Services Department.
All three projects are hereinafter collectively referred to as the "Project."
C. A Traffic Impact Analysis was prepared for the Northpointe development.
The analysis estimates that the owners of the Northpointe development are responsible
for 68.2 percent of the Cost (as defined in Section 1 below) for the Carnegie Signal. In
addition, the owners of the Northpointe development have agreed to pay $50,000
toward the Cost of the Bus Stop (together with 68.2 percent of the Cost for the Carnegie
Signal, the "Owners' Share"). The City will be responsible for (i) 31.8 percent of the
Cost of the Carnegie Signal, (ii) the entire Cost of Interconnection, and (iii) the Cost of
the Bus Stop in excess of $50,000 (collectively, "City's Share").

D. This Agreement provides for the reimbursement to OWCC of Costs (as
defined below) that are beyond Owners' Share. The actual Costs of Carnegie Signal
are estimated to be $225,000, as presented on Exhibit "A" ("Carnegie Signal Cost
Estimate"). The actual Costs of the Interconnection are estimated to be $42,200, as
presented on Exhibit "B" ("Interconnection Cost Estimate"). The actual Costs of the
Bus Stop are estimated to be $127,000, as presented on Exhibit "C" ("Bus Stop Cost
Estimate").
E. OWCC has constructed the Project in accordance with the plans
previously approved by the City and attached hereto as Exhibit "0".
AGREEMENT
NOW THEREFORE, for valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the Parties agree as set forth below.
1. Costs. The term "Cost" or "Costs" refers to the costs and expenses incurred by
OWCC in connection with the Project (including OWCC's overhead expenses and
contractor's fee) as set forth in Exhibits "A", "B" and "C".
2. Obliqations of OWCC. OWCC shall:
Submit written final Cost reports for the construction of the Project to the City with
a written request for payment of the City's Share of the Costs for the Project ("Cost
Notice").
3. Obliqations of the Citv. The City shall:
a. Continue to collect additional fair share contributions toward the Cost of
the Project from future development projects that add traffic to the Hospitality
Lane/Carnegie (East) intersection.
b. Within 60 days after receipt of the Cost Notice, City shall pay OWCC the
full amount of City's Share as set forth in the Cost Notice, subject to verification and
approval of OWCC final Cost reports by the City Engineer. The amount of City's Share
shall be not greater than $190,800 (based upon the City's Share of the Costs as set
forth in Exhibits "A," "B" and "C").
4. General Provisions
4.1. Entire Aqreement. This Agreement constitutes the entire Agreement
between the parties with respect to any matter referenced herein and supersedes any
and all other prior writings and oral negotiations. This Agreement may be modified only
in writing, and signed by the parties in interest at the time of such modification. The
terms of this Agreement shall prevail over any inconsistent provision in any other
contract document appurtenant hereto, including exhibits to this Agreement.

4.2. Representatives. The Director of Development Services or her designee
shall be the representative of City for purposes of this Agreement and may issue all
consents, approvals, directives and agreements on behalf of the City, called for by this
Agreement, except as otherwise expressly provided in this Agreement.
OWCC shall designate a representative for purposes of this Agreement
who shall be authorized to issue all consents, approvals, directives and agreements on
behalf of OWCC called for by this Agreement, except as otherwise expressly provided
in this Agreement.
4.3. Notices. Any notices, documents, correspondence or other
communications concerning this Agreement or the work hereunder may be provided by
personal delivery, facsimile or mail and shall be addressed as set forth below. Such
communication shall be deemed served or delivered: a) at the time of delivery if such
communication is sent by personal delivery; b) at the time of transmission if such
communication is sent by facsimile; and c) 48 hours after deposit in the U.S. Mail as
reflected by the official U.S. postmark if such communication is sent through regular
United States mail.

4.4. Attornevs' Fees. In the event that litigation is brought by any party in
connection with this Agreement, the prevailing party shall be entitled to recover from the
opposing party all costs and expenses, including reasonable attorneys' fees, incurred by
the prevailing party in the exercise of any of its rights or remedies hereunder or the
enforcement of any of the terms, conditions, or provisions hereof. The costs, salary and
expenses of the City Attorney and members of his office in enforcing this contract on
behalf of the City shall be considered as "attorneys' fees" for the purposes of this
paragraph.
4.5. Governinq Law. This Agreement shall be governed by and construed
under the laws of the State of California without giving effect to that body of laws
pertaining to conflict of laws. In the event of any legal action to enforce or interpret this

Agreement, the parties hereto agree that the sole and exclusive venue shall be a court
of competent jurisdiction located in San Bernardino County, California.
4.6. Assiqnment. OWCC shall not voluntarily or by operation of law assign,
transfer, sublet or encumber all or any part of OWCC's interest in this Agreement
without City's prior written consent. Any attempted assignment, transfer, subletting or
encumbrance shall be void and shall constitute a breach of this Agreement and cause
for termination of this Agreement. Regardless of City's consent, no subletting or
assignment shall release OWCC of OWCC's obligation to perform all other obligations
to be performed by OWCC under this Agreement.
4.7 Indemnification and Hold Harmless. OWCC shall protect, defend,
indemnify and hold harmless City and its elected and appointed officials, officers, and
employees from any and all claims, liabilities, expenses, including attorney's fees,
damage to property or injuries to or death of any person or persons, or damages of any
nature including, but not limited to, all civil claims or workers' compensation claims,
arising out of or in any way related to the intentional or negligent acts, errors or
omissions of OWCC, its employees, agents or subcontractors in the performance of this
Agreement, including but not limited to, the design or construction of the Project or any
of its subparts.
4.8. Independent Contractor. OWCC is and shall be acting at all times as an
independent contractor and not as an employee of City. OWCC shall secure, at its
expense, and be responsible for any and all payment of Income Tax, Social Security,
State Disability Insurance Compensation, Unemployment Compensation, and other
payroll deductions for OWCC and its officers, agents, and employees, and all business
licenses, if any are required, in connection with the services to be performed hereunder.
4.9. Responsibilitv for Errors. OWCC shall be responsible for its work and
results under this Agreement. OWCC, when requested, shall furnish clarification and/or
explanation as may be required by the City's representative, regarding any services
rendered under this Agreement at no additional cost to City. In the event that an error
or omission attributable to OWCC occurs, then OWCC shall, at no cost to City, provide
all necessary design drawings, estimates and other OWCC services necessary to rectify
and correct the matter to the sole satisfaction of City and to participate in any meeting
required with regard to the correction.
4.10. Prohibited Employment. OWCC will not employ any regular employee of
City while this Agreement is in effect.

4.11. Order of Precedence. In the event of an inconsistency or conflict in this
Agreement and any of the attached Exhibits or Attachments, the terms set forth in this
Agreement shall prevail.
4.12. Costs. Each party shall bear its own costs and fees incurred in the
preparation and negotiation of this Agreement and in the performance of its obligations
hereunder except as expressly provided herein.
4.13. No Third Partv Beneficiary Riqhts. This Agreement is entered into for the
sole benefit of City and OWCC and no other parties are intended to be direct or
incidental beneficiaries of this Agreement and no third party shall have any right in,
under or to this Agreement.
4.14. Headinqs. Paragraphs and subparagraph headings contained in this
Agreement are included solely for convenience and are not intended to modify, explain
or to be a full or accurate description of the content thereof and shall not in any way
affect the meaning or interpretation of this Agreement.
4.15. Construction. The parties have participated jointly in the negotiation and
drafting of this Agreement. In the event an ambiguity or question of intent or
interpretation arises with respect to this Agreement, this Agreement shall be construed
as if drafted jointly by the parties and in accordance with its fair meaning. There shall
be no presumption or burden of proof favoring or disfavoring any party by virtue of the
authorship of any of the provisions of this Agreement.
4.16. Amendments. Only a writing executed by the parties hereto or their
respective successors and assigns may amend this Agreement.
4.17. Waiver. The delay or failure of either party at any time to require
performance or compliance by the other of any of its obligations or agreements shall in
no way be deemed a waiver of those rights to require such performance or compliance.
No waiver of any provision of this Agreement shall be effective unless in writing and
signed by a duly authorized representative of the party against whom enforcement of a
waiver is sought. The waiver of any right or remedy in respect to any occurrence or
event shall not be deemed a waiver of any right or remedy in respect to any other
occurrence or event, nor shall any waiver constitute a continuing waiver.
4.18 Severabilitv. If any provision of this Agreement is determined by a court of
competent jurisdiction to be unenforceable in any circumstance, such determination

shall not affect the validity or enforceability of the remaining terms and provisions hereof
or of the offending provision in any other circumstance.
4.19. Counterparts. This Agreement may be executed in one or more
counterparts, each of which shall be deemed an original. All counterparts shall be
construed together and shall constitute one agreement.
4.20. Corporate Authoritv. The persons executing this Agreement on behalf of
the parties hereto warrant that they are duly authorized to execute this Agreement on
behalf of said parties and that by doing so, the parties hereto are formally bound to the
provisions of this Agreement.
