On August 21, 1989, the San Bernardino Joint Powers Financing Authority (JPF A) was formed
on January 22, 1990. The Authority established the third Monday of each month as the regular
meeting time and place for the JPF A.

STAFF REPORT
San Bernardino Joint Powers Financine: Authoritv
The City of San Bernardino and the Redevelopment Agency have previously entered into a joint
exercise of powers agreement establishing the San Bernardino Joint Powers Financing Authority. The
purpose of the Authority is to issue bonds to be used in financing public improvements. On
January 22, 1990, the Authority detennined by motion that the time and place for regular meetings
be established as the third Monday of each month.
In accordance with the Joint Powers Agreement, it is necessary to establish a regular meeting date
and time, appoint a secretary and legal counsel, and adopt a conflict of interest code by resolution.
This resolution carries out those actions by establishing the date and time of regular authority
meetings as the first and third Monday of each month to coincide with regular Commission meetings;
appointing the City Clerk as the Secretary; Agency counsel as legal counsel; and adopts a conflict
of interest code.

RESOLUTION OF THE SAN BERNARDINO JOINT
POWERS FINANCING AUTHORITY ESTABLISHING THE
DATE AND TIME TO HOLD REGULAR MEETINGS;
APPOINTING THE SECRETARY OF THE JOINT POWERS
FINANCING AUTHORITY; APPOINTING LEGAL
COUNSEL TO THE JOINT POWERS FINANCING
AUTHORITY AND ADOPTING A CONFLICT OF
INTEREST CODE
WHEREAS, the City of San Bernardino (the "City") and
the Redevelopment Agency of the City of San Bernardino (the
"Agency") have heretofore entered into a joint exercise of powers
agreement establishing the San Bernardino Joint Powers Financing
Authority (the "Authority") for the purpose of issuing bonds to
be used to make loans to any of its members to finance public
capital improvements; and
WHEREAS, the Community Development Commission of the
City of San Bernardino (the "Community Development Commission")
acts as the governing board of the Agency; and
WHEREAS, on January 22, 1990, the Authority previously
determined that the time and place for regular meetings of the
Authority be established as the third Monday of each month to
coincide with the second quarterly scheduled City Council meeting
of the City; and
WHEREAS, the Authority desires to amend the time and
place for its meeting and to establish the time and place to hold
regular meetings of the Authority to coincide with the regular

meetings of the Community Development Commission of the City of
San Bernardino; and
WHEREAS, the Authority deems it desirable at this time
to appoint the Secretary of the Authority and to appoint legal
counsel to the Authority; and
WHEREAS, the Authority further deems it desirable to
adopt a Conflict of Interest Code for the Authority which shall
be the Conflict of Interest Code relied on by the City.
NOW, THEREFORE, THE SAN BERNARDINO JOINT POWERS
FINANCING AUTHORITY DOES HEREBY FIND, RESOLVE, DETERMINE AND
ORDER AS FOLLOWS:
Section 1. The Authority hereby establishes that
the time to hold regular meetings of the Authority shall be the
regular meeting times of the Community Development Commission of
the City of San Bernardino and such meetings shall be held in the
City Council Chambers at City Hall in the City of San Bernardino.
Section 2. The Authority hereby appoints the City
Clerk of the City to act as the Secretary of the Authority and
authorizes the City Clerk to take all such action as may be
necessary to fulfill the duties of the Secretary of the
Authority.

Section 3. The Authority hereby appoints legal
counsel to the Agency as legal counsel for the Authority.
Section 4. The Authority hereby adopts the Conflict
of Interest Code as prepared and filed on behalf of the City as
the Authority's Conflict of Interest Code and hereby determines
that all members of the governing body of the Authority and all
staff of the Authority shall abide by the terms of the City's
Conflict of Interest Code.
