Attached is a memorandum from A1 Briggs advising staff that Fred Schmidt has
accepted the City/Agency's offer of settlement. In researching the minutes and

Fred Schmid Associates has accepted the offer made by the
Community Development Commission/Mayor and Common Council in
closed session at the April 7, 1986 meeting of the Commission.
As authorized, I communicated that offer to Schmid's attorney
and it has been accepted.
Under the settlement, the City and Agency are to issue a check
to Fred Schmid Associates in the amount of $14,000, and Agency
and City agree to negotiate in good faith with the eventual
operator of the Convention Center to pay an additional $12,000
to Fred Schmid Associates if such can be worked out.
Fred Schmid Associates is releasing its Mechanic's Lien and its
Lis Pendens on the Convention Center, and is dismissing the ~
Redevelopment Agency and the City as defendants in the Superior
Court action.
The Superior Court action is San Bernardino County Superior
Court Case No. 229984.
This settlement offer was made by me pursuant to authority
given by the Mayor and Common Council/Community Development
Commission by a motion unanimously carried. A copy of the
minutes of that closed session have earlier been provided to
you for filing with the regular minutes.
Would you please expedite issuance of the check for $14,000,
payable to Fred Schmid Associates, and return it to me for
delivery. At the timb of its delivery, I am authorized to have
recorded the Notice of Withdrawal of Lis Pendens and the
Release of Mechanic's Lien, and at that time I am also
authorized to file the Dismissal of the City and Agency from
the lawsuit.

SETTLEMENT AGREEMENT
This Agreement is for reference purposes only, dated April
25, 1986 by and between FRED SCHMID & ASSOCIATES, a Nevada
Corporation (herein referred to as "FSA") and the CITY OF SAN
BERNARDINO, a California Municipal Corporation and REDEVELOPMENT
AGENCY OF THE CITY OF SAN BERNARDINO (herein collectively
referred to as "CITY").
RECITALS

1. On or about May 3, 1984, FSA entered into a written
agreement with LEJ-A INNOVATIVE DESIGN SYSTEMS (herein referred
. to as "LEJ-A") to provide plans and specifications for redesign
and rennovation of the interior of the premises commonly known as
the San Bernardino Convention Center at 303 N. "E" Street (herein
referred to as "Convention Center").
2. By the terms of that Agreement, LEJ-A agreed to pay to
FSA certain sums of which FSA contends that it was not paid the
sum of $35,000.00, plus certain reirnbursible expenses and hourly
rate for plan revision work.
3. FSA contended, and the CITY denied that the CITY was
liable all or in part for the claimed debt owing FSA.
4. To enforce its claim, FSA filed the following documents
of record:

(a) A Mechanic's Lien as Instrument Number 85-210199,
recorded in the office of the San Bernardino County Recorder on
August 28, 1986 (hereinafter "Mechanic's Lien")f
(b) A Notice of Lis Pendens (pendency of action)
as Document Number 85-302493 of the Official Records of the
Office of the San Bernardino County Recorder on November 27, 1986
(hereinafter "Notice of Lis Pendens")f
lc) A Complaint for Damages and enforcement of the
aforementioned Mechanic's Lien and for related relief entitled
Fred Schmid Associates, etc., et al. v. City of San Bernardino,
etc., et aI, in San Bernardino County Superior Court, Case Number
229984 (hereafter "Superior Court Action").
AGREEMENT
The parties desire to compromise their claim and without
admission of liability agree as follows:
1. The CITY shall pay to FSA, concurrently herewith, the
sum of $14,000.00 and agrees to negotiate in good faith the Bank
of America and/or any proposed operator of the Convention Center
to have an additional $12,000.00 paid to FSA as "up front costs"
to be paid by such operator of the Convention Center upon CITY's
re-Ieasing of the convention center to such operatorf
2. FSA shall deliver to the CITY concurrently herewith the
following documents:

(al A Release of Mechanic's Lien, in the form of which
is attached hereto as Exhibit "A" and incorporated herein by this
reference:
(bl A Release of Lis Pendens, in the form of which is
attached hereto as Exhibit "8" and incorporated herein by this
reference: and
(cl A Dismissal With Prejudice of the Superior Court
Action as it relates to the CITY only in the form of which is
attached hereto as Exhibit "C" and incorporated herein by this
reference.
3. In addition to those documents to be delivered by FSA
pursuant to the preceding paragraph, FSA will deliver to the CITY
a full and complete set of all plans and specifications for the
Convention Center, at FSA's expense, upon request of the CITY.
4. FSA further agrees to provide one additional set of
plans and specifications at FSA' s expense to the individual or
entity ultimately chosen by the CITY to operate the Convention
Center and will cooperate with such operator to explain such
plans and specifications, including the status of installation of
materials pursuant to such plan and including a summary of
sources for such material and the present location of any
materials manufactured as of the date of this agreement. While
FSA will in good faith cooperate with the CITY and the ultimate
operator of the Convention Center, FSA will not be required to
make any revisions to design of the plan, reseletion of furniture
or furnishings, supervision of installation, inspection or

similar work. FSA may, however. contract with the operator of
the convention center for these services under separate contract
with such operator.
5. Nothing contained in this Release or its attachmeonts
hereto shall affect any claims which the CITY (or its related
entities) or FSA have against LEJ-A, English' English, Inc.,
English Enterprises, Herman English, Bonnie Pratt or any other
entity involved in the construction or design of the Convention
Center and adjacent Ramada Inn Hotel project.
