On May 20, 1991, the Community Development Commission authorized
execution of an Agreement to Negotiate Ezclusively with the Coussoulis
Development Company on land owned by the Commission located east of
"G" Street and south of Rialto Avenue.

AmPndment to Coussoulis Exclusive Riaht to Neaotiate ARreement
On May 20, 1991, the Community Development Commission approved an
agreement to negotiate exclusively with the Coussoulis Development
Company on property located south of Rialto Avenue and east of "G"
Street. The term of the agreement has expired and the attached
amendment would extend its terms to November 26, 1992.
The purpose of the agreement is unchanged and is to provide a major
office building for CALTRANS that will consolidate several existing
sites into one downtown location. The timing of the CALTRANS process
continues to be uncertain, but we are hopeful that this time frame will
be sufficient.
The agreement has been reviewed and approved by Department Counsel.
Therefore, staff recommends adoption of the form motion.

THIS FIRST AMENDMEN'l' '1'0 AGREEMENT, mac2e anc2 enterec2 into
this c2ay of , 1992 by anc2 between
the DEVELOPMENT DEPARTMENT OF THE CITY OF SAN BERNARDINO, a public
boI2y, corporate anc2 politic (the "Department"), anc2 COUSSOULIS
DEVELOPMENT COMPANY (the "Developer"), on the terms anc2 provisions
set forth below.
WITNESSETH:
WHEREAS, the parties enterec2 into that certain Agreement to
Negotiate Exclusively dated May 20, 1991, anc2
WHEREAS, the negotiations have not yet been completec2 and
the parties c2esire to extenc2 the term of saic2 Agreement,
NOW THEREFORE, the parties hereto agree as follows:
1. Section 103 of the Agreement to Negotiate Exclusively
identifiec2 above is hereby amendec2 to reac2 as follows:
"C. [5103] Negotiation Period
The duration of this Agreement (' The
Negotiation Perioc2') shall be five hunc2red
forty-five (545) days from May 20, 1991,
unless sooner terminated pursuant to the
proviSions of this Agreement.-
2. Except as amendec2 herein said Agreement shall remain in
full force and affect.
