On November 20, 2000, the Mayor and Common Council adopted Resolution No, 2000-327
approving a Professional Services Agreement with Milford Wayne Donaldson, FAIA, Inc" in an
amount not to exceed $1,064,840, for preparation of final plans, specifications and estimate for
renovation and retrofit of the San Bernardino Santa Fe Depot
The project design has been completed and the Janus Corporation is now completing Phase 3 of
the removal and clean up of lead-based paint and asbestos in the building, This action would
provide for an amendment to the existing contract with the Project Architect to provide support
during the bidding and reconstruction phases of the project as well as protection of the historical
fabric of the building, It is critical that the existing wood trim, windows, doors, and light
fixtures, etc, all be restored properly, and the architect plays an important role in that process,
The total "not to exceed" compensation to the Architect and their subconsultants for bidding
assistance/construction observation is $157,000 based on the original hourly rates audited and
approved by Caltrans at the onset ofthe project

percent) will be reimbursed through Federal/State Aid funding with the local match for this

MAYOR TO EXECUTE AMENDMENT NO. 4 TO THE AGREEMENT WITH
MILFORD WAYNE DONALDSON, FAlA INC. FOR BIDDING

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. THAT THE MAYOR is authorized to execute Amendment No.4 to the
Agreement (see attached Exhibit "A" and incorporated herein) with Milford Wayne Donaldson,
F AlA Inc. for Bidding AssistancelConstruction Observation for the renovation and retrofit of the
San Bernardino Santa Fe Depot. Such Amendment No.4 shall be effective only upon being
fully executed by all parties.
SECTION 2. This Amendment and any modifications thereto shall not take effect or
become operative until fully signed and executed by the parties and no party shall be obligated
16 hereunder until the time of such full eXecution. No oral agreement, amendments, modifications

or waivers are intended or authorized and shall not be implied from any act or course of conduct
of any party.
SECTION 3. This resolution is rescinded if the parties to the Amendment fail to execute
it within sixty (60) days of the passage of this resolution.

AMENDMENT NO.4 TO AGREEMENT FOR PROFESSIONAL SERVICES
This AMENDMENT NO.4 is made and entered into this of 2002,
by and between the CITY OF SAN BERNARDINO, California, a municipal corporation,
hereinafter referred to as the "CITY" and Architect Milford Wayne Donaldson, FAIA, Inc.,
hereinafter referred to as "ARCHITECT" .
WITNESSETH
WHEREAS, San Bernardino City Council, on November 20, 2000, adopted
Resolution No. 2000-327 approving an Agreement for Professional Services with Architect for
preparation of plans, specification, and estimate for renovation and retrofit of the San
Bernardino Santa Fe Depot; and
WHEREAS, Architect has requested an amendment to the Agreement to cover
the cost of additional required services; and
WHEREAS, paragraph 5.B. of Agreement allows adjustment to the total cost of
services when the Architect and City agree in writing that there has been, or will be, a
significant change in the scope, complexity or character of the services to be performed; and
WHEREAS, City agrees that the requested revisions are not within the scope of
services covered in Agreement; and
WHEREAS, the proposed additional services to be performed by Architect are
described in a letters from Architect dated March 14, 2002, identified as Exhibit "B",
respectively, attached hereto and made a part hereof. The cost for the additional services shall
be based according to Exhibit" C" , attached hereto and made a part hereof.
NOW, THEREFORE, it is mutually agreed, as follows:
I. SCOPE OF SERVICES
Architect shall perform those additional services identified in Exhibit" B" .
2. COMPENSATION
Upon satisfactory completion of the additional services contained herein City
shall be pay to Architect an additional fee of $157,000.00.

3. NO ADDITIONAL CHANGES
Except as otherwise stated in this Amendment No.4, all terms of the original
Agreement, as approved by City on November 20, 2000, and as amended in
Change Order Number One, approved by City on April 16, 2001, and as amended
in Amendment Number Two, approved by City on June 18, 2001, and as amended
in Amendment Number Three, approved by City on October 15, 2001, shall remain
in full force and effect.

Dear Ray:
The attached proposal for additional services should be considered an Addenda to our original contract
with the City of San Bernardino dated November 20, 2000. Architect Milford Wayne Donaldson, FAIA
(MWD), and members of the engineering design team assembled for the Santa Fe Depot Project, will provide
support during the Bidding Assistance and Construction Observation phases. .
At your request, the fees for this proposal, including reimbursables, will be performed on a time and
materials basis toward the City budget of One Hundred Fifty Seven Thousand Dollars ($157,000). Work
previously directed by your office and completed for fire protection will be paid for under this $157,000
contract.
Upon approval of the attached proposal, please forward MWD a signed contract for our signature. Thank
you.

Proposal for Additional Services
March 14,2002
Architect Milford Wayne Donaldson, FAIA (MWD) and members of the engineering design team for the
Santa Fe Depot Project will provide support during the bidding and construction phases. This proposal is
solely on a time and materials basis. At your request, the fee for this proposal, including reimbursables,
is One Hundred Fifty Seven Thousand Dollars ($157,000).
MWD will submit time cards that indicate tasks accomplished and hours spent on the Depot project.
MWD's weekly time cards, as well as similar consultant summaries, will be attached to the monthly
invoices for the City's information. There will not be weekly submittals. This additional paperwork is for
clarification purposes only, and not as a means to obtain approval after the work has already been
completed, provided that the work falls generally within normal professional standards.
When agreed upon, services requiring overtime effort will be billed at one-and-one-halftimes the
scheduled rate. MWD will charge cost plus 15% for reimbursables and for consultants employed by
MWD on the City's behalf. Attached are the Schedule of Fees for each discipline of the A&E Team. The
Schedule of Fees is subject to change upon notification.
As the architect for the San Bernardino Depot, MWD needs to attend and participate in the regularly
scheduled progress meetings. MWD needs to maintain continuity throughout the bidding assistance and
construction observation phases to avoid problems that could otherwise be easily avoided. MWD shall be
notified at least three (3) days in advance of all progress meetings. MWD shall receive copies ofall
correspondence in a timely manner, including but not limited to; RFI's, ASI's, letters, meeting minutes,
change orders, memos, and other correspondence related to the project. The A&E Team shall not be
limited in what submittals and correspondence they can review.
MWD anticipates that, at minimum, the following seven (7) job classifications will be necessary: I.
Corporate Architect, 2. Project Manager, 3. Project Architect, 4. Project Historian, 5. Intermediate
Draftsperson, 6. Financial Controller and, 7. Clerical. Each of those seven job classifications will be
necessary for MWD to perform our services. The number of people, and job classifications, increases
even more once subconsultants become involved and a similar arrangement will be necessary for them as
well.
Travel time must be paid for by the City because that employee is on the clock for that time and is not
able to work on another project. If MWD is serving multiple projects in the area on the same trip, the
fees to the City can be reduced pro rata. In other words, if MWD visits three site within the area,
including San Bernardino. travel costs to the City of San Bernardino would be one-third of the total

actual costs'. Reimbursement for subsistence, such as meals and overnight accommodations while in San
Bernardino will not be charged.
MWD will bill for plots and copies that are necessary for us to perform our services. We will bill the
City for those copies. including any copies for our consultants and film and processing. Long distance
telephone calls and faxes, especially for an out of town job, are to be paid by the City. This was the
arrangement under our original contract. Reimbursements for aircraft and equipment rentals while
serving the project in San Bernardino are not anticipated for this project and are not included in this
proposal.

of the Interior's Standards and with the FOE, MWD takes 35mm or digital progress photographs. These
photographs should not be confused with the photographs that the contractor is required to take. We
commonly take two or three rolls of film per month during construction and the City shall reimburse
MWD for those expenses. Upon approval of this proposal please sign and return one signed copy to our
office for our files.

adopted Resolution 2002-130 - Resolution authorizing the Mayor to execute Amendment No. 4
to the agreement with Milford Wayne Donaldson, F AlA Inc., for bidding assistance/construction
observation for the renovation and retrofit of the San Bernardino Santa Fe Depot.
Enclosed is one (1) original agreement. Please sign in the appropriate locations and return the
original agreement to the City Clerk's Office, Attn: Michelle Taylor, P.O. Box 1318, San
Bernardino, CA 92402, as soon as possible.
Please be advised that the resolution and agreement will be null and void if not executed
