BACKGROUND: At their meeting of December 6, 2006, the Ways and Means Committee recommended approval of civic and promotion funding to the San Bernardino Convention and Visitors Bureau in support of their operation ofthe new California Welcome Center, as outlined in the attached letter and Proposed Operating Budget from CVB's Executive Director, Steve Henthorn. The amount of recommended funding is $25,000 from the FY06/07 Budget and $25,000 annually thereafter through FYIO/II, payable each September I, for a total amount of$125,000. The EDA has also committed funding of$25,000 each year from RDA funds. The Center will be located within the city of San Bernardino on Hospitality Lane making it an ideal location for serving tourists visiting the Inland Empire and various Southland attractions. FINANCIAL IMPACT: The FY 06-07 civic and promotion fund has a current balance of $92,636. $25,000 of this amount is available to fund the operation of the Welcome Center through the remainder of this fiscal year as shown in the attached matrix. Beginning in FY07/08 and continuing through FY lOlli, $25,000 will be allocated annually for this purpose for a total amount of$125,000. Attached is the resolution and agreement for your approval. RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AUTHORIZING THE MAYOR TO EXECUTE AN AGREEMENT WITH THE SAN BERNARDINO CONVENTION AND VISITORS BUREAU FOR FINANCIAL ASSISTANCE FROM THE CIVIC AND PROMOTION FUND FOR THE CALIFORNIA WELCOME CENTER. BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. The Mayor of the City of San Bernardino is hereby authorized and directed to execute on behalf of said City a Five Year Agreement with San Bernardino Convention and Visitors Bureau, a copy of which is attached hereto, marked Exhibit "An and incorporated herein by reference as fully as though set forth at length. Section 2. " The parties agree to as follows: 1. Recitals. A. Organization has requested financial assistance from City to assist with the operation of the California Welcome Center in the city of San Bernardino, as outlined in the letter and proposed Budget to the City, copies of which are attached hereto marked Exhibit "A". The terms of the request are incorporated herein by reference and shall govern the uses of the funds provided herein. The financial assistance provided for in this Agreement is made on a five-year basis beginning with FY 2006/07 through FY 2010/11, and receipt of said funds shall not imply a continuing obligation of the City beyond the terms of this Agreement. B. The expenditure is for a valid municipal public purpose, to wit: for the Operation of the California Welcome Center. Payment. Upon presentation of a claim to the City Finance Director, City shall pay to the CVB from the civic and promotion budget for the 2006/07 . . . 1 2 3 4 5 6 7 AGREEMENT BETWEEN THE CITY OF SAN BERNARDINO AND LITTLE LEAGUE BASEBALL, INC., WESTERN REGIONAL HEADQUARTERS, FOR FY06/07 CIVIC AND PROMOTION FUND ASSISTANCE. fiscal year, the total sum ofTWENTY FIVE THOUSAND DOLLARS ($25,000). No deviation from these provisions shall be made without the express approval of the City of San Bernardino. Any unexpended funds shall be returned to the City by Organization. Accountability. Financial records shall be maintained in accordance with generally accepted accounting principles by Organization in such manner as to permit City to easily trace the expenditure of the funds. All books and records of Organization for this facility are to be 24 kept open for inspection at any time during the business day by the City or its officers 25 or agents. Hold Harmless. Organization covenants and agrees to defend. (if requested by City), indemnify, and hold 5 harmless the City, its departments, agencies, boards, commissions, elected officials, officers, 6 attorneys, employees and agents from all liabilities and charges, expenses (including counsel 7 fees), suits, or losses, however occurring, or damages arising or growing out of the use or receipt 8 9 10 11 of the funds paid hereunder and all operations under this Agreement. Payments hereunder are made with the understanding that the City is not involved in the performance of services or other activities of Organization. The costs, salary and expenses of the City Attorney and members of 12 his office in enforcing this Agreement on behalf of the City shall be considered as "counsel fees" 13 14 6. 15 16 17 18 19 20 21 for the purposes of this paragraph. Insurance. While not restricting or limiting the foregoing, during the term of this Agreement, Organization shall maintain in effect policies of comprehensive public, general and automobile liability insurance, in the amount of$I,OOO,OOO, per occurrence combined single' limit, naming the City of San Bernardino, its departments, agencies, boards, commissions, elected officials, officers, attorneys, employees, and agents as additionally insured. A certificate of insurance evidencing such coverage shall be provided to the Mayor or her designee, with the 22 added notation that the insurance policy shall not be terminated or materially altered without 10 23 24 25 7. days prior written notice to the City. Termination.
