ECONOMIC DEVELOPMENT AGENCY STAFF REPORT OLDTIMERS FOUNDATION AGREEMENT EXTENSION- (ELDERLY/SPECIAL NEEDS MINOR HOME REPAIR GRANT PROGRAM) BACKGROUND/CURRENT ISSUE: The Oldtimers Foundation ("Foundation") is a non-profit charitable and educational organization serving the needs of senior citizens within the County of San Bernardino ("County"). The Foundation was created in 1964 for the purpose of maintaining and iinproving the physical, psychological and social well-being of older low-income and handicapped persons. This is accomplished through comprehensive and coordinated programs that provide congregate and home-delivered meals, minor home repairs, transportation, volunteer services, supportive services and affordable housing. Currently, the Foundation works with the County's Department of Aging and Adult Services, the Cities of Rialto, Rancho Cucamonga, Fontana and San Bernardino. On January 6, 2003, the Community Development Commission ("Commission") approved a Contractor Services Agreement Minor Grant Repair Program (Elderly/Special Needs) ("Agreement") between the Redevelopment Agency of the City of San Bernardino ("Agency") and the Foundation in the amount of Seventy-Five Thousand Dollars ($75,000) with fifteen percent (15%) allowed for administration, renewable annually for three (3) years and conditioned on availability of Low- and Moderate-Income Housing Funds ("Housing Fund") to operate and administer the Elderly/Special Needs Minor Home Repair Grant Program ("Program") in the City of San Bernardino ("City"). During the three (3) year Agreement period, the Foundation assisted over two hundred fifty-two (252) senior households. The three (3) year contract expired on January 6, 2006; however, no funds were expended from the 2006 calendar year budgeted funds. As a result, the Foundation continued program implementation under the Agreement to use up all the 2005 calendar year allocated funds and it is now necessary to reinstate the Agreement effective November 20, 2006, and allocate new funds commencing in 2007. The Foundation provides repair assistance to eligible senior homeowners that include, but are not limited to, plumbing, heating, electrical, carpentry and general minor repairs. The maximum that may be expended under the original Agreement is Seven Hundred Fifty Dollars ($750) per housing unit with a limitation on service visits to twice a year. The Program is offered to residents on a first-come, first-served basis. In order to be eligible for the Program, an applicant must meet the following basic criteria: I) be an owner occupant for a minimum period of one (I) year; 2) meet the applicable income criteria which shall not exceed eighty percent (80%) of the 2006 area median income' for the County (i.e., family' of one (I), Thirty-Two Thousand Two Hundred Dollars ($32,200); family of two (2), Thirty-Six Thousand Eight Hundred Dollars ($36,800)); and, 3) be an elderly person, age sixty (60) or above, or be disabled, handicapped or a recipient of Social Security Income (SSI). The Foundation is requesting an increase in the service amount from Seven Hundred Fifty Dollars ($750) to One Thousand Dollars ($1,000) per housing unit due to an increase in the cost of materials (See attached letter). Staff is requesting that the Commission approve the change in the Program amount, reinstate the Agreement effective November 20, 2006 and provide funding in the amount not to exceed One Hundred Thousand Dollars ($100,000) renewable annually for an additional three (3) calendar years, subject to funding availability in the Agency's Housing Fund. ENVIRONMENTAL IMPACT: None. FISCAL IMPACT: The $100,000 is available and budgeted in the 20~6-2007 Agency's Housing Fund. Dear Mr. Arogundade, The Oldtimers Foundation has a contract with the City of San Bernardino, through your department, to provide minor home repair to San Bernardino senior citizens. At this time, we have a spending cap of $750.00 per house and are only able to service them every three years. We have seen a substantial in<;rease in our cos"ts over the past three years "that we are not always able to correct everything necessary because of our present cap. Also keep in mind that we are not able to return to that particular house for a period of three years. I am requesting that you consider raising our cap to $1000.00 per house so that we can address all necessary repairs, which some are Safety issues. If we are able to increase the cap to $1000.00, we will not be able to serve the same amount of houses. unless you consider increasing our contract. NOW, THEREFORE, THE COMMUNITY DEVELOPMENT COMMISSION OF THE CITY OF SAN BERNARDINO DOES HEREBY RESOLVE, DETERMINE AND ORDER, AS FOLLOWS: Section 1. The Commission hereby approves Amendment No. I to the Agreement and reinstates the Agreement as of the date of said Amendment No. I. The Commission authorizes and directs the Executive Director of the Agency to execute, on behalf of said Agency, Amendment No. I to the Agreement between the Agency and the Foundation, in the amount not to exceed One Hundred Thousand Dollars ($100,000) annually, for a period of three (3) calendar years comprised of 2007, 2008 and 2009, subject to the availability of the Housing Fund for the administration and provision of the Program to eligible single-family homeowners within the City limits, in accordance with the provisions of the Agreement, a copy of which is on file with the Agency Secretary and incorporated herein by reference as though fully set forth at length. Section 2. The Executive Director of the Agency is hereby authorized to make minor corrections, additions and clarifications to Amendment No. I to the Agreement, provided said changes are not substantive in nature and do not increase the monetary impact to the Agency. Section 3. For purposes of satisfying the requirements of Health and Safety Code Section 33413 (b), the Commission hereby finds and determines that the Program expands and preserves the community's supply of affordable housing. AMENDMENT NO.1 TO THE CONTRACTOR SERVICES AGREEMENT MINOR GRANT REPAIR PROGRAM (ELDERL YISPEClAL NEEDS) THIS AMENDMENT NO. 1 TO THE CONTRACTOR SERVICES AGREEMENT MINOR GRANT REPAIR PROGRAM (ELDERLY/SPECIAL NEEDS) (this "Amendment No. I") is dated as of 20th day of November 2006, by and between the Redevelopment Agency of the City of San Bernardino, a public body, corporate and politic (hereinafter the "Agency"), and the 01dtimers Foundation, a California non-profit corporation (hereinafter the "Contractor"). The Agency and the Contractor are sometimes hereinafter individually referred to as "Party" and hereinafter collectively referred to as the "Parties." RECITALS A. The Parties have previously entered into an Agreement entitled "Contractor Services Agreement Minor Grant Repair Program (Elderly/Special Needs)" (the "Agreement") dated January 6, 2003, in which the Contractor desires to perform, assume responsibility and obligations for the affordable housing grant administration and maintenance services (the "Services"), on the terms and conditions set forth herein. B. As of the effective date of this Amendment No. I, the Contractor has agreed to provide the Services as described in the terms and conditions as set forth in the Agreement with funds from the Redevelopment Low- and Moderate-Income Housing Fund ("Housing Fund") in the amount not to exceed One Hundred Thousand Dollars ($100,000) annually, for a period of three (3) years, subject to availability of the Housing Fund. NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS AND CONDmONS CONTAINED HEREIN, THE AGENCY AND THE CONTRACTOR AGREE AS FOLLOWS: Section 1. (a) Unless the context of the usage of a term or phrase in this Amendment No.1 may otherwise require, the meaning of words and phrases in this. Amendment No. I, which are indicated by an initially capitalized letter, shall be the same as set forth in the Agreement. (b) The Recitals contained in this Amendment No.1 are true and correct. Section 2. This Amendment No. 1 sets forth the terms and conditions of an amendment to the text of the Agreement. The Effective Date of the Agreement occurred on January 6, 2003, and expired pursuant to the terms on January 6, 2006. This Amendment No.1 reinstates the Agreement as of the date of this Amendment No. 1. Section 4. The text of the following specified Sections of the Agreement are hereby amended to include the following within the scope of the Agreement as amended pursuant to this Amendment No. 1. SECTION IT, 4. Time of Performance. is amended to read as follows: The Services to be performed by the Contractor under and pursuant to Amendment No. 1 to this Agreement shall be for a period of one (1) year, from January I, 2007 through and including December 31, 2007 (the "Completion Date"). The Executive Director of the Agency is authorized to extend the Completion Date for not to exceed two (2) additional calendar years after the Completion Date, subject to Housing Fund availability. SECTION IV, 1. Compensation, is amended to read as follows: In consideration of the performance by the Contractor of the Services, the Agency shall pay to the Contractor up to fifteen percent (15%) Fifteen Thousand Dollars ($15,000) for administrative fee and Eighty-Five Thousand Dollars ($85,000) for program labor and material costs for a total sum of not to exceed One Hundred Thousand Dollars ($100,000) annually for the term of this Agreement. Subject to availability of the Housing Fund, the total amount of compensation (the "Compensation") shall not exceed Three Hundred Thousand Dollars ($300,000) to the Contractor during the term of this Agreement. SECTION V, 1. Termination, is amended to read as follows (subsections b. and c. of SECTION V, 1. shall remain unchanged): a. Termination bv Written Notice of A2encv: The Agency may, by written notice to the Contractor, terminate the whole or any part of this Agreement at any time and without cause by giving written notice to the Contractor of such termination. In the event of termination without cause, the Contractor shall be compensated for the work performed up to that date of termination. Payment for work completed under this Agreement to the date of termination shall be made strictly on the basis of work actually completed by the Contractor to the satisfaction of the Agency. In no event shall the total compensation for services performed under this Agreement exceed One Hundred Thousand Dollars ($100,000) per year. The Contractor shall be entitled to no further compensation after the effective date of any termination of this Agreement. SECTION B. Exuenditures and Prol!ram Limitations under Exhibit "A" Scope of Services, is amended to change Seven Hundred Fifty Dollars ($750) to One Thousand Dollars ($1,000) where noted.
