INDEMNITY AND HOLD HARMLESS AGREEMENT
American Development Group, Inc., ("Developer") hereby agrees to protect,
indemnify, defend (at the City's option) and hold harmless the City of San Bernardino
("City"), its elected and appointed officials, officers and employees from and against any
and all losses, damages, claims, lawsuits or liabilities, including attorney fees, physical
damage to tangible real or personal property, and for bodily injury, including death to
any person, arising out of or related to the City's approval of the Arrowhead Springs
Specific Plan.
The persons executing this Agreement on behalf of the parties hereto warrant
that they are duly authorized to execute this Agreement on behalf of said parties and
that by doing so, the parties hereto are formally bound to the provisions of this
Agreement.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be
executed by and through their respective authorized officers, as of the date following.
