RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF A THIRD AMENDMENT TO AGREEMENT WITH FLEMI14G &
ASSOCIATES, PROVIDING FOR A ONE YEAR EXTENSION OF THE TERM.
BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF
SAN BERNARDINO AS FOLLOWS:
SECTION 1. The Mayor of the City of San Bernardino is hereby
authorized and directed to execute on behalf of said City a Third
Amendment to Agreement with Fleming & Associates, providing for a
one year extension of the term, a copy of which is attached hereto,
marked Exhibit "A" and incorporated herein by reference as fully
as though set forth at length.
I HEREBY CERTIFY that the foregoing resolution was duly
adopted by the Mayor and Common Council of the City of San
Bernardino at a regular meeting thereof, held
on the 21st day of lay 1984, by the following
vote, to wit:
AYES: Council Members Castaneda, Reilly, "7a.rt,s,
nuiel, Frazier_, Strickler
NAYS: None
ABSENT: Council member Hernandez

THIRD AMENDMENT TO AGREEMENT
(Claims Administration - Workers' Compensation & General Liability)
THIS THIRD AMENDMENT TO AGREEMENT, effective as of July 1,
1984, is entered into between the CITY OF SAN BERNARDINO, a
municipal corporation, referred to as "City", and FLEMING &
ASSOCIATES, a California Corporation, referred to as "Consultant".
City and Consultant agree as follows:
1. Recitals.
(a) City and Consultant entered into an agreement on
August 14, 1981, relating to the administration of City's legally
uninsured program for its employees -pursuant to the workers'
compensation laws of the St -.ate of California, and of its self-
insurance program for general claims liability against City.
(b) On July 9, 1982, City and Consultant entered into a
.first Amendment to Agreement changing Consultant's total
compensation and extending the agreement for an additional one
year period.
(c) On November 18, 1983, City and Consultant entered
into a Second Amendment to Agreement extending the agreement for
a further one year period and increasing Consultant's compensation
per claim.
(d) The parties now desire to amend the agreement dated
August 14, 1981, to provide for an additional one year extension
of the term.
2. Term. The term of the agreement is extended for an
additional period ❑f one year commencing July 1, 1984, and
terminating June 30, 1985, unless sooner terminated as provided
in the agreement dated August 14, 1981.

3. Other Provisions. All other terms, conditions and
covenants of the agreement, as amended, shall remain the same and
be in full force and e fect.
