STAFF REPORT
The San Bernardino Unified School District has served as "vendor" for the City
sponsored Summer Lunch Program since its inception in 1975.
The agreement submitted for Council action is identical to previous years'
agreements, excluding the areas of cost and term of the agreement dates.

EXECUTION OF AN AGREEMENT WITH THE SAN BERNARDINO UNIFIED SCHOOL
3 DISTRICT RELATING TO THE DELIVERY OF TYPE A LUNCHES TO CITY'S
SUMMER LUNCH SITES.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF
5 SAN BERNARDINO AS FOLLOWS:
6 SECTION 1. The Mayor of the City of San Bernardino is hereby
7 authorized and directed to execute on behalf of said City an
8 agreement with the San Bernardino Unified School District
9 relating to the delivery of Type A lunches to City's summer
10 lunch sites, a copy of which is attached hereto, marked Exhibit
11 "A" and incorporated herein by reference as fully as though set
12 forth at length.

FOOD SERVICES 1\GREEMENI'
THIS AGREEMENT made and entered into this 21st Day of May, 1986, by and
between the SAN BERNARDINO CITY UNIFIED SCHOOL DISTRICT, hereinafter referred
to as "DISTRICT" and the CITY OF SAN BERNARDINO, a m.micipal oorporation of
the State of Califomia, hereinafter referred to as "CITY".
R E C I TAL S:
WIlEREI\S, CITY desires to have oold lunches provided for minor children who are
taking part in the City Youth lIctivities Program, and
WIlEREI\S, DISTRICT has facilities for the preparation of the needed oold
lunches, and DISTRICT is willing to provide such service to CITY,
. NCM, 'IHEREFORE, the parties hereto agree as follONS:
1. DISTRICT agrees to deliver to CITY said oold lunches each day during
the term of this Agreerrent, with the exception of Saturdays,
Sundays, and holidays, in a number specified by CITY. Each oold
lunch shall carply with Type "A" requirements set by USDA for
students' nutritional needs, and the oontents of the rrenus shall be
agreed upon Imtually.
CITY shall call the preparation DISTRICT kitchen before 1:00 p.m.
of the day preceding the day of the required service indicating
the number of lunches needed. After CITY has placed its initial
order, DISTRICT shall oontinue preparing the satre nUlli:ler of lunches
unless CITY notifies the preparation kitchen as indicated above.
!J.mches shall be packaged on a disposable tray wrapped with clear
plastic-type material.
2. CITY agrees to pay the DISTRICT $1.495 for each lunch delivered to
CITY pursuant to this Agreerrent.
3. The term of this Agreerrent shall be fran July 1, 1986 through
August 29, 1986 inclusive.
4. DISTRICT shall deliver said lunches daily, at a Imtually agreed
upon titre, to CITY-authorized sites as indicated in Exhibit A,
attached hereto and Il\3.de a part of this J\greerrent. Said delivery
to be Il\3.de by DISTRICT personnel.
5. DISTRICT agrees to furnish all labor and vehicles necessary to
transport said lunches and store said lunches in refrigerators,
as needed, fran the preparation point to the authorized CITY
sites.
6. CITY shall provide any and all labor necessary for service of said
lunches at designated sites, and CITY agrees to clean all reusable
DISTRICT equiprent and utensils as soon as possible after food
has been served, and prior to its return to the DISTRICT preparation

facility before noon on the day following the day it was delivered
to CITY.
7. CITY shall provide any clerical or accounting serviCes needed for
filing State reports, which may be required to entitle DISTRICI' or
CITY to reiroburserrent from the State.
8. CITY shall bear the sole responsibility for care of all refrigerated
perishable food items after they have been delivered to the sites
until the tine of consurrption.
9. The arrount of milk or food needed for the preparation of said
lunches shall be arranged by the DISTRICI' at the tine adjustrrents
for said lunches are made. The CITY shall not participate in the
ordering of food or milk needed to prepare said lunches.
10. DISTRICI' shall bill CITY llOnthly and billing will include all
transactions through the close of business on the last day of the
llOnth. CITY shall prcnptly pay said bills.

11. CITY agrees to bear the cost of any losses resulting fran theft or
inproper storage once the food or lunches are delivered to CITY.
CITY further agrees that once the lunches have been delivered to
authorized CITY personnel, CITY assurres the responsibility to
dispose of such and return no food items. CITY shall not be
entitled to any credit for over-ordering of lunch orders.
12. CITY agrees to indemnify and hold hannless DISTRICI' for any and all
liability arising out of the perfornance of this 1\gIeerrent. Said
indemnification shall include, but not be limited to, any liability
resulting from defective or spoiled food once the food has been
delivered to CITY and any injury to CITY personnel in or about the
premises of DISTRICI'. The only exception to this indemnification
agreerrent is that DISTRICI' agrees that it will not be indemnified
for injuries to DISTRICI' personnel which occur while DISTRICI'
personnel are performing pursuant to this'1\greeIrent.
13. This Agreerrent ll\3.y be cancelled by either party by giving prior
seven (7) days written notice to the other party, and said notices
ll\3.y be given by United States ll\3.il to the addressees listed below.
IN WITNESS WHEREOF the Parties hereto have executed this Agreement on the day
set forth below.
