() 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 o o o A G R E E MEN T --------- (Promotion of Arts and Culture) THIS AGREEMENT is entered into between the CITY OF SAN BERNARDINO, a municipal corporation, referred to as "City", and the INLAND EMPIRE SYMPHONY ASSOCIATION, a California nonprofit organization, referred to as "Organization". The parties agree as follows: 1 . Recitals. (a) Organization has requested financial assistance from" City in order to assist in defraying the expense of a special concert. Said concert is to be he ld on September 7, 1985, and will feature Miguel Alcazar, a world renowned guitarist. The financial assistance provided for in this agreement is made on a one-time only basis, and receipt of said funds shall not imply a continuing obligation of the City beyond the term of this agreement. (b) The expenditure is for a valid municipal public purpose, to wit: for promotion of arts and culture. 2. Payment. Upon presentation of a claim to the City Administrator, City shall pay to Organization from the budget for the 1985-1986 fiscal year, the total sum of ONE THOUSAND DOLLARS ($1,000) at such time as determined by the Finance Director of th City. 3. Use of Funds. The funds paid to Organization shall be used solely for the purpose set forth in Exhibit "1". Within thirty days after the concert is held, all unexpended funds shall be returned to City by Organization. 4. Accounting. Organization shall submit to the City EXHlBIT A . . o o o o 1 Administrator, with a copy to the Director of Finance and the San 2 Bernardino Fine Arts Commission, an accounting of the proposed 3 and actual expenditures of all revenues accruing to the 4 Organization on or before October 7, 1985. Financial records 5 shall be maintained in accordance with generally accepted 6 accounting principles by Organization in such a manner as to 7 permit City to easily trace the expenditures of the funds. All 8 books and records of Organization are to be kept open for 9 inspection at any time during the business day by the City's 10 officers or agents. 11 5. Hold Harmless. Organization covenants and agrees to 12 indemnify and save harmless the City and its boards, commissions, 13 officers, employees and agents from all liabilities and charges, 14 expenses (including counsel fees), suits or losses however 15 ocurring, or damages arising or growing out of the use or receipt 16 of the funds paid hereunder and all operations under this 17 agreement. Payments hereunder are made with the understanding 18 that the City is not involved in the performance of services 19 or other activities of Organization. Organization and its 20 employees and agents are independent contractors and are not 21 employees or agents of the City in performing said services. 22 6. Termination. City shall have the right to terminate 23 this agreement and any funding remaining unpaid hereunder for any 24 reason by mailing a ten-day writen notice to Organization and 25 this agreement shall terminate ten days after the mailing of such 26 notice. In the event this agreement is terminated for reasons 27 of improper use of funds or use of funds for any purpose other 28 than those authorized, any unexpended portion of the funds 2 . () o o o 1 provided by City shall be returned to City. In addition, 2 Organization shall reimburse to City any funds expended which 3 were used for any purposes other than those authorized under this 4 agreement. 5 7. Assignment. Organization shall not assign its interest 6 in this agreement without the prior written approval of City. 7 8. Final Report. Organization shall provide to City on or 8 before October 7, 1985, a final report on the project funded by 9 this agreement in accordance with the Criteria for Financial 10 Support heretofore provided by City to Organization. 11 9. Notices. UUTIicIlgr_ OlMIeS, T_ StIpIlen L WIIIInIy Eugene H, _ L_E.Y_ July 26, 1985 Ms. Thelma Press Mayor's Office 300 North "0" Street San Bernardino, CA 92401 Dear Ms. Press: The Inland Empire Symphony Association in conjunction with the Mexican government and the Hispanic community will present "Sinfonia Mexicana", a concert featuring world-renown classical guitarist Miguel Alcazar, accompanied by guest conductor Abraham Chavez of the El Paso Symphony, on Saturday evening, September 7, 1985, at 8:15 p.m. at the California Theatre of Performing Arts. The program will feature Mexican classical music exclusively. A major art exhibit featuring the works of noted Mexican masters to be held at the County Government Center is also planned for the month of September. This art exhibit is being held to complement the concert and to honor our visiting guest artists. We are expecting from six to eight hundred guests at the opening night gala premiere and more than seventeen hundred at the concert. This tribute to the culture of Mexico is a "first" in the history of San Bernardino and has the enthusiastic cooperation of the Hispanic and general communities. We are asking the Fine Arts Commission to join us in making this event a tremendous success. Approximately $28,000 will be spent on this project. Of this amount, $12,000 will come from ticket sales with the remainder coming from individual contributions. Already we have received more that $6,500 and are now seeking an additional $9,500. It is our hope that the Fine Arts Commission will contribute $1,000 to this project. Your past support is greatly appreciated and we look forward to hearing from you soon.
