The Mayor of the City of San Bernardino is hereby authorized and directed to execute on behalf of said City an Agreement with the San Bernardino Committee for International Year of Disabled Persons relating to funding for assessing needs of disabled citizens, a copy.of which is attached hereto, marked Exhibit "A" and incorporated herein by reference as fully as though set forth at length. The parties agree as follows: 1. Recitals. 9 (a) Committee is in the process of assessing the still 10 unmet needs of San Bernardino's disabled citizens and setting 11 goals and developing programs for those needs. 12 (b) Committee has requested financial assistance from 13 City in order to assist in defraying its expenses. 14 (c) The expenditure is for valid municipal public 15 purposes, to wit: to plan local observances and to begin the 16 'Planning process of assessing the still unmet needs of San 17 Bernardino's disabled citizens and setting goals and developing 18 Iprograms for those needs. 19 2. Payment. City shall pay to Committee the total sum of 20 ONE THOUSAND FIVE HUNDRED DOLLARS ($1,500) upon execution of this 21 agreement. 22 3. Use of Funds. The funds paid to Committee shall be used 23 24 25 26 27 28 solely for the purposes set forth above during the term commencing on the date of execution of this agreement and ending on December 31, 1981. At the end of the term, all unexpended funds shall be returned to City by Committee. 4. Accounting. At such times as may be requested by the City Administrator or Director of Finance of City, Committee shall 11 1 submit to the City Administrator, with a copy to the Director of 2 Finance, an accounting of the proposed and actual expenditures of 3 all revenues accruing to the organization for the year ending 4 December 31, 1981. Financial records shall be maintained in 5 accordance with generally accepted accounting principles by 6 Committee in such a manner as to permit City to easily trace the 7 expenditures of the funds. All books and records of Committee are 8 to be kept open for inspection at any time during the business day 9 by the City or its officers or agents. 10 5. Approval of City of -any Charges. City reserves the right 11 to require Committee to obtain the prior written approval of City 12 of any charges or fees to be charged by Committee, and the amounts- 13 thereof, for such funded services. 14 6. Temporary Freeze. The Director of Finance, with the 15 concurrence of the Mayor and Common Council, is authorized to 16 place a temporary freeze on or terminate the payment of funds to 17 Committee when any violation of the agreement, in the discretion 18 11of said Director, occurs and the same shall continue until such 19 violation is corrected to the satisfaction of the Director and 20 Mayor and Common Council. 21 22 23 24 25 26 27 28 7. Hold -Harmless. Committee hereby covenants and agrees to indemnify and save harmless the City and its employees and agents from all liabilities and charges, expenses (including counsel fees), suits or losses however occurring, or damages arising or growing out of the use or receipt of the funds paid hereunder and all operations under this agreement; payments hereunder are made with the understanding that the City is not involved in the 1performance of services or other activities of Committee. -2- I Committee and its employees and agents are independent contractors 2 and not employees or agents of the City in performing said 3 services. 4 8. Termination. City shall have the right to terminate this 5 �lagreement and any funding hereunder for any reason by mailing a 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 ten (10) day written notice to Committee and this agreement shall terminate ten (10) days after the mailing of such notice; and thereafter- any unpaid funds shall not be prorated or paid to Committee. J 9. Assignment. Committee shall not assign its interest in �f this agreement without the prior written approval of City. 10. Notices.
