Background
As part of the City's commitment to implementing the Charter adopted by voters on

November 8, 2016, that changed the form of government, the Mayor and City Council
committed to participating in strategic planning and organizational development .y
sessions with the recently appointed City Manager at least two times per year. These
sessions are intended to create a framework for comprehensive leadership in rebuilding a
the City of San Bernardino and establishing systems and lasting policies that transform00
the community and guide decision-making.
A qualified consultant with extensive experience in public agencies and a demonstrated o
record of success is needed to facilitate these sessions. a

The consultant will provide organizational development, team building and planning Z

services that will lead to a vision and mission statement, core values, business plan,
c�
policy plan and a five-year strategic plan that builds upon and reaffirms the Strategic
Plan adopted by the City as part of the Plan of Adjustment. The consultant will facilitate
focused discussion sessions with the Mayor and City Council and executive
management as well as providing organizational development services including
facilitating training and workshops and one-on-one coaching and mentoring in City E
Departments and work groups.

Discussion
Given the background, qualities and level of expertise required of this consultant and
the unique skill set needed to make the sessions as beneficial as possible, staff
identified a select group of qualified consultants and evaluated the candidates in relation Cn,
to the City's needs and expectations. After careful consideration, it was determined that
Worthington Partners, LLC with Greg Devereaux, former City Manager of the cities of
Ontario and Fontana and former Chief Executive Officer of the County of San
Bernardino was in the best position to provide consultant/facilitator services.

Attached is a proposed consulting services agreement with Worthington Partners, LLC.
Under the terms of the proposed three year agreement, Worthington would be
compensated in the amount of $10,000 per month, as a retainer. The scope of work
would be established by the City Manager with the consultant prior to the a
commencement of each month. The City may terminate the agreement without cause 2
and shall pay the consultant a prorated amount based on the timing of the termination.
Greg Devereaux has the background, experience and record of success needed to 0
effectively facilitate discussions with the Mayor, City Council and City Manager and
provide training and organizational development services throughout the City 3
departments.

If approved, staff anticipates the first focused 'discussion with the Mayor, City Council
and City Manager would be held in late October/early November 2017.
Fiscal Impacts
It is proposed that consultant be paid a monthly retainer amount of $10,000 per month, N
for a total amount not to exceed $120,000 annually. For fiscal year 2017/18, that c
amount is not to exceed $90,000 for the remaining nine months of the year. f=unds will y
be transferred from the General Government departmental budget to the City Manager's
Office department budget to fund this agreement. a

Conclusion
Staff recommends the Mayor and City Council adopt the Resolution approving the
Professional Services Agreement with Worthington Partners, LLC.

4 1. The CITY OF SAN BERNARDINO (hereinafter "CITY") and Worthington

5 Partners, LLC(hereinafter"CONSULTANT') are the parties to this Agreement. c

6 2. Greg Devereaux is hereby designated and appointed as the representative on

7 behalf of CONSULTANT who shall serve as provided by this Agreement. CONSULTANT

8 will be working with the CITY to provide all appropriate consulting services pertaining to the a

10 11. Copies of all opinions, drafts, analyses and reports shall be provided to the City

11 Manager's Office which may reproduce same and provide copies to the Mayor,City Council and

13 12. Copies of any correspondence and other documents sent to any outside parties in

14 connection with the CONSULTANT'S work shall also be provided to the CITY through the City a

16 13. The term of this Agreement shall be for a period of three (3) years, commencing y

17 on October 5, 2017, and shall remain in effect until October 5, 2020; however, the CITY may 2

18 extend the term by a period of one additional year on the same terms and conditions as provided o

19 herein by giving CONSULTANT written notice of its desire to extend the term of the
20 Agreement. Either party may terminate the Agreement for any reason upon thirty(30) calendar
21 days written notice to the other party. In the event of termination, CONSULTANT shall be Q

22 paid in an amount reflecting the prorated amount for the month. 0

23 14. CONSULTANT is an independent contractor to the CITY. CONSULTANT z.
24 will, however, work closely with CITY'S employees to effectuate strategic planning, 3
25 organizational development revenue and economic development.
26 15. CONSULTANT shall maintain the following types of insurance with limits as
shown, or insurance that meets these requirements as determined by the City and Consultant: a

3 including Employment Liability with $250,000 limits covering all persons

6 carrier to waive all rights of subrogation against the CITY and its officers and (S

7 employees and any others for whom services are being provided under this

13 c) Liability Insurance with limits of at least $1,000,000 per claim. In lieu of d

14 naming the CITY as an additional insured, the policy may be endorsed as follows: a
"Insurance coverage afforded by this policy shall also apply to the
15 liability assumed by the Insured under the Agreement with the Z
CITY OF SAN BERNARDINO, provided such liability results d
16 from an error, omission or negligent act of the insured, its officers,
employees, agents, or subcontractors. All other provisions of this c

18 CONSULTANT shall furnish certificates of insurance and certified copies of all o

19 policies and endorsements to the City Manager's Office evidencing the insurance coverage c;
20 above required prior to the commencement of performance of services hereunder, which
21 certificates shall provide that such insurance shall not be terminated or expire without thirty(30) Q

22 days written notice to the City Manager's Office, and shall maintain such insurance from the o

23 time CONSULTANT commences performance of services hereunder until the completion of

25 All policies, with respect to the insurance coverage above required, except for the

26 Workers Compensation insurance coverage and liability coverage, if applicable, shall obtain
