Background Pursuant to Health and Safety Code (the "HSC") § 34172 (a) (1), the Redevelopment a Agency was dissolved on February 1, 2012. Consistent with the provisions of the HSC, on January 9, 2012 the Mayor and City Council (the "City") elected to serve in the capacity of the Successor Agency to the Redevelopment Agency (the "Successor R Agency"). Consistent with the provisions of the HSC, the Mayor and City Council previously elected to serve in the capacity of the Successor Housing Agency to the Redevelopment Agency (the "Successor Housing Agency"). The Oversight Board for a the Successor Agency (the "Oversight Board") has been established pursuant to HSC § u 34179 to assist in the wind-down of the dissolved redevelopment agency. s U ti a Packet Pg. 967 �rrrr�rr.w On September 15, 2015, the Successor Agency submitted its Oversight Board- approved Long-Range Property Management Plan (the "LRPMP") to the California c Department of Finance (the "DOF"). On December 31, 2015, the DOF approved the Successor Agency's LRPMP and notified the Successor Agency that pursuant to HSC § o 34191.3, the approved LRPMP shall govern, and supersede all other provisions relating o to the disposition and use of all the real property assets of the former redevelopment agency. The approved LRPMP, which addresses the disposition and use of the real property assets held by the Successor Agency, includes 230 parcels of land grouped into forty-six (46) separate sites, eighteen (18) of which were designated as government a use sites, seven (7) of which are designated as future development sites and twenty- one (21) of which were designated to be sold (the "21-LRPMP for Sale Sites"). cn Pursuant to HSC § 34176 (a) (2), the Successor Housing Agency was required to 4) submit a Housing Asset Transfer form (the "HAT") to the DOF that lists, among other things, all of the low- and moderate-income housing fund (the "LMIHF") real property assets, as more specifically defined in HSC § 34176 (e), to be retained by the a Successor Housing Agency. Consistent with the foregoing, the Successor Housing co Agency submitted its HAT to DOF for review and thereafter provided DOF with pertinent supplemental and back-up information that resulted in DOF's August 11, 2016 approval of the HAT, as amended (the "Amended Hat"). The Amended HAT lists 141 parcels of o land, one of which was sold in 2012, leaving 140 parcels to either be retained for a LU housing purposes or sold. As a part of its approval of the Amended HAT, DOF authorized 56 parcels to be transferred by the Successor Agency to the Successor Housing Agency at no cost (which has already occurred) and determined that 84 parcels are to be sold by the Successor Agency; 10 of which were acquired after the a State's dissolution of redevelopment agencies (the 10-HAT for Sale Sites") and 74 of = which constitute the "Arden-Guthrie" property that will ultimately be sold as a single site for commercial development purposes. _ Discussion The City's Housing Division has evaluated the 21-LRPMP for Sale Sites and the 10- o HAT for Sale Sites and identified 10 residentially zoned parcels that need to be acquired a for affordable housing purposes, as more particularly described in Exhibit "A" to the attached Resolution (the 10 Acquisition Parcels"). To determine a fair and reasonable purchase price, the Successor Agency requested Lee &Associates of Ontario California, a E real estate brokerage firm familiar with the real estate market within the Inland Empire ;v Region in general and the City of San Bernardino in particular, to prepare a Broker's a Opinion of Value (the "BOV") to determine the fair and reasonable purchase price for the 10 Acquisition Parcels. N Based on past practice, the DOF has acknowledged that BOVs are an acceptable method N and basis for confirming that the value of real property being sold by a successor agency is fair and reasonable. On April 10, 2017, the Successor Agency received the BOV from Lee & Associates confirming that $307,099 is a fair and reasonable purchase price (the a "Purchase Price") for the 10 Acquisition Parcels, as more fully described within the BOV, a copy of which is included as Exhibit "B"to the attached Resolution. E a Packet Pg. 968 19.a a .c Approval of the attached Resolutions will approve the Purchase and Sale Agreement (the "Agreement") between the Successor Agency and the Successor Housing Agency w with respect to the 10 Acquisition Parcels, a copy of which is included as Exhibit "C" to 0 the attached Resolution, and authorize certain related actions. In addition, the Agreement is consistent with the Successor Agency's and Successor Housing Agency's Property Disposition Strategy that was adopted by the Successor Agency and the Successor Housing Agency on March 6, 2017 and approved by the City Council Ad Hoc 4) Real Estate Committee on February 23, 2017. Consistent with the provisions of the HSC and the LRPMP, the effectiveness of the Agreement is subject to the approval of the Oversight Board and review by DOF. The attached Resolutions have been reviewed with respect to applicability of the California Environmental Quality Act (the "CEQA"), the State CEQA Guidelines (California Code of Regulations, Title 14, § 15000 et se p.. hereafter the "CEQA Guidelines"), and the City's environmental guidelines. The attached Resolutions do not 0- constitute constitute a "project" for purposes of CEQA, as that term is defined by CEQA Guidelines § 15378, because the Resolutions are an organizational or administrative activity that o will not result in a direct or indirect physical change in the environment, per § 15378 (b) (5) of the CEQA Guidelines. 0 a W Fiscal Impact The Successor Housing Agency intends to fund the Purchase Price from its program N income fund, which derives its funding from the repayment of affordable housing loans made by the former redevelopment agency from the LMIHF and is sufficient to pay the a Purchase Price. The transfer of the 10 Acquisition Parcels will be managed through an escrow and will include title insurance. Once escrow closes, the Successor Agency will transfer the net proceeds from the Purchase Price to the San Bernardino County Auditor-Controller (the "CAC"). The net proceeds shall mean the Purchase Price less N any third party fees in connection with escrow and title matters. The CAC will in turn Z divide and pay over the net proceeds from the Purchase Price to the affected taxing o entities in proportion to their respective shares of the 1% general tax levy, which will a include the City. The City's Housing Division intends to use the 10 Acquisition Parcels for o future in-fill affordable housing purposes that are anticipated to generate future program d income. d L Conclusion a Based on the foregoing, staff recommends that: R W 1. and w 3 WHEREAS, pursuant to HSC § 34176 (a) (2), the Successor Housing Agency was 4 required to submit a Housing Asset Transfer form (the "HAT") to the DOF that lists, among other a 5 things, all of the low- and moderate-income housing fund (the "LMIHF") real property assets, as 6 more specifically defined in HSC § 34176 (e), to be retained by the Successor Housing Agency; a 7 and N s 8 WHEREAS, consistent with the foregoing, the Successor Housing Agency submitted its a 9 HAT to DOF for review and thereafter provided DOF with pertinent supplemental and back-up c 10 information that resulted in DOF's August 11, 2016 approval of the HAT, as amended (the 11 "Amended Hat"); and 12 WHEREAS, the Amended HAT lists 141 parcels of land, one of which was sold in 2012, Q 13 leaving 140 parcels to either be retained for housing purposes or sold; and a N 14 WHEREAS, as a part of its approval of the Amended HAT, DOF authorized 56 parcels to 15 be transferred by the Successor Agency to the Successor Housing Agency at no cost (which has 16 already occurred) and determined 84 parcels to be sold by the Successor Agency; ten (10) of which c X 17 were acquired after the State's dissolution of redevelopment agencies (the"10-HAT for Sale Sites") d 18 and seventy-four(74) of which constitute the "Arden-Guthrie" property that will ultimately be sold o w 19 as a single site for commercial development purposes; and Q 0 20 WHEREAS, the City's Housing Division evaluated the 21-LRPMP for Sale Sites and the E 21 10-HAT for Sale Sites and identified ten (10) residentially zoned parcels that need to be acquired a 22 for affordable housing purposes, as more particularly described within Exhibit"A,"attached hereto 23 (the"10 Acquisition Parcels"); and a 24 WHEREAS, to determine a fair and reasonable purchase price, the Successor Agency y t 25 requested Lee & Associates of Ontario California, a real estate brokerage firm familiar with the real L a 26 estate market within the Inland Empire Region in general and the City of San Bernardino in particular, 27 to prepare a Broker's Opinion of Value (the `BOV") to determine the fair and reasonable purchase r 28 price for the 10 Acquisition Parcels; and 2 Packet Pg. 1024 18.b 1 WHEREAS, based on past practice,the DOF has acknowledged that BOVs are an acceptable 0 2 method and basis for confirming that the value of real property being sold by a successor agency is fair 0 3 and reasonable;and a� 4 WHEREAS, on April 10, 2017, the Successor Agency received the BOV from Lee & a 5 Associates confirming that $307,099 is the fair and reasonable purchase price (the "Purchase Price") co 6 for the 10 Acquisition Parcels, as more fully described within the BOV, a copy of which is attached to = a� 7 this Resolution as Exhibit`B";and a s v 8 WHEREAS, this Resolution will approve the Purchase and Sale Agreement (the a 9 "Agreement") between the Successor Agency and the Successor Housing Agency with respect to co 0 Lo 10 the 10 Acquisition Parcels, a copy of which is attached to this Resolution as Exhibit "C," and 11 authorize certain related actions;
