2 RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
EXECUTION OF AN AGREEMENT WI'T'H THE COUNTY OF SAN BERNARDINO,
3 THROUGH ITS COMMUNITY SERVICES DEPARTMENT NUTRITION FOR SENIORS
PROGRAM, RELATING TO THE NUTRITION FOR SENIORS PROGRAM.

BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF
5 SAN BERNARDINO AS FOLLOWS:
6 SECTION 1. The Mayor of the City of San Bernardino is hereby
7 authorized and directed to execute on behalf of said City an
8 Agreement with the County of San Bernardino, through its Community
9 Services Department Nutrition for Seniors Program, relating to the
10 Nutrition for Seniors Program, a copy of which is attached hereto,
11 marked Exhibit "A" and incorporated herein by reference as fully
12 as though set forth at length .
13 I HEREBY CERTIFY that the foregoing resolution was duly
14 adopted by the Mayor and Common Council of the City of San
15 Bernardino at a regular meeting thereof, held
16 on the 6th day of Septeml,)er 1983 , by the following
17 vote , to wit:

1 A G R E E M E N T
2 (Nutrition for Seniors Program)
3 THIS AGREEMENT is entered into effective as of July 1, 1983 ,
4 by and between the COUNTY OF SAN BERNARDINO, through its COMMUNITY
5 SERVICES DEPARTMENT NUTRITION FOR SENIORS PROGRAM, hereinafter
6 referred to as DEPARTMENT, and the CITY OF SAN BERNARDINO, through
7 its Human Services Division, hereinafter referred to as
8 CONTRACTOR. This Agreement shall govern conditions for purchase
9 of raw food and other supplies for the senior nutrition program.
10 IT IS MUTUALLY UNDERSTOOD AND AGREED THAT:
11 1. DEPARTMENT' S Buyer shall do the purchasing and shall
12 utilize the bid system in procuring raw foods and related items.
13 Bids shall be submitted on a regular schedule as agreed upon by
14 both parties , and awarded to the vendor( s) submitting the lowest
15 bid based on both quantity and quality. The Buyer shall have
16 final authority in all buying .
17 2. The Buyer shall place the orders for CONTRACTOR, based on
18 the information submitted by CONTRACTOR on a regularly established
19 schedule . This schedule shall be established by the Buyer and
20 presented to all users of this buying service within ten (10 ) days
21 of the signing of this contract. Once ordered , no changes shall
22 be allowed .
23 3. All bills for raw food and supplies thus ordered shall be
24 sent to and paid by CONTRACTOR directly. DEPARTMENT will accept
25 no liability or responsibility for any delinquent or unpaid
26 invoices and will provide no information to the vendors concerning
27 other contractors.
28 4. Any discrepancies in deliveries , such as shortages , or
I linferior, spoiled or damaged merchandise , shall be reported
2 promptly to the Buyer , who shall give assistance and directions as
3 necessary. The Buyer shall be responsible for contacting the
4 vendor and reporting the problem or problems and for attempting
5 to resolve the problem.
6 5. All activities carried out under this Agreement shall be
7 in full compliance with the Office on Aging Contractors Manual and
8 the California Department of Aging Administrative Manual .
9 6. Reimbursement to DEPARTMENT for Buyer' s Services shall be
10 $6 , 540 per year, payable in twelve equal installments of $545. 00 .
11 The first installment shall be paid upon receipt of the first
12 increment of funds from the Office on Aging . The eleven
13 subsequent installments shall be paid by the tenth calendar day of
14 the month . If said payment is not received by the fifteenth
15 calendar day of the month, the DEPARTMENT has the right to refuse
16 service to said CONTRACTOR.
17 7. CONTRACTOR will hold DEPARTMENT harmless for any
18 fiscal/programmatic mistakes, errors, omissions, liability, etc . ,
19 by either party hereto, relating to DEPARTMENT' S performance of
20 this Agreement.
21 8 . This Agreement may be renegotiated , and amended by mutual
22 consent of both parties. In the event of an order to amend the
23 provisions issued by the Office on Aging , the parties agree to
24 negotiate such change in good faith. Any amendment shall be in
25 writing and signed by both parties .
26 9. This Agreement shall terminate on June 30 , 1984 , unless
27 sooner terminated by mutual agreement.
28 IN WITNESS WHEREOF, the parties hereto have executed this
