HomeMy WebLinkAbout2017-1331 2 3 4 5 6 7 8 9 10. 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 2017-133 RESOLUTION OF THE MAYOR AND CITY COUNCIL OF THE CITY OF SAN BERNARDINO, CALIFORNIA, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO EXECUTE A PROFESSIONAL SERVICES AGREEMENT WITH KOA CORPORATION TO PROVIDE TRAFFIC ENGINEERING SERVICES FOR THE SYSTEMIC SAFETY ANALYSIS REPORT PROGRAM (SSARP) BE IT RESOLVED BY THE MAYOR AND CITY COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: SECTION 1. The City Manager or his designee is hereby authorized and directed to execute an Agreement with KOA Corporation to provide Traffic Engineering Services for the Systemic Safety Analysis Report Program (SSARP), a copy of which is attached as Exhibit "A" and incorporated herein. SECTION 2. The Director of Finance or his designee is hereby authorized and directed to issue a Purchase Order to KOA Corporation for said work from Account No. 263- 160-8565-5504 in the not -to -exceed amount of $249,780.00. SECTION 3. This Amendment shall not take effect until it is fully signed and executed by the parties, and no party shall be obligated hereunder until the time of such full execution. No oral contracts, amendments, modifications or waivers are intended or authorized and shall not be implied from any act or course of conduct of any party. SECTION 4. The authorization to execute this Agreement is rescinded if the parties to the Agreement fail to execute it within sixty (60) days of the passage of this Resolution. Manual Exhibit "A" EXHIBIT 10-R A&E Contract Languagf ARTICLE I INTRODUCTION A. This contract is between the following named, hereinafter referred to as, CONSULTANT and the following named, hereinafter referred to as, LOCAL AGENCY: The name of the "CONSULTANT" is as follows: KOA CORPORATION The State of incorporation of CONSULTANT is: CALIFORNIA The Project Manager for the "CONSULTANT" will be MIN ZHOU, VICE PRESIDENT The name of the "LOCAL AGENCY" is as follows: CITY OF SAN BERNARDINO The Contract Administrator for LOCAL AGENCY will be MAHMOUD KHODR,PE,, TE, TPOE B. The work to be performed under this contract is described in Article II entitled Statement of Work and the approved CONSULTANT's Proposal dated APRIL 27, 2017, attached hereto as Attachment I and incorporated herein by reference. The approved CONSULTANT's Fee Proposal dated APRIL 27, 2017 is attached hereto (Attachment II) and incorporated by reference. If there is any conflict between the approved Proposal and this contract, this contract shall take precedence. C. CONSULTANT agrees to indemnify and hold harmless LOCAL AGENCY, its officers, agents, and employees from any and all claims, demands, costs, or liability arising from or connected with the services provided hereunder due to negligent acts, errors, or omissions of CONSULTANT. CONSULTANT will reimburse LOCAL AGENCY for any expenditure, including reasonable attorney fees, incurred by LOCAL AGENCY in defending against claims ultimately determined to be due to negligent acts, errors, or omissions of CONSULTANT. D. CONSULTANT and the agents and employees of CONSULTANT, in the performance of this contract,shall act in an independent capacity and not as officers or employees or agents of LOCAL AGENCY. E. Without the written consent of LOCAL AGENCY, this contract is not assignable by CONSULTANT either in whole or in part. F. No alteration or variation of the terms of this contract shall be valid, unless made in writing and signed by the parties hereto; and no oral understanding or agreement not incorporated herein, shall be binding on any of the parties hereto. G. The consideration to be paid to CONSULTANT as provided herein, shall be in compensation for all of CONSULTANT's expenses incurred in the performance hereof, including travel and per diem, unless otherwise expressly so provided. ARTICLE H STATEMENT OF WORK A. Consultant Services LOCAL AGENCY is soliciting CONSULTANT to provide professional engineering services for the Systemic Safety Analysis Report Program (SSARP) for traffic signal, signage and street lighting in the City of San Bernardino (PROJECT). CONSULTANT will be responsible for the evaluation of all existing traffic signals and safety lighting city-wide, and signage near all schools in the City and included in the Systemic Safety Analysis Report (SSAR). This SSARP will focus on evaluating traffic signals, signage, and street lighting in the City. All existing traffic signals and street lights will be evaluated on a city-wide basis. However, only traffic signage near schools in the City will be evaluated and included in the report. Existing traffic signal systems will be evaluated via field survey for signal hardware, communication facilities, controller Page 2 of 15 August 2016 Local Assistance Procedures Manual Exhibit "A„ EXHIBIT 10-R A&E Contract LanguagE cabinet components, and other tratItc signal support systems. The purpose of analyzing existing traffic signals is to gain a full understanding of the existing systems and to establish a foundation for the recommendation of any potential future signal system upgrades. Street lighting is typically associated with providing sufficient lighting along roadways and intersections for all users during night time hours. Street lighting inventory and evaluation is an important safety tool that the City can utilize to determine appropriate improvements that help reduce frequency of night time collisions. All signs on roadway segments and intersections within "a school zone" will be analyzed to determine if compliance with the latest edition of the Manual on Uniform Traffic Control Devices (MUTCD) is achieved, retro -reflectivity levels are adequate, signage visibility is not obstructed, existing sign locations are justified, recommend locations for new signs, and identify worn and damaged signs for replacement. This information will be collected and summarized in a sign inventory. A typical sign inventory scope of work includes items such as, but not limited to, a GIS database, field inventory template, and retro -reflectivity assessment. This project is federally funded and CONSULTANT will be required to perform all work on PROJECT in accordance with the Caltrans Local Assistance Procedure Manual (LAPM). Failure to perform in accordance with the Caltrans LAPM may result in sanctions against CONSULTANT up to an including withholding of payment for work completed and/or cancellation of the PROJECT. B. Environmental Clearance The work consists of creation of a traffic signal, street lighting and signage inventory and a Categorical Exemption will be filed for this PROJECT. C. Right of Way No new right-of-way acquisition will be required. All work will be accomplished with existing City right-of-way. D. Surveys There are no Plans Specification & Estimate (PS&E) for this PROJECT, therefore, design or construction surveys in the traditional civil engineering sense will not be required for this PROJECT. However, field data collection necessary to create a traffic signal; street lighting and signage inventory will be required. E. Subsurface Investigations There will be no subsurface investigation required for this PROJECT. F. Local Agency Obligations All publically available data applicable to the PROJECT and in possession of LOCAL AGENCY will be made available to CONSULTANT. LOCAL AGENCY will assist CONSULTANT in obtaining data from other government agencies. No other assistance or services will be furnished to CONSULTANT by LOCAL AGENCY. F. Conferences, Visits to Site, Inspection of Work The contract provides for conferences as needed, visits to the site, and inspection of the work by representatives of the state. G. Checking Shop Drawings No shop drawings will be required for this project. H. Consultant Services during Construction There is no construction anticipated for this project. I. Documentation and Schedules CONSULTANT shall document the results of the work to the satisfaction of LOCAL AGENCY, and if applicable, the State and FHWA. This may include preparation of progress and final reports, plans, specifications and estimates, or similar evidence of attainment of the contract objectives. J. Deliverables and Number of Copies The number of copies of papers or documents to be furnished, such as reports, brochures, sets of plans, specifications, or Right of Way plots are specified. Provision may be made for payment for additional copies. ARTICLE III CONSULTANT'S REPORTS OR MEETINGS A. CONSULTANT shall submit progress reports at least once a month. The report should be sufficiently detailed for the Contract Administrator to determine, if CONSULTANT is performing to expectations, or is on schedule; to provide communication of interim findings, and to sufficiently address any difficulties or special problems encountered, so remedies can be developed. B. CONSULTANT's Project Manager shall meet with LOCAL AGENCY's Contract Administrator, as needed, to discuss progress on the contract. ARTICLE IV PERFORMANCE PERIOD A. This contract shall go into effect on JULY 19, 2017, contingent upon approval by LOCAL AGENCY, and CONSULTANT shall commence work after notification to proceed by LOCAL AGENCY'S Contract Administrator. The contract shall end on DECEMBER 31, 2018, unless extended by contract amendment. B. CONSULTANT is advised that any recommendation for contract award is not binding on LOCAL AGENCY until the contract is fully executed and approved by LOCAL AGENCY. ARTICLE V ALLOWABLE COSTS AND PAYMENTS A. The method of payment for this contract will be based on lump sum. The total lump sum price paid to CONSULTANT will include compensation for all work and deliverables, including travel and equipment described in Article II Statement of Work of this contract. No additional compensation will be paid to CONSULTANT, unless there is a change in the scope of the work or the scope of the project. In the instance of a change in the scope of work or scope of the project, adjustment to the total lump sum compensation will be negotiated between CONSULTANT and LOCAL AGENCY. Adjustment in the total lump sum compensation will not be effective until authorized by contract amendment and approved by LOCAL AGENCY. B. Progress payments may be made monthly in arrears based on the percentage of work completed by CONSULTANT. If CONSULTANT fails to submit the required deliverable items according to the schedule set forth in the Statement of Work, LOCAL AGENCY shall have the right to delay payment or terminate this Contract in accordance with the provisions of Article VI Termination. C. CONSULTANT shall not commence performance of work or services until this contract has been approved by LOCAL AGENCY and notification to proceed has been issued by LOCAL AGENCY'S Contract Page 4 of 15 August 2016 Local Assistance Procedures Manual Exhibit "A" EXIMIT 10-R A&E Contract Languagc Administrator. No payment will be made prior to approval. of any work, , or tor any work performed prior to approval of this contract. D. CONSULTANT will be reimbursed, as promptly as fiscal procedures will permit, upon receipt by LOCAL AGENCY'S Contract Administrator of itemized invoices in triplicate. Invoices shall be submitted no later than 45 calendar days after the performance of work for which CONSULTANT is billing. Invoices shall detail the work performed on each milestone, on each project as applicable. Invoices shall follow the format stipulated for the Cost Proposal and shall reference this contract number and project title. Final invoice must contain the final cost and all credits due LOCAL AGENCY that include any equipment purchased under the provisions of Article XI Equipment Purchase of this contract. The final invoice should be submitted within 60 -calendar days after completion of CONSULTANT's work. Invoices shall be mailed to LOCAL AGENCY's Contract Administrator at the address indicated at the end of this Contract. E. The total amount payable by LOCAL AGENCY shall not exceed $249,780.00. ARTICLE VI TERMINATION A. LOCAL AGENCY reserves the right to terminate this contract upon thirty (30) calendar days written notice to CONSULTANT with the reasons for termination stated in the notice. B. LOCAL AGENCY may terminate this contract with CONSULTANT should CONSULTANT fail to perform the covenants herein contained at the time and in the manner herein provided. In the event of such termination, LOCAL AGENCY may proceed with the work in any manner deemed proper by LOCAL AGENCY. If LOCAL AGENCY terminates this contract with CONSULTANT, LOCAL AGENCY shall pay CONSULTANT the sum due to CONSULTANT under this contract prior to termination, unless the cost of completion to LOCAL AGENCY exceeds the funds remaining in the contract. In which case the overage shall be deducted from any sum due CONSULTANT under this contract and the balance, if any, shall be paid to CONSULTANT upon demand. C. The maximum amount for which the LOCAL AGENCY shall be liable if this contract is terminated is $249,780.00. ARTICLE VII COST PRINCIPLES AND ADMINISTRATIVE REQUIREMENTS A. CONSULTANT agrees that the Contract Cost Principles and Procedures, 48 CFR, Federal Acquisition Regulations System, Chapter 1, Part 31.000 et seq., shall be used to determine the cost allowability of individual items. B. CONSULTANT also agrees to comply with federal procedures in accordance with 49 CFR, Part 18, Uniform Administrative Requirements for Grants and Cooperative Agreements to State and Local Governments. C. Any costs for which payment has been made to CONSULTANT that are determined by subsequent audit to be unallowable under 49 CFR, Part 18 and 48 CFR, Federal Acquisition Regulations System, Chapter 1, Part 31.000 et seq., are subject to repayment by CONSULTANT to LOCAL AGENCY. ARTICLE VIII RETENTION OF RECORDS/AUDIT For the purpose of determining compliance with Public Contract Code 10115, et seq. and Title 21, California Code of Regulations, Chapter 21, Section 2500 et seq., when applicable and other matters connected with the performance of the contract pursuant to Government Code 8546.7; CONSULTANT, subconsultants, and LOCAL AGENCY shall maintain and make available for inspection all books, documents, papers, accounting records, and other evidence pertaining to the performance of the contract, including but not limited to, the costs of administering the contract. All parties shall make such materials available at their respective offices at all reasonable times during the contract period and for three years from the date of final payment under the contract. The state, State Auditor, LOCAL AGENCY, FHWA, or any duly authorized representative of the Federal Page 5 of 15 August 2016 Local Assistance Procedures Manual Exhibit "A" EXHIBIT 10-R A&E Contract Languag( Government shall ave access to any books, records, and documents o anits certified pu is accountants (CPA) work papers that are pertinent to the contract and indirect cost rates (ICR) for audit, examinations, excerpts, and transactions, and copies thereof shall be furnished if requested. ARTICLE IX AUDIT REVIEW PROCEDURES A. Any dispute concerning a question of fact arising under an interim or post audit of this contract that is not disposed of by agreement, shall be reviewed by LOCAL AGENCY'S Director of Finance. B. Not later than 30 days after issuance of the final audit report, CONSULTANT may request a review by LOCAL AGENCY'S Director of Finance of unresolved audit issues. The request for review will be submitted in writing. C. Neither the pendency of a dispute nor its consideration by LOCAL AGENCY will excuse CONSULTANT from full and timely performance, in accordance with the terms of this contract. D. CONSULTANT and subconsultant contracts, including cost proposals and ICR, are subject to audits or reviews such as, but not limited to, a contract audit, an incurred cost audit, an ICR Audit, or a CPA ICR audit work paper review. If selected for audit or review, the contract, cost proposal and ICR and related work papers, if applicable, will be reviewed to verify compliance with 48 CFR, Part 31 and other related laws and regulations. In the instances of a CPA ICR audit work paper review it is CONSULTANT's responsibility to ensure federal, state, or local government officials are allowed full access to the CPA's work papers including making copies as necessary. The contract, cost proposal, and ICR shall be adjusted by CONSULTANT and approved by LOCAL AGENCY contract manager to conform to the audit or review recommendations. CONSULTANT agrees that individual terms of costs identified in the audit report shall be incorporated into the contract by this reference if directed by LOCAL AGENCY at its sole discretion. Refusal by CONSULTANT to incorporate audit or review recommendations, or to ensure that the federal, state or local governments have access to CPA work papers, will be considered a breach of contract terms and cause for termination of the contract and disallowance of prior reimbursed costs. ARTICLE X SUBCONTRACTING A. Nothing contained in this contract or otherwise, shall create any contractual relation between LOCAL AGENCY and any subconsultant(s), and no subcontract shall relieve CONSULTANT of its responsibilities and obligations hereunder. CONSULTANT agrees to be as fully responsible to LOCAL AGENCY for the acts and omissions of its subconsultant(s) and of persons either directly or indirectly employed by any of them as it is for the acts and omissions of persons directly employed by CONSULTANT. CONSULTANT's obligation to pay its subconsultant(s) is an independent obligation from LOCAL AGENCY'S obligation to make payments to the CONSULTANT. B. CONSULTANT shall perform the work contemplated with resources available within its own organization and no portion of the work pertinent to this contract shall be subcontracted without written authorization by LOCAL AGENCY's Contract Administrator, except that, which is expressly identified in the approved Cost Proposal. C. CONSULTANT shall pay its subconsultants within ten (10) calendar days from receipt of each payment made to CONSULTANT by LOCAL AGENCY. D. All subcontracts entered into as a result of this contract shall contain all the provisions stipulated in this contract to be applicable to subconsultants. E. Any substitution of subconsultant(s) must be approved in writing by LOCAL AGENCY's Contract Administrator prior to the start of work by the subconsultant(s). Prior authorization in writing, by s Contract Administrator shall a required before CONSULTANT enters into any unbudgeted purchase order, or subcontract exceeding $5,000 for supplies, equipment, or CONSULTANT services. CONSULTANT shall provide an evaluation of the necessity or desirability of incurring such costs. B. For purchase of any item, service or consulting work not covered in CONSULTANT's Cost Proposal and exceeding $5,000 prior authorization by LOCAL AGENCY's Contract Administrator; three competitive quotations must be submitted with the request, or the absence of bidding must be adequately justified. C. Any equipment purchased as a result of this contract is subject to the following: "CONSULTANT shall maintain an inventory of all nonexpendable property. Nonexpendable property is defined as having a useful life of at least two years and an acquisition cost of $5,000 or more. If the purchased equipment needs replacement and is sold or traded in, LOCAL AGENCY shall receive a proper refund or credit at the conclusion of the contract, or if the contract is terminated, CONSULTANT may either keep the equipment and credit LOCAL AGENCY in an amount equal to its fair market value, or sell such equipment at the best price obtainable at a public or private sale, in accordance with established LOCAL AGENCY procedures; and credit LOCAL AGENCY in an amount equal to the sales price. If CONSULTANT elects to keep the equipment, fair market value shall be determined at CONSULTANT's expense, on the basis of a competent independent appraisal of such equipment. Appraisals shall be obtained from an appraiser mutually agreeable to by LOCAL AGENCY and CONSULTANT, if it is determined to sell the equipment, the terms and conditions of such sale must be approved in advance by LOCAL AGENCY." 49 CFR, Part 18 requires a credit to Federal funds when participating equipment with a fair market value greater than $5,000 is credited to the project. ARTICLE XII STATE PREVAILING WAGE RATES A. The State of California's General Prevailing Wage Rates are not applicable to this contract. ARTICLE XHI CONFLICT OF INTEREST A. CONSULTANT shall disclose any financial, business, or other relationship with LOCAL AGENCY that may have an impact upon the outcome of this contract, or any ensuing LOCAL AGENCY construction project. CONSULTANT shall also list current clients who may have a financial interest in the outcome of this contract, or any ensuing LOCAL AGENCY construction project, which will follow. B. CONSULTANT hereby certifies that it does not now have, nor shall it acquire any financial or business interest that would conflict with the performance of services under this contract. C. CONSULTANT hereby certifies that neither CONSULTANT, nor any firm affiliated with CONSULTANT will bid on any construction contract, or on any contract to provide construction inspection for any construction project resulting from this contract. An affiliated firm is one, which is subject to the control of the same persons through joint -ownership, or otherwise. D. Except for subconsultants whose services are limited to providing surveying or materials testing information, no subconsultant who has provided design services in connection with this contract shall be eligible to bid on any construction contract, or on any contract to provide construction inspection for any construction project resulting from this contract. ARTICLE XIV REBATES, KICKBACKS OR OTHER UNLAWFUL CONSIDERATION CONSULTANT warrants that this contract was not obtained or secured through rebates kickbacks or other unlawful consideration, either promised or paid to any LOCAL AGENCY employee. For breach or violation of this warranty, LOCAL AGENCY shall have the right in its discretion; to terminate the contract without liability; to pay only for the value of the work actually performed; or to deduct from the contract price; or otherwise recover the full amount of such rebate, kickback or other unlawful consideration. CONSULTANT certifies to the best of his or her knowledge and belief that: 1. No state, federal or local agency appropriated funds have been paid, or will be paid by -or -on behalf of CONSULTANT to any person for influencing or attempting to influence an officer or employee of any state or federal agency; a Member of the State Legislature or United States Congress; an officer or employee of the Legislature or Congress; or any employee of a Member of the Legislature or Congress, in connection with the awarding of any state or federal contract; the making of any state or federal grant; the making of any state or federal loan; the entering into of any cooperative agreement, and the extension, continuation, renewal, amendment, or modification of any state or federal contract, grant, loan, or cooperative agreement. 2. B. This contract is valid and enforceable only, if sufficient funds are made available to LOCAL AGENCY for the purpose of this contract. In addition, this contract is subject to any additional restrictions, limitations, conditions, or any statute enacted by the Congress, State Legislature, or LOCAL AGENCY governing board that may affect the provisions, terms, or funding of this contract in any manner. C. It is mutually agreed that if sufficient funds are not appropriated, this contract may be amended to reflect any reduction in funds. D. LOCAL AGENCY has the option to void the contract under the 30 -day termination clause pursuant to Article VI, or by mutual agreement to amend the contract to reflect any reduction of funds. ARTICLE XXII DISPUTES A. Any dispute, other than audit, concerning a question of fact arising under this contract that is not disposed of by agreement shall be decided by a committee consisting of LOCAL AGENCY's Contract Administrator and the Director of Public Works, who may consider written or verbal information submitted by CONSULTANT. B. Not later than 30 days after completion of all work under the contract, CONSULTANT may request review by LOCAL AGENCY City Council of unresolved claims or disputes, other than audit. The request for review will be submitted in writing. C. ARTICLE XXIV SAFETY A. CONSULTANT shall comply with OSHA regulations applicable to CONSULTANT regarding necessary safety equipment or procedures. CONSULTANT shall comply with safety instructions issued by LOCAL AGENCY Safety Officer and other LOCAL AGENCY representatives. CONSULTANT personnel shall wear hard hats and safety vests at all times while working on the construction project site. B. Pursuant to the authority contained in Section 591 of the Vehicle Code, LOCAL AGENCY has determined that such areas are within the limits of the project and are open to public traffic. CONSULTANT shall comply with all of the requirements set forth in Divisions 11, 12, 13, 14, and 15 of the Vehicle Code. CONSULTANT shall take all reasonably necessary precautions for safe operation of its vehicles and the protection of the traveling public from injury and damage from such vehicles. C. Any subcontract entered into as a result of this contract, shall contain all of the provisions of this Article. A. Minimum Scope and Limits of Insurance. Consultant shall provide to City certificates of insurance showing the insurance coverages and required endorsements described above, in a form and content approved by City, prior to performing any services under this Agreement. D. Non -limiting. Nothing in this Section shall be construed as limiting in any way, the indemnification provision contained in this Agreement, or the extent to which Consultant may be held responsible for payments of damages to persons or property. ARTICLE XXVI OWNERSI-HP OF DATA A. Upon completion of all work under this contract, ownership and title to all reports, documents, plans, specifications, and estimates produce as part of this contract will automatically be vested in LOCAL AGENCY; and no further agreement will be necessary to transfer ownership to LOCAL AGENCY. CONSULTANT shall furnish LOCAL AGENCY all necessary copies of data needed to complete the review and approval process. B. It is understood and agreed that all calculations, drawings and specifications, whether in hard copy or machine-readable form, are intended for one-time use in the construction of the project for which this contract has been entered into. D. Applicable patent rights provisions regarding rights to inventions shall be included in the contracts as appropriate (48 CFR 27, Subpart 27.3 - Patent Rights under Government Contracts for federal -aid contracts). E. LOCAL AGENCY may permit copyrighting reports or other agreement products. If copyrights are permitted; the agreement shall provide that the FHWA shall have the royalty -free nonexclusive and irrevocable right to reproduce, publish, or otherwise use; and to authorize others to use, the work for government purposes. ARTICLE XXVII CLAIMS FILED BY LOCAL AGENCY's CONSTRUCTION CONTRACTOR A. If claims are filed by LOCAL AGENCY's construction contractor relating to work performed by CONSULTANT's personnel, and additional information or assistance from CONSULTANT's personnel is required in order to evaluate or defend against such claims; CONSULTANT agrees to make its personnel available for consultation with LOCAL AGENCY'S construction contract administration and legal staff and for testimony, if necessary, at depositions and at trial or arbitration proceedings. B. CONSULTANT's personnel that LOCAL AGENCY considers essential to assist in defending against construction contractor claims will be made available on reasonable notice from LOCAL AGENCY. Consultation or testimony will be reimbursed at the same rates, including travel costs that are being paid for CONSULTANT's personnel services under this contract. C. Services of CONSULTANT's personnel in connection with LOCAL AGENCY's construction contractor claims will be performed pursuant to a written contract amendment, if necessary, extending the termination date of this contract in order to resolve the construction claims. ARTICLE XXVHI CONFIDENTIALITY OF DATA A. All financial, statistical, personal, technical, or other data and information relative to LOCAL AGENCY's operations, which are designated confidential by LOCAL AGENCY and made available to CONSULTANT in order to carry out this contract, shall be protected by CONSULTANT from unauthorized use and disclosure. B. Permission to disclose information on one occasion, or public hearing held by LOCAL AGENCY relating to the contract, shall not authorize CONSULTANT to further disclose such information, or disseminate the same on any other occasion. CONSULTANT shall not comment publicly to the press or any other media regarding the contract or LOCAL AGENCY's actions on the same, except to LOCAL AGENCY's staff, CONSULTANT's own personnel involved in the performance of this contract, at public hearings or in response to questions from the City Council. CONSULTANT shall not issue any news release or public relations item of any nature, whatsoever, regarding work performed or to be performed under this contract without prior review of the contents thereof by LOCAL AGENCY, and receipt of LOCAL AGENCY'S written permission. No retainage will be withheld by the Agency from progress payments due the prime consultant. Retainage by the prime consultant or subconsultants is prohibited, and no retainage will be held by the prime consultant from progress due subconsultants. Any violation of this provision shall subject the violating prime consultant or subconsultants to the penalties, sanctions, and other remedies specified in Section 7108.5 of the California Business and Professions Code. Sincerely, KOA Corporation Min Zhou, Vice President LOS ANGELES ONTARIO ORANGE SAN DIEGO PROJECT UNDERSTANDING PROJECT UNDERSTANDING The City of San Bernardino received funds through Caltrans' Systemic Safety Analysis Report Program (SSARP) grant to conduct a large scale citywide inventory of traffic signals, signage, and street lights and to prepare a systemic safety analysis report (SSAR). This SSAR creates an opportunity to identify infrastructure deficiencies, prioritize improvements, and obtain future grants to address the safety needs for local residents and businesses in the City of San Bernardino. The SSAR will evaluate all existing traffic signals and street lights at signalized intersections and mid -block signalized crossings. Only signage near public schools in the City will be evaluated and included in the SSAR. Outlined below is a summary of the proposed SSAR project work items. Traffic Signals and Street Lighting The City is 62.42 square miles with approximately 681 centerline miles of roadway and nearly 300 City -owned traffic signals. Existing traffic signal systems will be evaluated via field survey for signal hardware, communication facilities, controller cabinet components, and other traffic signal support systems. The purpose of analyzing the existing traffic signals is to gain a full understanding of the existing systems and to establish a foundation for the recommendation of any potential future signal system upgrades. There are about 50 Caltrans -owned traffic signals which are not part of the evaluation. Street lighting is typically associated with providing sufficient lighting along roadways and intersections for all users during nighttime hours. A street lighting evaluation and inventory is an important safety tool that the City can utilize to determine appropriate improvements that help reduce the frequency of nighttime collisions. Signalized intersection safety lights will be documented for types of light bulb fixtures and noted if they are equipped with photo cells. Light bulb fixtures with high pressure sodium (HIPS) will be recommended for replacement with LED lighting. School Area Signage All signs on roadway segments and intersections within a public school zone (1/4 mile from the boundary) will be analyzed to determine if compliance with the latest MUTCD is achieved, retro -reflectivity levels are adequate, signage visibility is not obstructed, and existing sign locations are justified. The analysis will include recommended locations for new signs and the identification of worn and damaged signs for replacement. This information will be collected and summarized in a sign inventory. The sign inventory scope of work includes items such as (but are not limited to) a GIS database, field inventory template, and retro -reflectivity assessment. The City currently does not have an inventory of its existing traffic signals, street lighting, and signing; it is believed that many of these devices are in need of replacement or upgrade. The final SSAR will allow the City to directly apply for Caltrans Highway Safety Improvement Program (HSIP) grant funds to address deficiencies. This project will require the detailed management of mass data, engineering analysis, and program experience to position the City to capture the greatest grant improvement benefit. Signal & ITS Design Knowledge Having experienced engineers complete signal inventory field assessments and cost estimates is critical to the project's success. Our team will be led by seasoned engineers with extensive signal design, operations, communications, and ITS experience to provide an accurate needs assessment and PS&E level cost estimates. Management & Quantification of Mass Data The project entails extensive mass data management, analysis, and improvement prioritization. KOA has this experience from similar Caltrans and FHWA programs, including safe routes to school (SRTS), active transportation plans (ATP), and county -wide bicycle improvements. KOA's Orange office staff currently manages and has completed numerous projects of this type in recent years. We will use the same GIS database approach to manage and control information. Experience with School Area Signage From KOA's recent SRTS and ATP projects, we have completed school area signage inventory assessments and MUTCD compliance analyses for 55 schools in San Bernardino County. We also have completed agency - wide sign inventories, assessments, and analyses for the City of Rancho Palos Verdes and the Port of Long Beach that total more than 10,000 signs. This extensive experience will be greatly beneficial to the City. CITY OF SAN BERNARDINO KOA CORPORATION PLANNING & ENGINEERING PROJECT UNDERSTANDING KOA's Approach to the GIS Database Our understanding is that the City currently has a GIS database that identifies all signalized intersection locations within the City. This inventory effort is an opportunity for the City to enhance its current GIS inventory database to include signage. Our database development and analysis component will include the processing and storing of geographic data collected in the field for traffic control devices into a GIS database for analysis and reporting. After we complete the inventory, we will provide a file containing all inventory information to the City so that it can be uploaded to the City's own GIS database. The data collected and recorded from this assessment will enable our team and City staff to determine if traffic signs and/or traffic signal equipment meet the intended design specifications; to catalog information regarding physical conditions of the traffic control devices; to identify locations where maintenance or repairs are needed; to quantify the extent of work required for the proposed improvements; and to maintain records of repair, maintenance, and installations of improvements. Approach to Inventory Management In order to provide a high-quality and cost-effective solution to the City, KOA offers the following unique strategies for completing the project inventories: • Use the combination of our own assistant planners/engineers/interns and our subconsultant to conduct the labor-intensive field inventory. The team members will utilize their engineering training and experience to identify issues and make notes for future recommendations. We plan on deploying two to three field crews to conduct the data collection/inventory process. Each field crew will be responsible for collecting data within different areas of the City, increasing efficiency, and reducing the amount of time required in the field to complete the comprehensive data collection process. New intern crew members will attend a one -day training workshop and will follow the field manual and procedures developed by KOA for any issues raised in the field. KOA plans on utilizing hand-held GPS devices or a mobile app to efficiently conduct the data collection and inventory process. High resolution photo images will be taken at each location. Create a user-friendly GIS template for each data input. The majority of the data will be populated in the template, e.g., sign types and sizes will be stored in the hand-held device beforehand. The field review will mostly utilize drop-down menus or check boxes to avoid manual typing and to minimize data entry errors. Therefore, our field inventory process will reduce the amount of time required in the field to collect the desired data for each feature; will reduce the amount of manual data input needed; and will streamline the GIS database integration process. CITY OF SAN BERNARDINO KOA CORPORATION PROJECT UNDERSTANDING Approach to SSAR Analysis After a full assessment of the inventory, an SSAR will be written that includes current collision data, crash analysis, identification of high risk corridors, and other safety analyses. The three-year collision data will be collected from sources such as the Statewide Integrated Traffic Records System (SWITRS), local police accident data, and the Transportation Injury Mapping System (TIMS) GIS map online tool. The TIMS map provides filters that allow users to identify locations where collisions of concern took place and a time -frame to show only collisions that occurred during the specified dates. Approach to Potential Grant Opportunities In the SSAR, we will note improvement countermeasures to systemic safety issues that can be applied for use in potential grant funding opportunities, such as HSIP grant applications. In terms of the potential HSIP grant fund opportunities, each HSIP project application may include up to three proposed countermeasures, each with varying crash modification factors (CMF). According to the TIMS database, the City experienced 1,535 collisions (not including state highways) during the period of January 1, 2011 to December 31, 2013. By a significantly large margin, the most common collision type is broadside (43.2%) . Other common collision types include rear -end (18.2%), head-on (10.7%), and vehicle/pedestrian (9.3%). The primary collision factor during this period is unsafe speed, which accounts for nearly 18% of the collisions in the City. As such, to address the previously listed collision types and factors, we have identified below a list of possible countermeasure improvements with the greatest opportunity of implementation by using a systemic approach. Project Management & Quality Control It is expected that the majority of the project management will be accomplished through meetings with the City, e-mail, and other correspondence. KOA will be responsible for coordinating with our subconsultant while providing assurances that all project tasks are being completed on time and as expected. KOA personnel assigned to this project are located in our Orange office and our San Bernardino County office. Quality control will be consistently and thoroughly applied throughout the project development. This will be done by placing a priority on deliverables, which will be organized, thorough, and streamlined to maximize efficiency. The QA/QC manager will conduct the appropriate level of oversight and will demonstrate a concerted commitment to provide a high-quality product. This will also be applied to invoice processing and related project documentation forms required by the City and Caltrans. Project Schedule & Critical Paths The RFP does not give a specific outline for the project schedule, though the SSARP details state that the analysis needs to be completed within 36 months of funding for Caltrans reimbursement. The project will be completed well within that time frame, since we expect to complete the project within one year from the notice to proceed. This will be in advance of the Caltrans HSIP Cycle 9 call for projects, which is anticipated in May 2018. The critical path for this project is the collection of inventory data. All data will be compiled during this time as the ranking/scoring sheets are developed, including SWITRS collision data, the City's citizen complaints, and the existing conditions field observations. KOA has identified a detailed scope of work, which is described as follows. Key staff from KOA will attend the kickoff meeting. KOA will provide the meeting agenda and prepare the meeting minutes. This kickoff meeting will serve to define the goals and objectives, confirm expectations on the part of the City and KOA for the project, and establish lines of communication for the continued progress of the project. Task 1.2: Field Inventory Procedures Through previous inventory and database management work, KOA has adopted a practical methodology for conducting inventories. We will review the proposed field inventory procedures with the City's project manager to receive concurrence before initiating the field inventory process. This will ensure that the appropriate data is collected in the field and used to properly develop the field inventory database. The procedure is illustrated in the flowchart in the upper right: Tosk 1.3: GIS Dotabaselfield Inventory Ternplate Design Since field inventory is a labor-intensive process, the database and inventory template to be used in the field will need to be well designed. Based on inventory attributes, the team will modify our current data dictionary that facilitates data entry in the field through simple -to -use drop-down menus to accommodate the needs of the City. This drop-down menu system reduces data entry errors through the use of pick -list domains and types of data to be entered (date field, text field, numeric field, and drop-down menu). KOA has established an automatic data uploading/processing procedure as an important component of our QA/QC process for managing the data. KOA will modify our existing inventory template to match the City's requested traffic signal and signage attributes. Other data fields may be included in the GIS database for future data input, such as warranty information, contact information, and other desired information. KOA will work with the City's GIS staff in developing the GIS -based inventory database and management layer to document the inventories and conditions assessment of the data collected. The database will include the ability to receive inventory updates, maintain historical information, conduct a search of particular traffic control devices, and track installation and maintenance activities. The database will be compatible with Microsoft Excel 2010 (or the latest version) and the City's preferred software. The data shall be incorporated into the City's ArcGIS system as a layer for the inventory. Digital photos will be linked to the locations in the database. The signal inventory will include traffic signal controllers, communication facilities, and other traffic signal support systems throughout the City. The purpose of the existing signal system analysis is to gain a full understanding of the existing system and establish a foundation for the recommendation of any potential future signal system upgrades or replacements for the City. To ensure a mutual agreement/concurrence of the data that will be collected, the checklist will be reviewed with City staff in advance of any field work being performed. This approach will help reduce the need to return to the field to collect additional data. Components of a traffic signal system can be unique and varied in type, quality, age, and brand. Each component will be inventoried, evaluated, and discussed separately. However, the system will ultimately function at its best when all of the components are fully and completely integrated. Components of the signal system we will focus on will include: • Location and distribution of traffic signals • Traffic signal controller, hardware and software at the intersection • Communication infrastructure KOA will collect existing traffic infrastructure information through a series of activities: Meeting with City traffic engineering staff Review of signal interconnect/signal system documentation and as -built records • Conduct inventory in the field, including controller cabinets The inventory will be sufficient to assess the routing of the City's existing communications and the condition of the corresponding infrastructure. We will determine the existing infrastructure condition and make recommendations for equipment upgrades. Task 2.2: Signage Inventory KOA will conduct a detailed inventory of all signage within a quarter -mile of all 70 elementary, middle, high, and charter public schools in San Bernardino. We believe that bringing all signage around schools up to the current standard has the highest priority for the City. Each sign shall receive the following documentation: • Location The traffic control device shall be located using accurate global positioning (GPS) identified by latitude and longitude using the state's coordinate system. Locations with multiple signs on a common mounting shall list all signs both together for location and separately for sign -type inventory purposes. All traffic control devices will be photographed for inventory and maintenance purposes. Specifics Each traffic control device will be field -reviewed to obtain all necessary documentation needed for inventory and maintenance purposes. The following lists specific information that may be collected through the sign inventory: • Sign Type • Sign Orientation • Sign Width & Height • Post Type/Sign Mounting Type • Sign Image • Adjacent Street Name KOA will provide ongoing engineering quality control checks in the office and in the field. On a weekly basis, staff will review new inventory records and identify any records that should be rechecked or corrected. The following are some examples of what must be monitored and will be monitored by KOA: • Incorrect entry of sign direction, legend, dimensions, colors, etc. • Retro -reflectivity measured on the wrong part of the sign • Sheeting material type recorded incorrectly %. Missing signs along the route • GPS coordinates recorded incorrectly Once the data has been collected and input into the database, KOA's engineering staff will perform QA/QC checks for any conflicting or erroneous data received from the field inventory. Any suspected erroneous data that cannot be fixed or resolved with engineering judgment in the office will have to be revisited in the field. Task 2.3: Traffic Sign Retro -reflectivity Assessment The latest CA MUTCD identifies the minimum acceptable levels of retro - reflectivity to be maintained on traffic control signs. KOA proposes nighttime inspection methodology to conduct the retro -reflectivity test. A visual nighttime inspection of existing sign retro -reflectivity can be conducted. This is a methodology approved by FHWA and is more cost-effective than the CITY Of SAN BERNARDINO KOA CORPORATION PLANNING 8 £NG�N.`tPING PROJECT UNDERSTANDING I SCOPE OF SERVICES daytime retro-reflectometer testing method. The nighttime visual inspection will be conducted from a moving vehicle and will conform to the 2007 Edition of the FHWA's Methods for Maintaining Traffic Sign Retro -Reflectivity, Chapter 3, Assessment Methods for Nighttime Inspection. The inspection team will consist of a minimum of two persons: one person to concentrate on safe driving and another to record deficient signs. Both team members will observe the signs. KOA proposes to use a full-sized pick-up, sport utility vehicle, or van for our inspection vehicle. The observer will be a senior citizen (over 60 years of age) with good eyesight and knowledge of sign types. Certain signs listed in the CA MUTCD do not require a visual nighttime reflectivity evaluation. The retro -reflectivity evaluations will be based on first viewing a relatively new sign and then making conservative judgments of the reflective quality of other signs. Signs partially or fully obstructed will be identified. Special consideration will involve advanced warning signs, usually placed to alert drivers to expect stops, signals, or curves in the road ahead. The team will perform the inspection while driving at either posted speed limits or prevailing speeds and from the travel lanes, not the shoulder. The team will assess, as the vehicle approaches the sign, the sign's overall appearance in terms of brightness and legibility. The advantages of the nighttime retro -reflectivity inspection method are that it is significantly cheaper and less time-consuming to conduct. In addition, since the signs are actually viewed at night in their natural surroundings, other factors such as signs being obstructed by vegetation, curving roads, or ambient lighting can be identified. The major drawback on the nighttime visibility method is that it can be subjective based on the visual acuity of the driver. While the potential subjectivity of the nighttime visual inspection method cannot be ignored, it has been shown that trained inspectors can usually detect signs that are deficient at night and that should be replaced. From previous experience on other nighttime sign studies, we find that it quickly becomes evident which signs are lacking proper image reflectivity. The lack of adequate sign performance can include an incorrect angle facing traffic or signs in need of cleaning. Signs having external illumination will be inventoried. A nighttime survey will be performed after the initial daytime field data inventory. This will provide the field crew with an opportunity to verify the integrity of the database, whether the data record matches with the actual sign in the field, and whether there are any missing records in the database. Task 3: Inventory Assessment & QA/QC Task 3.1: Assessment Criteria During the field inventory process, the condition of each traffic control device is indicated in the database. The replacement plan will also include signs which need replacement based on the retro -reflectivity assessment and signs which are no longer MUTCD-compliant. Signs may be identified for removal if determined necessary based on KOA's engineering assessment. This information will be provided in a detailed itemized conditions and cost estimate summary within the SSAR The cost estimates will include assumptions for new signs, signal head mountings, and posts, as well as replacement and removal costs. Items will be provided in a table format accompanied by location maps of the City broken into grids for easy location. Task 4: SSAR Task 4.1: Report Preparation The SSAR will include a summary of major results of the inventory work, including methodologies used, field work notes, and data analysis. Crash data analysis, countermeasures to address safety issues, and viable project scopes and a prioritized list of safety projects will be included. The report will be prepared in accordance with Caltrans' SSARP guidelines. Task 4.2: Crash Analysis Collision information from at least three of the most recent years will be acquired through the SWITRS website to determine the number of collisions in the City of San Bernardino and the severity type. Collision severity ranges from "Complaint of Pain", "Visible Injury", "Severe Injury", and "Fatality". Crash trends, crash concentrations, and identifying leading causes of fatalities and severe injuries will be identified through the crash analysis. A general review and discussion of top crash types in the overall network and at high risk corridors and intersections will be provided. Based on select countermeasures, KOA will create preliminary safety project scopes. KOA will focus on finding the ideal balance between collision analyses on a systemic basis while also addressing high crash locations. The next step will be to use total project costs and the calculation of benefit/cost (B/C) ratios to prioritize the list of safety projects. The City may then choose to pursue funding for high priority projects through future funding opportunities such as HSIP funding cycles. VALUE-ADDED SERVICES As an added value to the above services, KOA would like to help the City prepare an application for the next HSIP grant cycle. We believe the SSAR project will be near completion about the time of the call for projects for HSIP Cycle 9, which is expected to be announced around May 2018. We will be able to apply this grant to the prioritized projects identified through the HSIP. Another value-added item KOA would like to provide is the management of the SSAR grant. Since we assisted the City with obtaining the SSARP grant, we are very familiar with the SSAR guidelines and will be able to help the City submit all required forms from Caltrans. In accordance with the latest California Manual on Uniform Traffic Control Devices (CA MUTCD), KOA is obtaining benchmark retro -reflectivity readings on the existing signs to assist the City in projecting sign replacement and maintenance costs. KOA conducted a complete assessment of the traffic signal controllers, communication facilities and other traffic signal support systems throughout the City of South Pasadena. As part of this preparation, KOA completed an extensive inventory of nearly 4,500 street lights and 100 parking lot lights in the City of South Gate. The inventory included obtaining the GPS coordinates of each light and field -verifying pole material, luminaire mast arm length, wattage, and fixture type (LED or HPS). The field survey also included identifying lighting equipment with damage, conflicting street trees, and inadequate ADA clearance. The master plan was prepared to help support the City's goals of providing the appropriate lighting to promote public safety and energy efficiency. KOA and its team were retained by the Port of Long Beach (POLB) to conduct signage inventory and database management for approximately 10,000 traffic signs of different types on streets within the POLB Harbor District's jurisdiction. The goals of this project are to enable POLB to improve traffic safety by helping to maintain signs in a good condition and assist POLB in complying with the Sign Retro -reflectivity Requirements specified in the Manual on Uniform Traffic Control Devices (MUTCD). The KOA team identified the critical steps of the project, including pre -field inventory preparation and training, field inventory supervision/ monitoring, database processing, final documentation, and recommendations. The latest Tremble GPS unit model with high precision and bar code labeling technology is used for the database management. Software Implemented: ArcGIS, TerraSync, GPS PathFinder. The Safe Route to School (SR2S) Plan Phase II study is an effort to include more pedestrian and SR2S components in the non -motorized transportation plan for the San Bernardino County Transportation Authority (SBCTA).
