2 RESOLUTION OF THE CITY OF SAN BERNARDINO AUTHORIZING THE
XECUTION OF AN AGREEMENT AMONG THE COUNTY OF SAN BERNARDINO, CITY
3 DF SAN BERNARDINO, AND THE REDEVELOPMENT AGENCY OF THE CITY OF
AN BERNARDINO CONCERNING REAL PROPERTY, VACATING OF CERTAIN
4 STREETS, AND RELOCATION OF A PORTION OF TOWN CREEK.
5 BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY OF
AN BERNARDINO AS FOLLOWS:

7 SECTION 1. The Mayor of the City of San Bernardino is hereby
8 authorized and directed to execute on behalf of said City an
9 Agreement among the County of San Bernardino, City of San
10 Bernardino, and the Redevelopment Agency of the City of San
11 Bernardino concerning real property, vacating of certain streets,
12 and relocation of a portion of Town Creek, a copy of which is
13 attached hereto, marked Exhibit "I" and incorporated herein by
14 reference as fully as though set forth at length.

16 adopted by the Mayor and Common Council of the City of San
17 Bernardino at a meeting thereof, held

SUBJECT AMENDMENT TO CITY-COUNTY LEASE FOR USE OF CITY LIBRARY
RECOMMENDATION:
Approve amendment.,,to City Library lease reflecting
County commitment for alternative parking program
- ;during .construction. of -new, County _facilities
On March 24, 1981, the Board approved retention of an archi-
tectural firm to provide plans for the first phase of develop-
ment of the County Center in the downtown area. As presented,
the program calls for construction of office facilities
adjacent to the existing City Library structure which, under
the terms of the City-County Land Exchange Agreement has
become County property and is leased to the City until
January 1, 1984 .
Orderly development of the first phase of construction of the
County Center will necessitate that the current parking
facilities for the City Library be vacated prior to the expir-
ation of the current lease. We have discussed that matter
with the City Administrator to provide alternative parking
programs. to the City in order to .permit the construction
program- to proceed on schedule. To accomplish this, the City
Library lease should be amended, reflecting the commitment of
the County to provide alternative parking during the remaining
term of the lease. The necessary amendment has been prepared
by County Counsel and is attached.
As part of the overall consideration of the Land Exchange.
Agreement, language was included stating stating the intent
of both parties to accommodate the needs of each other and that
future negotiations on any amendment would be conducted within
this context. Amendment to the lease providing for alternative
parking is consistent with the spirit of the Land Exchange
Agreement.
Upon Board approval, we will submit this to the City Council
for its action on this matter.

Paragraph l.a is added-to the City Library Lease, Exhibit "C" of
the agreement concerning Real Property, Vacating of Certain Streets
and Relocation of a Portion of Town Creek, and shall read as follows :

l.a. Notwithstanding any other provision of this lease to the
contrary, lessee agrees to accept an alternative location
from that described in Paragraph 1. of the recitals, supra.,
for the purpose of providing parking to patrons and -staff
of the City Library. Such parking area will be provided
within the area bounded by Arrowhead, Mt. View, 5th Street,
3rd Street and shall provide for approximately the same
'number of parking spaces as is currently provided.

5 THIS AGREEMENT is made on t1( �- between
6 the County of San Bernardino, hereinafter called "County, " and
7 the City of San Bernardino, hereinafter called "City, " and the
8 Redevelopment Agency of the City of San Bernardino, hereinafter
9 called "Agency.."

12 WHEREAS, County, City, and Agency entered into a written
13 agreement dated November 81 1976, entitled "City/County/Agency
14 Land Exchange Agreement for the County Government Center, " and
15 WHEREAS, such agreement provided for an exchange of 55-year
16 leases and certain other agreements between the parties, and
17 WHEREAS various provisions of said agreement remain unexe-
18 cuted and the State of California now requires fee title to that
19 property described in "Exhibit A" as a part of the Seccombe Lake
20 Project, and
21 WHEREAS, the parties to this agreement have determined that
22 the property interests to be exchanged hereunder are of equal
23 value and that the parties will mutually benefit by the
24 exchange,
25 NOW, THEREFORE, this new agreement is made and shall substi-
26 tute and replace entirely the original agreement dated November 81,
27 1976, rendering .said original agreement null and void.

29 EXCHANGE OF LAND
30 WHEREAS, City has transferred to Agency title to certain par-.
31 cels listed in "Exhibit. B" attached hereto held by City prior to
32 execution of this agreement, and
33 WHEREAS County is the owner of certain parcels of real prop-
34 erty identified and legally described in "Exhibit A" attached
35 hereto, and

I VIIIEREAS, Agency is now the oe,7ner of all those parcels of
2 real property identified and legally described in "Exhibit B" ,
3 NOW, THEREFORE, County and Agency agree to exchange real
4 property in "Exhibits A and B" by delivering grant deeds to the
5 other party in this exchange within sixty (60) days of execution
6. of this agreement by County and Agency. Within fifteen_ (15) days
7 of execution of this agreement, each grantor shall deliver a cur
. 8 rent preliminary title report for each parcel to be conveyed to
9 its grantee, ' and each grantee shall within fifteen (15) days there
10 after transmit to its grantor its irritten acceptance or rejec-
II tion of each condition, lien, and/or encumbrance indicated in.
12 the preliminary title report. In the event any condition, lien,
13 or encumbrance is found not acceptable, the grantor shall clear
14 the title of such condition, lien, or encumbrance or arrange for
15 clearance to the satisfaction of the grantee prior to the date
16 ( for conveyance (60 days after execution) . If the parties have not
17 ! settled all such title matters by this time, this agreement shall
18 become null and void. Each grantor shall warrant the quality and
.19 condition of title as shown on the preliminary title reports and
20 accepted by its grantee pursuant to the foregoing procedure and
21 further covenants to clear any unrecorded liens or encumbrances
22 to the satisfaction of its grantee upon discovery.

24 IT IS FURTHER AGREED:

26 'LEASES
27 That the following leases .shall be executed concurrently
28 with the execution of this agreement:

30 CITY PUBLIC LIBRARY
31 The parcel occupied by the San Bernardino Public
32 Library being acquired by County shall be subject to
33 occupancy by City under that lease between County and

34 City attached hereto as "Exhibit C" or as such lease
35 shall be modified thereafter by agreement of County
36 and City.

I CITY FIRE STATION
2 The parcel being occupied by San Bernardino Fire
3 Station No. 1 being acquired by County shall be sub-
4 jest to occupancy by City under lease between County
5 and City attached hereto as "Exhibit D" or as such
6 lease shall be. modified thereafter by agreement of
7 County and City.

9 VACATING AND RELOCATING TENANTS
10 Improved properties, 444 No. Mt. View (an office building) ,
11 and 460 No. Mt. View (an old residential court) , being acquired
12 by County herein are occupied and it is the desire of County
13 that these properties be vacated. After transfer to County,
14 City shall cause said properties to be vacated and all tenants
15 to be relocated at City's sole expense by not later than Janu-
16 ary 1, 1982.
17 City and Agency shall assign all rents accruing from date the
18 deed is recorded on these parcels to the County.

20 'RELOCATION OF TOWN CREEK
21 Inasmuch as County wishes to be able to construct buildings
22 on the property being acquired by County as described in "Exhibit
23 B, " the following agreements are made regarding Town Creek:
24 1. County shall prepare plans at County' s expense for the
25 relocation and reconstruction of the Town Creek storm
26 drain in the area of. the block bounded by -Fourth Street,
27 Arrowhead Avenue, Fifth Street, and Nit. View Avenue by
G8 not later than July 1, 1982.
29 2. City shall cause the Town Creek storm drain to be recon
30 structed and relocated in accordance with said plans at
31 City' s expense by not later than January 1, 1983.

33 PARKING AND VACATING OF STREETS
34 To provide for additional parking in the San Bernardino
35 downtown area and improve access to public buildings, the follow-
36 ing agreements are made regarding vacating of streets :
37 1. City will immediately commence proceedings to vacate

1 Mt. View Avenue between Third Street and Fifth. Street
2 AND Fourth Street between Arrowhead Avenue and Sierra
3 Way and complete said proceedings by not later than
4 April 1, 1982.
5 2. County will provide parking on such vacated streets
6 and allow .li.mited vehicular access for such special
7 public needs as the fire station vehicles or other
8 emergency vehicles. Access for general street pur-
9 poses will be terminated.

11 It is the intent of the parties hereto to accommodate the
12 needs of each other. In this regard, the parties hereby express
13 the desire to cooperate in negotiating such future amendments to
14 this agreement as may appear mutually beneficial.
15

1 CITY LIBRARY LEASE
2 THIS LEASE is made and entered into on this- day of

4 body corporate and politic, hereinafter referred to as "Lessor, "
5 and the CITY OF SAN BERNARDINO, a municipal corporation, herein-
6 after referred to as "Lessee. "

9 1. Lessor is the owner of that certain real property identi-
10 fied as 401 TJorth Arrowhead Avenue in the City and County of
11 San Bernardino, State of California, consisting of approximately.
12 . 67 ,500 square feet.
13 2. The property is currently improved with buildings used
14 by the City as a public library.
15 3 . Lessee desires to . lease the property for the purpose of
16 conducting its governmental functions thereon in the present
17 I buildings situated on the property.
18 4. Lessor desires to lease the property in its present
19 condition with minimal responsibility for its supervision and
20 maintenance.

22 For the reasons above-stated and in consideration of the
23 covenants contained herein, the parties agree as follows:

27 and Lessee hereby hires . and takes said property for a lease term
28 commencing- upon execution 'of this agreement by both parties and
29 expiring on January 1, 1984 , at which time Lessee will surrender

31 improvements constructed by Lessee.
32 2 . RENT AND CONSIDERATION

33 As and for rental and consideration of this lease,
34 Lessor and Lessee agree to exchange certain lots and parcels of
35 real property situated in the City and County of San Bernardino,

I State of California, for general municipal public purposes under

3 3. PAYMENT OF LIABILITIES CHARGEABLE TO PROPERTY
4 Lessee shall pay or cause to be paid all taxes and
5 assessments levied on the property. If Lessee neglects to
6 meet any such obligations when due, Lessor may, without preju-
7 dice to any. rights granted Lessor by this lease or by law, pay
8 such liabilities and recover the amount paid from Lessee.
.9 Lessee shall not cause or permit the property or improvements
10 to become subject to.-any liens or encumbrances without the
11 prior written approval of Lessor.
12 4. PAYMENT OF UTILITIES
13 Lessee shall pay for all utilities furnished the prem-
14 ises for the term of this lease, including electricity,. gas,
15 water, and telephone service.
16 5. MAINTENANCE OF PROPERTY
17 Lessee shall maintain the property in a clean and or-
18 derly condition. It shall not undertake acts or permit condi-
19 tions likely to create public or private nuisances under the
20 laws of the State of California, and it shall comply with all
21 federal, .state, and local requirements with respect to the
22 property as if it were the owner thereof . Lessee shall sur-
23 render the property at the termination of this lease with all
24 improvements, including those improvements constructed by
25 Lessee, in good condition, normal wear and tear and Acts of
26 God excepted
27 6. TERMINATION
28 Failure of Lessee to perform any covenant or condi-
29 tion of this lease may be treated by Lessor as a forfeiture,
30 and Lessor may terminate this lease on any failure of Lessee
3I to perform any of the obligations established herein. On
32 any such termination for cause, Lessor may immediately take
33 possession of the property and all improvements.
34 7 INSURANCE COVERAGE
35 Lessee covenants to maintain comprehensive insurance
36

I on the improvements in amounts at least equal to the fair mar-
2 ket value thereof for the term of this lease.
3 8. INDEMNIFICATION OF LESSOR
4 Lessee understands that Lessor has agreed to lease the
S land and structures to free itself of the supervisorial duties
6 of a landlord of the property. Accordingly, Lessee shall hold
7 Lessor, its elective and appointive boards, commissions, offi-
8 cers, agents, and employees harmless from any liability for
9 damage or claims for damage for personal injury, including
10 death, as well as from claims for property damage which may
11 arise from Lessee' s operations under this lease, whether such .
12 operations are by Lessee or by any one or more persons directly
13 or indirectly employed by or acting as agent for Lessee. Les-
14 see agrees to and shall defend Lessor and its elective and
15 appointive boards, commissions, officers, agents, and employ-
16 ees from any suits or actions at law or in equity for damages
17 caused, or alleged to have been caused, by reason of any of
18 the aforesaid operations.
19 9 . FIXTURES, BUILDINGS , STRUCTURES AND IMPROVEMENTS
20 All fixtures, . buildings, structures and improvements
21 installed by Lessee in the demised premises shall become the
22 property of Lessor upon termination of this lease.
23 10. EFFECT OF LESSOR' S WAIVER
24 Lessor' s waiver of breach of one term, covenant, or
25 condition of this lease is not a waiver of breach of others,
26 nor of subsequent breach .of the one waived.
27 11. AMENDMENTS
28 This lease may be amended or modified only by written
29 agreements signed by both parties.
30 12. WAIVER
31 Failure on the part of either party to enforce any ..,
32 provision of this lease shall not be construed as a waiver of
33 the right to compel enforcement of such provision or provi-
34 sions, nor act to release any surety from its obligations
35 under this lease. ..

2 THIS LEASE is made and entered into on this- day of

5 and the CITY OF SAN BERNARDINO, a municipal corporation, herein

10 fied as 456 North Mt.; View Avenue in the City and County of
11 San Bernardino, State of California consisting of approximately
12 22,500 square feet.
13 2. The property is currently improved with buildings used
14 by the City as a fire station.
15 3. Lessee desires to. lease the property for the purpose of
16 conducting its governmental functions thereon in the present
17 buildings situated on the property.
18 4 . Lessor desires to lease the property in its present
19 condition with minimal responsibility for its supervision and
20 maintenance.

22 For the reasons above-stated and in consideration of the
23 covenants contained herein, the parties agree as follows:

26 Lessor hereby grants the hereinabove described property

34 determination by Lessor that the property ;vill not be required

1 2 . RENT AND CONSIDERATION

3 7. INSURANCE COVERAGE
4 Lessee covenants to maintain comprehensive insurance
5 on the improvements in amounts at least equal to the fair mar-
6 ket value thereof for the term of this lease.

35 Failure on the .part of either party to enforce any
36 provision of this lease shall not be construed as a waiver of
