A group of very loyal San Bernardino Citizens still hold membership in this association from it's inception. San Bernardino Valley Community Concert Association interact with a National organization which cooperates with local organizations to afford an opportunity to bring famous National and International performances to a City at reasonable rates. San Bernardino Citizens and school children can enjoy in our own City the New York Ballet Co; the beautiful voices of the Vienna Boys Choir, and the haunting music of Isaac Stern. The Mayor of the City of San Bernardino is hereby authorized 9 and directed to execute on behalf of said City an Agreement with the SAN 10 BERNARDINO VALLEY COMMUNITY CONCERT ASSOCIATION, a copy of which 11 is attached hereto marked Exhibit "A" and incorporated herein by reference as fully as 12 13 though set forth at length. 14 SECTION 2. Penman, City Attorney 25 26 By 61 27 28 September 22, 1998 2 98-281 1 AGREEMENT 2 Fine Arts Funding 3 THIS AGREEMENT is entered into between the CITY OF SAN 4 BERNARDINO, a municipal corporation, referred to as "City" and th 5 SAN BERNARDINO VALLEY COMMUNITY-CONCERT ASSOCIATION, a non-profit 6 organization, referred to as "Organization. " 7 The parties agree as follows : 8 1 . Recitals . 9 A. Organization has requested financial assistance fro 10 City for the fiscal year 1998-99, in order to assist in defrayin 11 the expense of certain concerts, shows, festivals, or events o 12 activities sponsored by Organization as set forth in Organization' 13 grant proposal (hereinafter "the proposal" ) approved by the Fin 14 Arts Commission of the City. A copy of said proposal is on file i 15 the Mayor' s Office of Cultural Affairs . The terms of the proposa 16 are incorporated herein by reference and shall govern the uses c 17 the funds provided herein. The financial assistance provided fo� 18 in this agreement is made on a one-time only basis , and receipt clt 19 said funds shall not imply a continuing obligation of the City, 20 beyond the terms of this Agreement . 21 B . The expenditure is for a valid municipal publi 22 purpose, to wit : for the promotion of art appreciation in Sa 23 Bernardino, as more fully set forth in the proposal submitted b 24 Organization. 25 2 . Payment . Upon presentation of a claim to the Mayor' 26 Office, City shall pay to Organization from the 27 28 -1- Exhibit "A" 98-281 1 AGREEMENT RE : THE CITY OF SAN BERNARDINO AND THE SAN BERNARDI VALLEY COMMUNITY-CONCERT ASSOCIATION FOR THE PROMOTION OF THE ART 2 AND CULTURE. 3 4 budget for the 1998-99 fiscal year, the total sum of $16 , 00 5 dollars, to cover the costs per the Fine Arts grant application 6 agreement . 7 3 . Use of Funds . The funds paid to Organization shall hie 8 used solely for the purposes set forth in Paragraph 1 and in strict 9 compliance with the provisions set forth in the agreement . No 10 deviation from the agreement shall be made without the express 11 approval of the City of San Bernardino . Said funds shall be 12 expended by June 30 , 1999, and any unexpended funds shall be 13 returned to City by Organization. 14 4 • Accounting. Within 20 days after the completion of th 15 event, the Organization shall submit to the Mayor' s Office, with 16 copy to the Director of Finance, an accounting of the actual 17 expenditures connected with said event as it relates to the fund 18 which were provided by the City. Financial records shall be 19 maintained in accordance with generally accepted accountin 20 principles by Organization in such manner as to permit City t 21 easily trace the expenditures of the funds . All books and record 22 of Organization are to be kept open for inspection at any time 23 during the business day by the City or its officers or agents . 24 Failure to submit the financial records in accordance with this 25 section will result in the Organization reimbursing the City. 26 5 . Hold Harmless . Organization covenants and agrees t 27 defend, indemnify, and hold harmless the City and its employees an 28 agents from all liabilities and charges, -2- 98-281 AGREEMENT RE : THE CITY OF SAN BERNARDINO AND THE SAN BERNARDIN 1 VALLEY COMMUNITY-CONCERT ASSOCIATION FOR THE PROMOTION OF THE ART 2 AND CULTURE . 3 4 expenses (including counsel fees) , suits or losses however 5 occurring, or damages arising or growing out of the use or receipt 6 of the funds paid hereunder and all operations under this 7 agreement . Payments hereunder are made with the understanding tha 8 the City is not involved in the performance of services or other 9 activities of Organization. Organization and its employees an 10 agents are independent contractors and are not employees or agent 11 of the City in performing said services . 12 6 . Termination. City shall have the right to terminat 13 this Agreement and any funding remaining unpaid hereunder for an 14 reason by mailing a ten-day written notice to Organization and this 15 agreement shall terminate ten days after the mailing of suc 16 notice . In the event this Agreement is terminated for reasons o 17 improper use of funds or use of funds for any purpose other tha 18 those authorized, any unexpended portion of the funds provided b 19 City shall be returned to City. In addition, Organization shal 20 reimburse to City any funds expended which were used for ankr 21 purposes other than those authorized under this Agreement . 22 7 . Assignment . Organization shall not assign its interes 23 in this Agreement without the prior written approval of City. 24 S . Insurance . Organization shall take out and maintain 25 during the life of this Agreement such public liability an 26 Property damage insurance as shall insure City, its elective an 27 appointive boards , commissions, officers, 28 -3- 98-281 AGREEMENT RE : THE CITY OF SAN BERNARDINO AND THE SAN BERNARDINO 1 VALLEY COMMUNITY-CONCERT ASSOCIATION FOR THE PROMOTION OF THE ARTS 2 AND CULTURE . 3 4 agents and employees, Organization and its agents performing acts 5 covered by this Agreement from claims for damages for personal 6 injury, including death, as well as from claims for property damage which may arise from Organization' s or its agents' operations 8 hereunder, whether such operations be by Organization or its agents 9 or by anyone directly or indirectly employed by either organization 10 or its agents, and the amounts of such insurance shall be as 11 follows : 12 (a) Public Liability Insurance . In an amount not less than 13 $1, 000 , 000 for injuries, including, but not limited to, death, to 14 any one person, and subject to the same limit for each person, i 15 an amount not less than $100 , 000 on account of any one occurrence; 16 (b) Property Damage Insurance . In an amount of not less than 17 $50 , 000 for damage to the property of each person on account of any 18 one occurrence . 19 (c) workers Compensation. Organization shall provide worker 20 compensation insurance in the amount required by state law if the 21 funds provided hereunder are to be paid as salary to any employe 22 of Organization. Organization shall require that all rights of 23 subrogation under such policy of workers compensation insurance 24 shall be waived as to City.
