Funds are available in account 001-400-0037-5111 for the additional $15,000 purchase
order increase.

Synopsis of Previous Council Action:
May 18, 2015 - Reso 2015-101 - The Mayor and Common Council authorized the
appropriation of$30,000 to Account No. 126-400-0092-5502 "Professional/Contractual
Services" using unallocated HUTA (Gas Tax Fund 126) funds and authorized the
execution of a Second Amendment to the Agreement with Quality Light and Electric for
street light repair services.
November 17, 2014 - Reso 2014-400 - The Mayor and Common Council authorized the
appropriation of an additional $200,000 to Account No. 126-400-0092-5502
"Professional/Contractual Services" using unallocated HUTA (Gas Tax Fund 126)
funds; amended the FY 2014-15 Budget accordingly; authorized the execution of a First
Amendment to the Agreement with Quality Light and Electric; and increased Annual
Purchase Order No. 2015 -61 for an amount not the exceed $400,000 for street light
repair services.
March 3, 2014 - Reso 2014-52 - The Mayor and Common Council authorized the
execution of an Agreement and issuance of an Annual Purchase Order with two (2)
one-year extensions at the City's option, to Quality Light and Electric for street light
repair services.

Background:
The Public Works Department, Operations & Maintenance Division, is responsible for
maintaining approximately 6,650 city owned street lights throughout the City. Services
are handled by the City's contractor Quality Lighting and Electric since May 2014. The
City's street light system is a mix of different lighting systems that include high pressure
sodium (HPS) lights, Light emitting diodes (LED) lights, and mercury vapor lights. The
system is plagued with a number of problems. Parts of the lighting system are very old,
representing an array of maintenance and repair difficulties, including conduit and
underground damage. The City also has "knock downs" street light poles on a regular
basis of which some are replaced and many have not. Additionally, the City has an
ongoing battle with wire theft that typically impacts a series of street lights at one time.
(And we have had repeat offenders, hitting the same locations right after repairs were
done!) These situations have consumed most of the current contract budget in the first
7 months of the fiscal year and does not allow for the purchase of materials and
supplies through the remainder of the year.
Additionally, the Public Works Department, Building Maintenance Division, is
responsible for maintaining various buildings owned by the City. Currently there are
lighting and electrical issues in the parking structure located adjacent to City Hall, that
requires the experience of an electrical contractor such as Quality Light. These types of
repairs were not included in the funding of this contract and as such an additional
amount and funding source must be added to the contract budget. Funds in the amount
of $15,000 are needed for the parking structure repairs and are available from the
Building Maintenance Division operational budget.
Staff is requesting that the Mayor and Common Council approve a Quality Lighting
contract budget increase of $165,000 as a Third Amendment to contract for FY 2015-
16; appropriate $150,000 from unallocated HUTA (Gas Tax Fund 126) funds and
amend the FY 2015-16 Budget accordingly. As mentioned above, the remaining
$15,000 needed for the contract amendment will come from the existing Building
Maintenance Division operational budget. The contractor's existing PO will be amended
upon Council approval of the contract amendment.

3. TERM; TERMINATION.
The term of this agreement shall be from March 3, 2014 through June 30, 201.4, witl
two (2) one-year extensions at the City's option. Option year one, if exercised, shall be
effective July 1, 2014 through June 30, 2015. Option year two, if exercised, shall be effective
July 1, 2015 through June 30,2016.
This Agreement may be terminated at any time by thirty (30) days' written notice by
either party. The terms of this Agreement shall remain in force unless amended by written

4. INDEMNITY.

VENDOR agrees to and shall indemnify and hold the City, its elected officials, employees,

asserted upon any or alleged act or omission of VENDOR, its employees, agents, or

subcontractors, relating to or in any way connected with the accomplishment of the work or

performance of service under this Agreement, unless the bodily injury or property damage was

actually caused by the sole negligence of the City, its elected officials, employees, agents or
representatives. As part of the foregoing indemnity, VENDOR agrees to protect and defend at

its own expense, including attorney's fees the City, its elected officials, employees, agents or Q
representatives from any and all legal actions based upon such actual or alleged acts or
omissions. VENDOR hereby waives any and all rights to any types of express or implied
indemnity against the City, its elected officials, employees, agents or representatives, with
respect to third party claims against the VENDOR relating to or in any way connected with the
accomplishment of the work or performance of services under this Agreement.

5. INSURANCE.
While not restricting or limiting the foregoing, during the term of this Agreement
VENDOR shall maintain in effect policies of comprehensive public, general and automobil(
liability insurance, in the amount of $1,000,000.00 combined single limit, and statutorl
worker's compensation coverage, and shall file copies of said policies with the CITY's Risl
Manager prior to undertaking any work under this Agreement. CITY shall be set forth as ar
additional named insured in each policy of insurance provided hereunder. The Certificate of

Insurance furnished to the CITY shall require the insurer to notify CITY at least 30 days prior
to any change in or termination of the policy.

6. NON-DISCRIMINATION.

In the performance of this Agreement and in the hiring and recruitment of employees, S
VENDOR shall not engage in, nor permit its officers, employees or agents to engage in,

discrimination in employment of persons because of their race, religion, color, national origin, C

ancestry, age, mental or physical disability, medical conditions, marital status, sexual gender or P
sexual orientation, or any other status protected by law.

7. INDEPENDENT CONTRACTOR.

VENDOR shall perform work tasks provided by this Agreement, but for all intents and c

purposes VENDOR shall be an independent contractor and not an agent or employee of the

CITY. VENDOR shall secure, at its expense, and be responsible for any and all payment of d
Income Tax, Social Security, State Disability Insurance Compensation, Unemployment
Compensation, and other payroll deductions for VENDOR and its officers, agents, and
employees, and all business license, if any are required, in connection with the services to be
performed hereunder.

written consent. Any attempted assignment, transfer, subletting or encumbrance shall be voic

11. VENUE.

15. SEVERABILITY.
If any provision of this Agreement is determined by a court of competent jurisdiction to
be invalid or unenforceable for any reason, such determination shall not affect the validity or
enforceability of the remaining terms and provisions hereof or of the offending provision in any

16. ENTIRE AGREEMENT; MODIFICATION.
This Agreement constitutes the entire agreement and the understanding between the
parties, and supercedes any prior agreements and understandings relating to the subject manner
of this Agreement. This Agreement may be modified or amended only by a written instrument
executed by all parties to this Agreement.

This Second Amendment to an Agreement with Quality Light and Electric

WHEREAS, the Mayor and Common Council has determined that it is
advantageous and in the best interest of the CITY to contract for street light repair

WHEREAS, VENDOR was the lowest responsible bidder for concrete

maintenance services per RFP F-14-15 and was awarded a contract by the Mayor and

Common Council on March 3, 2014 by Resolution 2014-52, in the amount of N

$200,000 ("Agreement"); and ?

WHEREAS, the Mayor and Common Council on November 17, 2014 by

Resolution No. 2014-400 authorized the appropriation of an additional $200,000 of a

WHEREAS, the City desires to add $30,000.00 to the amount of the
