Home My WebLink About2016-049 1 RESOLUTION NO. 2016-49 2 3 RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO AUTHORIZING THE CITY MANAGER TO TAKE ALL NECESSARY 4 ACTIONS TO EFFECTUATE THE AGREEMENT WITH BURRTEC WASTE 5 INDUSTRIES, INC. FOR REFUSE SERVICES. 6 WHEREAS, on January 25, 2016 the Mayor and Common Council adopted Resolution No. 7 2016-10 which approved the Agreement with Burrtec Waste Industries, Inc. to provide refuse and recycling, street sweeping and right-of-way clean up services; and 8 WHEREAS,pursuant to the Agreement with Burrtec Waste Industries, Inc. there are several 9 transactions that are required in order to successfully transfer all refuse services from the City; and 10 WHEREAS, it is necessary to give the City Manager the authority to take all necessary steps 11 in order successfully transfer all refuse services from the City; 12 NOW THEREFORE, BE IT RESOLVED BY THE MAYOR AND COMMON 13 COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: 14 SECTION 1. The City Manager is hereby authorized to take any all actions necessary to 15 effectuate the agreement with Burrtec Waste Industries, Inc. 16 SECTION 2. The City Manager is hereby authorized to make any expenditure necessary 17 18 to comply with the conditions of the Agreement. 19 SECTION 4. Saenz, City Attorney 26 By: Z�'�� Z 27 28 2 2016-49 BILL OF SALE THIS BILL OF SALE (this "Bill of Sale"), dated as of March 21 , 2016 (the "Effective Date"), is given by the CITY OF SAN BERNARDINO, a California Charter City and municipal corporation (the "City") and BURRTEC WASTE INDUSTRIES, INC., a California corporation (`Burrtec"). RECITALS A. The City and Burrtec entered into an Exclusive Franchise Agreement for Integrated Solid Waste Collection, Processing, and Disposal Services (the "Franchise Agreement"), which was approved by the Common Council of the City on January 25, 2016. B. The Franchise Agreement was amended by an undated First Amendment to the Exclusive Franchise Agreement for Integrated Solid Waste Collection, Processing, and Disposal Services entered into by the City and Burrtec. C. Pursuant to Section 15.2 of the Franchise Agreement, as amended, the City agreed to sell Burrtec agreed to purchase the equipment listed on attached Exhibit "A", which is incorporated herein by reference(the "Equipment"), along with other equipment. D. Pursuant to this Bill of Sale, the City intends to sell, grant, bargain and convey the Equipment to Burrtec. OPERATIVE PROVISIONS NOW, THEREFORE, in consideration of the foregoing Recitals, which are true and correct and are made a material part of this Bill of Sale, and for other valuable consideration, the receipt of which is hereby acknowledged: Section 1. Conveyance. Effective as of the Effective Date, the City hereby sells, grants, bargains and conveys the Equipment to Burrtec. Section 2. Attorney-in-Fact. The City hereby appoints Burrtec as its attorney in fact, with fully authority to effect the transfer of the Equipment, to the same extent as the City could do if this Bill of Sale were not being given.
