I ------------------------------------------------------------------------------------------------------------------ TCS:Imp:stateofc.cdc COMMISSION MEETING AGENDA MEETING DATE: 12/04/1995 Agenda Item Number: i ECONOMIC DEVELOPMENT AGENCY STAFF REPORT ------------------------------------------------------------------------------------------------------------------ SmIterblock-Development Background In July, 1993,the Commission approved the submittal of a proposal to the State of California for the development, financing and construction of two State office buildings and adjacent parking structures to be located within the Superblock project in Downtown San Bernardino. The Superblock area that has been reserved for State offices is located within the western portion of the block bounded by Fourth Street on the south, "E" Street on the west, Fifth Street on the north, and"D" Street on the east. Special legislation was introduced by Senator Leonard and approved as SB772 in 1993 which authorized the construction of separate consolidated State office building projects for the Cities of San Bernardino and Riverside. The San Bernardino project as originally proposed in July, 1993, consisted of a 12-story Caltrans Office Building of approximately 346,000 square feet and a 6-story Consolidated State Office Building of approximately 210,000 square feet. The two office buildings and parking structure have not changed in size or scope of development in the 2 %2 years since the original concept plan was presented to the State Department of General Services. The Riverside State Office building project as financed in 1994 was comprised only of the acquisition of an existing bank building with the renovation of the building with the construction of the tenant improvements to accommodate the State office requirements. The San Bernardino State Office building project consists of the land acquisition, demolition and site preparation, and the design and construction of two (2) new office buildings totaling approximately 555,000 square feet of modern office building design with parking structures to accommodate at least 1,525 vehicles. The Economic Development Agency (EDA)has owned the majority of the land in the Superblock resulting from acquisitions that have occurred since the late 1970's. Several of the larger land acquisitions included the former Police Station on Fourth Street, the Platt Building at the corner of Fifth Street and "E" Street, the Valley Auto building on Fifth Street, and the theater and office building which fronted on"E" Street. The Agency has additionally acquired the former Security Pacific National Bank building at Fourth and"D" Street and has assisted in the disposition of the bank building to the San Bernardino County Law Library for the retention of the Law Library facilities within the Downtown area. ------------------------------------------------------------------------------------------------------------------ TCS:1mp:stateofc.cdc COMMISSION MEETING AGENDA MEETING DATE: 12/04/1995 Agenda Item Number: .) Economic Development Agency Staff Report State Office Building November 30, 1995 Page 2 -------------------------------------------------------------------------------------------------------------------------- Project Design It is presently the desire of the Department of General Services and Caltrans to construct the Caltrans Office Building at this time as a Phase I development and at a later date to undertake the final design and construction of the Consolidated State Office Building as a Phase II development. The Caltrans Office Building will utilize approximately 235,000 square feet for the actual Caltrans operations with the remaining 111,000 square feet being initially leased to other State agencies and departments with the intent of eventual Caltrans occupancy of the entire Caltrans Office Building. The rate of Caltrans expansion within District 8 and the coordination of the consolidation of the remaining State offices located within the San Bernardino area will dictate the time frame for the development of the Phase II office building for the remaining State agencies and departments. Caltrans intends to relocate the entire office operations from the present site at 247 West Third Street with some storage and corporate yard functions remaining at said site. Caltrans will eventually sell the site, perhaps with the demolition of the existing substandard office buildings, for other office uses or for other governmental activities. Likewise, the present State office building located at 303 West Third Street will also be resold either"as is" or as vacant land upon demolition of the existing building if it is determined that the present building has no further economic value. The EDA in consultation with representatives of the Department of General Services has retained the services of a project architect, building engineer, civil engineer, space planner, programmer and project administrator to design and prepare the design and construction drawings for both office projects. All of the necessary contracts were approved by the Commission and executed during the latter part of 1993. The partially completed designs for Phase II will be placed on hold until a decision is made as to the proposed occupancy date for the Consolidated State Office Building. The designs and construction drawings were completed for the Phase I Caltrans Office Building in September, 1995, and were reviewed and commented upon by the City Building Department in October, 1995. Building permits will be issued for the Caltrans Office Building in December, 1995, and construction may commence as soon as financing proceeds are available to fund the construction costs. ------------------------------------------------------------------------------------------------------------------ TCS:lmp:stateofc.cdc COMMISSION MEETING AGENDA MEETING DATE: 12/04/1995 Agenda Item Number: P 5 Economic Development Agency Staff Report State Office Building November 30, 1995 Page 3 -------------------------------------------------------------------------------------------------------------------------- On July 17, 1995, a Request For Qualifications ("RFQ")was issued to general contractors in order for the EDA and the Department of General Services to obtain a qualified short list of general contractors for the Caltrans Office Building construction. On August 15, 1995, a committee comprised of City staff and Council members, Caltrans representatives and representatives of the Department of General Services selected a qualified list of five (5) general contractors with the requisite experience and background to undertake the bidding and eventual construction of the Caltrans Office Building construction. A similar process was undertaken for the design/build general contractor for the Parking Structure that will serve the Caltrans Office Building. As a result of the phasing of the two (2) office building projects, it was necessary to provide that the initial Parking Structure accommodate at least 925 vehicles with the required expansion capabilities for an additional 600 vehicles upon completion of the Phase Il Consolidated State Office Building. The design/build general contractor will be responsible to both finalize the design and preparation of construction drawings for the Parking Structure and construct the Parking Structure all for a cost not to exceed the prior estimated amount of $5,700,000. Formal bid packages were distributed to the prospective short list of general contractors for both the Caltrans Office Building and the Parking Structure on October 27, 1995. Bids were received for the Caltrans Office Building on November 30, 1995, and an award to the I' lowest responsible bidder will be made by the Commission at the regular meeting of December 4, 1995; additionally, bids were received from the design/build general contractors for the Parking Structure on November 29, 1995, and this latter contract will be likewise awarded by the Commission on December 4, 1995. Both contract awards are contingency upon obtaining funding source as anticipated through the JPA Bond Proceeds. All contracts must provide for the payment of State of California prevailing wages regardless of whether the construction contracts for the Caltrans Office Building and the Parking Structure are considered as local public works contracts or State public works contracts. All contractors must comply with the State adopted policies on participation by qualified Minority/Women/Disabled Veterans Business Enterprises ("M/W/DVBE") whereas the City and EDA have adopted policies dealing only with the M/W/BE participation. Land Sale to State The City presently owns Parcel No. 134-141-08 located adjacent to Fifth Street of which the major portion is located on the newly created Parcel No. 4 and a nominal portion extends onto Parcel No. 3 of Parcel Map No.14718. The Resolution of the Mayor and Common Council authorizes the execution and recordation of the Parcel Map No. 14718 with the City ------------------------------------------------------------------------------------------------------------------ TCS:1mp:stateofc.cdc COMMISSION MEETING AGENDA MEETING DATE: 12/04/199c5, Agenda Item Number: e ! u I Economic Development Agency Staff Report State Office Building November 30, 1995 Page 4 -------------------------------------------------------------------------------------------------------------------------- maintaining an undivided interest in both Parcel Nos. 3 and 4 until such time as the City has followed all necessary procedures to transfer title of previously designated Parcel No.134-141-08 to the EDA for a mutually agreed upon price (see parcel map as attached). Parcel Map No. 14718 has previously been prepared by the project civil engineer which created four(4)parcels within the western 2/3rds of the Superblock in which there had previously existed 20 parcels. The Parcel Map also allows for the creation of a public street mid-way in the block extending in a north/south direction to provide public access to the loading dock areas of the Caltrans Office Building and to provide adequate vehicular access to the Parking Structure. The newly created Parcel Map also necessitated a modification in the parking arrangement and the ingress/egress easements to the County Law Library located at the corner of 4th Street and "D" Street. Parcel 3 has been designated as the parcel upon which the Caltrans Office Building and the Parking Structure will be constructed as the Phase I State office development with Parcel 4 being reserved for the development of the Consolidated State Office Building and the expansion for the Parking Structure to accommodate the added parking requirements. Title to Parcel 3 will be conveyed by the EDA to the San Bernardino Joint Powers Financing Authority ("JPA") after a noticed public hearing has been held by the Commission and the Mayor and Common Council as required by Section 33433 of the Community Redevelopment Law. Parcel 3 will then be leased by the JPA to the Department of General Services for an initial term equal to the final maturity of the JPA Bonds which will be issued to finance the construction of the Caltrans Office Building and the Parking Structure. The lease document to be included in the Bond financing will provide the Department of General Services with successive ten-year options that may be exercised by the Department not to exceed a total term of the ground lease of Parcel 3 for 99 years. The terms of the Construction Supervision and Operating Agreement will be among the Department of General Services, Caltrans and the EDA and will provide that the State must apply the net parking revenues derived from the Parking Structure for deposit into an escrow account. The moneys on deposit in this escrow account will eventually be applied for the payment to the EDA of the purchase price of Parcel 3 in an amount equal to $3,835,355. Additionally, net sales proceeds received by the Department of General Services from the existing State Office Building on 3rd Street must be applied towards the Parcel 3 purchase price, and Caltrans may, but is not required to, apply the net sales proceeds from the sale of the 2nd Street Caltrans facility also to the payment of the Parcel 3 purchase price. In the event the purchase price of the Parcel 3 is not paid within the 99 year term of the ground lease provisions of the Bond financing lease documents, title to the land and building improvements will then revert to the EDA at such time. Construction Supervision and Operating Agreement This Agreement is among the Department of General Services as agent for Caltrans, Caltrans as a party,the EDA, and addresses three (3) primary issues. The first is the use of the Department of General Services personnel to assume the staffing responsibility for the on-site supervision of the construction process and to essentially serve as the owner's construction representatives for the construction of both the Caltrans Office Building and the Parking Structure. The second is for the Department of General Services to assume full responsibility for the management and operations of the Parking Structure and for the submittal to the EDA of Operating Guidelines that will set forth the hours of operation, the provisions for public use of the Parking Structure and the rates, fees and charges for all uses of the Parking Structure, including the sale of monthly parking passes to State employees. The third purpose is to set forth the purchase prices for both Parcel 3 and Parcel 4 and the manner in which the net revenues of the Parking Structure will be applied towards payment of the purchase prices for both parcels. Pursuant to this Agreement the Department of General Services will indemnify and hold harmless the EDA and the City from all liabilities and responsibilities for the design and construction of the Caltrans Office Building and the Parking Structure, and will further undertake the supervision of the construction and administration of all general contractor agreements for both the Caltrans Office Building and the Parking Structure. Some of the services to be provided pursuant to this Agreement by the Department include: (i) providing a project manager to supervise construction; (ii) reviewing construction schedules; (iii) building inspection to ensure consistency with plans, specifications, and the budget; (iv) coordinating with the architect and all consultants; (v) financial accounting; and (vi) maintaining documentation necessary to monitor progress of the project. The EDA would only be responsible for its acts of gross negligence and other wrongful actions in its limited role during the ongoing construction contract administration. As a result of the limited involvement and limited staff participation in the subsequent phases of the development of the Caltrans Office Building and the Parking Structure, the EDA essentially has no legal or financial exposure for this project. This amount represents the previous EDA expenditures for the design of the Caltrans Office Building and the Parking Structure, the EIR(as certified by the Mayor and Common Council),the necessary site inspections including soils and archeological, and site preparation and demolition of all structures for both Parcels 3 and 4. An additional $911,239 has been added to the purchase price of Parcel 4 representing the allocable portion of the design and engineering for the Consolidated State Office Building and is included within the total purchase price of $2,681,500 for Parcel 4. The Department of General Services has also agreed to improve Parcel 4 as an urban landscaped area with the improvements to be funded from the proceeds of the JPA Bonds. Under the terms of the Agreement, General Services has assumed the obligation to maintain the landscaped Parcel 4 during the entire term of the Agreement in order to retain the option to purchase of said Parcel 4 at the option price of$2,681,500. The Agreement allows the State five (5) years to commence the construction of the Phase II development of the Consolidated State Office Building with a square footage at least equal to 226,000 with an additional 600 parking spaces to be added to the Parking Structure from Phase I. If construction of the Phase II development has not occurred within the five-year period, the EDA may terminate the option to purchase for the Parcel 4 by submitting to the Department of General Services an alternative development proposal together with the proposed disposition agreement. The Department of General Services then has until the conclusion of the next State budget cycle to include the land purchase price and the development of the Phase II office project within such State budget and to either appropriate the necessary funds from the State or obtain the requisite authorizations to issue bonds for the funding of the land acquisition from the EDA of Parcel 4 and the development of the site. Failure of the Department of General Services to properly maintain the landscaping of Parcel 4 or failure to commence construction of the Phase II development under the time periods set forth in the Agreement, permits the EDA to terminate the Agreement and obtain any other uses for the Parcel 4. Approximately 110 public parking spaces located within the Superblock will be removed from use by reason of the development of the Caltrans Office Building and the Parking Structure on Parcel No. 3. Upon acquisition by the EDA of the Police Station building as formerly located on Fourth Street, the EDA was able to acquire 42 parking spaces previously utilized exclusively for ------------------------------------------------------------------------------------------------------------------ TCS:1mp:stateofc.cdc COMMISSION MEETING AGENDA MEETING DATE: 12/04/1995 Agenda Item Number: O Economic Development Agency Staff Report State Office Building November 30, 1995 Page 7 -------------------------------------------------------------------------------------------------------------------------- Police Department parking which will now be available as public parking. Existing public parking spaces will be retained on Parcel No. 4 within the Superblock and additional parking spaces can readily be improved on the remainder of Parcel No. 4 with relative ease to replace the 110 spaces. The breakdown of the additional public parking spaces by location is as follows: • Northwest corner of"D" and Fifth Streets - 40 • Northwest corner of"E" and Fifth Streets - 30 • Northwest corner of"E" and Fourth Streets - 24 The Resolution of the Mayor and Common Council makes certain findings and determinations as to this parking issue. The EDA by its Resolution has additionally incurred the obligation to replace the number of public parking spaces, if any, that are eventually removed from public use through any of the EDA development activities in the Downtown area. The eventual improvement of Parcel No. 4 as either an urban landscaped area or as the Consolidated State Office Building would be such an event that could create the replacement parking obligation for the EDA if other additional parking had not already been obtained in anticipation of such development. Financing with JPA Bonds: The original financing proposal as submitted by the EDA to the State in July, 1993, contemplated that either the EDA or the JPA would issue lease-revenue bonds based upon the credit of the State. It was proposed that the State would execute a lease-purchase agreement which would in turn be the primary security for the repayment of any lease-revenue bonds of the EDA or the JPA. EDA staff, special counsel and Miller& Schroeder Financial, Inc., have worked with Caltrans and the Department of General Services representatives for the past 2 1/2 years to development a final financing plan that utilizes the JPA merely as a conduit issuer of lease- revenue bonds without any guaranties or financial commitments of either the City, the EDA or the JPA, and without any liability of the City,the EDA or the JPA to repay any municipal financing except from the lease payments to be made by the State to the JPA. It was decided as recently as October, 1995, that the State Treasurer's Office would be the agent for sale of the JPA Bonds. This is due exclusively to the fact that the State credit, and not the credit of either the City or the EDA, would be the sole repayment source for the JPA Bonds. The State Treasurer's Office has assembled a financing team from a list of firms and companies that have previously represented the State or the State Treasurer's Office in other State agency or State department lease-purchase financing or other State of California debt offerings. ------------------------------------------------------------------------------------------------------------------ TCS:1mp:stateofc.cdc COMMISSION MEETING AGENDA MEETING DATE: 12/04/1995 Agenda Item Number: J Economic Development Agency Staff Report State Office Building November 30, 1995 Page 8 -------------------------------------------------------------------------------------------------------------------------- It is proposed that the JPA authorize the issuance of not-to-exceed $70,000,000 (presently anticipated principal amount is equal to $62,330,000) of bonds to be designated as the San Bernardino Joint Powers Financing Authority, Lease Revenue Bonds (State of California Department of Transportation Lease) 1995 Series A (the "Bonds"). Disbursement of construction fund moneys will require payment requisitions to be signed both by the Authority and by the authorized personnel of the Department of General Services under the Construction Services and Operating Agreement. This will ensure that the EDA has no liability in separately authorizing any disbursements of Bond moneys, and the Department of General Services and other State officials will be fully aware of the construction progress and the disbursements of all Bond moneys. With the JPA taking the final official action on December 4, 1995, to authorize the issuance of the Bonds, the financing team will be in a position to distribute a Preliminary Official Statement to prospective bond buyers on December 6 with retail marketing to occur on December 11 to 13 and with the final pricing of the Bonds to occur on December 14. At this December 14th date a Bond Purchase Agreement would be executed with the selected underwriting firms, and the final interest rates on the various maturities of the Bonds would be determined. The State Treasurer's Office has consented to conduct the final Bond closing on January 3 and 4, 1996 to accommodate an early commencement of construction by the EDA selected general contractors immediately thereafter. The EDA reimbursements of approximately $5,000,000 will be disbursed to the EDA upon the Bond closing. On August 15, 1995, the Superblock Qualifications Review Committee convened and short listed five of the ten firms that submitted qualifications on the design build parking structure and six of the twenty-one firms that submitted qualifications on the office and site work. On November 29, 1995, a total of three bids were submitted for design build parking structure. The bidders were: Bomel Construction, McCarthy Brothers, A. T. Curd. The other pre- qualified firms included Ray Wilson(withdrew), Dinwiddie Construction Company (withdrew), Parr(did not bid). On November 30, 1995, a total of four bids were submitted for the office and site work for the State Consolidated Offices/Caltrans District and Headquarters. On this project, the bidders were: McCarthy Brothers, Swinerton& Walberg, Centex Golden and Dinwiddie. As of Friday, December 1, 1995, the State had not completed their analysis of the bids. Staff plans on submitting to the Commission on Monday, December 4, 1995, a recommendation on the winning bids.
