Agency Counsel has subsequently reviewed and revised the document and has recommended certain changes and consulting with staff. Attached for your reference and consideration are the texts (less attachments)of both the original RDA Committee approval version and the modified version based upon added staff and Agency Counsel input. While both documents are adequate for the solicitation of theater managers, staff prefers the modified version as updated by both staff and Agency Counsel. Salient points contained in the final form of the Request for Proposals (RFP) are as follows: 1. The operational/manager may be either a for-profit or non-profit organization. 2. The scope of services envisions the operator/manager being responsible for(a) day-to-day operations; (b) scheduling of events; (c) establishment of rent, usage fees and charges; (d) solicitation of additional performance dates in addition to performances by local groups; and (e) continual fund raising for long term capital improvements. 3. The manager would coordinate a major capital improvement program for the substantial upgrade of the Theater. 4. The RFP commits the Agency to completing a number of required building maintenance items prior to the commencement of activities by the manager. 5. The RFP emphasizes the importance of fund raising and notes that the successful securing of such funds will be used to offset the Agency's initial capital investment as well as provide a financial reserve to help undertake a more comprehensive renovation program for the Theater. The goal of expanding current Theater usage to a minimum of 200 events per year is included. 7. Each applicant will be required to cite their experience in managing and operating fine arts performance facilities similar to the California Theater. 8. A limit is placed on the rental rates charged to local performing arts groups which limits charges to the actual cost of providing the Theater to such groups. 9. Pursuant to prior agreements the Civic Light Opera(CLO) will be entitled to up to $100,000 per year, for two years, of free rent in the Theater. THEATER INSPECTIONS On August 22, 1994 the Fire and Planning Departments, in the company of Development Department staff, toured the Theater and provided the attached "courtesy" inspections. As i reflected within the respective reports some repairs are necessary but they do not appear to be major in scope or relative costs. Inasmuch as escrow to the building closed on August 31, 1994 and the Agency now owns it, staff feels it important to immediately secure costs estimates to remedy the noted deficiencies. This will be done and subsequently brought to the Commission for approval and an attendant increase in budgetary authority to do the work. Staff recommends adoption of the form motion. KENNETH J. In various locations, extension cords are being used in lieu of permanent wiring. 2 . Exterior lighting fixtures have been installed on the exterior and the installation is substandard (i.e. branch circuit conductors are tapped from exposed service feeders and are not provided with overcurrent protection) . 3 . The insulation has deteriorated on the exposed service conductors which are installed on the east and north exterior walls. 4. The standpipe system is inoperable and must be repaired to a serviceable condition. 5. Some spalling of concrete walls (resulting in the exposure of reinforcing steel) has occurred in the basement areas. Repair as necessary. In many respects, this building is nonconforming with respect to current building codes. In accordance with UBC 104 the building may be maintained in accordance with the code under which it was constructed. After the acquisition has been completed by the Agency, the Agency intends to transfer the day-to-day operations and management of the Theater to a qualified organization experienced in the areas of promotion of performances, managing and marketing of theaters, scheduling of performances, and the successful completion of fundraising activities and the obtaining of grant funds. The selected organization will also be responsible for all aspects of facility management of the California Theater which includes, but is not limited to, physical plant supervision and management, oversight of daily activities, the supervision of ongoing maintenance activities and the coordination of a major capital improvement program for the substantial upgrade of the California Theater. The Agency is soliciting proposals from for-profit and non-profit organizations interested in operating the California Theater. The selected organization must demonstrate experience in theater management satisfactory to the Agency. The Agency intends to deliver to the selected organization a fully functional performing arts theater that includes the property inventory as is currently available for various performances. The Agency expects that the California Theater eventually would be operated in a manner so as not to require any cash subsidies of its operations by the Agency. The Agency is willing to commit as the owner of the California Theater to pay those capital improvements required for compliance with applicable Building Codes. The selected organization would be responsible for obtaining funds from Federal and State sources and private foundations. The Agency expects that these funds will be used in part to offset the Agency's initial capital investment in addition to providing further funds for the completion of a comprehensive renovation program as may be determined jointly between the selected organization and the Agency. BACKGROUND The California Theater, located at 562 West Fourth Street, is a 32,843 square foot, 1760 seat performing arts facility which was originally constructed in 1928. It has a long and rich history which is presented in some detail in the materials entitled "History of the California Theater" in the attachments to this Request for Proposals. The California Theater has been owned and operated by the San Bernardino Civic Light Opera Association, which has produced stage performances and has rented the California Theater to other local performing arts groups. In recent years, the San Bernardino Civic Light Opera Association has been negatively impacted by recessionary conditions which continue to afflict much of Southern California today. The San Bernardino Civic Light Opera Association recently approached the Agency with a proposal to sell the California Theater to the Agency and to continue to utilize the California -1- /3 Theater for future performances of the San Bernardino Civic Light Opera Association. The Agency purchase of the California Theater will additionally provide the San Bernardino Civic Light Opera Association with a rent abatement of $100,000 per year for each of two (2) years after the Agency purchase has been completed. The California Theater in 1993-94 was booked days per year, with of these days used for San Bernardino Civic Light Opera Association rehearsals. For the 1994-95 season, dates have been scheduled as of the date of this Request for Proposals. SCOPE OF SERVICES The selected organization will be given possession of both the California Theater and the currently available associated equipment inventory upon the execution of a mutually satisfactory Management Agreement. There currently exists a number of building maintenance items which the Agency intends to remedy so as to deliver a functional facility in good repair to the selected organization. It is envisioned that the selected organization will have full control over both the revenues and expenses of the Theater operations. The selected organization will market the availability of the Theater to performing groups and others, recommend a rental rate and usage structure, coordinate and schedule usage times for the various performing groups and be responsible for all other matters relating to revenue production. Rental rates to be charged to local performing arts groups must be established at amounts that do not exceed the actual costs of providing the Theater to such groups. The selected organization would be responsible for the coordination and scheduling of all events at the California Theater with recognition being given to maintaining traditional performance dates for special events of local performing arts groups. The selected organization will have control over operational expense items, including salaries and benefits for personnel, advertising and promotional budgets and non- capital improvement building repairs and maintenance. It is expected that the performing arts organizations which have historically utilized the California Theater, including the San Bernardino Civic Light Opera Association, will continue to utilize the facility. Further, the selected organization will be responsible for the development of the annual program calendar including additional performances by other than the local performing arts groups, development of an effective marketing and advertising program describing the availability of the California Theater, assisting in the development of a business plan which will include any necessary fundraising, and providing for box office and ticket sales for other events obtained through the selected organization for the Theater. AGENCY GOAL The goal of the Agency is to provide a broad base of performing arts, theater, dance and entertainment programming to meet the needs of the San Bernardino community through extended usage of the California Theater by expanding current usage to a minimum of 200 event days per year. While community-based programming through local performing arts and theatrical groups will continue to be an integral part of the Theater's programming, it is the -2- desire of the Agency to expand the programming currently being made available to the community. It is anticipated that a financially viable Theater will be able to support its own operation, maintenance and programming within three (3) years and would thereafter not require any further financial assistance from the Agency. REQUIRED INFORMATION Describe the experience of your organization and its management team in managing and operating performing arts performance facilities similar to the California Theater. Please be specific about the nature of the services provided and provide case summaries of capital fundraising campaigns, marketing to potential users, programming to maximize audience attendance, and coordination of design and funding of physical renovations. Designate the individual or individuals who will be assigned responsibility for the operations, management, programming and fundraising for the California Theater and describe their functions and reporting relationships within your organization. Provide resumes demonstrating the experience of such individuals as performing arts facility managers. Indicate whether the individuals would be assigned to the premises or, if not, where the main office of such individuals would be located and describe the accessibility of this individual. List existing or prospective board members and officers of your organization and identify their responsibilities. I Provide examples of the compensation arrangements your organization currently has or has had in the past with regard to the management of performing arts facilities similar to the California Theater. Your Proposal must describe a proposed compensation arrangement to be paid to your organization and explain whether such compensation would be paid solely from the net operating revenues of the California Theater. The above requested information must be submitted as a part of your Proposal and included in an appropriate section of your Proposal as set forth in the following section. Proposed fee structure or compensation to be paid to your organization for the operation of the California Theater; describe the general terms and conditions of a Management Agreement and the length of the contract term H. List other theaters previously managed or which are presently being managed by your organization I. List any other potential revenue sources which could supplement income generated from Theater programming; describe conditions under which such revenues may be generated and possible dollar amounts of such income potential. REFERENCES ' Provide a list of at least five(5) references of individuals or organizations familiar with the operational capabilities of your organization, including theaters currently under your management. CONDITIONS FOR RESPONSE ACCEPTANCE - This Request for Proposals does not commit the Agency to enter into any form of contract with respondents, nor to reimburse any costs which might be incurred by organizations in responding to this Request for Proposals. The Agency, at its sole discretion, reserves the right to accept or reject any and all proposals received as a result of this Request for Proposals, to negotiate and contract with any qualified respondent as determined by the Agency or to cancel, in whole or in part, this Request for Proposals. All responses will become the property of the Agency. COPIES - Organizations desiring to respond to this Request for Proposals must submit seven (7) copies of their proposal in sufficient detail to allow for a thorough evaluation and comparative analysis by the Agency. CONCISENESS - The proposals should be concise and able to be readily reproduced if required by the Agency. Costly bindings, color plates, glossy brochures and related items are neither necessary nor recommended. A letter format is requested. ORAL INTERVIEWS - After proposals have been initially reviewed, further discussions with prospective organizations may be required. Oral interviews may be scheduled and will be limited to the best and most qualified proposals as determined by a review committee and, if such interviews are deemed necessary, the interviews would be conducted for the purpose of clarifying the intent of any portions of the proposal. The individual or individuals from your organization who will be directly responsible for implementing the Management Agreement, if awarded, should be present if an oral interview is scheduled. SIGNATURES - Responses must be signed by an authorized representative of the organization who is authorized to bind the respondent. The proposal must also provide the following -4- i21 information: (1) name, (2) title, (3) address and (4) telephone number of each individual who has the authority to negotiate and contractually bind the organization, and the proposal must state the name and telephone number of the individual to be contacted during the proposal evaluation period. MINORITY EMPLOYMENT i The Agency is concerned about minority representation in firms with which it conducts business. Please include as part of your response the numbers of racial minorities and women currently employed and identify those individuals, if applicable, who will be participating in the Management Agreement if awarded to your organization. SELECTION PROCESS The proposals as submitted to the Agency ill be evaluated b a review Y Y committee. Those organizations demonstrating adequate experience and the ability to undertake the management of the California Theater may be invited to participate in further discussions with the ultimate objective of executing a Management Agreement for the California Theater. Any approval and execution of a Management Agreement is contingent upon the actual purchase of the California Theater by the Agency. When acquisition is completed, it is the Agency's intention to turn over the day-to-day operational management of the Theater to a qualified organization which will undertake and is experienced in the areas of promotion, marketing and scheduling of fine arts performances. The firm will also be responsible for facilities management which includes, but is not limited to, physical plant supervision/management and overall oversight for the supervision and defraying of management expenses arising from the usage of a facility of this type. At this time, the Agency is soliciting responses from for-profit and non-profit organizations/individuals that can demonstrate experience in theater management and would be interested in operating the California Theater. It would be the intent of the Agency to deliver to a selected operator a fully functional performing arts theater, complete with a personal property inventory which has been utilized for many years and in a great number of successful performances. The Agency would ultimately expect the selected operator to operate the facility profitably and, in lieu of rent for the property, would entertain some form of profit-sharing as compensation for the use of the facility. For quite some years, the Theater has been owned and operated by the San Bernardino Civic Light Opera Association, which has staged many musicals as well as renting the Theater to other, primarily local performing arts groups. In recent years, the Civic Light Opera Association has been negatively impacted by recessionary conditions which continue to afflict much of Southern California today. The group recently approached the Redevelopment Agency with a proposal to sell the California Theater, as a means of raising much-needed capital, but with a continuing interest in utilizing the Theater for future performances. The Redevelopment Agency is interested in maintaining the Theater's availability as a fine arts venue, but lacks the expertise to manage the day-to- day operational affairs of the facility. Hence, this Request for Qualifications/Request for Proposals from interested and capable organizations. SCOPE OF SERVICES The successful respondent will be given possession of the physical premises (building plus associated personal property inventory) upon the execution of a mutually-satisfactory management agreement. There currently exists some building maintenance items which the Redevelopment Agency intends to cure so as to deliver a functional facility in good repair. It is envisioned that the management entity will have full control over both the revenue and expense sides of theater operation. Thus, it will market the availability of the Theater to fine arts groups, establish rental rates, coordinate and schedule usage times of the various fine arts groups and handle all other matters relating to revenue production. 1 &� / Similarly, the management entity will have exclusive control over operational expense items, including everything from salaries and benefits for personnel to advertising budgets to non- capital improvement building repairs and maintenance. It should be noted that, as it relates to revenue generation, it is expected that most of the fine arts organizations which have been utilizing the California Theater, including the Civic Light Opera, will continue to utilize the facility. Further, the selected individual or organization will be responsible for the development of the annual program calendar including a subscription series, development of an effective marketing and advertising program, assisting in the development of a business plan, including any necessary fund raising, and providing for ongoing booking and maintenance of the Theater. AGENCY GOAL The goal of the Agency is that the Theater will provide a broad base of programming to meet the needs of the San Bernardino Community. While community-based programming (i.e. local arts and theatrical groups) will be an integral part of the Theater's programming, it is the desire of the Agency that the Theater become financially viable and able to support its own operation, maintenance and programming without further financial assistance from the Agency. Provide a brief resume highlighting their experience as a fine arts facility operations manager. Indicate whether the person would be assigned to the premises or, if not, where the individuals main office would be located and how accessible this person will be. List existing or prospective board members and identify their responsibilities. Provide examples of the compensatory arrangements your firm currently has or has had in the past with regard to the management of performing arts facilities similar to the subject. Please feel free to suggest a profit-sharing structure whereby, in return for free rent of the California Theater, the Redevelopment Agency could over time, recoup its capital investment through sharing in the profits. Notwithstanding the Agency's desire to reduce its costs as referenced, this does not preclude the establishment and selection of a non-profit organization to manage the Theater. REFERENCES 10 Provide a list of at least five (5) references of individuals or organizations familiar with your operation, including theaters currently under your management. CONDITIONS FOR RESPONSE ACCEPTANCE - This Request for Qualifications/Proposals does not commit the Redevelopment Agency to enter into any form of contract with respondents, nor to reimburse any costs which might be incurred by firms in responding to it. The Agency, at its sole discretion, reserves the right to accept or reject any and all responses received as a result of this request, to negotiate and contract with any qualified respondent or to cancel, in whole or in part, this Request for Qualifications/Proposals. All responses will become the property of the Redevelopment Agency of the City of San Bernardino. C PIE - Firms desiring to respond should submit seven (7) copies of their response in sufficient detail to allow for thorough evaluation and comparative analysis. CONCISENESS - The response should be concise and to the point. Costly bindings, color plates, glossy brochures and related items are neither necessary nor recommended. A letter format is requested. ORAL INTERVIEWS - After written responses have been initially reviewed, discussions with prospective firms may or may not be required. If scheduled, the oral interview will be, limited to the best and most qualified proposals as determined by the Agency, and will be in a question/answer format for the purpose of clarifying the intent of any portions of the response. The individual(s) from your firm that will be directly responsible for carrying out the operational management contract, if awarded, should be present if an oral interview is scheduled. 3 � � ` SIGNATURES - Responses should be signed by an official of the firm authorized to bind the respondent. The response should also provide the following information: (1) name; (2) title; (3) address and (4) telephone number of each individual with the authority to negotiate and contractually bind the firm and who may be contacted during the response evaluation period. MINORITY EMPLOYMENT The Redevelopment Agency is concerned about minority representation in firms with which it does business. Please Include as part of your response the numbers of racial minorities and women currently employed and identify those to be in this contract, if applicable. SELECTION PROCESS The responses will be evaluated by the Redevelopment Agency staff. Those firms demonstrating adequate experience and credentials will be invited to participate in further discussions with the ultimate objective of executing an operational management contract for the California Theater, all contingent upon the actual purchase of said Theater by the Redevelopment Agency. ATTACHMENTS Please see the attachments to this Request for Qualifications. They include excerpts from a recent property appraisal, a personal property equipment inventory and the aforementioned San Bernardino Civic Light Opera Association memorandum entitled "Recent California Theater Usage and Expenses". These attachments are included for the purpose of providing interested respondents with some basic background material on the California Theater. The information is believed to be reliable, but no guarantee to that effect is offered by the Redevelopment Agency.
