201 North "E" Street Building — Heating and Air Conditioning Controls
The current purchase order #10467 with Ontario Refrigeration in the
amount of $21,048 expires on July 31, 1993. To provide continued service
to building 201's heating and air condition system, proposals were
solicited from local sources. Proposals were solicited from five (5)
local sources for the current purchase order, and only two responses were
received. The two companies that responded were requested to submit
proposals for the renewal of the air conditioning and heating maintenance
service. To promote increased competition and incentive to provide good
continuous service, proposals were solicited with two option years for
service through July 31, 1996. Option years will not be awarded until
needed and approved for successive years (See attached proposals) .
Proposals received for the period of August 1, 1993 to July 31, 1994 were:
1. Ontario Refrigeration at $21,048
2. Thiem Mechanical Co. Inc. , at $17,225.00
Both companies are known, reliable sources that have performed similar
services satisfactorily in previous contracts.
A purchase order in the amount of $17,225 will be committed after the
Community Development Commission receives and files this report.
The propos s received and the purchase order are attached for
informat'on.

This proposal is the proprietary property of Contractor and is provided for Customer's use only Contractor
guarantees the price stated in this Agreement for thirty (30) days from Proposal date above. This Agree-
ment sets forth all of the terms and conditions binding upon the parties hereto; and no person has authority
to make any claim, representation, promise or condition on behalf of Contractor which is not expressed
herein. This annual Agreement shall continue in effect from year to year unless either party gives written
notice to the other of intention not to renew thirty (30) days prior to any anniversay date.

GUARANTEED MAINTENANCE—is designed to provide the Customer with an ongoing maintenance program.
The program will be initiated,scheduled,administered,monitored and updated by the Contractor.The service
activities will be directed and scheduled, on a regular basis, by our comprehensive equipment maintenance
scheduling system based on manufacturers'recommendations,equipment location,application,type,run time,
and Contractor's work experience.
CONTRACTOR WILL PROVIDE THE FOLLOWING PREVENTIVE MAINTENANCE
SERVICES FOR THE BUILDING ENVIRONMENTAL MECHANICAL SYSTEM(S) COM-
PRISED OF THE EQUIPMENT LISTED ON SCHEDULE 1 (INVENTORY OF EQUIPMENT):
TEST AND INSPECT:Job labor,travel labor and travel and living expenses required to visually
INSPECT and TEST equipment to determine its operating condition and efficiency. Typical
activities include:
—TESTING for excessive vibration;winding resistance,refrigerant charge;fan RPM;refrigerant
oil(acid);water condition;flue gas analysis;safety controls;combustion and draft;crankcase
heaters; control system(s), etc.
—INSPECTING for worn, failed or doubtful parts; mountings; drive couplings; oil level;
rotation; soot; flame composition and shape; pilot and igniter; steam, water, oil and/or
refrigerant leaks,etc.
PREVENTIVE MAINTENANCE:Job labor,travel labor and travel and living expenses required
to dean, align, calibrate, tighten, adjust, lubricate and paint equipment. These activities are
intended to extend equipment life and assure proper operating condition and efficiency.Typical
activities include:
—CLEANING coil surfaces; fan impellers and blades; electrical contacts; burner orifices;
passages and boiler tubes,etc.
— ALIGNING belt drives; drive couplings; air fins,etc.
— CALIBRATING safety controls; temperature and pressure controls, etc.
—TIGHTENING electrical connections;mounting bolts;pipe clamps;refrigerant piping fittings;
damper sections, etc.
— ADJUSTING belt tension;refrigerant charge;super heat;fan RPM;water chemical feed and
bleed rate; burner fuel/air ratios; gas pressure, set point of controls and limits; compressor
cylinder unloaders; damper close-off, sump floats, etc.
— LUBRICATING motors; fan and daa.lper bearings; valve stems; damper linkages; fan vane
linkages,etc.
— PAINTING,for corrosion control,as directed by our scheduling system and on an as-needed
basis.
COMPONENT REPLACEMENT: Contractor will replace worn, failed and/or doubtful compo-
nents and parts at no additional cost.
TROUBLE CALL SERVICE: Each activity is designed to prevent system malfunction. However,
trouble call service will be provided any time, if needed, at no additional cost.

GENERAL PROVISIONS:
All planned maintenance service under this agreement will be performed during normal working hours.

Owner/user will provide reasonable means of access to all equipment covered by this agreement.TMCI,
Inc. will be free to start and stop all primary equipment incidential to the operation of the mechanical
system(s) with owner/user representative.
This agreement will commence on the date indicated for a term of one year and shall continue from year
to year until terminated(unless otherwise specified).Either party may terminate this agreement by giving
written notice thirty (30)days prior to the anniversary date.
In the event the system is altered,modified,changed,or moved,this agreement is subject to review at TMCI,
Inc. option.
If a Trouble Call is made at Client's request and inspection fails to disclose a condition for which Contractor
is responsible,Client will pay Contractor at the rate then in effect for such services.
The monthly rate is conditioned upon the system(s)covered being in a maintainable condition.If the initial
inspection or initial seasonal start-up indicates repairs are required, an estimate of repair cost will be
submitted for Client approval.Should Client not approve the estimate,Contractor can either remove the
non-maintainable parts from its scope of responsibility and adjust the monthly rate accordingly or cancel
this Agreement.
CHANGES:
In addition to the agreement price set forth,owner/user will be liable for the amount of any present and
future taxes or any other governmental changes now or hereafter imposed by existing or future laws with
the respect to the transfer,use,ownership or possession of the equipment to which this agreement relates.
The Agreement price may be adjusted yearly based on prevailing labor and material costs.
LIMITATION OF LIABILITY:
TMCI,Inc.will not be liable for any delay in furnishing or failure to furnish service due to fire,flood,strike,
lockout, dispute with workmen, inability to obtain material, commotion, war, act of God, or any cause
beyond reasonable control.
Our responsibility for injury to persons or property that may be caused by orarise through the maintenance,
service,functioning,or use to the system(s)shall be limited to injury caused directly by our negligence in
performing our obligations under this agreement and in no event shall we be liable for speculative,direct,
or consequential damages.
TMCI, Inc. will not be required to make safety tests or to install new attachments,additional controls,or
equipr<<ent as recommended ordirected byany insurance company,laboratory or governmental authority,
or to make replacements mentioned herein with parts or devices of a different design for any reason.
This Agreement provides regular Professional Maintenance and repair services for Client. It does not
include responsibility for design of thesystem,obsolesence,safety tests,repairs or replacements necessitated
by reason of negligence of others(including Client),misuse or abuse of the system,causes beyond control
of Contractor,or requirements of governmental, regulatory or insurance agencies.
This Agreement applies only to the maintainable portions of the system.Repair or replacement of the non-
maintainable parts such as ductwork,boiler shell and tubes,cabinets,boiler refractory material,electrical
wiring,piping,valve bodies,coils,structural supports and other similar items are excluded
