Financial Impact: The City will receive revenue of$625 for the initial permit and will receive $150 per year for five years,totaling $750.00. Recommended Motion: That said resolution be adopted. Synopsis of Previous Council Action: None. Back2round: On August 29, 2011, the Public Works Department received a request from Core States Group for a License Agreement related to an encroachment permit on behalf of their client, AT&T Corporate Real Estate (AT&T). The proposed encroachment is to be within Stoddard Avenue south of 2 d Street, as shown on the attached maps. AT&T is in the process of having clean power fuel cells installed within their existing parking lot located on the east side of Stoddard Avenue and across the street from their site at 455 W. Second Street. The installation of the fuel cells will support the base electrical load at this subject site and reduce AT&T's greenhouse gas emissions associated with energy. The purpose of the encroachment is for the installation of water, data, and electrical service lines necessary for the operation of the proposed fuel cell units. Upon approval and execution of the License Agreement, AT&T will pay an initial permit fee of $625, and an annual renewal fee of$150 thereafter. As set forth in the Agreement, AT&T will also obtain liability insurance and name the City as an additional insured. In addition to this License Agreement, AT&T will need to obtain any street cutting permits, temporary encroachment permits, lane closure permits, and any additional permits needed for construction and maintenance as required. Bloom Energy's ES-5700 delivers clean power parallel with the d utility grid by employing solid oxide fuel cell (SOFC) technology first developed for NASA's Mars program. The ES-5700 can run on natural gas, as well as, renewable fuels like biogas; reducing AT&T a Inc.'s greenhouse gas emissions associated with energy. See the enclosed brochure for more details on the fuel cells. This project consists of the installation of 800kw of Bloom Energy fuel cells to support the base o electrical load at subject facility. The new fuel cells will be located at AT&T Inc.'s existing parking lot located across North Stoddard Avenue from their existing building located at 455 West Second Street, San Bernardino, CA. This location requires that a permanent encroachment permit be provided for the N electrical, data and water conduits between the fuel cell units and the existing building at the before mentioned location. If Licensee fails to do so, then City shall have the right to perform this J maintenance, the cost of which shall be borne by Licensee. Licensee shall, at its own E responsibility and expense, obtain and keep in effect all licenses, bonds, insurance and permits c 0 V necessary for the installation and existence of said Encroachment. w a 4. If notice is given by City to Licensee that work is to be done pursuant to the rights reserved herein, which notice shall specify the general nature of the a work in the area in which the same is to be performed, Licensee shall at its expense, do all things 0) ai P reasonably necessary to protect, disconnect, relocate or remove its property during the progress a d of such work at the required time in order to accommodate such work. All such things to be v done and work to be performed by Licensee shall be at the sole cost and expense of the Licensee. J 0 In the event that City shall hereafter construct, install, reconstruct or repair any bridge or N artificial support in, on, over or underlying any highway, street, alley or other public place or c .y improvement in which the Licensee's property is located pursuant to this Agreement, and in the as event that the cost of such work as may reasonably be required is increased in order to provide Q' for the installation, maintenance or operation of Licensee's property in, on, over or under the 0 area covered by such project, then Licensee shall pay to City the full amount of such increase of cost, upon completion of such construction, installation or repair. City shall be set forth as an J additional named insured in each policy of insurance provided hereunder. The Certificate of E Insurance furnished to the City shall require the insurer to notify City of any change or o 0 L V termination in the policy. If the Licensee is self-insured, a Certificate of Self-Insurance, in a form w acceptable by the City, may be furnished. M X 14. This Agreement is personal to Licensee. It is nonassignable, except with prior w 0 N written consent of the City. Any attempt to assign this Agreement without consent will terminate the privileges granted to Licensee under this Agreement. This guarantee shall be governed by and construed and interpreted in accordance , with the laws of the State of California without regard to principles of conflicts of law.
