Clerk and City Attorney to execute the attached agreement.

West Side Family Medical Clinic Expansion
Subsequent to the Commission approval on May 15, 1991, on July 15, 1991,
the City of San Bernardino entered into a contract with the County of San
Bernardino and Casa Ramona, Incorporated, for the design and construction
of a three-thousand, seventy-two (3,072) square foot addition to the
existing West Side Family Health Center. Financial commitments
referenced in the contract stipulated funding contributions of $220,000
' from the County and $200,000 from the City. The County subsequently
added another $40,000 to its original appropriation, bringing its total
funding on the project to $260,000. The facility is owned by Casa Ramona
and is leased to the County. The physical expansion of the project is
required in order for the clinic to remain accredited by various medical
organizations. The clinic will lose its accreditation by February 1993,
if significant progress on the expansion has not been made.
On October 15, 1992, a meeting was held to consider options to develop
the West Side Family Health Center expansion project, due to an 5
estimated funding shortfall (the original construction cost estimate of
$300,000 has been revised upwards to approximately $628,000). The
meeting was attended by the Mayor, the Director of the County's Economic
and Community Development Department, the Administrator of the County's
Medical Center, the Project Manager from the County's Architecture and
Engineering Department and the Executive Director of the Development
Department. An appropriate resolution of the problem was agreed to by
all present.
The resulting first amendment to the existing contract provides for (1)
additional funding not to exceed $165,000 from the City of San Bernardino
to finance the estimated deficit for the addition and remodeling of the
facility; and (2) a City waiver of fees. To prevent a negative impact on
the City's General Fund, the Economic Development Agency shall pay all
development and permit fees required for the construction of improvements
and remodeling. A list of estimated fees ($62,252) is attached. In the
event the City's share of the project costs, excluding fees, exceeds
$272,500, the County agrees to provide additional funding in an amount
not to exceed $32,500. The additional $165,000 would be appropriated
from the Agency's Collateralized Mortgage Obligation ($100,000) and tax
increment ($65,000) funds.

Nature of Contract: (Briefly describe the general terms of the contract)
On September 9, 1991, the County of San Bernardino Board of Supervisors approved
Contract No. 91-918, which identified the sources and amounts of funds from the
County and City of San Bernardino to be utilized for design and construction of an
approximately 3,072 square foot addition to the existing Westside Family Health
Center. The first amendment to Contract No. 91-918 provides for additional funding
not to exceed $ 165,000 from the City of San Bernardino, and $ 72,500 from the
County, to finance the estimated funding shortfall for the addition and a remodel of
the facility. The City and County will share the cost on a 50% match. Further, the
City will pay all development and permit fees for the project. All other provisions
and terms of Contract No. 91-918 will remain the same.

FIRST AMENDMENT TO THE CONTRACT BETWEEN THE
COUNTY OF SAN BERNARDINO, THE CITY OF SAN BERNARDINO
AND CASA RAMONA, INC. OF SEPTEMBER 9, 1991 (CONTRACT 91-918)
This Contract Amendment is made and entered into this day of
1992, by and between the County of San Bernardino (hereinafter
referred to as "COUNTY") , the City of San Bernardino (hereinafter referred to as
"CITY") and Casa Ramona, Inc. , a State of California non-profit corporation
(hereinafter referred to as "CORPORATION") .
WITNESSETH
WHEREAS, COUNTY, CITY and CORPORATION have previously entered into a Contract,
Contract #91-918, for the design and construction of a three thousand seventy two
(3,072) square foot addition to the existing Westside Family Health Center; and,
WHEREAS, CITY Council has approved additional funding in the amount of $165,000
for the design and construction of the addition to the existing Westside Family
Health Center; and,
WHEREAS, COUNTY, CITY and CORPORATION desire to amend Contract #91-918.
NOW THEREFORE, in consideration of the mutual covenants herein set forth and
the mutual benefits to be derived therefrom, the parties agree as follows:
1. Revise Paragraph 4, Funding.
COUNTY shall provide Community Development Block Grant (CDBG) funds in an
amount not to exceed two hundred sixty thousand dollars ($260,000) , and CITY
shall provide funding in an amount not to exceed three hundred sixty five
thousand dollars ($365,000) , for financing the cost of IMPROVEMENTS and
remodel of said Westside Family Health Center. COUNTY and CITY shall share
said cost on a fifty percent (50%) match, except CITY shall also pay one
hundred percent (100%) of all development and permit fees applicable to the
project, including water and sewer fees. In the event that CITY share of the
project costs excluding said fees, exceed two hundred seventy two thousand
five hundred dollars ($272,500) , COUNTY agrees to provide additional funding
in an amount not to exceed thirty two thousand five hundred dollars ($32,500) .
Within ten (10) working days upon written demand by A & E, COUNTY and CITY
each shall pay to A & E, fifty percent (50%) of the project cost listed in
said written demand. Appropriate invoiced documentation shall be included in
said written demand from A & E. CITY shall directly and expeditiously pay all
development and permit fees applicable to the project, including water and
sewer fees, when assessed by the responsible agency.
2. Revise Article 7, Waiver of Fees.
CITY shall pay all development and permit fees required for the construction
Of IMPROVEMENTS and said remodel.
All other provisions and terms of the Contract, Contract #91-918, shall remain the
same and are hereby incorporated by reference.
