The Parks, Recreation and Community Services Department is requesting an increase to the
current pruchase order by $24,999 with Consultant. Additional funding will be used for project
management for Capital Improvement Projects.
Please note this balance does not indicate available funding. It does not include non-encumbered
reoccurring expenses or expenses incurred, but not yet processed.

Synopsis of Previous Council Action:
No prior action taken
Background:
On July 28, 2014, the City of San Bernardino and Consultant, Brian Turnbull entered into a
Professional Services Agreement(PSA) for project management of the Parks Department's
Community Development Block Grant(CDBG)projects. Project management services has
become an integral role in the spearheading of the following projects: an RFP for the installation
of a modular at Anne Shirrells Park, collaboration with the Water Department regarding
revitalization of Seccombe Lake Park, and completion of pending CDBG projects.
Upon further review, it would be more advantageous for the City to amend the current PSA and
increase compensation for oversight of the Parks Department's Capital Improvement Projects
(CIP). Below are prospective CIP and CDBG Projects which should be completed by the end of
fiscal year 2014-15:

The Parks Department is in need of competent, professional, and qualified project management

$49,800.

This Amendment Number One (the "First Amendment") is entered into this day of

1. Section 1. Services Provided, lines 8 -15 "Scope of Services" shall be amended to read as E

"Scope of Services. For the remuneration stipulated, TURNBULL shall provide the
professional services described below and in the attached Exhibit "A" Scope of Services.
TURNBULL shall assist the CITY in managing the completion of projects listed in the
City's 2014-2015 Housing and Urban Development Action Plan, including project
management of Park Improvement Projects, Library Improvement Project and other
related public facility improvements. TURNBULL will provide targeted project
management services of CDBG funded projects and Capital Improvement Projects as
needed."

2. Section 2. Compensation, lines 18 — 24 "Compensation" shall be amended to read as
follows:
"Compensation. CITY hereby agrees to pay TURNBULL an hourly rate of$35.00, not to
exceed $49,800.00 during Fiscal Year 2014-2015 without prior City Council approval.
Other than this compensation, TURNBULL shall not be entitled to any other
compensation, leave accruals, retirement or any other benefits of regular employees
employed by the CITY. Time sheets recording hours spent and work performed shall be
submitted in accordance with the policies as those apply to the CITY."

4 Additional Services. TURNBULL shall not receive compensation for any services provide
5 outside the scope of services specified in this Agreement unless the CITY, prior to TURNBULL

performing the additional services, approves such additional services in writing. It is specifically_

10 3. TERM AND NOTIFICATION. -

11 Term. This Agreement shall commence on the Effective Date and continue until the

15 Termination. CITY or TURNBULL may terminate the services, with or without cause at

17 shall be paid the balance of hours worked and services rendered to the date of termination.

Nothing in the Agreement shall be construed as creating any vested right in such appointmenta

21 Documents. In the event of termination of this Agreement, all documents prepared by

unfinished work assignments, shall be delivered to the CITY within ten (10) days of delivery o

termination notice to TURNBULL, at no cost to the CITY.

1 4. GENERAL PROVISIONS.
2 Entire Agreement. This Agreement constitutes the entire Agreement between partie

with respect to any matter reference herein and supersedes any and all other prior writings an

5 oral negotiations. This Agreement may only be modified in writing, and signed by the parties in
6 interest at the time of such modification. The terms of the Agreement shall prevail over an
7 inconsistent provision in any other contract document appurtenant hereto, including exhibits t

Notices. Any notices, documents, correspondence or other communications concernin =

25 this Agreement, the prevailing party shall be entitled to recover from the opposing party all

1 costs and expenses, including reasonable attorneys' fees, incurred by the prevailing party in the

5 members of his office in enforcing this contract on behalf of the CITY shall be considered as
6 "attorneys'fees"for the purposes of this Agreement.
7 Governing Law. This Agreement shall be governed by and construed under the laws o

void and shall constitute a breach of this Agreement and cause for termination of this

18 Agreement. Regardless of CITY'S consent, no subletting or assignment shall release TURNBUL m
19 of TURNBULUS obligation to perform all other obligations to be performed by TURNBUL a
20 hereunder for the term of this Agreement.

1 Amendments. Only a writing executed by all parties hereto, or their respectivVel

Waiver. The delay or failure of either party at any time to require performance or

5 compliance by the other of any of its obligation or agreements shall in no way be deemed a
6 waiver of those rights to require performance or compliance. No waiver of any provision of this
7 Agreement shall be effective unless in writing and signed by a duly authorized representative o

SCOPE OF SERVICES

4 The items to be included in the Scope of Services are indicated below. These items are
5 examples of the type of work that may be completed as a result of,this contract:

of the City's projects and activities.
