Background:
The Carousel Mall opened in 1972 but has been in a state of decline for several years and is
currently less than 40% occupied. The Mall property totals approximately 43.5 acres, with a
floor area of approximately 741,000 square feet, and a 3-story parking structure with 1,124 stalls.
Over the past several months developers have approached staff inquiring about potential re-use
opportunities. In order to seek the broadest possible interest in the property, staff is suggesting
circulation of a Solicitation Letter seeking Letters of Interest from developers.
The Solicitation Letter is intended to generate broad interest from developers with ideas the City
might not otherwise think about. The City Manager/Executive Director of the Successor Agency
will personally sign the Solicitation Letters inviting developers to submit a letter of interest
accompanied by a short narrative describing the developer's vision for re-use of the Mall.
Staff is seeking creative ideas that developers believe the market will support, and ideas we
might not have envisioned. Staff will evaluate the responses and interview the most qualified
firms to participate in an interview.
Based upon the interview results, staff will either ask developers to submit further project detail
or recommend a developer to the Agency Board. Ultimately the Agency will enter into an
Exclusive Right to Negotiate (ERN) with a single developer. The ERN grants the developer the
right to begin the planning and design work for the site for a set period of time.
Re-use of the Carousel Mall is a significant part of the strategy to revitalize the downtown core.
IL Release of the Solicitation Letter is the first step in that process. But it should also be noted that

before the Mall can be redeveloped/reused the California Department of Finance must approve
sale of the property because the site was previously owned by the Redevelopment Agency.
