Background:
On April 1, 2014, the City and Consultant entered into that certain agreement entitled
"Professional Services Agreement between the City of San Bernardino and Westbound
Communications, Inc." ("Agreement") for$24,999.00.
The City has the need for assistance with performance of professional communication services as
set forth in Exhibit "A"; and Consultant is competent, trained, and qualified currently to provide
such professional services.

14 NOW,THEREFORE,THE PARTIES AGREE AS FOLLOWS:

15 1. SCOPE OF SERVICES. City hereby retains Consultant to provide the professional

16 services set forth in the scope of services attached hereto as Exhibit "A" and incorporated
17 herein by this reference("Scope of Services"). Consultant hereby agrees to perform the work

18 set forth in the Scope of Services,in accordance with the terms of this Agreement. c

19 2. TERM AND TERMINATION. The term of this Agreement shall begin on April 1, �

20 2014 and maybe terminated at anytime in accordance with the terms of this Agreement. City

21 reserves the right to terminate this Agreement at any time either with or without cause and at

22 the sole convenience of the City upon delivery of notice of termination to Consultant. The

23 City shall pay Consultant in accordance with Section 4 for all work authorized by City and U

24 performed by Consultant,prior to the effective termination date. Q
25 3. `YORK PRODUCT & OWNERSHIP. All maps, photographs, data, information,
26 reports, drawings, specifications, comp utations, notes renderings, designs, inventions
27 photographs, modifications, adoptions, utilizations, correspondence or other documents
28 generated by or on behalf of the Consultant for performance of the work (collectively, the

I "Work Product'') set forth in the Scope of Services shalt upon payment for those services
2 embodying the particular element of the Work Product,become the sole property of City, and
3 the Work Product shall thereafter be delivered to City upon written request to the Consultant.
4 City acknowledges that any ideas, concepts or marketing plans/programs proposed by
5 Consultant, but not accepted or implemented through Consultant by City, are not with the
6 scope of the Work Product and shall remain at all times the property of Consultant. In the

7 event of a termination of this Agreement,the Consultant shall provide all Work Product to City

8 within ten(10)calendar days of such termination and without additional charge to City. E

9 4. NON-DISCLOSURE OF CONFIDENTIAL INFORMATION. Consultant shall °

10 not for any reason nor at any time during or after the term of this Agreement use or disclose to
°
a
11 any person (except where the proper furnishing of Consultant's consulting services may
12 require such use or disclosure)any secret or confidential information relating to the business,
r
13 marketing practices and services of City. Consultant's obligations of confidentiality and M
14 non-use shall not apply to confidential information that Consultant can show was published Q
15 prior to its disclosure to Consultant by City,or that is published thereafter other than through a y

16 breach of Consultant's obligations under this Agreement. The provisions of this section shall

17 survive any termination or expiration of this Agreement.

18 5. SUPERVISION AND DIRECTION OF CONSULTANT. The City Manager shall o
19 be responsible for the direction of the work to be performed by Consultant under this
°
20 Agreement and shall be the principal point of contact for Consultant during the term of this °Q
W
21 Agreement. City agrees that it will not knowingly employ, or make any offer of employment
r
22 to any employee of Consultant during the term of this Agreement and for a period of one year m
E
23 from the termination of this Agreement.

24 6. INDEPENDENT CONTRACTOR. Consultant shall at all times during the Q
25 performance of any work described in the Scope of Services be deemed to be an independent
26 contractor. Consultant will assign professionals, as it deems necessary to competently
27 discharge the responsibilities envisioned by this Agreement. Consultant shall not at any time
28 or in any manner represent that he is an employee of the City or a member agency of City.

I City shall not be requested or ordered to assume any liability or expense for the direct payment
2 of any salary,wage or benefit to Consultant for the performance of any item of work described
3 in the Scope of Services.
4 7. COMPENSATION. City shall compensate Consultant for the performance of
5 authorized professional services, and shall reimburse Consultant for authorized costs and
6 expenses incurred therein,in accordance with hourly rates and cost reimbursement provisions o
7 set forth in Exhibit B ("Hourly Rates & Cost Reimbursement"). In no event shall the total

8 amount paid to Consultant pursuant to this Agreement exceed$24,999.00("Total Fee"). The E

9 Total Fee,and the Hourly Rates & Cost Reimbursement, shall apply to all costs and expenses v
10 incurred by Consultant for completion of the work set forth in the Scope of Services. o

11 Consultant shall submit invoices as described herein for the professional services as actually m
12 rendered and costs actually incurred for each monthly period not to exceed in the aggregate the

13 Total Fee. Each invoice of Consultant shall clearly set forth a description of the authorized
14 professional services rendered and the authorized costs incurred during the time period
15 covered by the invoice. Consultant shall submit invoices under this Agreement to: y

22 8, INSURANCE. Consultant, and each of its subconsultants, shall maintain insurance
23 policies issued by an insurance company or companies authorized to do business in the State of m

24 California, in form,type and with minimum coverage limits as follows:
25 Comprehensive General Liability Insurance. Consultant and each of its
26 sub-consultants shall maintain comprehensive general liability insurance of not
27 less than One Million Dollars ($1,000,000.00) combined single limit, per
28 occurrence.

I « Automobile Insurance. Consultant and each of its sub-consultants shall
2 maintain comprehensive automobile liability insurance of not less than One
3 Million Dollars($1,000,000.00)combined single limit per occurrence for each
4 vehicle leased or owned by the Consultant or its sub-consultants and used in
5 performing work under this Agreement.
6 Worker's Compensation Insurance. Consultant and each of its sub-consultants o
7 shall maintain worker's compensation coverage in accordance with California
8 workers' compensation laws for all workers under the Consultant's and/or E
E
9 sub-consultant's employment performing work under this Agreement. tv
10 Concurrent with the execution of this Agreement and prior to the commencement of o
11 any work by Consultant, Consultant shall deliver to City copies of policies or certificates
12 evidencing the existence of the insurance coverage required herein, which coverage shall
v

13 remain in full force and effect continuously throughout the term of this Agreement. Each M
14 policy of insurance that Consultant purchases in satisfaction of the insurance requirements of <
15 this Agreement shall name City as an additional insured, shall provide that other insurance y
c
16 maintained by City shall be excess and not contributing with the insurance provided by °
17 Consultant, and shall provide that the policy may not be cancelled, terminated or modified, _

18 except upon thirty (30) days prior written notice to City. Nothing in this Section shall be c
U
19 construed as limiting in any way, the indemnification provision contained in Section 9 of this
20 Agreement, or the extent to which Consultant may be held personally responsible for 0 0

21 indemnifying City against liability for damages to persons or property, notwithstanding any y
22 insurance that may cover such damage.
23 9, MUTUAL INDEMNIFICATION. R
24 9.1 While it is understood Consultant will take all prudent care possible in the a
25 development of material to be issued,Consultant cannot undertake to verify facts supplied to it
26 by City. City, therefore, indemnifies Consultant for any damages, costs, liabilities or
27 expenses, including reasonable fees and attorney fees, arising out of Consultant's use of such
28 information, provided such information has, in fact, been provided to Consultant by City

I and/or City has approved such information for use by Consultant. Consultant agrees to
2 indemnify City and hold City harmless from any damages, costs or expenses, including
3 reasonable attorney fees, which City may sustain by virtue of Consultant's failure to perform
4 as required by this Agreement, Consultant disseminating false or unauthorized information
S released by Consultant(including any copyright,trademark or patent infringement claims) or
N
6 breaching any confidential disclosure agreements. c
7 9.2 Notwithstanding the foregoing paragraph, each party (the "Indemnifying
8 Party") shall defend,indemnify and hold harmless the other party(the"Indemnified Parties"), E
E
9 their officers, employees, representatives, and agents from and against any and all actions, 0y
.a
10 suits, proceedings, claims, demands, losses, costs and expenses, including legal costs and
0
11 attorneys' fees, for injury or damage of any type claimed as a result of the negligent acts or
12 omissions of the Indemnifying Party, its officers, employees, sub-consultants and agents, to
r
13 the extent arising from or related to negligent performance by the Indemnifying Party of its M
14 obligations under this Agreement.
15 9.3 The provisions of this section shall survive the termination and/or expiration of N

16 this Agreement. r

17 I.Q. CONFLICTS OF INTEREST. Consultant hereby represents that it has no interests �
E
18 adverse to City at the time of execution of this Agreement. Consultant hereby agrees that, o
U
19 during the term of this Agreement, Consultant shall not enter into any agreement or acquire c
20 any interests detrimental or adverse to City. Additionally, Consultant hereby represents and Q
N
21 warrants to City that Consultant does not have and,during the term of this Agreement,shall not
22 acquire any property ownership interest, business interests, professional employment
E
23 relationships, contractual relationships of any nature or any other financial arrangements
24 relating to City,property over which City has jurisdiction or any members or staff of City that a
25 have not been previously disclosed in writing to City, and that any such property ownership
26 interests, business interests, professional employment relationships, contractual relationships
27 or any nature or any other financial arrangements will not adversely affect the ability of
28 Consultant to perform the services to City as set forth in this Agreement.

1 11. BUSINESS REGISTRATION CERTIFICATE. Consultant warrants that it
2 possesses, or shall obtain as soon as practical after the execution and delivery of this
3 Agreement,and maintain during the period of time that this Agreement is in effect, a business
4 registration certificate pursuant to Title 5 of the City of San Bernardino Municipal Code,
5 together with any and all other licenses, permits, qualifications, insurance and approvals of
6 whatever nature that are legally required to be maintained by Consultant to conduct its o
7 business activities within City.

8 12. COMPLIANCE WITH LAWS. The parties hereto shall comply with applicable E
E
9 laws of the United States of America,the State of California, and all other applicable laws. �°�
10 13. GOVERNING LAW. This Agreement shall be enforced and interpreted under the �
°
11 laws of the State of California.
12 14. ATTORNEY'S FEES. In any litigation relating to this Agreement, the prevailing
v
13 party shall be entitled to reasonable attorney fees. The cost, salary, and expenses of the City M
14 Attorney and members of his/her office in enforcing this contract on behalf of City shall be
15 considered"attorney's fees" for the purposes of this paragraph.

16 15. SEVERABILITY. If any portion of this Agreement is held to be invalid by a court of °
�a
17 law,such provision shall be considered severable, and the remainder of this Agreement or any
E
18 provision hereof shall not be affected. o
19 16. WAIVER. Failure of either party to enforce any provision of this Agreement shall
°
20 not constitute a waiver of the right to compel enforcement of the remaining provisions of this 0

21 Agreement.

22 17. AMENDMENT. This Agreement may only be amended by a written instrument
E
23 executed by the parties hereto,and may not be amended by oral agreement.
24 18. ASSIGNMENT. This Agreement shall not be assigned by Consultant,without prior Q
25 written consent of City.
26 19. NON-WAIVER. Failure of any party to enforce any provision of this Agreement
27 shall not constitute a waiver of the right to compel enforcement of the same provision or any
28 remaining provisions of this Agreement.

1 20. REPRESENTATIONS OF PERSONS EXECUTING AGREEMENT. The
2 persons executing this Agreement warrant that they are duly authorized to execute this
3 Agreement on behalf of and bind the parties each purports to represent.
4 21. ENTIRE AGREEMENT. This Agreement contains the entire agreement between
5 the parties. Any correspondence, letters, documents, or discussions leading up to this
6 Agreement or in any way made between the parties or their agents are replaced and superseded o

Existing Practices&Procedures:
The City's Charter established the Mayor as the Chief Spokesperson of the City of San
Bernardino. In 2010,the City Manager's Office established the position of Manager of
Communications at a salary minimally of$8,850 and maximally of$10,757 per month,between
$106,200 and$129,084 per year respectfully,to handle the"internal and external
communications inquiries." In February 2013,the position was eliminated as part of the
bankruptcy proceedings. At the request of the Mayor, in March 2014,the City Manager
contracted with a communications firm with 14 personnel at a rate of$8,333.00 per month
($24,999.00) for the purposes of developing a workable communications plan and implementing
ad-hoc communications on behalf of City Departments or the Council(as requested). All E
materials costs and staff costs were inclusive. °

In the FY2014-2015 Budget,the City Manager's office requested and was o
authorized/appropriated$125,000.00 for the purposes of continuing development of a solid ._
cn
communications plan,establishing communications policies and procedures, and assisting with
marketing the City before media and other outlets,as needed.
This Resolution would continue the current Purchase Order with a maximum amount of
$125,000.00 for the Fiscal Year (staff and materials costs inclusive)with Westbound
Communications,Inc. of San Bernardino. Further,it would continue management of the City's a
communications need under the direction of the City Managers' office allowing for a
comprehensive media/communications/marketing effort. cc

Current Situation: v
e
For the past year,the City of San Bernardino has undergone a great deal of change on both the o
overall and agency levels, as well as how it has handled its internal and external
communications. While the City continues to struggle through bankruptcy proceedings, the
election season of 2013 has allowed for the City to begin a clean slate. With the start of a new E
Mayor and Common Council,communications for the City have been able to focus on the o
proactive outreach within our community,highlighting the positives this City can bring.
However, the long stream of negative news and media coverage has led to the perception that
our City cannot recover from its previous form,which proves to be an obstacle for this City's
continued growth.The negative coverage not only impacts the morale of our current residents
and businesses,but it also has a detrimental impact on those who might look to be a part of the
San Bernardino community. The way our City perceives itself and the way its citizens view the
local government needs to change. For this City to reestablish the greatness it once held,it E
needs to be known that the City's government is doing what it can to make this City the best it
can be. Without a strong communications plan in place,the City will have little to no ability to Q
inform its residents on matters ranging from extreme importance, such as the City's current
status of bankruptcy,to those that affect the everyday operations,such as street paving and
parks and recreation activities.

Action Plan:
This action will allow for the development and implementation of a strong communications
plan,designed to communicate both internally and externally,while also building upon the
efforts of the previous three-months.
In keeping with the City's strategic objectives to Increase Economic Opportunities and Enhance t1w
Quality of Life, the communications business plan for the City will accomplish the following
goals:
