HomeMy WebLinkAbout2014-254 1 RESOLUTION NO. 2014-254 2 RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE CITY OF SAN BERNARDINO APPROVING AMENDENT NO. 1 TO AGREEMENTS FOR 3 SERVICES WITH THE FIRMS OF SA ASSOCIATES, WILLDAN ENGINEERING 4 AND HARRIS & ASSOCIATES TO PROVIDE ON-CALL CONSTRUCTION MANAGEMENT AND CONTRACT INSPECTION. 5 WHEREAS, on February 6, 2012, Resolution No. 2012-022 was adopted authorizing 6 the City Manager to execute Agreements for Services with SA Associates, Willdan Engineering 7 and Harris & Associates to provide On-Call Construction Management and Contract Inspection, 8 and 9 WHEREAS, said Agreements for Services originally expired on June 30, 2013, and 10 11 WHEREAS, under Section 4.0 said Agreements were administratively extended to June 12 30, 2014, and 13 WHEREAS, all three Consultants have submitted letters consenting to the extension of 14 said Agreements for one additional year to June 30, 2015, and 15 WHEREAS, the City wishes to amend said Agreements to provide for a total of three 16 (3) one-year extensions. 17 THEREFORE, BE IT RESOLVED BY THE MAYOR AND COMMON 18 COUNCIL OF THE CITY OF SAN BERNARDINO AS FOLLOWS: 19 SECTION 1. The City Manager is hereby authorized and directed to execute 20 Amendment No. 1 to the Agreements for Services with SA Associates, Willdan Engineering 21 and Harris & Associates to provide On-Call Construction Management and Contract Inspection 22 (attached and incorporated herein as Exhibits "A," "B" and"C," respectively). 23 SECTION 2. This Amendment No. 1 shall not take effect or become operative until 24 fully signed and executed by the parties and no party shall be obligated hereunder until the time 25 26 1 2014-254 1 of such full execution. No oral agreements, amendments, modifications or waivers are intended 2 or authorized and shall not be implied from any act or course of conduct of any party. 3 SECTION 3. WITNESSETH: 1. WHEREAS, on February 6, 2012, Resolution No. 2012-022 was adopted authorizing the City Manager to execute Agreements for Services with SA Associates, Willdan Engineering and Harris &Associates to provide On-Call Construction Management and Contract Inspection, and 2. WHEREAS, said Agreement for Services originally expired on June 30, 2013, and 3. WHEREAS, under Section 4.0 said Agreement was administratively extended to June 30, 2014, and 4. WHEREAS, the Consultant has submitted a letter, attached hereto as Attachment "1-B" and made a part hereof, consenting to the extension of said Agreement for one additional year to June 30, 2015, and 5. WHEREAS, the City wishes to amend said Agreement to provide for a total of Three (3) one-year extensions. NOW THEREFORE, the parties hereto agree as follows: 1. Said Agreement is hereby amended as follows: SECTION 4.1. Term. Said Agreement shall be in effect through June 30, 2015, unless earlier terminated as provided in the Agreement or as otherwise agreed to in writing by the parties. Administrative extensions of two (2) additional years may be authorized by the Director of Public Works, subject to the prior written agreement of both parties. 2. Staff will be recommending to the Mayor and Common Council on June 16, 2014 that your Agreement be extended to June 30, 2015 with a provision that administrative extensions of two (2) additional years may be authorized by the Director of Public Works,subject to agreement of both parties. If you concur with this time extension, please send a letter on your firm's letterhead and signed by an officer of your firm indicating that you concur with a time extension to June 30, 2015 subject to the terms,conditions and compensation indicated in the original Agreement.
