Synopsis of Previous Council Action: January 7, 2013 - Resolution 2013-26 was approved authorizing an agreement for$60,000.00 with Intellibridge Partners for accounting services. June 17, 2013 - Resolution 2013-185 was approved authorizing an agreement increase of $15,000.00 with Intellibridge Partners for accounting services. August 19, 2013 - Resolution 2013-243 was approved authorizing an agreement increase of $46,080.00 with Intellibridge Partners for EDA accounting services. January 21, 2014 - Resolution 2014-22 was approved authorizing an agreement increase of $20,000.00 with Intellibridge partners for EDA accounting services. BackSround• Intellibridge Partners is a consulting firm serving public agencies throughout California. Intellibridge Partners has proposed to provide the City with additional accounting services with a focused effort on the complex accounting issues of the EDA and Successor Agency and the transition of the financial information and data into the City's accounting system,New World System. Specifically, Intellibridge Partner's effort has been focused on the financial transitions for the following EDA Projects: 1. RDA-Redevelopment- Outstanding Debt Obligation. b. Federal Programs -Home, Community Development Block Grant, Section 108 Funding,Neighborhood Rehabilitation Program. c. Low and Moderate Income Housing and Affordable Housing -Outstanding Debt Obligation and Housing assets. d. San Bernardino Regional Water Resources Debt$1.5 Assets $1.5 Intellibridge has made substantial progress on the cross walk process for transferring financial data from the EDA software system to the City's New World System. Due to the complexity of the EDA and HUD transactions, ROPS adjustments due to Department of Finance reviews and the work being done by the outside auditors, the final work product by Intellibridge is being impacted. The auditors are completing their final work and this will allow Intellibride to complete the following items. In summary the below items will be accomplished within the amended term of this agreement: 1. Complete the process of bringing in the financial information from ICCS to NWS for management information purposes. 2. Audit adjustment for period ending June 30, 2012 need to be journalized, input and reconciled. 3. Upload post June 30, 2012 journals for distribution of Fund 711 to appropriate funds and reconcile. 4. Complete ROPS true-up procedure. 5. Transfer of data and knowledge base. 6. Revenue coding and transfer. 7. Contingency of reserve for unknown problems. 8. Move cash and revenue from the Successor Agency to the EDC. 9. Move revenue associated with newly transferred City property, such as, the 201 Building that EDA occupies The parties now desire to extend the agreement to June 30, 2014 for an additional Twenty Six Thousand Two Hundred Forty Dollars ($26,240.00) to a total amount not-to-exceed One Hundred Sixty-seven Thousand Three Hundred Twenty Dollars ($167,320.00), and amend the Agreement as set forth in this Amendment to complete the above items. Additional funding for this increase will come from the budgeted General Government Professional Contractual Services line item. The City Manager is hereby authorized and directed to execute this a 9 Fourth Amendment to the Consultant Services Agreement between Intellibridge Partners and io the City of San Bernardino for accounting services, attached hereto as Exhibit "A" and 11 incorporated herein. 12 SECTION 2. The Purchasing Agent is hereby authorized to issue an amended Purchase 13 14 Order to Inteliibridge Partners for accounting services for a total amount not to exceed is $167,320.00. 16 SECTION 3. Saenz, City Attorney 25 26 By: 27 28 2 FOURTH AMENDMENT TO CONSULTANT SERVICES AGREEMENT BETWEEN THE CITY OF SAN BERNARDINO AND INTELLIBRIDGE PARTNERS THIS FOURTH AMENDMENT is made and entered into as of April 7, 2014 by and between the CITY OF SAN BERNARDINO, a charter city ("City"), and INTELLIBRIDGE PARTNERS ("CONSULTANT'). In consideration of the mutual covenants and conditions set forth herein, the 7 parties agree as follows: > a� 1. This Amendment is made with respect to the following facts and purposes: _ a. On February 4, 2013, the City and Consultant entered into an agreement entitled c "Consultant Services Agreement Between The City Of San Bernardino and Intellibridge Partners, for a total amount of sixty thousand dollars and no cents ($60,000.00). ,o b. On June 17, 2013, the City and Consultant amended the agreement entitled "Consultant 1* Services Agreement Between The City Of San Bernardino and Intellibridge Partners, for o an increased amount of $15,000 and not to exceed a total amount of seventy five thousand dollars and no cents ($75,000.00). c. On August 19, 2013, the City and Consultant amended the agreement entitled Ea "Consultant Services Agreement Between The City Of San Bernardino and Intellibridge Partners, for an additional Forty Six Thousand and Eighty Dollars ($46,080.00) to a total a amount not-to-exceed One Hundred Twenty-one Thousand and Eight Dollars ($121,080.00) and amend the Agreement. d. On January 21, 2014, the City and Consultant amended the agreement entitled "Consultant Services Agreement Between The City of San Bernardino and Intellibridge Partners, for an additional ($20,000.00) to a total amount not-to-exceed One Hundred a forty-one Thousand and Eight Dollars ($141,080.00) and amend the Agreement. d. The parties now desire to extend the agreement to June 30, 2014 for an additional Twenty-six Thousand, Two Hundred and Forty Dollars ($26,240.00) to a total amount a not-to-exceed One Hundred Sixty-seven Thousand, Three hundred and Twenty Dollars as ($167,320.00) and amend the Agreement as set forth in this Amendment. d r 2. Section 2. Compensation of the Agreement is hereby amended to increase the amount = that the City agrees to pay the Consultant a not-to-exceed total amount of One Hundred Sixty-seven Thousand, Three Hundred and Twenty Dollars ($167,320.00). City shall pay M Consultant for services rendered pursuant to this Agreement at the time and in the manner set forth herein. The fourth amendment amount shall not exceed Twenty Six Thousand Two c Hundred and Forty Dollars ($26,240.00) for additional Consultant services. M E 3. Section 3.1.
